1. The following is the glossary of terms used in these terms of website use:

1.1 Customisable Materials means the Materials available for download from the secure section of our site, that specify within them that they are available for modification by you, in accordance with the guidelines set out within the Customisable Materials and these terms of website use;

1.2 Distribution Agreement means the distribution agreement(s) appointing you as our distributor for the Product(s), within the agreed territory;

1.4 Materials means the materials available for download from the secure section of our site (including the Customisable Materials); and

1.5 Products means the products that you are permitted to market and supply, in accordance with the terms of (i) the relevant Distribution Agreement (if applicable), or (ii) if (i) is not applicable, as we agree in writing.

2. Terms of Website Use

This page (together with the documents referred to) tells you the terms of website use on which you may make use of our website www.tracerco.com (our site). Please read these terms of website use carefully before you start to use our site. By using our site, you indicate that you accept these terms of website use and that you agree to abide by them. If you do not agree to these terms of website use, please refrain from using our site.

We reserve the right to amend these terms of website use the site content and Materials, from time to time.

3. Information About Us

www.tracerco.com is a site operated and owned by Tracerco Limited ("we"). We are registered in England and Wales and have our registered office at 5th Floor, 25 Farringdon St, London, EC4A 4AB company number 04496566.

4. Accessing Our Site

Access to our site is permitted on a temporary basis, and we reserve the right to withdraw or amend the service we provide on our site without notice (see below). We will not be liable if for any reason our site is unavailable at any time or for any period.

From time to time, we may restrict access to some parts of our site, or our entire site. When using our site, you must comply with the provisions of our acceptable use policy.

You have been provided with a unique username and password to access our site. Your username and password are confidential, and must not be shared, distributed, disclosed or in any way divulged to any third party, and you hereby acknowledge and agree that you will, and you will procure that your employees will, keep your username and password confidential, and that they will only be used by you to access our site in accordance with these terms of website use. We have the right to disable your username and password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these terms of website use You may only access the secure parts of our site using the login and password details provided to you. You must not use another person's or organisation's details to access the secure parts of our site.

You will notify us when you no longer require access to our site. You shall not use our site after our Distribution Agreement with you has terminated or expired.

You are responsible for making all arrangements necessary for you to have access to our site. You are also responsible for ensuring that all persons who access our site through your internet connection and/or by using your username and password are aware of these terms, and that they comply with them. You hereby acknowledge and agree that you are jointly and severally liable for any and all damage and/or costs arising out of or in connection with any unauthorised access to our site using your username and password.

5. Intellectual Property Rights

We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it, including all materials which can be accessed and/or downloaded from our site (the "Materials"). Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

Our status (and that of any identified contributors) as the authors of material on our site and owners of the trade marks and any other intellectual property must always be acknowledged. If you print off, copy or download any part of our site and/or any and all Materials in breach of these terms of website use, your right to use our site and such materials will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

The Johnson Matthey logo, the Johnson Matthey name, the Tracerco logo, the Tracerco name, our trade marks and all other product names and logos referred to in this site and on the Materials are trade marks of the Johnson Matthey Group of companies.

Save as expressly provided for in clause 6 (Brand Guidelines Policy) of these terms of website use, you must not reproduce, modify, use, adapt, communicate, publish, upload, distribute in any way, encode, translate, transmit, or reverse engineer any part of our site or the Materials.

From time to time, we may provide you with Customisable Materials. Any use of Customisable Materials which you create must comply with the guidance relating to our use of brands and trade marks set out within the Customisable Materials and clause 6 (Brand Guidelines Policy).

You shall indemnify us against all liabilities, costs, expenses, damages or losses (including any direct or indirect consequential losses, loss of profit, loss of reputation and all interest, penalties and legal and other professional costs and expenses) suffered or incurred by us arising out of or in connection with the exercise by you of your rights granted under these terms of website use or any breach of these terms of website use.

If you learn of any activities which could constitute an infringement or threatened infringement of or by our site and/or any materials which can be accessed and/or downloaded on or from our site (including but not limited to the Materials), you shall forthwith and without delay notify us giving full particulars of such circumstances and you shall make no comment or admission to any third party in respect of such circumstances.

We shall in our sole discretion decide what action (including litigation, arbitration or compromise) if any to take in respect of any infringement or alleged infringement, or any other claim or counterclaim brought or threatened and shall have the conduct of all related proceedings. We shall not be obliged to bring or defend any proceedings whether for infringement or otherwise if we decide in our sole discretion not to do so.

You will at our request give full co-operation to us (including the provision of documentation and making relevant people available) in any action, claim or proceedings brought or threatened.

In any infringement proceedings which are brought by us, we shall be entitled to receive and retain all amounts awarded or secured by way of settlement or damages, profits or otherwise in connection with such claims.

6. Brand Guidelines Policy

Our site contains various advertising and marketing materials in relation to our branded Products in which a number of intellectual property rights subsist in, including but not limited to patents, copyright, rights (registered or unregistered) in any designs, rights (registered or unregistered) in any trade marks, trade dress, passing off and unfair competition rights, rights affording equivalent protection to copyright, trade mark and design rights. Subject to the following provisions, you are permitted to download from our site and use the Materials to promote the Products which you distribute:

 save as explicitly permitted as detailed in the Customisable Materials, you must not modify, amend, adapt or change in any way whatsoever (including the size and colour) the paper or digital copies of any and all Materials and you must not use any parts of the Materials (such as illustrations, photographs, video or audio sequences or any graphics) separately;

 save as explicitly permitted as detailed in the Customisable Materials, should you wish to modify, amend, adapt or change in any way whatsoever (including the size and colour) the paper or digital copies of any and all of the Materials, you must request our written permission to do so and we may request that you submit to us for our prior written approval, details of all proposed modifications, amendments, adaptations or changes to the Materials. In the event that we disapprove with any such modifications, amendments, adaptations or changes to

the Materials we shall give written notice of such disapproval and you shall not use, and you shall immediately destroy, such materials;

 the Materials must be used solely for the purpose of promoting and advertising the Products which you distribute;

 the Materials are only to be used in accordance with these terms of website use and in accordance with any directions relating to the Materials as notified in writing by us to you from time to time;

 you shall immediately upon request provide us with details of all uses you are making and have made of the Materials;

 you shall:

 not use the Materials and/or any trade marks contained in the Materials in any way which would tend to allow them to become generic, lose their distinctiveness, become liable to mislead the public, or be detrimental to or inconsistent with the good name, goodwill, reputation, image and prestige of the Product's brand and/or Tracerco Limited;

 perform your obligations in connection with the use of the Materials with all due skill, care and diligence including good industry practice;

 comply with all regulations and practices in force or use to safeguard our rights in the Materials; and

 not, nor directly or indirectly assist any other person to do or omit to do anything to diminish our rights in the Materials or impair any registration of any or all of the Materials (or parts thereof).

You hereby acknowledge and agree that the exercise of the rights under these terms of website use are subject to all applicable laws, enactments, regulations and other similar instruments in your territory, and you understand and agree that you shall at all times be solely liable and responsible for such due observance and performance.

You hereby acknowledge that the Materials are the property of Tracerco Limited and shall indicate that the Materials are the property of Tracerco Limited by accompanying the Materials with wording and clear marking which identifies that the Materials belong to Tracerco Limited.

You shall not use the Materials accompanied by other images and/or trade marks (whether registered or not) or words describing our Products without our prior written consent.

You shall not, by virtue of these terms of website use and/or your use of our site and/or the Materials, obtain or claim any right, title or interest in or to our site (or parts thereof) and/or any or all of the Materials (or parts thereof).

You hereby acknowledge and agree that the benefit of your use of our site and/or the Materials shall at all times inure to the benefit of Tracerco Limited. Insofar as any goodwill

or other rights may accrue to you by reason of the use of your use of the Materials and/or by your connection with the Materials and/or Tracerco Limited in the course of trade, you shall hold all such goodwill and other rights on trust for Tracerco Limited and shall, if so requested by Tracerco Limited, execute such assignments of such goodwill and other rights to Tracerco Limited (or its nominee) as Tracerco Limited may direct.

You shall not at any time apply anywhere in the world to register any or all of the Materials (or parts thereof) including but not limited to the designs and trade marks contained in the Materials and/or anything which is confusingly similar and/or likely to cause confusion with the same.

You shall not use any words used in our trade marks (or any words confusingly similar to our trade marks) as part of any corporate business or trading name or style.

You shall not register any domain name which includes words used in our trade marks, except where instructs you to register any domain name due to local legal restrictions on the ownership of domain names or for any other reason. You shall hold any such domain name on trust for Tracerco Limited and shall upon expiry or termination of our Distribution Agreement (or earlier upon Tracerco Limited's written request) promptly transfer any such domain registration to Tracerco Limited or cancel it, at Tracerco Limited's option.

We may update our Materials from time to time by modifying or removing pre-existing Materials or adding new Materials. You will check our site regularly and ensure that you are using the most up-to-date Materials available on our site. Within one month of us taking down such Materials from our site, you will immediately cease use of and destroy any copies of those Materials. You must comply with any other guidelines in relation to the Materials as issued by Tracerco Limited from time to time.

For the purposes of this legal notice, any use of any or all of the Materials and/or our site other than in accordance with these terms of website use is prohibited. If you breach any of the terms in this legal notice, your permission to use our site automatically terminates and you must immediately destroy any downloaded or printed Materials and/or any other print-outs or downloads from our site.

Subject to any provision in these terms of website use to the contrary, no part of our site may be reproduced or stored in any other website or included in any public or private electronic retrieval system or service without our prior written permission.

Any rights not expressly granted in these terms are reserved. 7. Reliance on Information Posted

Commentary and other materials posted on our site are not intended to amount to advice on which reliance should be placed. To the extent permitted by law, we, other members of our group of companies and third parties connected to us hereby expressly exclude:

You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack.

By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any material posted on it, or on any website linked to it.

3. Suspension and Termination

We will determine, in our discretion, whether there has been a breach of this acceptable use policy through your use of our site. When a breach of this policy has occurred, we may take such action as we deem appropriate.
