March 2013 - The Supervisory Board, which met today, took advantage of its right

provided for under article 45 of the Articles of Association and resolved unanimously to present a

list, as proposed by the Appointments Committee, submitting the following candidates for the office

of member of the Supervisory Board of the Parent of the Group for the three-year period

2013-2014-2015, including the positions of Chairman and Senior Deputy Chairman of the Supervisory

Board:

It was considered important, when composing the list, that the persons on it should be sensitive to

and knowledgeable of matters of interest to different stakeholders and in particular to those of the

world of work and of national and international investors.

The legislation on gender balance did in fact represent an important opportunity which the Board

intended to grasp, thanks to the greater variety of expertise and experience acquired at home and

abroad that the female candidates selected will be able to bring to the Supervisory Board.

In this context, the list drawn up has a significant degree of diversification in terms of business

experiences, functional expertise, professional backgrounds, international experience and gender

balance with an average age of 58. This will allow the Board to perform effective corporate

governance with processes, systems and behaviours based on international best practices, which

also comply with supervisory authority requirements.

In accordance with the Articles of Association, as with all lists presented for the election of the

Supervisory Board, the list must be supported by at least 500 registered shareholders who have the

right to participate in and vote in shareholders’ meetings convened to elect the Supervisory Board,

who provide documentary evidence of that right according to the legislation in force, or by one or

more registered shareholders who represent at least 0.50% of the share capital.

SUMMARY OF CANDIDATES’ CURRICULA VITAE

Andrea Moltrasio, born on 7/10/1956, Businessman

Andrea Moltrasio was awarded a degree in Chemical Engineering at the Polytechnic of Milan and completed his studies with a Master in Business Administration from Santa Clara University in California.

He currently occupies the position of Chief Executive Officer of Icro Coatings and Chairman and Chief Executive Officer of Clinica Castelli.

In the past he has held positions in the world of associations and in particular at the Unione degli Industriali di Bergamo employers association. He was Vice President of Confindustria (confederation of industry) with responsibility for Europe from 2005 until 2010.

He was a Member of the Supervisory Board of UBI Banca from 2007 until 2010 and subsequently was made a Member of the Management Board, a position he still occupies. He is currently also Chairman of the Board of Directors of Centrobanca.

Mario Cera, born on 26/06/1953, University Professor

Mario Cera was awarded a degree in law at the University of Pavia. He is Professor of Commercial Law in the Faculty of Law at the University of Pavia. He practices law from his law firm in milan, specialising in commercial and banking law. He has occupied numerous positions on Boards of Directors and Supervisory Bodies mainly in the field of finance including the following: Banca Regionale Europea, Banca del Monte di Lombardia, Banca Lombarda, Verona Assicurazioni, Cassa di Risparmio di Tortona and Italmobiliare. Today he is a Member of the Management Board of UBI Banca, Chairman of Banca Popolare Commercio e Industria and Chairman of IW Bank. He also occupies various positions on university bodies and is Chairman of the Museo Poldi Pezzoli Foundation of Milan.

Armando Santus, born on 16/12/1969, Public Notary

Armando Santus was awarded a degree in law from the Catholic University of Milan. He has practiced as a Public Notary from his firm in Bergamo since 2001. At the same time he has carried out academic activities at the University of Bergamo and the Catholic University of Milan.

He is currently a Member of the Supervisory Board of UBI Banca.

Gian Luigi Gola, born on 14/06/1964, Accountant

Gian Luigi Gola was awarded a degree in economics and commerce from the University of Turin. He practices his profession from his firm in the Province of Cuneo and is currently Adjunct Professor of Strategies and Corporate Governance at the University of Turin.

He provides consulting services as a public authorities auditor and holds ministerial and judicial positions (these include Chairman del Board of Statutory Auditors of Arpa Piedmont and Auditor of the Chamber of Commerce of Biella).

He currently sits on various Boards of Directors and Supervisory Bodies including at F2i Rete Italia srl as Chairman of the Statutory Board of Auditors and at UBI Banca as a Member of the Management Board.

Lorenzo Renato Guerini, born on 10/09/1949, Accountant

With a degree in economics from the Bocconi, dottore Guerini started his career at Arthur Andersen as an auditor and then took a position as an internal auditor of the foreign companies in the Montedison Group. He joined KPMG in 1980, where he filled roles of increasing responsibility over the years until he became Chairman of KPMG Italy and a Member of the Board of Directors of KPMG International.

Alberto Folonari, born on 08/03/1937, Businessman

Alberto Folonari has a degree in Agrarian Sciences at the University of Milan. He entered the family firms in 1965 where he filled roles of increasing responsibility until he became Managing Director of Chianti Ruffino Spa and of Premiovini Spa in 1982 (posts which he left in June of 2000 following the disposal of the investment).

He was also Consigliere Censore at the Brescia branch of the Bank of Italy between 1975 and 1979.

In the past he has filled various positions on the Boards of Directors in the banking sphere, including Banca Credito Agrario Bresciano, Banca Lombarda, Banco di Brescia and Banca Commerciale Italiana. He is currently a Member of the Supervisory Board and Deputy Chairman of UBI and he sits on the Boards of Directors of a number of foundations mainly based in the Brescia area.

Alfredo Gusmini, born on 29/12/1944, Former Banking Executive

Alfredo Gusmini was awarded a degree in economics and commerce from the Catholic University of Milan. He commenced his career at Banca Popolare di Bergamo in 1963 where he occupied positions of increasing responsibility until he was appointed Deputy General Manager in 1991 and Joint General Manager in 2000. He was General Manager of Banche Popolare Unite from 2003 until 2007.

In the past he has filled various positions on the Boards of Directors of banks and companies in the Group and of a number of financial companies in the “popular” banking area.

He is currently a Member of the Supervisory Board of UBI Banca.

Sergio Pivato, born on 13/11/1945, Accountant

Sergio Pivato has a degree in economics and commerce from the Commerciale Luigi Bocconi University where he was Professor of Economics and Company Management. He also practices his profession from his firm in Milan.

He has occupied positions on Boards of Directors and Supervisory Bodies both in financial companies (including Cassa di Risparmio di San Miniato, Padana Assicurazioni and Clessidra) and in industrial companies and groups (including Telecom Italia, Fintecna, Edison and Reno de Medici).

He is currently a Member of the Supervisory Board of UBI and sits on the Board of Statutory Auditors of Brembo e Vita as Chairman and of Auchan as a full auditor.

Mario Mazzoleni, born on 14/05/1943, Businessman

Mario Mazzoleni has developed his career since 1972 in his family’s firm “Mazzoleni Industrial Commerciale”, based in Bergamo. In the past he has been President of Unione Industriali (association of industrialists) of the Province of Bergamo, a member of the executive and a member of the Governing Board of Confindustria (confederation of industry) and President of Confindustria Lombardy.

He has occupied numerous positions on Boards of Directors mainly in the banking sphere (including Board Member and Member of the Executive Committee of BPU). He is currently a Member of the Supervisory Board of UBI Banca.

Federico Manzoni, born on 18/08/1949, Accountant

Federico Manzoni was awarded a degree in philosophy from the Catholic University of Milan and subsequently in economics and commerce from the University of Bergamo.

Having worked as a teacher in senior high schools, he was appointed to managerial positions in a number of companies and has practiced as an accountant with his own firm since 1990. In the past he has carried out academic activities in the Faculty of Economics at the University of Bergamo.

He has occupied various positions on Boards of Directors and Supervisory Bodies in finance, including Banca Credito Bergamasco (as a Statutory Auditor) and Banco di Brescia and Banca Lombarda (as a Director).

Important positions currently occupied include: Member of the Supervisory Board of UBI Banca, Commissioner of the Cariplo Foundation and Statutory Auditor and Chairman of Mittel Investimenti

Marina Brogi, born on 15/07/1967, University Professor

Marina Brogi was awarded a degree from the Commerciale Luigi Bocconi University and completed her studies at the London Business School. She has been Professor of Economics of Financial Markets since 2007 and Vice Dean of the Faculty of Economics since 2011 at the la Sapienza University of Rome. She has over twenty years of experience in the field of research and training on banking and finance at both university and post-graduate level at numerous universities in Italy and abroad ((Bocconi, Ca' Foscari, London Business School, BI Norwegian School of Business, Zagreb Business School, SDA Bocconi). Today she sits on the management and supervisory bodies of many companies both in industry (A2A, Impregilo, Prelios) and finance (Banco di Desio e della Brianza).

Enrico Minelli, born on 24/04/1965, University Professor

Enrico Minelli was awarded a degree in economics and sociology from the Commerciale Luigi Bocconi University and he completed his studies in Belgium with a doctorate in economics from the Université Catholique de Louvain. He is currently Professor of Economics at the University of Brescia. In the past he has occupied academic positions at the Universitè de Paris-Dauphine and research positions at the Belgian National Research Institute and at the International Monetary Fund.

He has been a Board Member of UBI-Banca di Valle Camonica and of Centrobanca. He is currently a Member of the Supervisory Board of UBI Banca and a Board Member of Morcelliana Editrice.

Antonella Bardoni, born on 06/05/1963, Director of a Guarantee Body

Antonella Bardoni has developed her career since 1982 working for Confiab (a credit guarantee body for artisans), occupying roles of increasing responsibility until she reached the position of General Manager. She has been a member of the Credit Commission of the Rome Confartigianato (artisans’ trade association) and she sits today on the Credit Commission of the Prefecture of Bergamo.

Pierpaolo Camadini, born on 09/07/1963, Lawyer

Pierpaolo Camadini was awarded a degree in law at the Catholic University of Milan.

He practices as a lawyer in his own firm in Brescia. He has held positions on the Board of Directors in the worlds of both associations (Associazione Banca Lombarda e Piemontese since 2007 and FIEG - Federazione Italiana Editori Giornali since 2012) and banks (Banca Popolare di Bergamo since 2008 and the Banca San Paolo di Brescia Foundation since 2011).

Ester Faia, born on 27/10/1973, University Professor

With a deree from the Bocconi University and a Ph.D. in economics from New York University, Ester Faia is currently a Professor at the Goethe University Frankfurt and a member of the Scientific Coordinators Board of the SAFE Excellence Centre. In the past she has filled academic roles at the Universitat Pompeu Fabra, at the Rome II University and at the European University Institute and consulting and research roles for various central banks and international research institutes.

She is the author of numerous publications in various refereed academic journals and has received prestigious research awards (Marie Curie, EU and DFG grants, Lamfalussy prize, etc.). She is on the editorial board of the Journal of Economic Dynamics and Control and of Economic Policy.

Alessandra Del Boca, born on 03/07/1947, University Professor

Alessandra Del Boca was awarded a degree in politics from the University of Turin and completed her studies at Linacre College Oxford. She has been Professor of Political Economy at the University of Brescia since 2001. In the past she has filled academic roles at the Sapienza University of Rome, on a scholarship, as an adjunct professor and as a research associate. In 1999 she was Visiting Professor at the University of Berkeley California and in 1978-1979, a Visiting Scholar at the Massachusetts Institute of Technology. In 2010 she was appointed as a Councillor of the CNEL (appointed by the President of the Republic) and a member of the COMSTAT-ISTAT.

She is currently on the Board of Directors of Banca Popolare Commercio e Industria.

Carlo Garavaglia, born on 15/05/1943, Accountant

Carlo Garavaglia was awarded a degree in economics and commerce from the Catholic University of Milan. He was a partner in the tax department of KPMG Peat Marwick from 1970 until 1976. He is a founding partner of Studio Legale Tributario L. Biscozzi – A. Fantozzi and of Studio Legale e Tributario Biscozzi – Nobili (tax consultants – partnerships).

He has spoken at conferences and is the author of articles and publications in the tax field. He has been Honorary Consul of the Grand Duchy of Luxembourg for Lombardy since 11th April 2008.

He currently sits on various Boards of Directors and Supervisory Bodies both in the banking sphere (Member of the Supervisory Board of UBI Banca) and in industry (including De’ Longhi, Italcementi, Comitalia).

Letizia Bellini Cavalletti, born on 13/04/1962, Senior Company Manager

Letizia Bellini Cavalletti was awarded a degree from the Catholic University of Milan and then developed her career in major companies in the mass consumption sector (Joh. A. Benckiser, Danone and subsequently A&D Group Alimentare Dietetico) with growing responsibility in the marketing field.

Following the acquisition of a line of business by the family pharmaceuticals group, in 2010 Letizia Bellini Cavalletti took up the position of General Manager of SIIT HFS Liquid, a company that operates in the specialty medicines and dietary supplements sector.

Mario Comana, born on 22/01/1957, University Professor

Mario Comana has a degree in economics and commerce from the University of Bergamo and did post-graduate studies at Harvard (USA). He is Professor of Tecnica Bancaria and a lecturer in Economia degli Intermediari Finanziarie at the LUISS – Guido Carli University.

In the past he has filled academic roles at the University of Bergamo, the Commerciale Luigi Bocconi University and at SDA Bocconi and advisory and research positions for many authorities, banking associations and industrial groups.

Today he sits on the Board of Directors of Banca Popolare di Bergamo and is Chairman of UBI Banca Private Investment. He has been a Statutory Auditor at Italcementi since 2012.

Franco Bossoni, born on 18/12/1945, Public Notary

Franco Bossoni commenced practicing as a Public Notary in 1974 after being awarded a degree in law in 1968 and after passing notary exams in 1972. He has occupied the role of Treasurer of the Notarial Council of Brescia and has been a member of the Assembly of Representatives of the Cassa Nazionale del Notariato

(national pension fund for notaries).

He has been a member of the Board of Directors of Banca Lombarda and today he sits on the Board of Banco di Brescia.

Giacomino Maurini, born on 16/12/1958

Giacomo Maurini was awarded a degree in economics and commerce from the Catholic University of Milan. He has been an Associate Professor in the Management and Control of Public Sector Owned Companies and General Accounting at the University of Bergamo since 2001.

He currently sits on various Boards of Directors and Supervisory Bodies of companies operating in industry and services in the Bergamo and Milan areas.

Stefano Gianotti, born on 26/12/1962

Stefano Gianotti has developed his career since 1982 working for Kimco-Padana Ricambi (located in Brescia) and came to fill the position of sole director a position he still holds today.

He has occupied positions on Boards of Directors in the insurance sector, including the companies Cattolica Investimenti and UBI Assicurazioni.

He currently sits on the Board of Banco di Brescia, the Banca San Paolo Foundation and Mittel.

Graziano Caldiani, born on 28/08/1951

After a degree in law awarded in 1975, Graziano Caldiani started his career in the Human Resources Department at Banca Popolare di Bergamo, where he rose to Manager. Subsequently, again within the UBI Group, he occupied roles of increasing responsibility until he became General Manager, a position he held until 2012.
