d) UNIT/UNIT OF MEASUREMENT ( UOM ) FOR BIDDING, SALE & DELIVERY: Each Lot will have to be bid, sold and delivered on the basis of the Unit / Unit Of

Measurement ( i.e. UOM ) stipulated in the Material List displayed on the Auction Floor of View Live Auctions against the respective Lot. Any representation /

complaint from the Bidders for the Bid to be made / having been made on the basis of any other Unit/Unit of Measurement will not be entertained.

e) During Live Auction, only brief Lot / Item details will be shown under Lot Name on the Auction Floor where Bidders are required to bid. The complete Item Details

can be seen / accessed by the Bidders by clicking on the respective Item under Lot Name. It shall be the responsibility of the Bidders to see the Items Details before

bidding and no representation / complaint in this regard will be entertained by MSTC / Principal from the Bidders.

f) MSTC/PRINCIPAL reserves the right to forfeit any amount/money lying with MSTC/Principal from the successful Bidder who defaults in making the due payments

against the eAuction even though such amount/money may be lying with MSTC/Principal on account of the said Bidder against any other contract/transaction.

g) CONTACT PERSON OF SELLER / CONTACT PERSON: as mentioned in the catalogue.

SPECIAL TERMS AND CONDITIONS:

1) M/s. South Eastern coalfields Limited, the Owner / Seller, will be hereinafter referred to as PRINCIPAL and MSTC Ltd., the Selling Agent of the PRINCIPAL, will be

hereinafter referred to as MSTC. The Buyer Specific Terms & Conditions (BSTC) displayed on the e-Auction Website of MSTC shall be construed to be an integral

part of the Terms & Conditions of this e-Auction; and the Bidder may like to download the same for their record. However, in case of any conflict between the STC and

BSTC, the STC shall prevail.

2) All the materials put up for sale through e-Auction will be sold strictly on As is where is basis and No Complaint basis. MSTC / PRINCIPAL reserve the right to

accept / reject any offer / bid without specifying any reason thereof. All quantities are only estimates and without any guarantee.

3) INSPECTION OF MATERIALS: The registered Parties interested in bidding may inspect the materials lying at the specified locations by producing their e-Auction

Photo ID Card issued to them by MSTC. Alternatively, they may produce a copy of this STC to the PRINCIPAL after downloading from the Website. Inspection will be

allowed by the PRINCIPAL with prior appointment from the PRINCIPAL. Inspection will be limited to visual checking only. Any clarification required may be sought by

the Bidders from the PRINCIPAL at the time of inspection, and no dispute regarding the material or its physical conditions / location will be entertained thereafter.

4) VALIDITY OF BIDS: All Bids will be valid for acceptance by MSTC for a period of 90 (NINETY) days from the date of closing of e-Auction, excluding the date of

closing. In case the 90th day falls on a holiday or remains closed for MSTC, such Bids will be deemed to be automatically extended to be valid upto the next working

day of MSTC.

5) SALE INTIMATION: All sales will be subject to Reserve Price (RP) fixed by the PRINCIPAL. The PRINCIPAL also has the option to fix a lower limit of the RP for an

individual Lot. After closing of Auction, in case the Highest Bid is equal to or more than the RP, the respective Lot will be deemed to be Sold on confirmed basis,

whereas if the Highest Bid is less than the RP but equal to or more than the lower limit of the RP, then such Highest Bid will be considered for sale on Subject to

Approval (STA) basis for which final approval will be intimated after receipt of the prescribed Security Deposit from such Bidder within the due time.

In both the cases, immediately after closing of Auction, automatic Sale Intimation Letter will be issued by e-mail to the Highest Bidder advising him to deposit the

prescribed Security Deposit within the stipulated time. Bidders must, therefore, keep a watch on their incoming e-mail in this regard. However, MSTC reserves the

right to issue the Sale Intimation Letter (on Confirmed or STA basis) by Speed Post / Registered Post / Courier.

6) SECURITY DEPOSIT (SD): SD within 7 (seven) days from the date of issue of Sale Intimation Letter as follows: - (a) For Lots Sold on Confirmed basis: @ 10% of

the Sale Value, and (b) For STA Bids: @ 10% of the Sale Value. SD is adjustable towards material value only after receipt of the balance material value along with

applicable Duties & Taxes,TCS within the due date. If the Security Deposit is not received within the due date, the sale will be treated as cancelled and the

Registration / Password of the Customer will be de-activated thereby debarring him from participating in MSTC's e-Auctions and the Registration Fee given by such

Bidder shall be forfeited by & with MSTC. In case the successful Bidder pays the SD, but fails to pay the balance material value along with applicable Duties & Taxes

,TCS within the due date, then his SD will be forfeited.

7) PAYMENT OF BALANCE SALE VALUE / DUTIES / TAXES/TCS: On receipt of SD by SECL, Sale Order / Acceptance Letter will be issued by MSTC to the

successful Bidder advising him to deposit the balance material value alongwith all applicable Duties & Taxes,TCS within 15 (Fifteen) days from the date of issue of

Sale Order / Acceptance Letter by MSTC (including the date of issue). The entire balance Sale Value will have to be paid by the Buyer as below:

8) DEFAULT IN PAYMENT:

a) In case of default in payment within the prescribed time limits, the due payment may be made together with additional charges @ 1% per week or part thereof on the due amount for a minimum period of one week or multiple thereof. However, MSTC reserves the right not to accept the payment with or without the additional charges after the expiry of the free payment time.

b) In case of default in payment of SD and / or balance Sale Value with Duties Taxes and TCS by the successful Higher Bidder, MSTC reserves the right to invite Limited Tender for the respective Lot from all the bidders of the concerned Lot (other than the defaulting Bidder) in Sealed Covers along with the prescribed Security Deposit within the time stipulated by MSTC for finalizing the sale or to take any other action as may be deemed fit in consultation with the PRINCIPAL.

9)DELIVERY:

9.1 On payment of balance Sale value along with applicable Duties and Taxes ,TCS , the Buyer shall obtain Delivery Order from MSTC on producing his e-Auction Photo ID card. Delivery Period will be 45 days from the date of issue of Release Order by the PRINCIPAL at their sole discretion (including the date of issue). However a tentative Delivery Period of 30 days will be stipulated by MSTC in the D.O. from the date of its issue, which will be extendable by SECL at their discretion as mentioned above. The successful Bidder shall co-ordinate the date and time with the PRINCIPAL for placement of Trucks to ensure speedy removal of materials. 9.2 The materials sold shall be removed by the Buyers from any one side of the Lot as per the sole direction of the PRINCIPAL and no segregation of items from the sold Lots will be permitted.

9.3 In case any hot-work permission is required for dismantling operations, the same will have to be obtained by the Buyers from the PRINCIPAL's authorized representative before lifting and it will be sole discretion of the PRINCIPAL to allow or not to allow such hot-work permission.

9.4 For the purpose of removing the materials, the successful Bidder shall employ or engage only his / their own personnel and shall keep Principal fully indemnified against any claims whatsoever including claim for wage, injuries, compensation, death etc.

9.5 While removing materials, if any accident or damage to the property/life etc. arises by reason of any act of negligence /omission /default or non-compliance with any of the Terms & Conditions of statutory regulations or rules and regulations applicable within Principal's premises, on the part of the Bidder,s / his representative or employees resulting in death or injury to any persons or damages to the property of Principal or any third Party then in such an event the Bidder will have to pay compensation to any such person including the employees of Principal for such injury / for damage to persons property of such persons. The Bidder shall in such and event keep Principal indemnified from any demand, claims or proceedings made.

10) DEFAULT IN LIFTING: This will be governed by the relevant clause of BSTC. However, it will be the sole discretion of the Principal to extend the lifting period with or without ground rent after the expiry of the stipulated free lifting time depending on the merit of the case. In the event of the PRINCIPAL not allowing any extension of lifting time, the sale of materials will be automatically cancelled and all the monies paid by the Bidder / Buyer will be automatically forfeited. If the lifting time is extended by the PRINCIPAL, the ground rent will be same as applicable for delay in making the due payments.

11.1) WHILE CHOOSING THE OPTION OF APPLICABILITY OF CST(WITH/WITHOUT 'C' FORM) OR VAT IN THE BID SHEET, BIDDER MUST EXERCISE ADEQUATE CARE AS FOR ANY SUBSEQUENT MODIFICATION IN THIS REGARD MSTC HAS TO BE APPROACHED BY THE BIDDER & SECL WILL NOT BE RESPONSIBLE FOR ANY CONSEQUENT DELAY IN THE ISSUE OF SALE RELEASE ORDER OR AMENDMENT THERETO.

11.2) IF THE BIDDER WANTS CST BE CHARGED, THEN THIS FACT HAS TO BE DISCLOSED IN ADVANCE. IN ABSENCE OF ANY DISCLOSURE IN ADVANCE BY THE BIDDER REGARDING CST OR C FORM , THEN LOCAL TAX (VAT) SHALL BE APPLICABLE IN SUCH CASES.

12) PERIOD OF CONTRACT: Up to the validity period of the Delivery Order / Release Order issued by MSTC / PRINCIPAL.

13) All Kinds of legal proceedings in any matter arising out of the contract shall be tried only by appropriate Civil Court at DELHI. Successful Buyers shall have to pay TCS @ 1% (including Surcharge) on the Total Sale Value + ED (if any) + ST on all ~SCRAP~ Items purchased for trading as per Section 206 C of IT Act 1961. Parties eligible for Tax Exemption or Lower Rate of Tax should produce prescribed certificate from Income Tax Assessing Officer at the time of payment (Notorised photocopy to be given along with original, the latter will be returned after verification). Parties are also required to submit their PAN No. at the time of making payment. 14) After the submission of bid(s) by the Buyer, a presumption would be drawn that the buyer has inspected the material and has satisfied himself about the nature, quantity ,quality, other technical specifications, taxes-duties,TCS and legalities prior to the e-auction. No complaint, whatsoever, on the points referred above, would be entertained after the submission of the bid.

15) The Sale will be governed by the Material List & Special Terms & Conditions (STC) displayed on the Live eAuction Floor (and not under Forthcoming Auctions) as well as the General Terms & Conditions (GTC) and Buyer Specific Terms & Conditions ( BSTC ) already accepted by the Bidder at the time of eAuction Registration with MSTC. The Material List & STC displayed under View Forthcoming Auctions on MSTC's eAuction Website are tentative and subject to change at MSTC's sole discretion before the start of eAuction. Bidders should therefore download the Material List and STC displayed only under View Live Auctions for their record purpose, if required. The BSTC and GTC can be seen and downloaded by going to the Home Page of the eAuction Website and clicking on NEW USER. Participation in the eAuction will be deemed to imply that the Bidder has made himself thoroughly aware of and accepted the STC, BSTC and GTC. In case of any conflict between the STC and BSTC , the STC shall prevail. MSTC shall have the right to issue addendum to the STC or BSTC, to clarify, amend, modify, supplement or delete any of the conditions, clauses or items stated therein and the Addendum so issued shall form a part of the original STC.

16) The Principal/Owner of the materials reserves the right to withdraw at any stage the sale of any item or quantity of material either by number or by weight or any other specific unit etc, even after issue of Sale Order/Delivery Order. The Principal/Owner will not be bound to assign any reason or details thereof. Value of the materials so withdrawn, if any, and paid by the buyer will be refunded. The Principal will however, not be responsible for any damage, loss, direct or consequential compensation whatsoever to the buyer nor for payment of any interest.
