Prepare to succeed as part of a corporate board—and contribute to its diversity. In this program designed for senior executives who identify as underrepresented minorities, you will learn how to assess board opportunities, maximize your effectiveness as a new director, and integrate board service into your career plans. • Understand the roles and responsibilities of corporate directors—

and the challenges and opportunities encountered by underrepresented minority board members

• Develop the knowledge needed to carry out board tasks and engage in collaborative decision-making

• Add value to an organization as you oversee its leadership and strategic direction • Balance shareholder demands with those of other stakeholders in driving

long-term performance

• Become “C-Suite ready” by using board service as an executive development tool • Position yourself as an attractive board candidate

• Determine the ideal time to join a board and identify the opportunity where you can make your greatest contribution

• Manage your personal reputation as a board director

WHAT YOU WILL LEARN

Through faculty presentations and case studies, you will explore board issues relevant to any industry. Additional materials, workshops, panels, guest speakers, and group discussions provide insight on the board experience for new minority directors. Topics include:

• Understanding corporate governance, including the board’s fiduciary and legal duties and responsibilities of board committees

• Recognizing how the roles of corporate executive and board director differ • Sharing authority and working productively with peers who have similar

levels of professional accomplishment • Navigate group dynamics on a corporate board • Overseeing corporate strategy

• Managing CEO selection, succession, and compensation

• Guiding mergers and acquisitions and other corporate control events • Monitoring financial reporting and risk management functions • Evaluating board invitations and other prospective opportunities

After the program ends, you will be able to draw on Korn Ferry resources that can help you research and pursue corporate board opportunities.

WHO SHOULD ATTEND

U.S. and Canada-based senior executives who are interested in serving on a corporate board; board-facing C-level executives; partners from audit, consulting, or investment firms; or nonprofit directors aspiring to serve as corporate directors. While the program is designed for executives who self-identify as an

underrepresented person of color, and will be most beneficial to those who identify as such, the program is open to all executives who otherwise fulfill the admissions criteria.
