NATURAL GAS PROVIDER

TO THE CITY OF DEARBORN, MICHIGAN

Sealed bids will be received by the City of Dearborn, at the Office of the Purchasing Agent, 2951 Greenfield, Dearborn, Michigan 48120-1318, up to and including Wednesday, April 16, 2003 at 2:00 p.m. (Eastern Time Zone).

Sealed bids will be publicly opened and read aloud at 2:15 p.m. (Eastern Time Zone) of the same day in the City Council Chambers, First Level, Dearborn City Hall, 13615 Michigan Avenue, Dearborn, Michigan. Individuals with disabilities who require special accommodations, auxiliary aids or services to attend or participate in this bid opening should contact (313) 943-2375. Reasonable advance notice is required.

Specifications, Form of Proposal and Instructions to Bidders are now on file and available in the Office of the Purchasing Agent.

Only firm sealed bids which are in strict conformance with the specifications will be considered.

The City reserves the right to reject any or all bids.

Credit Terms:

Terms: 2 percent discount if paid within 10 days, net 30 days. Credit period to run from receipt of goods and invoice in proper form. Cash discount for prompt payment WILL NOT be taken into account in determining the low bidder. Any exceptions to this must be listed below by the bidder.

DEPARTMENT OF PUBLIC WORKS REQUEST FOR BID - NATURAL GAS Rate 1 DTE Energy Natural Gas Accounts Rate ST-1 DTE Energy Natural Gas Accounts

The City of Dearborn is soliciting bids from natural gas suppliers to provide gas for approximately 57 Rate 1 natural gas accounts with a total annual gas consumption of approximately 550,000 CCF/yr and its ST-1 transportation natural gas accounts with a total annual gas consumption of approximately 465,000 CCF/yr. A list of accounts is attached. DTE Energy is currently provided the supply and distribution for these accounts. The new supply contract is expected to begin May 1, 2003.

BID DUE DATE: Bids are due by 2:00 p.m., Wednesday, April 16, 2002.

ADDITIONAL REQUIRED INFORMATION: Bids must include the following information to be considered complete:

• Name and complete business address of the bidder.

• Brief description of the bidders organization, including a copy of the latest available annual or financial report.

• Brief description of the source of the gas and mechanism of transportation to the delivery points.

• Provide a description of the means of assuring reliability of gas supplies to the City’s premises.

• Provide at least three references of clients served with similar consumption volumes, including complete and current contact information for each reference. • City of Dearborn requires this to be a turnkey operation

• The awarded bidder will be responsible for reading all gas metering devices either by the awarded bidder or the firm’s designated representative.

• Sample contract form.

INTERRUPTIONS OF GAS SERVICE: The City of Dearborn reserves the right to obtain and use replacement gas from any source, or any other fuel for any and all service which cannot be scheduled, or is threatened to be interrupted or curtailed for any reason, or for which the City receives notification is, or may be, interrupted. The City shall not be liable to the Seller for any such replacement natural gas or alternate use, or for any alternative fuel used even though the interruption or threatened interruption may have been cancelled, withdrawn, or otherwise not in fact occur.

Insurance:

The successful bidder will be required to furnish insurance as specified. The Insurance Carrier must be licensed to do business in the State of Michigan. Insurance must be provided on a comprehensive form to include the following:

1. General Liability (GL) Insurance Occurrence Form with a limit of $1,000,000 per occurrence and $2,000,000 aggregate. The following endorsements must be included:

a. products/completed operations b. contractual liability

to General Liability.

e. Explosion, Collapse and Underground Hazards.

2. Workers Compensation Insurance as required by the State of Michigan law. a. Michigan statutory coverage

Certificates of insurance will be required for all of the above coverages. Award of Contract:

Low Responsible.

This contract will be awarded to the low responsible and responsive (meeting specifications) bid.

Right to Request Additional Information:

The City reserves the right to request any additional information it deems necessary from firms responding to this request for bids after bids have been received.

Qualifications of Bidders:

The bidder may be required before the award of any contract to show to the complete satisfaction of the City of Dearborn that it has the necessary facilities, ability, and financial resources to provide the service specified therein in a satisfactory manner. The bidder may also be required to give a past history and references in order to satisfy the City of Dearborn in regard to the bidder's qualifications. The City of Dearborn may make reasonable investigations deemed necessary and proper to determine the ability of the bidder to perform the work, and the bidder shall furnish to the City of Dearborn all information for this purpose that may be requested. The City of Dearborn reserves the right to reject any bid if the evidence submitted by, or investigation of, the bidder fails to satisfy the City of Dearborn that the bidder is properly qualified to carry out the obligations of the contract and to complete the work described therein. Evaluation of the bidder's qualifications shall include:

1. The ability, capacity, skill, and financial resources to perform the work or provide the service required.

2. The ability of the bidder to perform the work or provide the service promptly or within the time specified, without delay or interference.

3. The character, integrity, reputation, judgment, experience, and efficiency of the bidder.

GENERAL TERMS AND CONDITIONS

Bidders are not permitted to take advantage of any errors or omissions in the specifications since full instructions will be given should they be called to the attention of the Purchasing Division not less than five working days before bids are due.

Legal Conditions:

The Contractor agrees to abide by all State, County and Local Laws and Regulations. Non-Funding Clause:

If the City should not allocate funds for the purpose of continuing this service for any fiscal period succeeding the one in which this agreement takes effect, the City shall have the option to terminate this agreement. In the event of such termination, the City shall give thirty (30) days prior written notice.

Terms of Payment:

Payment will be made after inspection and approval of work by the Director of Public Works. Accurate invoices must be submitted prior to payment.

Hold Harmless:

To the fullest extent permitted by law, the Contractor/Vendor shall indemnify, defend, and hold harmless the City of Dearborn, its officers, agents, employees, elected, and appointed officials, and volunteers from and against any and all claims, losses or liability, including attorney’s fees, arising from injury or death to persons or damage to property occasioned by any act, omission, or failure of the Contractor/Vendor and any of its officers, agents, employees, and volunteers in satisfying the terms required by this contract.

General Terms and Conditions Page 2 Informalities and Irregularities:

The City of Dearborn has the right to waive minor defects or variations of a bid from the exact requirements of the specifications that do not affect the price, quality, quantity, delivery, or performance time of the services being procured. If insufficient information is submitted by a bidder for the City of Dearborn to properly evaluate the bid, the City of Dearborn has the right to require such additional information as it may deem necessary after the time set for receipt of bids, provided that the information requested does not change the price, quality, quantity, delivery, or performance time of the services being procured.

(Information requested may include, for example, a copy of business or professional licenses or a work schedule.)

Nonconforming terms and conditions:

A bid/proposal response that includes terms and conditions that do not conform to the terms and conditions in the bid document may be subject to rejection as nonresponsive. The City of Dearborn reserves the right to permit the bidder to withdraw nonconforming terms and conditions from its bid/proposal response prior to award of a contract and/or issuance of a purchase order.

All terms and conditions of this bid/proposal specification will be made a part of any resulting contract. Any additional terms and conditions proposed by your firm must be included in your bid/proposal response. Additional terms may be considered non responsive and subject the bid document to rejection.

Assignment of Contract:

Contractor shall not assign the contract or any part thereof to any person, firm, corporation or company unless such assignment is approved in writing by the Purchasing Agent. The contract shall not be assignable unless the proposed assignee is acceptable to the City. Such acceptance shall be at the sole discretion of the City upon request of the contractor. If such assignment is acceptable to the City, any and all independent contractors and subcontractors shall abide by all terms and conditions set forth in the original bid specification insurance requirements.

No Reimbursement for Bid Costs:

The City will not pay for any information solicited or obtained. Further, the City will not be liable for any costs incurred in bid preparation, presentation or contract negotiation. Failure To Comply:

General Terms and Conditions Page 3 Execution of Contract:

When the contract has been signed by the awarded vendor, the Corporation Counsel and the Mayor, the contract is then considered a fully executed contract. Upon receiving an executed contract, the contractor may then provide the product or service. Prior to receiving a fully executed contract, work is not authorized to commence.

Issuance of Purchase Orders\Blanket:

No purchase under this contract is authorized except by issuance of purchase orders and receipt of a fully executed copy of the contract from the City of Dearborn. Normally, this will be done by issuance of periodic blanket purchase orders covering the estimated quantity for the related time period. The contractor shall reference such purchase orders on his/her invoices for all purchases so authorized.

Termination for Convenience:

The performance of work under the contract may be terminated by the City of Dearborn in whole or in part whenever the City of Dearborn determines that termination is in the City of Dearborn's best interest. Any such termination shall be effected by the delivery to the contractor of a written notice of termination at least fifteen (15) days before the date of termination, specifying the extent to which performance of the work under the contract is terminated and the date upon which such termination becomes effective. After receipt of a notice of termination, except as otherwise directed, the contractor shall stop work on the date of receipt of the notice of termination or other date specified in the notice; place no further orders or subcontracts for materials, services, or facilities except as necessary for completion of such portion of the work not terminated; terminate all vendors and subcontracts; and settle all outstanding liabilities and claims.
