This Veeam Cloud Provider Licensing Options document, along with the Veeam EULA and VEEAM VCP Program Guide documents is an agreement between the Cloud Provider and Veeam. By Joining the VCP Program, Purchasing and/or Renting Veeam product(s) the Cloud Provider agrees to abide by the terms and restrictions in these documents.

CONTACTING VEEAM

This guide covers the majority of VCP licensing scenarios. If you have a question or a scenario that is not addressed here, please contact your regional Veeam Cloud Provider team (hosting.emea@veeam.com) for assistance.

DEFINITIONS

VCP is the companies (including Service Providers/Hosting Providers) registered and participating in Veeam Cloud Provider Program.

Cloud Providers are companies whose primary business function is to provide multi-tenant hosted services to independent companies (other legal entities under different ownership). Hosted Services include: Software as a Service (SaaS), Platform as a Service (PaaS), Infrastructure as a Service (IaaS) and other Managed Services.

Outsourcers do NOT qualify for the Veeam Cloud Provider Program. They generally provide single-tenant custom services and have the unique requirement of needing to transfer both software title and support rights over to their client at the end of their contract. That is outside the scope of this program, its benefits and license agreement. Please send an email to

hosting.emea@veeam.com to learn more about acquiring the appropriate licensing and EULA contract modifications. NOTE: Veeam’s standard commercial SKUs CANNOT be used in Outsourced environments.

VCP Aggregator is a reseller which resells hosting perpetual, monthly per usage model or volume agreement model, collects report from VCPs. “Aggregator” is composed by Rental Distributor or Sub Aggregator.

Administrative Access is an extension of rights to use from the licensee to their contractor (outsourcer, etc.). Authorized for Support refers to organizations and individuals recognized by Veeam support as eligible to receive technical assistance on the designated product(s) licensed.

Outsourcing EULA Modification is a rider to standard license agreement that must be attached at time of license purchase. This rider gives the outsourcer rights to a one-time transfer of product usage and support rights. Veeam, Outsourcer and transferee (Outsourcer client, Veeam’s new end user) must all execute a Rights Transfer document at end of term/time of transfer. Additionally transfer is required to purchase their own new, separate support agreement with Veeam.

Usage Rights refers to when the Cloud Provider is considered the Veeam End User and has usage rights for the licensed products. These rights are NOT transferrable (See EULA for details) with VCP licenses.

transferred but remained attached to the usage rights. In practice this means that the cloud provider must support their end users and the cloud provider is the only party that calls Veeam for support.

UNITS

To meet the needs of a particular market segment, Veeam may offer product licensing that differs from enforcement or usage mechanisms. For example, Veeam Availability Suite is offered by the VM – even though usage is controlled by the CPU socket – to allow VCP partners to only pay for the backup being delivered to their clients.

Example: A VCP partner has a 5-server, 10-socket hosting environment with 100 VMs. Several of its clients use its backup services, totaling 40 VMs. The VCP partner licenses 40 VMs of Veeam Availability Suite™. The VCP partner can request a license key sufficient to run the licensed Veeam product across its entire 10-socket environment. If/when the VCP partner sells backup for more VMs, it must procure additional licenses sufficient to cover the total number of customer VMs protected by Veeam. The burden is with the VCP partner to ensure that its usage does not exceed the number of units licensed (and acquire additional licenses as needed), even if Veeam does not have mechanisms in place to enforce that unit of licensing. Veeam may, at its discretion, offer tools that track usage and require the VCP partner to provide reports or screenshots from those tools.

A VCP partner may offer its clients a service based on units other than VM or socket (for example, by GB or TB). However, the partner must still track its usage of Veeam products in the units licensed by Veeam.

ELIGIBILITY

VCP perpetual and rental licenses may be purchased by VCP partners. VCP perpetual licenses may also be purchased by outsourcers (see VCP Perpetual Licenses, Outsourcers later in this document).

PRODUCT EDITIONS

Veeam Availability Suite and Veeam Backup & Replication are available in several different editions. Commercial users are not allowed to mix editions; they must use the same edition at any given physical location. VCP partners, however, are not subject to this restriction. A VCP partner can use any mix of Standard, Enterprise and Enterprise Plus editions to meet the needs of its different clients.

Note: If you want to manage several Veeam backup servers through Veeam Enterprise Manager, they must all be running the same edition. (This is a technical requirement, not a restriction on license usage.)

HYPERVISOR SWAPS

Veeam licenses its products by hypervisor (VMware vSphere or Microsoft Hyper-V). However, Veeam allows customers and VCP partners that are current on support to swap licenses between hypervisors at no charge. For VCP licenses that are sold in packs of 10 VMs, any license swap must also be in packs of 10 VMs. For example, if a VCP partner purchases a license for 10 VMs of Veeam Availability Suite for Hyper-V, it’s not possible to swap 5 VMs of Hyper-V for 5 VMs of vSphere.

Veeam Cloud Provider Licensing Guide

LICENSE CONTENT

VCP licenses include:

• Premium Support*

• Rights to use the licensed product on the specified number of VMs or sockets, regardless of whether the host machine(s) are owned by the VCP partner or housed in the partner’s environment

• Rights to use the licensed product to manage and process third-party client data as per section 2.1, paragraph 2 of the Veeam EULA

Free Veeam products included in the VCP program also associate with section 2.1, paragraph 2 of the Veeam EULA for VCP partners that are members in good standing in the VCP program.

*VCP partners must maintain Premium Support on all VCP licenses in use. VCP rental licenses include Premium Support; no separate support agreement is needed. VCP perpetual licenses include 1 year of Premium Support; support in subsequent years can be purchased up-front or renewed annually. The requirement for Premium Support does not apply to free Veeam products (nor is Premium Support even available for free products).

PERPETUAL LICENSING (CAPITAL EXPENSE)

LICENSING UNIT

VEEAM BACKUP & REPLICATION

The VCP places their first order for Veeam Backup & Replication VCP edition and they receive Veeam Backup & Replication, Veeam One and Veeam Backup Management Suite licensed per 10 VMs. The minimum order is one SKU for 10 VMs. All other products are licensed by socket.

INITIAL ORDER

When a Cloud a license key to set up the product on up to 16 sockets. This should allow the VCP flexibility to migrate the 10VMs licensed across the environment to meet SLA/uptime/etc. requirements.

SUBSEQUENT ORDERS

If the VCP orders additional VMs of backup they will NOT automatically receive a new license key expanding the socket count.

EXPAND ENVIRONMENT

When the VCP needs to expand their backup environment beyond the originally provisioned 16 VCP sockets they must contact hosting.emea@veeam.com and request additional keys. The CONTACTS tab on Veeam ProPartner Portal lists the contact information for the VCP’s regional Veeam Sales Team.

Before delivering additional keys, Veeam may ask you to run the Veeam VM Reporting Tool first.

VERSIONS

Veeam Backup & Replication is available in Standard, Enterprise or Enterprise Plus edition.

These products are mutually exclusive – mixing Standard and Enterprise editions in the same environment is not allowed (restricted/controlled by Enterprise Manager).

SKU CONTENT

SKUs contain the ordered Veeam product, 1 Year of Premium Maintenance, and rights to use the product in a hosted environment. See EULA, http://www.veeam.com/eula.html, “Grant of License” section.

HOW TO BUY

Veeam Perpetual License SKUs, Cloud Provider Editions are available thru VCP’s Aggregators. Veeam ProPartner Portal, Workplace tab contains a locator to help Cloud Providers locate a VCP Aggregator in their area.

RENTAL LICENSING OPTIONS

PER-USAGE, MONTHLY

Veeam offers a per usage, monthly rental of product(s) with no volume or time commitments to Veeam. Aggregators (rental resellers) may set their own minimum fees or relationship duration.

Veeam is adding VCP’s Aggregators to the program. Check the Veeam Partner portal, “Request Quote,” “Select Aggregator” to determine if a rental in available in your geography.

VOLUME AGREEMENTS

Veeam offers [annual] Volume rental agreements with both a Volume and Time commitment. Higher volume agreements carry more discounted pricing. Contact your Veeam Aggregator for more information. Veeam is adding Aggregators to the program – check the Veeam Partner Portal, “Request Quote,” “Select Aggregator,” to determine if a rental in available in your geography.

QUALIFICATIONS

Rental through the Aggregators is available to Platinum, Gold, and Silver Veeam Cloud Providers. Refer to the Cloud Provider Program Guide posted on the Veeam Partner Portal to see the current requirements and criteria for Platinum, Gold and Silver tiers.

LICENSING UNIT

Veeam Backup &Replication, Veeam One and Veeam Availability Suite are licensed per VM. All other products are licensed by socket.

SKU CONTENT

SKUs contain the ordered Veeam product, Premium Maintenance and the rights to use the product in a hosted environment. See EULA, http://www.veeam.com/eula.html, “Grant of License” section.

PROCESS

Join the Veeam VCP Program and attain Gold, Platinum and Silver status.

License Key acquisition: Contact your Aggregator and request being provisioned with SKU’s for appropriate products. Usage Reporting: Report monthly usage to your Aggregator within the specified timeframe.

PRICING

Price set by Aggregator. Veeam will consider price increases only at the beginning of each calendar year (Jan. 1), even if the price increase does not take effect until later in the calendar year.

REPORTING

Veeam strongly recommends the Aggregator set reporting and payment requirements at least as restrictive as outlined below. Cloud Provider Usage Reporting to the Aggregator must be completed by 15th of the month for the previous month. Cloud Providers must report the full month of product usage, not an [initial] partial month. However, after the initial month, partial month usage of 15 days or more shall be considered a full month of usage and must be reported as such in the next report due. Reporting methods are at the discretion of the Aggregator: Spreadsheet, portal, edi, etc. The Veeam VM Reporting tool is available to generate a report on a number of unique virtual machines that were backed up by the product. To get the tool, contact your Aggregator, Veeam (hosting.emea@veeam.com) or download it on the Veeam ProPartner portal.

PAYMENTS

Veeam strongly recommends the Aggregator give the Cloud Provider no more than 45 days from the end of the reporting period (30 days from the report submission) to remit payment to the Aggregator. The Aggregator is responsible for all Invoicing to the Cloud Provider and can set own payment terms.

HOW TO BUY

Refer to the Veeam ProPartner portal to find the latest list of Aggregators and countries where rental is offered.

NON-COMPLIANCE

Aggregators are responsible for all Notification, Warning, and Cancellation communications with Cloud Providers. Timing and type of message sent is outlined below. Failure to the Aggregator to send the communications does NOT relieve the Cloud Provider of their obligations or the enforcement of penalties for failure to meet those obligations.

“Cancellation for Non-compliance” Can re-apply with Aggregator after 12 months. VCPs that receive one (1) Level 3 Cancellation —

Cancellation of rental privileges for 12 months.

Support/subscription are immediately cancelled and the Cloud Provider must discontinue use of any/all Veeam Products rented.

NOTE: Cloud Provider can still purchase Perpetual Licenses assuming no other non-compliance issues and after account is brought current.

INTERNAL USE LICENSES

Veeam Platinum and Gold Cloud Providers partners are entitled to purchase discounted internal* partner usage licenses.

Contact your Veeam Regional Sales Team for assistance purchasing these Licenses.

*Internal refers to use by a partner’s own internal IT department, and is not to be used for hosting or outsourcing services.

LICENSE COMPLIANCE (CONVERT COMMERCIAL TO

CLOUD PROVIDER)

Veeam recognizes that some of our partners have had urgent need to deploy Veeam products in their hosting environment prior to the creation of Veeam Cloud Provider Program. The use of these licenses in a hosting

environment is not technically compliant with Veeam’s End User License Agreement (EULA). With no penalty, Veeam will help you convert those commercial licenses to Cloud Provider licenses so they associate with the appropriate usage rights and bring your firm into legal compliance. Send an email to hosting.emea@veeam.com for instructions.

LICENSE CONVERSION

PERPETUAL TO VOLUME RENTAL AGREEMENT

Perpetual Licenses* cannot be converted into Rental Licenses. However a Cloud Provider may choose to purchase some number of Perpetual VCP Licenses and then use a Volume Rental Agreement to make cost effective ongoing operational expenditures on Veeam product(s).

*If a Cloud Provider is using commercial licenses for their hosted environment these must be converted before entering into a Volume Purchase Agreement.

PERPETUAL TO PER USAGE RENTAL

Perpetual Licenses cannot be converted into Rental Licenses. However a Cloud Provider may choose to purchase Perpetual VCP Licenses for the predictable (long term contracts) component of their business and then use Rental to address the variable part of their revenue stream.

RENTAL TO VOLUME RENTAL AGREEMENT

Rental of Veeam product(s) through Aggregators is either month to month or an annual commitment. Cloud Provider may negotiate out of an [annual] rental agreement and enter into a Volume Rental Agreement, begin reporting/ paying for usage based on the volume agreement terms, and stop reporting on the monthly or annual rentals.

RENTAL TO PERPETUAL

Rental of Veeam product(s) through Aggregators is either month to month or an annual commitment. At the end of the rental term (monthly or end of agreement) the Cloud Provider may choose to stop renting and instead

purchase Cloud Provider perpetually licensed product(s). Rental does not carry any residual value; there is no credit for previously paid monthly licensing fees.

LICENSE TRANSFER

Veeam Cloud Provider licenses, both Perpetual and Rental, CANNOT have the usage rights transferred to another legal entity. All rights remain with the Cloud Provider. If there is a need to transfer usage rights to YOUR client at some point in the future then refer to the Perpetual Licensing Scenarios graphic for guidance on obtaining an outsourcing EULA modification.

SPECIAL USE CASES

REMOTE USE OF VEEAM BACKUP AND REPLICATION

(STANDARD, ENTERPRISE OR ENTERPRISE

PLUS

)

Veeam Backup and Replication with Cloud Provider licensing can be used to service remote clients. VCPs can use their VCP licenses for remote replication or offsite backup/move to CP site. These are still licensed by the VM. There is a limitation – the Cloud Provider’s customer cannot use the VCP licensed Veeam B&R for their own purposes (local backups, sandbox, file extraction, etc.); the VCP license can only be used for DR to the Cloud Provider’s site. If the customer wants to do more they will need to acquire their own Veeam Commercial (socket based) license. Contact your regional team or email hosting.emea@veeam.com for configuration details and limitations.

PRIVATE CLOUD USE OF VEEAM BACKUP & REPLICATION

Some Cloud Providers are offering their clients a service based on the underlying hardware, not the number of virtualized machines. In these offerings the Cloud Provider may have no visibility into the number of VMs being backed up/replicated. Contact your regional team or email hosting.emea@veeam.com for guidance on licensing in these environments.

All Veeam Product SKUs VCP edition associate with section 2.0 of the Veeam EULA (available on the Veeam website) and grant the Cloud Provider purchaser rights to use the product(s) in a hosted environment.
