At Eastern Bank, we’re pleased to be joining forces with an organization like Wainwright Bank & Trust Company, which has set such a high standard for socially responsible banking in Massachusetts. This is a commitment we share, and a tradition we’re serious about preserving.

To be sure, you’ll gain a larger branch and ATM network when your current accounts become Eastern Bank accounts on March 19, 2011 – along with major new banking conveniences and service enhancements too, as you’ll see in these pages. But what’s just as important are the things that won’t change, like personal service and strong community involvement.

Branches: All former Wainwright Bank branches will remain open with the same banking professionals you’ve come to rely on. In addition, you can begin using any Eastern Bank branch in our combined network of 92 branches beginning

Saturday, March 19. As an added bonus, you can use all Eastern Bank ATMs surcharge-free beginning immediately. See page 20 for a consolidated listing of branches.

Account Numbers and Transactions: Deposit account numbers will not change and you can continue to use your current checks. Any direct deposits or transfers will continue without

interruption. Some loan account numbers will be changing; please refer to your account listing provided with the enclosed letter.

Statements: You will receive interim deposit and revolving line of credit statements from Wainwright Bank with activity detail through March 18. Moving forward, your monthly deposit account statements, revolving loan statements, and installment loan bills will arrive at the same time of month as they do today. In addition, your Eastern Bank deposit statement will show 10 check images per page.

Key Dates and Facts

At the close of business on Friday, March 18, 2011, your current deposit and loan accounts at Wainwright Bank will become corresponding Eastern Bank accounts. On the following pages you’ll learn details about your new accounts, as well as some important new opportunities that can make your banking easier and more rewarding.

Eastern Bank Debit Gold MasterCard®: Current Wainwright

Bank debit cardholders will receive a new Eastern Bank Debit Gold MasterCard prior to March 18. This card will replace your current Wainwright Bank Visa® debit card, but your current PIN will still work with your new card. You will also gain new, higher withdrawal and purchase limits for added convenience.

ATM Cards: ATM cardholders will receive an Eastern Bank ATM card prior to March 18. You may continue to use your current PIN.

Online Banking: Beginning

Monday, March 21, you will be able to access your accounts through our online banking system, Eastern HomeConnect®. Simply go to www.easternbank.com and enter your existing user name and password. At your first login, you will be prompted to change your password and establish new security questions and answers. Your online account history at Wainwright Bank will not be transferred, so be sure to print or download copies of any important records prior to March 18. See page 14 for additional details. Savings, Money Market

Accounts and CDs

Most of us tend to save more when the saving is easy. So Eastern Bank simplifies savings choices with attractive rates, a wide range of terms, and the security of FDIC insurance, up to the current standard deposit insurance amount. We also offer convenient 24-hour access from your computer or mobile phone (see pages 14 and 17), so you can easily keep track of your accounts.

Important information for retirement plan customers

You will have a new Eastern Bank retirement plan account number, which is your Social Security Number plus a two-character alpha-numeric suffix that indicates the type of retirement plan. Beginning in 2011, your retirement plan statement will be mailed to you each June 30 and December 31. In addition, your new Eastern Bank retirement plan is subject to a $10 annual retirement plan fee assessed in November of each year. This fee is waived for Select and Premier Checking customers. There will also be a $50 plan liquidation fee, except for Premier Checking customers.

Loans, Lines of Credit and Mortgages

For most credit relationships, including consumer loans, lines of credit and mortgages, you will see no change in your current rate, payment due date or payment amount. Any automatic loan payments will continue without interruption. You will also be able to make your loan payments at any Eastern Bank office or by mail beginning March 19.

There will be a slight change to your account number, which will now be followed by a note number.

Here are a few items of importance for specific accounts:

! If you have a Safe Checking (Demand Deposit Loan) account, your deposit account will now be covered by an Eastern Bank Cash Reserve Line of Credit and your account number will change. You should have received important information about that change in a previous mailing.

! If you have a line of credit, you will now receive a monthly billing statement only when your account has activity or a balance.

! If you have a mortgage for which we escrow and pay your property taxes, you won’t need to send your real estate tax bill to the bank any more; we will take care of that for you.

! If you have a Wainwright Bank Credit Card, you can continue to use your card. Be sure to watch your mail for additional information.

! A 1098 form will be sent if you paid $600 or more in interest on your mortgage, equity line or equity loan account. Eastern Bank will send tax forms representing activity on your loan account(s) from January 1, 2011 through December 31, 2011.

Accessing Your Accounts

Prior to March 18, all Wainwright Bank debit cardholders will automatically be upgraded to a new Eastern Bank Debit Gold MasterCard that features higher withdrawal and purchase limits. What’s more, your new card features a wide range of special enhancements*, including:

! MasterCard Zero Liability program to protect against fraudulent charges

! MasterAssist® Travel Assistance and Master RoadAssist®

! Extended Warranty on purchases, Purchase Assurance and Satisfaction Guarantee

Your debit card can be used to make purchases anywhere MasterCard is accepted; and your card will also give you access to your cash at ATMs worldwide.

Personalize your Eastern Bank Debit Gold MasterCard with Pix It! by adding a fun photo of your kids, pets, favorite places, or just a little moment you love to remember.

Pix It! will be available soon at www.easternbank.com. So watch for your opportunity to make your debit card your own, with Pix It! – ONLY at Eastern Bank.

Important note: If you have recurring payments processed through your Wainwright Bank Visa® debit card, be sure to provide payees with your new debit card information to ensure a smooth transition.

You can begin using online banking and bill payment at Eastern Bank on Monday, March 21. Simply log into your new Eastern Bank HomeConnect® account at www.easternbank.com, using your current username and password. At your first login, you will be prompted to change your password and establish new security questions and answers.

Wainwright Bank online banking will be available through Friday, March 18, but access to Wainwright Bank online bill payments will end on Thursday, March 17. All pending payments will be sent as scheduled. You’ll notice that many features will be transferred into HomeConnect from your Wainwright Bank online banking, including your scheduled and recurring bill payments, payees and payee nicknames. E-bills will still be available to you, but you will need to re-establish your e-bills through Eastern HomeConnect. Additionally, once your accounts are converted, you will begin to accrue up to 13 months of account history.

Here are a few other items you need to know:

! For information regarding bill payment timelines, please see our welcome site at

! You can send us a message via our message center within HomeConnect and feel confident your information is safe and secure.

! Please note your online account history at Wainwright Bank will not be transferred, so be sure to print or download copies of any important records prior to March 18.

! We will make every attempt to re-establish your recurring transfers within HomeConnect. However, if we are unable to do so, we will contact you directly.

Here’s a great new opportunity to save hundreds of trees and megawatts of energy each year: Let’s do away with paper deposit statements and access them online instead! Any time after March 21, you can do your part by clicking on the “Statements” link within HomeConnect online banking and following the easy steps to enroll. You’ll be able to start viewing electronic versions of your new Eastern Bank statements the instant they’re posted – usually three or four days earlier than you receive them by mail. Each month’s statement is stored electronically, so over time you’ll have 13 months of statements available to you online. You can never lose them, and you’ll save paper by printing only the ones you need. Somewhere, a tree will thank you.
