VENDOR CONTRACT

Between and

THE COOPERATIVE PURCHASING NETWORK (TCPN) For

Cooperative Job Order Contracting Services

The following pages will constitute the contract between the successful vendor(s) and The Cooperative Purchasing Network (hereinafter referred to as “TCPN”), having its principal place of business at 7145 West Tidwell, Houston, TX 77092. Respondent shall include in writing any required exceptions or deviations from these terms, conditions, and specifications. If agreed to by TCPN, they will be incorporated into the final contract

This contract consists of the provisions set forth below, including provisions of all attachments referenced herein. In the event of a conflict between the provisions set forth below and those contained in any attachment, the provisions set forth below shall control.

GENERAL TERMS AND CONDITIONS

x Customer Support

The vendor shall provide timely and accurate technical advice and sales support to TCPN staff and TCPN participants. The vendor shall respond to such requests within one (1) working day after receipt of the request.

x Assignment of Contract

No assignment of contract may be made without the prior written approval of TCPN. Purchase orders and payment can only made to awarded vendor unless otherwise approved by TCPN.

Awarded vendor is required to notify TCPN when any material change in operations is made that may adversely affect TCPN’s members, (i.e. bankruptcy, change of ownership, merger, etc.)

x Disclosures

Respondent affirms that he/she has not given, offered to give, nor intends to give at any time hereafter any economic opportunity, future employment, gift, loan, gratuity, special discount, trip, favor or service to a public servant in connection with this contract.

Include a complete description of any and all relationships that might be considered a conflict of interest in doing business with participants in TCPN.

The respondent affirms that, to the best of his/her knowledge, the offer has been arrived at independently, and is submitted without collusion with anyone to obtain information or gain any favoritism that would in any way limit competition or give an unfair advantage over other vendors in the award of this contract.

x Renewal of Contract

Unless otherwise stated, all contracts are for a period of one (1) year with an option to renew annually for an additional Six (6) yearsif agreed to by TCPN and the vendor. TCPN shall review the contract prior to the renewal date and notify the current awarded vendor each year of the contract renewal. Awarded vendor shall honor the administrative fee for any sales occurred beyond 30 days on any sales made based on a TCPN contract whether awarded a renewal or not.

x Funding Out Clause

Any/all contracts exceeding one (1) year shall include a standard “funding out” clause. A contract for the acquisition, including lease, of real or personal property is a commitment of the entity’s current revenue only, provided the contract contains either or both of the following provisions:

Retains to the entity the continuing right to terminate the contract at the expiration of each budget period during the term of the contract and is conditioned on a best efforts attempt by the entity to obtain appropriate funds for payment of the contract.

x Ordering Procedures

Purchase orders are issued by participating entities to the awarded vendor stating “Per TCPN Contract”.

x Shipments (if applicable)

The awarded vendor shall ship ordered products within seven (7) working days for goods available and within four (4) to six (6) weeks for specialty items after the receipt of the order unless modified. If a product cannot be shipped within that time, the awarded vendor shall notify the entity placing the order as to why the product has not shipped and shall provide an estimated shipping date. At this point the participating entity may cancel the order if estimated shipping time is not acceptable.

x Invoices

The awarded vendor shall submit invoices to the participating entity clearly stating “Per TCPN Contract”. The shipment tracking number or pertinent information for verification shall be made available upon request.

x Tax Exempt Status

Since this is a national contract, knowing the tax laws in each state is the sole responsibility of the vendor.

x Reporting

The awarded vendor shall electronically provide TCPN with a detailed monthly or quarterly report showing the dollar volume of all sales under the contract for the previous month or quarter. Reports shall be sent via e-mail to TCPN offices at reporting@tcpn.org. Reports are due on the fifteenth (15th) day after the close of the previous month or quarter. It is the responsibility of the awarded vendor to collect and compile all sales under the contract from participating members and submit one (1) report. The report shall include at least the following information as listed in the example below:

x Administrative Fees

The awarded vendor agrees to pay an administrative fee of four percent (4%) to TCPN based on total sales.

x Warranty conditions

All supplies, equipment and services shall include manufacturer's minimum standard warranty and one (1) year labor warranty unless otherwise agreed to in writing.

x Indemnity

The awarded vendor shall protect, indemnify, and hold harmless TCPN and its participants, administrators, employees and agents against all claims, damages, losses and expenses arising out of or resulting from the actions of the vendor, vendor employees or vendor subcontractors in the preparation of the solicitation and the later execution of the contract. Any litigation involving TCPN, its administrators and employees and agents will be in Harris County, Texas. Any litigation involving TCPN’s members shall be in the jurisdiction of the participating agency.

x Franchise Tax

The respondent hereby certifies that he/she is not currently delinquent in the payment of any franchise taxes.

x Marketing

Awarded vendor agrees to allow TCPN to use their name and logo within website, marketing materials and advertisement. Any use of TCPN name and logo or any form of publicity regarding this contract by awarded vendor must have prior approval from TCPN.

x Supplemental Agreements

The entity participating in the TCPN contract and awarded vendor may enter into a separate supplemental agreement to further define the level of service requirements over and above the minimum defined in this contract i.e. invoice requirements, ordering requirements, specialized delivery, etc. Any supplemental agreement developed as a result of this contract is exclusively between the participating entity and awarded vendor. TCPN, its agents, members and employees shall not be made party to any claim for breach of such agreement.

x Certificates of Insurance

Certificates of insurance shall be delivered to the TCPN participant prior to commencement of work. The insurance company shall be licensed in the applicable state in which work is being conducted. The awarded vendor shall give the participating entity a minimum of ten (10) days notice prior to any modifications or cancellation of policies. The awarded vendor shall require all subcontractors performing any work to maintain coverage as specified.

19. Legal Obligations

It is the Respondent’s responsibility to be aware of and comply with all local, state, and federal laws governing the sale of products/services identified in this RFP and any awarded contract and shall comply with all while fulfilling the RFP. Applicable laws and regulation must be followed even if not specifically identified herein.

20. Protest

A protest of an award or proposed award must be filed in writing within ten (10) days from the date of the official award notification and must be received by 5:00 pm CDT. No protest shall lie for a claim that the selected Vendor is not a responsible Bidder. Protests shall be filed with the Director of TCPN and shall include the following:

x Detailed statement of legal and factual grounds including copies of relevant documents; and the form of relief requested

x Any protest review and action shall be considered final with no further formalities being considered.

21. Force Majeure

If by reason of Force Majeure, either party hereto shall be rendered unable wholly or in part to carry out its obligations under this Agreement then such party shall give notice and full particulars of Force Majeure in writing to the other party within a reasonable time after occurrence of the event or cause relied upon, and the obligation of the party giving such notice, so far as it is affected by such Force Majeure, shall be suspended during the continuance of the inability then claimed, except as

hereinafter provided, but for no longer period, and such party shall endeavor to remove or overcome such inability with all reasonable dispatch.

The term Force Majeure as employed herein, shall mean acts of God, strikes, lockouts, or other industrial disturbances, act of public enemy, orders of any kind of government of the United States or the State of Texas or any civil or military authority; insurrections; riots; epidemics; landslides; lighting; earthquake; fires; hurricanes; storms; floods; washouts; droughts; arrests; restraint of government and people; civil disturbances; explosions, breakage or accidents to machinery, pipelines or canals, or other causes not reasonably within the control of the party claiming such inability. It is understood and agreed that the settlement of strikes and lockouts shall be entirely within the discretion of the party having the difficulty, and that the above requirement that any Force Majeure shall be remedied with all reasonable dispatch shall not require the settlement of strikes and lockouts by acceding to the demands of the opposing party or parties when such settlement is unfavorable in the judgment of the party having the difficulty

22. Prevailing Wage

It shall be the responsibility of the Vendor to comply, when applicable, with the prevailing wage legislation in effect in the jurisdiction of the purchaser (TCPN or its Members). It shall further be the responsibility of the Vendor to monitor the prevailing wage rates as established by the appropriate department of labor for any increase in rates during the term of this contract and adjust wage rates accordingly.

22. Miscellaneous

Either party may cancel this contract in whole or in part by providing written notice. The cancellation will take effect 30 business days after the other party receives the notice of cancellation. After the 30th business day all work will cease following completion of final purchase order.

CENTENNIAL’S COMPANY PROFILE

2. Brief history of your company, including the year it was established.

Centennial Contractors Enterprises, Inc. (Centennial) is a national and local general contractor specializing in the management and performance of delivery, indefinite-quantity (IDIQ) contracts, especially job order contracts (JOCs) and custom solutions contracts such as design-build, for Government, educational, and institutional clients. Centennial has over 40 project offices throughout the United States, including two in Texas.

Centennial has been actively engaged in construction contracting for 25 years. We have been performing JOC contracts as the prime contractor for more than 20 years. We were established in 1991 and were one of the first contractors to provide job order contracting services. Centennial is a founding member of the Center for Job Order Contracting Excellence and remains a member today.

We have been performing job order contract work in Texas since 1993 and have been awarded more than a dozen JOCs within the state. These JOCs have included a range of clients and end-users such as higher education, K-12 education, City and County Government, Federal Government, medical/healthcare, and airport customers, offering our local teams the opportunity to become familiar with projects of varying size and scope and with unique concerns. As a result, we have well-rounded knowledge regarding the JOC process, its implementation, and what it takes to be successful on these contracts. Through the performance of contracts throughout the State, we have established ourselves as the high-quality local JOC contractor counted on by countless clients throughout Texas and nationwide. We continue to expand our operations as successful ventures generate new opportunities.

Centennial has previously performed for TCPN. From November 2003 to November 2008

Centennial performed on two TCPN contracts; one for the south central region of Texas, and another for the Dallas–Fort Worth region. Under both contracts Centennial performed repair, maintenance and renovation of schools and other municipal facilities covered by TCPN. On both contracts combined Centennial performed a total number of 484 delivery orders with a total value of $37,137,529.

In addition to those in Texas, Centennial has been awarded more than 120 job order and IDIQ contracts throughout the country. Our relevant work experience extends over 285 municipal governments, school districts, colleges and universities, state agencies, and military installations in more than 30 states. We have worked with owners, architects, and engineers to construct or renovate more than 300 million square feet of laboratories and hospitals; monuments, museums, and historical sites; office space and housing units; military, dining, and educational facilities; and industrial space including large-scale construction, construction management, and design-build projects for various clients. Total volume of these contracts exceeds $1.8 billion.

Centennial currently has two offices located in the state of Texas. We are in the planning stages of establishing additional office locations in Austin and San Antonio and anticipate that as soon as the volume of work supports these locations, likely in 2012, we will open these facilities as well.

6. Define your standard terms of payment.

Centennial’s stated terms of payment is Net 30 Days, but our standard practice is to pay subcontractors within five to seven days of receipt of payment from the project owner. However, we recognize that smaller firms often do not have the benefit of a steady cash flow to handle day-to-day requirements such as meeting their payroll. As a result, waiting for payment from customers can have a serious impact on their operations. To promote strong subcontractor relations, Centennial often pays subcontractors, upon request, within five days of approval of the subcontractor’s invoice. We have never turned down a reasonable request from our subcontractors to pay them in advance of our receiving payment from the owner.

7. Who is your competition in the marketplace?

Centennial categorizes our competition by market segment. As such, our competitors will vary within the Texas marketplace, and there are a number of strong competitors in the various regions and markets of the Texas job order contracting environment. We believe our strongest competition, due to the breadth and depth of their experience throughout the country on job order contracts for all market segments and the location of their corporate headquarters in Houston, to be KBR.

8. What is your market share?

Centennial currently holds regional/local job order contracts in Texas; one, in the Airport sector for the DFW International Airport system, is in Dallas and one, in the healthcare sector for Harris County Hospital District, is in Houston. We hold two statewide contracting vehicles; a job order contract with Choice Facility Partners with a focus on the educational marketplace and limited interlocal agreements with municipalities, and TXMAS, which services any public entity within Texas. We also serve the Federal Government through national, regional, and site-specific contracts that include work in Texas.

9. Are you gaining market share, losing market share, or maintaining market share? Centennial has recently refocused efforts on targeted growth in Texas after a period of sustainment only. Through recent awards and the achievement of qualification for the TXMAS contracting vehicle in early 2011, we are again gaining market share. Centennial is primarily engaged in IDIQ contracts and our market share may increase or decrease depending upon customer requirements at any given point.

10. What is your strategy to increase market share?

Information on how Centennial plans to increase market share is included in our Marketing Plan inserted at the end of this tabbed section behind the blue sheet so marked.

11. What differentiates your company from competitors?

Centennial is the only major JOC contractor in the country whose primary business is Job Order Contracting.

Centennial has significant relevant experience and performance history managing the multiple requirements of job order contracting, including with TCPN customers.

Our mission statement reflects our core company values and objectives and describes the firm’s philosophy of doing business. Through our experience on job order contracts and previous cooperative purchasing programs utilizing the JOC procurement method, Centennial understands that we must be flexible and diverse to meet the full range of demands by all agencies that choose to participate on this

contract. We are a full-service construction solution provider and will adapt our

processes and procedures to meet the specific requirements of each project and each individual owner.

Many of our contracts cover a large geographical area, and we have built our organization to provide the same level of support to our remote customers as we provide to customers in a single location. to utilize nationally. We will also draw upon our relationships with quality subcontractors to provide the necessary services of the users of this contract. Our ability to provide the required services is further supported by our experience implementing our policies and procedures on JOC and cooperative contracts.

CENTENNIAL’S PROPRIETARY INFORMATION MANAGEMENT SYSTEM

Centennial has developed a proprietary information management system that supports our project management team with real-time data available for every element of a project under job order contracts. Through this system we are able to track large volumes of data to ensure each project is completed on or ahead of schedule, on budget, and with the highest levels of customer satisfaction.

The system’s ability to integrate all the information allows the Project Managers/Estimators to effectively monitor the status of every activity of each job order.

This system also aids us in preparation of job order cost quotations and the processing of invoices. We use this system to track the status of every aspect of performance and all of the associated activities.

An additional benefit of our information management system is its reporting capabilities. Reporting tools are highly customizable, which enables Centennial to provide our customers with status reports tailored to their individual requirements. Because of the real-time nature of the system, reports are immediately available to management. This means that we can also export up-to-date project status reports as often as desired by the customer. The frequency with which these reports are issued is typically determined on a case-by-case basis.

CENTENNIAL’S UTLIZATION OF SMALL BUSINESSES AND HUB/MWBES

Centennial makes providing opportunities to small businesses and HUB/MWBEs to participate in our construction contracts a priority for each of our project teams, whether or not formal goals

12. Describe how you intend on introducing TCPN to your company.

Centennial will train our project personnel on the key features of the TCPN contract including the range of public agencies that can utilize this contract. We will also ensure they are versed in how to speak to the benefits that may be received by customers selecting TCPN and Centennial to provide construction solutions through this contract. We will ensure that all personnel have a working knowledge of the process by which customers may obtain services under this contract, including how to obtain additional information and, if needed, to join TCPN in order to use this agreement.

Centennial will also draw upon our previous experience performing on TCPN contracts to ensure the project team and other key personnel are familiarized with the cooperative and its operating procedures. This previous experience will assist with ensuring project teams are well equipped with the knowledge needed to be successful on this contract.

13. Company’s environmental policy and/or green initiative.

Centennial’s commitment to environmental preservation and protection and the principles of sustainable design and construction is embodied in a corporate Environmental Mission Statement provided on the following page that provides our team with a clear set of actionable

items that frame our day-to-day actions. Additionally, we recognize the LEED®

(Leadership in Energy and Environmental Design) system as a best practice approach to understanding and implementing sustainable design and environmental procedures. Centennial is a member of the U.S. Green Building Council (USGBC) and maintains a close watch on green building trends.

Centennial takes a proactive approach to sustainability and incorporates green thinking and strategies into scopes of work for renovation, rehabilitation, repair, and new construction projects. Our green building program aligns with the LEED categories of sustainable site development, water efficiency, energy efficiency, materials and resources, and indoor environmental quality. On all of our projects, we will work to incorporate green practices that may include maximizing life-cycle costing, using green procurement, recycling and precycling, water and energy conservation, xeriscaping, and others. We make recommendations for products, but it is for the owner to decide what is acceptable for their intended use.

We also emphasize waste management and recycling throughout project performance. When we participate in the design effort, we will make recommendations for use of materials in the most responsible manner, designing around standard dimensions of provided materials to reduce cut-offs and

waste. We look for ways to incorporate energy efficient and recycled products. Additionally, we will work with owner personnel prior to commencing work on a job order to identify any salvable or repairable material. We also encourage our subcontractors to use environmentally friendly products and to provide suggestions for alternate materials that are energy efficient and/or contain recycled content. In-house, we encourage all personnel to communicate and distribute documents electronically. We are working to reduce paperwork by communicating via the Internet, by maintaining files electronically, and by using paper efficiently.

Our LEED APs can provide TCPN customers with guidance regarding sustainable design and environmental projects. Additionally, unit price books for green building are now available from major providers of cost data publications and include thousands of green materials and products, such as high-efficiency HVAC and lighting, low emitting materials, renewable energy systems, gray water systems, and living roofs. We can work with TCPN and project owners on strategies for incorporating these items into your JOC program.

We have the commitment, tools, and experience needed to support TCPN and its customers in incorporating sustainability into work completed under this contract.

CENTENNIAL’S MARKETING PLAN

It is to Centennial’s and TCPN’s advantage that we market our services and this contract, and

we are dedicated to assisting TCPN in the success of this contract in both business

development and construction and management operations. As indicated in the solicitation, Centennial will provide a more detailed Customer Service and Marketing Plan for your approval within 14 calendar days of contract award or as requested. This plan involves networking with K-12, higher education, and City/County/State facilities personnel through forums, conferences, and seminars; distributing brochures and other marketing literature to targeted potential users and customers; holding training and educational seminars and sessions to make potential customers aware of job order contracting, Centennial, and this contract; meeting one-on-one with potential users and customers; making our contract easy to understand and use; and last, but most important, performing with unsurpassed excellence to ensure our customers will recommend Centennial and this contract to others and assist us in making other potential users aware of our capabilities. Throughout the contract this plan will be revised as needed to ensure we are maximizing our capabilities under this contract.

Responsibility for implementing Centennial’s Customer Service and Marketing Plan will be given to our Program Manager, Terry Dubbs, and our Market Development Manager/Consultant, Rhonna Endres, with assistance from both of our Project General Managers, Bruce Keller and Walter Won. Key members of this project team have successfully marketed JOC and Centennial to new users and customers on both cooperative contracts and regional agency contracts in Texas and throughout the country.

In the following sections, we have summarized our plan for marketing to our potential customers.

1. Strategy for Marketing TCPN and the JOC Services

Centennial strongly believes that the best growth strategy for the TCPN JOC will be to work outward from a position of strength, building off of our current program strengths. Centennial is currently based in the major metropolitan regions of the Dallas and Houston, and we are expecting to expand into Austin and San Antonio (as volume supports new offices) within the next year. We are also performing at Fort Bliss in El Paso. We will work with TCPN to identify targeted areas within the state that will bring the most success to the TCPN JOC program. Our marketing focus for this growth, both initially and throughout the contract, will not be driven by geographic location but rather by our ability to provide the highest quality construction on a timely and cost-effective basis. JOC is a program, not a project, emphasizing best value for dollars spent rather than merely the lowest possible construction cost. Although we will work to

support every customer’s needs under this contract, we believe that the best returns are

achieved by customers looking for a general contractor to serve as a partner across multiple projects within a value range of $25,000 to $2,000,000. Additionally, Centennial is very adept at applying our systems, processes, and procedures, along with our performance foundation of reliability, dependability, sustainability, safety, and quality, to individual projects as large as $30 million when value rather than merely low cost is a priority to the customer.

As a program-solution provider rather than a project-solution provider we can achieve results that include maximizing sustainable revenue for TCPN under this agreement. Therefore, we will work diligently to provide the level of quality and satisfaction that keeps your members, and our customers, returning to Centennial and TCPN on an ongoing basis over the entire term of this contract. However, there are occasions where JOC is not the best, cost-effective, or viable solution for a particular project. It is our belief that this customer will be better served by us turning down a project that is not likely to produce high customer satisfaction through the JOC process than to accept the project and disappoint the customer by not living up to their expectations. In those instances, we will do our best to provide an alternative solution that better fits their requirements. Regardless of the viability of the project, we work to provide the highest level of customer service and respond to all requests on a timely basis.

We recognize that TCPN may have a concern that Centennial holds additional statewide contracts in Texas. It is our commitment that we will take every effort to avoid, and do not anticipate any challenges from, potential conflicts of interest. To that end, when a customer initiates contact with Centennial through any of our contracts, we will not discuss any alternate contracting or pricing vehicles that may be available to that customer, nor will we present alternatives during any targeted marketing events specific to each contract. This includes, for this contract, any targeted event initiated by TCPN or Centennial where we are representing TCPN.

During non-targeted marketing events and communication with potential future customers, we consider it our responsibility to the customer to provide information on all possible avenues of achieving their work. In these cases, we will discuss the benefits of using this contract as a possible way of successfully resolving needs for construction work.

2. Centennial’s Plan to Maximize Participation in this Contract

We will work with TCPN and other resources available to identify the contacts at each entity that has filed an Interlocal Agreement to participate in TCPN. The contact information will be developed into a database for marketing use throughout the duration of the contract.

We will use the Texas Education Agency’s website to identify potential customers that have not already signed an Interlocal Agreement. We will work with TCPN to coordinate marketing efforts to these potential customers. Marketing information on this contract, JOC, and Centennial will be sent to targeted groups of potential users. Centennial personnel will then begin to follow up with these potential customers as appropriate to see if they are interested in further discussions and/or using the contract for future work.

We will also advertise with regional and local school agencies, including the Texas Association of School Business Officials and the Council of Educational Facilities Planners International, to bring awareness of the contract to the local community.

In addition to more formal marketing, our current and past customers serve as partners in our marketing efforts by providing an excellent reference for Centennial and JOC and referring potential customers to us. In fact, this proved to be the most successful introduction to our previous TCPN JOC and Centennial for many of our past customers serviced through that contract.

When a potential individual lead is identified, we will determine how to assign customer contact based on the nature of the customer’s interest, such as whether or not they already have a project identified or are just inquiring about the JOC process in general, and any previous experience with our team, and a member of Centennial’s team will respond within 48 hours. In all cases, we will be responsive and will handle requests professionally. We will follow up on all calls and leads to ensure they are handled to the satisfaction of the potential new client. All new leads received by any member of our team will be added to our master database for continuous follow up by our Project General Managers and marketing team.

We know that many customers are not familiar with the JOC process, or they may be aware of JOC but not recognize the value the contracting method can bring to their projects. We have even found that there can be misunderstandings about job order contracting as a legal, competitively procured method of contracting. Our goal is to provide clear understanding of the benefits of a JOC contract in coordination with TCPN and Centennial. Once customers have indicated direct interest in utilizing this contract, they will be provided further details of the JOC contracting process and the specifics of how to use this contract.

As an added benefit to TCPN, Centennial is a national contractor with offices in a number of states, and we are interested in partnering with TCPN to provide advantages to customers in these areas, as well, as discussed in Tab 7.

3. Identification of our Marketing Team

Primary responsibility for implementing Centennial’s overall Customer Service and Marketing Plan is given to Terry Dubbs, our Program Manager; Walter Won and Bruce Keller, our Project General Managers; and Rhonna Endres, our Texas-based Market Development Manager/Consultant. Ms. Endres’ role as the Market Development Manager/Consultant for Texas will be to support our team and actively participate in our marketing efforts for this contract. Ms. Endres will take the lead in the integration of our Texas team’s efforts to market both the TCPN JOC and Centennial. She will do this by leading regular marketing meetings and participating in our operations reviews with the Project General Managers, Mr. Keller and Mr. Won; the TCPN Program Manager/Regional Operations Manager, Terry Dubbs; and our Vice President of Operations, Alan Weiss, as appropriate. This time will be used to identify potential customers, review the status of the Texas market, and make sure that we focus coordinated efforts in line with our Regional Market Development Plan and Targeted Market Development Plan of key accounts, along with the marketing goals of TCPN. All members of the local project team will also serve as a marketing resource.

Ms. Endres has over 20 years of experience in market development and a working knowledge of construction management, and she is highly skilled in organizational management, marketing, and sales. Among the contracts she has supported are the job order contracts for TCPN previously held by our firm. On these contracts Ms. Endres successfully implemented a business development plan that increased the number of customer utilizing the cooperative contracts. Through her previous experience she is able to successfully identify and effectively communicate with potential TCPN customers while efficiently managing the internal aspects of our marketing efforts. She is responsible for the complete management of all marketing efforts on this contract.

Guidance will also be provided at the program level by Al Olson, Vice President of Business Development, and Mr. Weiss, Vice President of Operations, who will provide strategic and logistical oversight for the development of all strategies supporting the marketing plan. Mr. Olson oversees Centennial’s sales and marketing programs and the development of informational materials for improving awareness of JOC and our services. He is also responsible for the Centennial website, branding efforts, public and media relations and state lobbying. Mr. Weiss has over 30 years of experience managing all aspects of construction, including over 25 years of experience managing similar JOC and cooperative contracts.

In addition to our senior project management, Centennial views all members of our project team as members of our marketing team. Each project team member has the responsibility and authority to act as a marketing representative on Centennial’s behalf at all times. They will build and sustain valuable customer relationships, which we believe will have the potential to generate interest in this JOC and TCPN.

Additionally, Centennial’s advocates in the client base and subcontracting community create an informal marketing program that leads to great success in expanding the program and complements our formal marketing efforts.

2.A Executive Leadership Commitment

As with every contract that Centennial has we are fully dedicated to ensuring the success of this contract. We will put forth every effort to ensure that we market the services of TCPN to potential customers. Within ten days of contract award Al Olson, Vice President of Business Development, on behalf of the Executive Leadership Team of Centennial, will distribute an announcement of the award of this contract and its availability as a contracting vehicle for customers throughout Texas, and ensure our team has the tools and information necessary to provide information to potential customers to support their use of this contract as discussed in Item 12 of our Company Profile.

4. Frequency and Duration of Marketing Efforts

The combination of formal monthly meetings, informal weekly meetings, and ongoing daily communication and regular market focus meetings allows our Texas team to share market development highlights such as updates on potential leads; feedback on performance from current customers; formal opportunities such as customer training requests or conference attendance; revisions and improvements to policy and procedures under this contract; and

upcoming marketing efforts such as postcards or newsletters. The purpose of this

team-directed effort means that any potential customer has numerous points of contact capable of providing them with the information necessary to choose Centennial and TCPN as their solution provider.

Centennial holds biannual market development conferences with all of the regional members of the team to share best practices. Our initial focus with individual customers is to increase their awareness of the benefits of JOC. Our goal is to continuously provide insight into job order contracting through an emphasis on the proper use of such contracts, the simplicity of JOC work as a contracting option, and the integrity and openness shared in a partnership with an ethical job order contractor. Once it is understood what JOC is, and what it can do, it has been our experience that we will be very successful marketing the TCPN program and Centennial.

According to the U.S. Census Bureau, the world population is expanding at a mind-boggling rate. The world reached 1 billion people in 1800; 2 billion by 1922; and over 6 billion by 2000. It is estimated that the population will swell to over 9 billion by 2050. That means that if the world’s natural resources were evenly distributed, people in 2050 will only have 25% of the resources per capita that people in 1950 had.

The world has a fixed amount of natural resources - some of which are already depleted. So as population growth greatly strains our finite resources, there are fewer resources available. If we intend to leave our children and grandchildren with the same standard of living we have enjoyed, we must preserve the foundation of that standard of living. We save for college educations, orthodontia, and weddings, but what about saving clean air, water, fuel sources and soil for future generations?

As our business grows, we want to make sure we minimize our impact on the Earth's climate. So we’re taking every step we can to implement innovative and responsible environmental practices throughout TCPN to reduce our carbon footprint, reduce waste, energy conservation, ensure efficient computing and much more. To that effort, we ask respondents to provide their companies environmental policy and/or green initiative.

Vendor Certifications (if applicable)

• Provide a copy of all current licenses, registrations and certifications issued by federal, state and local agencies, and any other licenses, registrations or certifications from any other governmental entity with jurisdiction, allowing respondent to perform the covered services including, but not limited to licenses, registrations or certifications. Certifications can include applicable M/WBE, HUB, and manufacturer certifications for sales and service.

Per the clarifications issued through questions and answers – including, for example, Questions #3 and #11 posted on the TCPN website – we understand that no submittal in response to the information contained in Tab 4 of the solicitation is desired or required from offerors.

Therefore, Centennial has included herein a copy of the Tab 4 solicitation pages, in accordance with the instructions on solicitation page 7 (Proposal Format), but we have not submitted any additional material within this tabbed section of our proposal.

However, topics referenced in Tab 4 of the solicitation that are elements of the Evaluation Criteria are discussed in other sections of Centennial’s proposal, primarily in Tab 3 and Tab 7, as outlined in the Evaluation Criteria Matrix provided in our Table of Contents.

If TCPN decides that additional information in direct response to any paragraph(s) of Tab 4 of the solicitation would facilitate the evaluation process, Centennial would be happy to provide that information upon request and according to any updated instructions TCPN may provide.
