1. Summary

1.1 Service Description

IBM is focused on providing Best in Class Supply and Contract Management Solutions. These have been deployed successfully in many Fortune 50 Companies as well as major Departments within the UK Government. IBMs Emptoris suite of award-winning and industry-recognised sourcing, contract management, supplier lifecycle management, services procurement and telecom expense management solutions are successfully used by Global 2000 companies.

In 2011 the Emptoris Suite was selected by the Government Procurement Service (GPS) for delivering Sourcing, Contract management and Supplier performance management, as part of the overall e-procurement and e-enablement strategy for government.

The UK public sector procurement organisations are driving a market transformation to higher quality, greater value services with flexible contracts using agile and LEAN procurement processes, whilst maintaining and driving cost reduction. IBMs eProcurement SaaS service is utilised within leading Government organisations to assist in meeting their objectives and transform the organisation to meet the new market.

Delivery

2.1 Context

The Emptoris procurement Shared Service (ESS) offers government organisations the ability to subscribe to the Emptoris strategic procurement software suite, procured as software as a Service (SaaS).

The ESS has been tailored to meet the higher requirements required within the Government sector by creating a UK hosted, Secure, Government only service. The service is designed for access via the Internet, to accommodate users accessing from the many different Government premises, using standard internet browsers found within typical desktop and laptop computers.

The ESS is already in use by government agencies including the Cabinet office GPS, consumed as a SaaS service. IBM is proud to see our service available for purchase for the wider government, via the Cabinet Office G-Cloud contract.

As many organisations may be aware the Cabinet Office GPS are undertaking common category procurement across an initial 9 categories, driving savings and greater value for government. IBM Emptoris is used by GPS to accomplish these tasks through the use of our Sourcing, Contract Management and Supplier performance management tools.

Data

The ESS is a UK hosted solution and the data is held on the UK system and processed on the same system. Data is not processed outside of the European Union.

Contract Management

The IBM® Emptoris® Contract Management solution enables organisation to identify current and future risks and exposures, identify and manage contract renewals, streamline the contracting process and increase compliance. The solution automates and manages the various stages of contract lifecycle from creation and execution, through performance monitoring, amendments, analysis and renewal.

Companies with strong contracts and contract management capture more revenue opportunities, have better supplier, partner and vendor relationships, and can actively enforce compliance and mitigate risks.

Leveraging this strategic sourcing solution, companies improve supplier collaboration and innovation, reduce supply base risks and bring more spend under management.

The IBM® Emptoris® Spend Analysis solution enables companies to consolidate, cleanse and classify spend data from across disperse and disparate systems to provide

enterprise-wide spend visibility.

By enriching spend data and improving its accuracy, Emptoris Spend Analysis empowers enterprises to reduce maverick spending, eliminate savings leakage and identify new savings opportunities.

The solution provides visibility into all aspects of supplier relationships and enables companies to improve the efficiency and effectiveness of their supply base.

With Emptoris Supplier Lifecycle Management, companies can readily address the critical challenges and complexities related to strategic supplier management from reducing costs, to driving continuous improvement to mitigating the impacts of volatility and risk.

2.3 Commercials

The service is structured into 2 components:

1) A one-time services engagement, to work with you to understand your current procurement business model in order to configure the Emptoris modules to reflect your requirements and to capture any legacy data migration

requirements. The scope of work will be set out in the Call Off Order Form and agreed by both parties.

2) An on-going monthly Opex based charge, for the use of the SaaS modules and the associated End user licenses.

3) If the spend module is purchase, there will be an on-going monthly refresh service charge for data enrichment.

2.4 Key Points

Other key points to note are as follows:

• This offering is subject to availability of IBM resources.

• The Charges for this Service are on the basis that no Parent Company Guarantee is required. If one is required and agreed to by IBM then the Charges will be revised accordingly.

• For Fixed Price offerings, Travel and Subsistence (T&S) costs are included for work within the M25. For work outside the M25, T&S will be payable using the

Contracting Body’s standard T&S rates.

• The pricing and terms on individual call-off orders should be handled as commercially sensitive by the Contracting Body.

• Where work is of a sensitive and secure nature, security standards will be agreed between IBM and the Contracting Body, and if necessary IBM will ask the

• Whilst we do not propose to handle or have access to any personal data, we will suggest and agree alternative approaches such as the use of anonymised data for testing purposes.

• Each department subscribing to an IBM Emptoris SaaS service will be required to review and accept the relevant IBM TOUs, prior to the service commencing live operation.
