2 1. Introduction

The Santa Fe Irrigation District (SFID) is a public agency that was established on January 26, 1923, under the California Irrigation Act to serve water to a service area of approximately 10,200 acres. SFID provides potable and recycled water to approximately 21,350 people in the City of Solana Beach, and the communities of Rancho Santa Fe and Fairbanks Ranch. Approximately 84 percent of SFID's water demand is residential, ranging from the more dense community of Solana Beach, to the large estate lots of Rancho Santa Fe. While relatively small compared to other water agencies in San Diego County, SFID is distinguished by its diverse water sources. SFID has water rights to Lake Hodges, a local water reservoir owned by the City of San Diego. This local source supplies approximately 24% of total water demand. Recycled water purchased from the San Elijo Joint Powers Authority provides approximately 4% of total deliveries, while imported water purchased from the San Diego County Water Authority (SDCWA) makes up the remaining 72%.

SFID performs the majority of new construction and maintenance in the roadways and public right-of- ways with its own staff. Traffic control for these projects is an area that SFID would like to have done by an outside service. Therefore, this request for quotes has been developed to obtain costs from qualified vendors who are able to provide traffic control services on an as-needed basis.

2. Scope of Work

In accordance with SFID's policies and procedures the vendor retained will provide traffic control services for SFID's maintenance crews on an as-needed basis. SFID will be responsible for creating and submitting the traffic control plans. The vendor will provide the following:

Quotes for this service must include:

A. Cost per day for approximately 180 days per year; cost to include travel time to and from project site, during. normal day time hours and after hours emergencies.

3 C. Agreement to the terms and conditions outlined in the attached Letter Agreement,

Exhibit A, and the attached Purchase Order.

D. Documentation of insurance as specified in the Letter Agreement.

3. Proposal Requirements

Written proposals are to include a discussion of the vendor's approach to the scope of work, a

breakdown and explanation of costs, and a brief description of the firm. Please include three references of agencies for which similar work has been performed.

4. Submittal Requirements

Quotes must be received no later than 2:00 p.m. on June 4, 2013, at the office of:

Any firm that takes exceptions to any of the terms contained in the agreement attached as Exhibit A should set these exceptions forth in their quote submittal. SFID reserves the right to modify,

Re: Letter Agreement/Purchase Order for Traffic Control Services

Dear :

By this letter agreement ("Agreement"), ("Vendor") agrees to provide the following services to the Santa Fe Irrigation District ("District") on the terms and conditions set forth herein:

1. Scope of Work/Services. Vendor shall provide/perform the following:

a. Traffic control services as specified in the attached proposal/quote [response from vendor as Exhibit A]

Contract Term. This Agreement shall be deemed effective and shall expire unless otherwise sooner terminated. After the completion of this one-year Agreement, at the District’s option, the Agreement may be extended by one-year. There shall be no price increase during the period of the 1-year extension of the contract greater than 4%.

3. Compensation. As consideration for Vendor's performance of the services, District agrees to pay Vendor [INSERT DOLLARS] Dollars and [INSERT CENTS] Cents ($ ) per day, provided that such amount shall be subject to adjustment pursuant to the applicable terms of this Agreement.

4. This Agreement shall be subject to and performed in accordance with the Terms and Conditions on the purchase order enclosed with this letter.

5. Insurance.

Commercial General Liability Insurance, in a form and with insurance companies acceptable to the District.

ii. Coverage for Commercial General Liability insurance shall be at least as broad as the following:

(a) Insurance Services Office Commercial General Liability coverage (Occurrence Form CG 0001)

iii. Commercial General Liability Insurance must include coverage for the following:

(a) Bodily Injury and Property Damage (b) Personal Injury/Advertising Injury (c) Premises/Operations Liability

(d) Contractual Liability with respect to this Contract (e) Broad Form Property Damage

IV. All such policies shall name the Santa Fe Irrigation District, the board and each member of the board, its officers, employees, agents and District designated volunteers as Additional Insureds under the policy.

v. The general liability program may utilize either deductibles or provide coverage excess of a self-insured retention, subject to written approval by the Santa Fe Irrigation District.

B. Automobile Liability

i. At all times during the performance of the work under this agreement the Consultant shall maintain Automobile Liability Insurance for bodily injury and property damage including coverage for owned, non-owned and hired vehicles, in a form and with insurance companies acceptable to the District.

ii. Coverage for automobile liability insurance shall be at least as broad as Insurance Services Office Form Number CA 0001 (ed. 6/92) covering automobile liability, Code 1 (any auto).

iii. The automobile liability program may utilize deductibles, but not a self- insured retention, subject to written approval by the District.

IV. All such policies shall name the Santa Fe Irrigation District, the board and each member of the board, its officers, employees, agents and District designated volunteers as Additional Insureds under the policies.

Exhibit A

i. At all times during the performance of the work under this agreement and for 24 months following the date of Project completion and acceptance by the District, the Consultant shall maintain workers' compensation in compliance with applicable statutory requirements and Employer’s Liability Coverage in amounts indicated herein.

ii. Such insurance shall include an insurer's Waiver of Subrogation in favor of the District and will be in a form and with insurance companies acceptable to the Santa Fe Irrigation District.

iii. If insurance is maintained, the workers’ compensation and employer's liability program may utilize either deductibles or provide coverage excess of a self-insured retention, subject to written approval by the District. IV. Before beginning work, the Consultant shall furnish to the District

satisfactory proof that he/she has taken out for the period covered by the work under this agreement, full compensation insurance for all persons employed directly by him/her to carry out the work contemplated under this agreement, all in accordance with the "Workers' Compensation and Insurance Act," Division IV of the Labor Code of the State of California and any acts amendatory thereof. Consultant shall require all sub consultants to obtain and maintain, for the period covered by the work under this agreement, workers’ compensation of the same type and limits as specified in this Section.

D. . Minimum Policy Limits Required

i. The following insurance limits are required for the Contract:

Combined Single Limit Commercial General Liability $1,000,000 per occurrence/

$2,000,000 aggregate for bodily injury, personal injury and property damage

Automobile Liability $1,000,000 per occurrence for bodily injury and property damage

Employer's Liability $1,000,000 per occurrence
