บริษัท ซีเอ็มโอ จํากัด (มหาชน) (“บริษัท”) ขอแจ้งให้ทราบว่า ตามมติคณะกรรมการบริษัท ครัiงที8 /3444 วันที8 c กันยายน 3444 อนุมัติการก่อสร้างอาคารในโครงการ Bangkok Creative Playground ประกอบด้วยการก่อสร้างอาคารสํานักงาน บริษัท พีเอ็ม เซ็นเตอร์ จํากัด และ บริษัท ดิ อายส์ จํากัด ซึ8งเป็นบริษัทย่อยของบริษัทฯ โดยถือหุ้นในสัดส่วนร้อยละ ll.ll และการปรับปรุงอาคาร สํานักงานเก่าของบริษัท พีเอ็ม เซ็นเตอร์ จํากัด เพื8อใช้เป็นอาคารสํานักงานใหญ่ บริษัท ซีเอ็มโอ จํากัด (มหาชน) ตามที8ฝ่ายจัดการเสนอ คิดเป็นงบประมาณการก่อสร้าง nn,3oo,ooo.oo บาท ซึ8งเพิ8มขึiนจากมติคณะกรรมการครัiงที8 /3444 ที8อนุมัติงบประมาณการก่อสร้าง และตกแต่งภายในจํานวนประมาณ , o,ooo บาท ซึ8งบริษัทฯ ได้มีการแจ้งมติต่อตลาดหลักทรัพย์ฯ แล้วเมื8อวันที8 3q กุมภาพันธ์ 3444 โดยรายการดังกล่าว ถือเป็นการได้มาซึ8งสินทรัพย์ที8มีมูลค่าคิดเป็นร้อยละ 3 . n ของมูลค่าสินทรัพย์รวมของบริษัทฯ เข้า ลักษณะเป็นรายการประเภทที8 3 ตามวิธีการคํานวณขนาดรายการโดยใช้เกณฑ์มูลค่ารวมของสิ8งตอบแทนตามประกาศคณะกรรมการ กํากับตลาดทุนที8 ทจ.3o/344 เรื8องหลักเกณฑ์ในการทํารายการที8มีนัยสําคัญที8เข้าข่ายเป็นการได้มาหรือจําหน่ายไปซึ8งสินทรัพย์ ลงวันที8 c สิงหาคม 344 และประกาศคณะกรรมการตลาดหลักทรัพย์แห่งประเทศไทย เรื8องการเปิดเผยข้อมูลและการปฏิบัติการของบริษัทจด ทะเบียน ในการได้มาหรือจําหน่ายไปซึ8งสินทรัพย์ พ.ศ. 34 โดยบริษัทจะนําส่งสารสนเทศแก่ผู้ถือหุ้นภายใน 3 วัน นับแต่วันที8เปิดเผย รายการต่อตลาดหลักทรัพย์ฯ บริษัทฯ จึงขอนําส่งสารสนเทศเกี8ยวกับการได้มาหรือจําหน่ายไปซึ8งสินทรัพย์ของบริษัทจดทะเบียน ดังรายการเอกสารแนบ จึงเรียนมาเพื8อโปรดทราบ ขอแสดงความนับถือ นายเสริมคุณ คุณาวงศ์ ประธานเจ้าหน้าที8บริหาร บริษัท ซีเอ็มโอ จํากัด (มหาชน)

Attachment: Disclosure of Information Concerning the Acquisition of Assets

CMO Public Company Limited (“The Company”) would like to inform the Meeting of the Board of Directors No. 4/2012 held on September 13, 2012 has approved for the construction new office building in project

Bangkok Creative Playground. This is including new office building of PM Center Co., Ltd. ,The Eyes Co., Ltd.,

which they are CMO’s subsidiary company holding 99.99% shares, and the renovation PM Center’s present office building to be the headquarter of CMO Public Company Limited. The approximately amount of the project is Baht 166,200,000. By this amount is increasing from Baht 117,140,000 by the approve of the Meeting of the Board of Directors No. 1/2012 which was informed to SET since February 28, 2012.

The size of the transaction equals 27.76% of the total assets of the Company and its subsidiaries, according to the Transactions classified as a class 2 transaction of the Notification of the Capital Market Supervisory Board No. TorJor. 20/2551 Re: Rules on Entering into Material Transactions Deemed as Acquisition or Disposal of Assets dated 31th August 2008 and the Notification of the Stock Exchange of Thailand Re: Disclosure of Information Concerning the Acquisition and Disposition of Assets of Listed Companies B.E. 2547. The Company will distribute the Information Memorandum to shareholders within 21 days after the disclosure to the SET.

Therefore, the Company sets out the details of the Transaction as prescribed in the Acquisition Rule. All documents concerned are attached.

By this amount is increasing from Baht 117,140,000 by the approve of the Meeting of the Board of Directors No. 1/2012 which was informed to SET since February 28, 2012.

The size of the transaction equals 27.76% of the total assets of the Company and its subsidiaries, according to the Transactions classified as a class 2 transaction of the Notification of the Capital Market Supervisory Board No. TorJor. 20/2551 Re: Rules on Entering into Material Transactions Deemed as Acquisition or Disposal of Assets dated 31th August 2008 and the Notification of the Stock Exchange of Thailand and Re: Disclosure of Information Concerning the Acquisition and Disposition of Assets of Listed Companies B.E. 2547. The Company will distribute the Information Memorandum to shareholders within 21 days after the disclosure to the SET.

The total acquisition price of the project is approximately Baht 166,200,000. Which the size of the transaction equals 27.76% of the total assets of the Company and its subsidiaries calculated from Consolidated Statements of Financial Position as of June 30, 2012.

• PM Center Company Limited new office building

2 -storey building including utilities constructed on Title deed no. Chor. 41035, with the ownership of the PM Center Company with obligations. It was to secure the loan with Bangkok Bank Public Company. The total acquisition price is approximately Baht 1DE,F00,000. Construction is expected to begin September 2012 – July 2013.

• The Eyes Company Limited new office building.

4 -storey building including utilities constructed on Title deed no. Chor. 41035, with the ownership of the PM Center Company with obligations. It was to secure the loan with Bangkok Bank Public Company. The total acquisition price is approximately Baht 42,700,000. The construction will start in November 2012.

• The renovation PM Center’s present office building to be the headquarter of CMO Public Company Limited

To renovation PM Center’s present office building on Title deed no. Chor. 208599, with the ownership of the PM Center Company with obligations. It was to secure the loan with Bangkok Bank

Public Company. The total acquisition price is approximately Baht 10,000,000. The construction will start in Mid-Year 2013.

6. Total value of consideration and Basis used to determine value of consideration

The total acquisition price of assets of the Bangkok Creative Playground is approximately Baht 166,200,000 has been agreed upon between the Company and its subsidiary and the sellers/contractors with both are not related or connected parties, according to the Notification of the Capital Market Supervisory Board No. TorChor. 21/2551 Re: Rules on the connected transactions and the Notification of the Stock Exchange of Thailand and Re: Disclosure of Information concerning the connected transactions B.E. 2003.

7. Sources of fund

• Long term loan form financial institutions within 5-7 years term of payment, about Baht 120,000,000. • Company Working Capital about Baht 46,200,000, which these transection will not have any effected

to company cash flow.

• Selling the present building of The Eyes Co., Ltd. No. 1603 Soi Ladprao 94, Ladprao Rd., Plubpla, Wangthonglang, Bangkok and CMO Plc. No. 1471, 1461 Soi Ladprao 94, Ladprao Rd., Plubpla, Wangthonglang, Bangkok, at present in the process of selling. Henceforth, company will pay the partial of long term loan.

• Sources of fund from Warrant and ESOP converting.

8. Benefits to the Company as the result of the transaction

• To be prepare for the business expansion both in Thailand and oversea, especially, the expansion to ASEAN countries. In this occasion, company will have the appropriate venue to Welcome, Event Presentation, Show Case Presentation together with meeting with customer. More than that, these will make the high reputation to group of company.

• To be the equipment test place before the event

9. Condition Precedent

This transaction is considered as class 2 transactions of the Notification of the Capital Market Supervisory Board No. TorJor. 20/2551 Re: Rules on Entering into Material Transactions Deemed as Acquisition or Disposal of Assets dated 31th August 2008 and the Notification of the Stock Exchange of Thailand and Re: Disclosure of Information Concerning the Acquisition and Disposition of Assets of Listed Companies B.E. 2547. The Company is required to report and disclose the transaction details to the Stock Exchange of Thailand and required to distribute a written notice of its decision to enter into a transaction on its shareholders within 21 days from the date of disclosure of information to the Stock Exchange of Thailand.

Schedule 2

Information in the notice served on the shareholders by the listed company.

1. The statement relating to the responsibility of directors with respect to the information in documents sent to the shareholders.

Company Board of Directors was considering for the transection of Acquisition/Disposition Notifications. The transaction is reasonable. The clarification information for company shareholders is clarified. Company Board of Directors was approved with cautious considering.

2. Opinion of an independent expert

Due to, these project is being construct new building and renovation under the perspective plan. The budget is already forecasted by architect company which has declared in Schedule 1. Therefore, company does not appraise the project by independent appraisal specialist.
