MasterCard® UEFA Champions League Sweepstakes OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. A purchase will not increase your odds of winning. Eligibility:

The MasterCard® UEFA Champions League Sweepstakes (the “Sweepstakes”) is only open to MasterCard cardholders, who: (a) have a valid MasterCard account that was issued by a Canadian financial institution and existed as of May 27, 2011; (b) are a legal residents of Canada over the age of majority in their province/territory of residence at the time of entry; (c) are the parent/legal guardian of a child (the “Child”) who will be (as of the Game Date – defined below): (i) between the ages of seven (7) and nine (9) years old; (ii) a legal resident of Canada; and (iii) between 1.10 metres and 1.30 metres in height (collectively, the “Child Requirements”); and (d) are not an employee, representative or agent (or, domiciled with any such person, whether related or not) of MasterCard Canada, Inc. (the “Sponsor”), its parent companies, related companies, affiliates, distributors and subsidiaries, MasterCard issuing financial institutions, UEFA, or any of their respective parent companies, affiliates, subsidiaries, advertising/promotion or judging agencies (collectively, the “Sweepstakes Parties”). This Sweepstakes is subject to all applicable federal, provincial, and local laws and regulations. Void where prohibited.

IMPORTANT NOTE: Due to UFEA restrictions, the Child of a declared winner must meet the Child Requirements as of the Game Date (defined below). If the Child does not meet the Child Requirements as of the Game Date (defined below), then the Child will be required to forego the opportunity to escort the UEFA players onto the field at the start of the Game (see details below) and nothing will be substituted in its place. However, the remainder of the Grand Prize will still be awarded to the declared winner in accordance with these Official Rules and Regulations (the “Rules”).

How to Enter:

1.) Automatically receive one (1) Sweepstakes entry (with the exception of an Eligible Transaction made with a Canadian Tire Options® MasterCard card, which will automatically receive two (2) entries) for each MasterCard card purchase made between 12:00:01AM and 11:59:59PM local time on May 28, 2011 (the “Promotion Period”) at any Canadian Tire, Canadian Tire Petroleum or Mark’s Work Warehouse locations (the “Released Parties”, defined below) within Canada (the “Eligible Transaction(s)”). Entries resulting from unauthorized MasterCard card use or made with lost, stolen or fraudulent MasterCard cards do not count as Eligible Trannsactionsa and are void. Account adjustment transactions/returns and other fees assessed to your MasterCard account are not considered Eligible Transactions for automatic entry. Winning accounts must be in good standing and not otherwise have privileges suspended at the time entry, winner selection and/or awarding of the Grand Prize. Only purchases made with a MasterCard card that is in good standing (at time of entry, winner selection and awarding of the Grand Prize) and issued to an identifiable end user and that are processed and submitted through MasterCard International Incorporated's U.S. transaction processing system during the Promotion Period are Eligible Transacations for automatic entry.

2) To enter without purchase, hand-print your name, as it appears on your MasterCard card, your complete mailing address (including postal code), telephone number, and age on a plain piece of paper and mail it in a sealed postage pre-paid envelope to: MasterCard UEFA Champions League Sweepstakes, No Purchase Entry, 23 Prince Andrew Place, Toronto, Ontario M3C 2H2. Each mail-in entry will result in two (2) entries in the random prize draw. Enter as often as you wish by mail, but each entry must: (i) be mailed in a separate sealed envelope with sufficient postage; and (ii) postmarked no later than May 28, 2011 and received no later than June 3, 2011. Incomplete and/or

illegible entries are ineligible. No photocopied, computer-generated facsimiles, mechanically reproduced, bulk or mass entries permitted.

All entries, regardless of the method of entry, become the property of Sponsor and will not be acknowledged or returned. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of entries, Eligible Transactions and/or entrants. Your use of your MasterCard card to make a purchase and/or your submission of a mail-in entry constitutes your consent to participate in this Sweepstakes and your consent for Sponsor to obtain and deliver your name, address, and other information to the Sweepstakes administrators only for the purpose of administering this Sweepstakes. Sponsor and/or its agents will obtain personally identifiable information about you only in the event that you are a selected entrant. If you are a selected entrant, Sponsor and/or its agents will obtain information necessary to contact you from the financial institution that issued your MasterCard card. The Released Parties (defined below) are not responsible for lost, incomplete, illegible, late, misdirected, stolen, postage-due, or mutilated entries or mail; any error, omission, interruption, defect or delay in transmission or communication; technical or mechanical malfunctions; failures or malfunctions of phones, phone lines, or telephone systems; interrupted or unavailable cable or satellite systems; errors in these Rules, in any Sweepstakes-related advertisements or other materials; failures of electronic equipment, computer hardware or software, or inaccurate entry information, whether caused by equipment, programming used in this Sweepstakes, human processing error, or otherwise. Sponsor reserves the right, at its sole discretion, to disqualify any entry, and (subject only to the approval of the Régie des alcools, des courses et des jeux (the “Régie”) in Quebec) to modify, terminate, or suspend this Sweepstakes (or amend these Rules) should a virus, bug, non-authorized human intervention, action of entrant(s), or other cause corrupt or impair the administration, security, fairness, or proper play of the Sweepstakes, and, if the Sweepstakes is modified, terminated, or suspended, select at random winners from those eligible, non-suspect entries received prior to the event requiring such modification, termination, or suspension. The Sponsor, with the consent of the Régie, reserves the right to cancel or suspend this Contest, or to amend these Rules, without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind. Any attempt to deliberately undermine the legitimate operation of this Sweepstakes is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law.

All entries (and Eligible Transactions) are subject to verification. The Sponsor reserves the right, in its sole discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor) to participate in this Sweepstakes. Failure to provide such proof in a timely manner may result in disqualification. The sole determinant of the time for the purposes of a valid entry in this Sweepstakes will be the Sponsor’s official clock.

Grand Prize:

There is (1) Grand Prize available to be won, each consisting of a trip for the declared winner, his/her Child and two (2) additional guests (note: for greater certainty, one (1) of the winner’s guests must be his/her Child that met the Child Requirements) to a UEFA game (the “Game”) chosen by the Sponsor in its sole and absolute discretion, in the United Kingdom, which includes: (i) round-trip economy airfare for four (4) people between the Canadian international airport nearest to the winner’s residence and the United Kingdom via airline(s) to be selected by the Sponsor in its sole discretion (winner and all guests must depart from the same airport and travel on the same itinerary); (ii) four (4) consecutive nights double-occupancy accommodation at a hotel to be selected by the Sponsor in its sole discretion; (iii) the experience for the declared winner’s Child to escort a UEFA player onto the field at the start of the Game; (iv) four (4) tickets to the Game on a specified date (the “Game Date”) as chosen by Sponsor in its sole and absolute discretion (note: ticket level to be selected by Sponsor in its sole and absolute discretion); (v) one (1) MasterCard Prepaid card valued at £500 for the winner only; (vi) a welcome reception at the Hotel for the winner and his/her guests; (vii) a personal on-site concierge; (viii) select meals for the winner and his/her guests, at the Sponsor’s absolute and sole discretion; and (ix) transportation between the Hotel and the airport in the United

Kingdom; collectively with an approximate retail value of $21,000 each based on a Vancouver departure example (the “Grand Prize(s)”). Note: the actual value of each Grand Prize may vary according to the place of residence of the winner and, if the actual value of the prize is lower than the estimated value, the winner will not receive any compensation.

Without limiting the generality of the foregoing, the following general conditions apply to each Grand Prize: (i) Grand Prize must be accepted as awarded and is not transferable, assignable or convertible to cash (no substitutions except at Sponsor’s option); (ii) all travel related to the Grand Prize is subject to availability and certain blackout periods; and must occur on the date specified by Sponsor at the time of awarding the Prize to the winner (otherwise the Grand Prize will be forfeited in its entirety); (iii) the winner and his/her guests must: (a) travel on same itinerary; (b) have all necessary documentation to permit travel (e.g. passport, visa) to the United Kingdom; (c) not have any barrier to entry into the Untied Kingdom or re-entry into Canada; (d) travel must be booked at least 30 days prior to trip (otherwise the Grand Prize will be forfeited in its entirety); (iv) the costs of everything not specifically stated above as included in the Grand Prize are the sole responsibility of the winner and his/her and guests, including, without limitation: meals and drinks; gratuities; entertainment; health and travel insurance; transportation for winner and his/her travel companions to and from the Canadian international airport nearest the winner's residence; ground transportation while in the United Kingdom; excess baggage fees; departure and airport taxes (as applicable); and items of a personal nature (NOTE: winner may be required to present a valid major credit card in winner’s name at the time of hotel check-in to cover any incidental expenses); (v) if the winner (and/or his/her travel companions) does not utilize any part(s) of the Grand Prize, then any such part(s) not utilized will be forfeited in their entirety and nothing will be substituted in their place; (vi) Sponsor reserves the right at any time to: (a) place reasonable restrictions on the availability or use of the Grand Prize or any component thereof; and (b) substitute the Grand Prize or a component thereof for any reason with a prize or a prize component of equal or greater value, including, without limitation, but solely at the Sponsor’s sole discretion, a cash award; (vii) all travel arrangements relating to the Grand Prize must be made through the Sponsor or its designated agents; (viii) by accepting the Grand Prize, the winner agrees to waive all recourse against the Released Parties (defined below) if the Grand Prize or a component thereof does not prove satisfactory, either in whole or in part; (ix) each of the winner’s guests must sign and return the Sponsor’s release (by the date indicated on the release form) indicating that he/she waives all recourse against the Released Parties (defined below) relating to their participation in the Grand Prize (including, without limitation, any travel related thereto); (x) with the exception of a declared winner’s Child (who must accompany the declared winner as one of his/her guests), each of the winner’s other two (2) guests must be over the age of majority in his/her province/territory of residence, or have the written consent from their parent or legal guardian; and (xi) the Child must meet the Child Requirements as of the Game Date, otherwise the Child will be required to forego the opportunity to escort the UEFA players onto the field at the start of the Game and nothing will be substituted in its place.

For greater certainty, each declared winner and his/her guests must be legally able to travel to the Untied Kingdom and are solely responsible for obtaining documents necessary for international travel, including, but not limited to, passports. In the event that a declared winner and/or his/her guest(s) is/are refused entry into the United Kingdom or re-entry into Canada, Sponsor will not be responsible for any costs or expenses incurred to resolve the matter and/or return a winner and/or guest(s) to the point of origin. Each winner and his/her guest(s) must possess and show all necessary travel documents (including a valid Canadian passport) and other travel requirements prior to being declared an official winner.

The Released Parties (defined below) accept no liability under any circumstances if the Game is cancelled, re-scheduled, postoponed and/or delayed for any reason. In such circumstances, no additional prizing will be awarded. Each Grand Prize will only be awarded to the primary MasterCard card account holder (as determined by the MasterCard financial institution’s MasterCard card account records) named on the account accessed by the card used to make the entry or the individual named on the mail-in entry, as the case may be. In the event a corporate

MasterCard winning account is selected, the Grand Prize will be awarded to the individual named on the MasterCard card that is used to transact the winning entry (as determined by the MasterCard issuing financial institution’s account records) and, if awarding a Grand Prize is in conflict with corporate written policy, the Grand Prize will be forfeited and an alternate eligible winner may be selected (in accordance with the procedure outlined below). The corporation has no right to claim or receive the Grand Prize. Limit one (1) prize per household.

Winner Selection and Notification:

On or about June 10, 2011, (the “Draw Date”) at approximately 2:00 pm in Toronto Ontario, two (2) eligible entrants will be selected by random draw from among all eligible entries received in accordance with these Rules. Odds of winning depend on the number of eligible entries received in accordance with these Rules.

The Sponsor or its designated representative will make a maximum of three (3) attempts to contact each selected entrant by telephone or email within fourteen (14) business days of the Draw Date. If a selected entrant cannot be contacted within three (3) attempts or fourteen (14) business days of the Draw Date (whichever occurs first), or there is a return of any notification as undeliverable; then he/she will be disqualified (and forfeit all rights to a Grand Prize) and the Sponsor reserves the right, in its sole discretion, to randomly select an alternate eligible entrant from among the remaining eligible entries received in accordance with these Rules (in which case the foregoing provisions of this section shall apply to such new selected entrant).

Prior to being declared the confirmed winner of a Grand Prize, each selected entrant will be required to: (i) correctly answer a time-limited, mathematical, skill-testing question (without electronic, mechanical or other assistance) administered by phone or mail at a prearranged mutually convenient time; and (ii) sign and return within fourteen (14) business days of notification the Sponsor’s declaration and release form, which (among other things): (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the Grand Prize as awarded; and (iii) releases the Sweepstakes Parties and each of their respective partners, officers, directors, agents, representatives, successors and assigns (collectively, the “Released Parties”) from any and all liability in connection with this Sweepstakes, the selected entrant’s participation therein and/or the awarding and use/misuse of the Grand Prize or any portion thereof (including, without limitation, any travel related thereto). If a selected entrant: (a) fails to correctly answer the skill-testing question; and/or (b) fails to return the properly executed Contest documents within the specified time, then then he/she will be disqualified (and forfeit all rights to a Grand Prize) and the Sponsor reserves the right, in its sole discretion, to randomly select an alternate eligible entrant from among the remaining eligible entries received in accordance with these Rules (in which case the foregoing provisions of this section shall apply to such new selected entrant). Grand Prizes will be forfeited if they cannot be awarded in accordance with these Rules.

Miscellaneous:

By participating, entrants agree to be bound by these Rules and agree that: (i) Sponsor shall have the right and permission to use entrant's name, voice, city/province/territory of residence, photograph, and/or likeness for advertising and/or trade and/or any other purpose in any media or format now or hereafter known without further compensation, permission, limitation or notification; and (ii) the Released Parties shall have no liability and will be held harmless for any liability, loss, injury or death to entrant or any other person, including, without limitation, damage to personal or real property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of a Grand Prize (or any portion thereof) or participation in this Sweepstakes.

For Quebec residents: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of the prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.

All intellectual property used by the Sponsor in connection with the promotion and/or administration of the Contest, including, without limitation, all trade-marks, trade names, logos, designs, promotional materials, web pages, source code, drawings, illustrations, slogans and representations are owned (or licensed, as the case may be) by the Sponsor and/or its affiliates. All rights are reserved. Unauthorized copying or use of any such intellectual property without the express written consent of its owner is strictly prohibited.

In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to: the Contest entry form, French version of these Rules, and/or point of sale, television, print or online advertising; the terms and conditions of these English Rules shall prevail, govern and control.
