Badge Lanyards - SOLD OUT

See your company logo around everyone’s neck as the exclusive sponsor of badge lanyards. Lanyards are distributed to all conference attendees,

speakers and sponsors.

Beverage Bar $4,000 full day (Wednesday or Thursday)

Provide coffee, juice and other hot and cold beverages to conference attendees. This is the most popular area during the conference.

(Limit 6) Private Meeting Rooms - $2,500 per day (Wednesday or Thursday) or $5,000 for Wednesday – Friday

You will have the private use of a meeting room during the conference, either for one day or for the entire conference. Rooms are located

close to the partner pavilion and we will provide a sign outside the room with your logo. Room can be set up classroom style, rounds or

as a lounge (specialty furniture not included). All food and beverage costs are the responsibility of the sponsor and will be managed directly

with the Fontainebleau.

(Limit 2) Daily Morning Runs $2,000 for Wednesday or Thursday morning

Meet, mingle and run with your fellow Edge colleagues

for a morning run. You lead the run and we’ll put your logo on a team t-shirt, create signage, and we’ll send a push notification from you to all

registered attendees as will as push notification through our social media posts.

Terms & Conditions of Sponsorship Agreement

Acceptance: Sponsor (“Sponsor”) participation in the 2014 Akamai Edge

Customer Conference to be held October 8 - 10, 2014 to which these terms and conditions relate (“Conference”) is subject to acceptance by Akamai Technolo-gies, Inc. (“Akamai”). No contract is created until Akamai countersigns this Sponsorship Agreement. Akamai may withdraw its acceptance at any time by providing a refund of the Total Sponsorship Fee paid to the Sponsor, if it determines that the Sponsor or its product is ineligible to participate. Akamai makes no warranties regarding the number or types of attendees. The exhibit dates, hours and venue may be modified by information provided to the Sponsor in writing.

Benefits and License: Akamai will provide exhibit space (“Space”) at the

Conference for the Sponsor to display its qualified products and services (“Exhibit”) and the other benefits specified in Exhibit A to this Sponsorship Agreement which are included in the benefits associated with the Sponsor Level of Sponsor set forth on Page 1 of this Sponsorship Agreement and accepted in writing by Akamai, subject to availability. The Sponsor grants to Conference Providers the right to use the Sponsor name and logo, company description, product descriptions, and other information provided to Akamai in writing for the promotion and production of the Conference associated with the Sponsor’s Sponsor Level, including without limitation, in the Conference materials and press releases and on Akamai’s website for the Conference, in each case subject to the prior review and approval of Akamai and subject to the following specifications or such other specifications as may be provided to Sponsor by Akamai from time to time: Company descriptions of Sponsor and print and Web logos should be submitted via email to [email protected] and should comply with one of the following print specifications: 1. 300 ppi Photoshop tiff or eps file AND a 72 ppi web version (.gif or .jpg) of Sponsor’s non-animated logo that is equal to or less than 120 pixels wide and 100 pixels tall. Web logos will appear on a white background. 2. Adobe Illustrator or Macromedia Freehand eps file, with fonts outlined.

Space Assignment: Akamai will assign the Space on a first-come, first-served

basis and solely in the discretion of Akamai. Akamai reserves the right to change or modify the Space at any time. The Space is for the Sponsor’s use only, and Sponsor may not assign or sublease any portion or the Space (including to an affiliated company) without Akamai’s prior written consent. Sponsor is permitted to distribute literature, run demonstrations, and promote products and services in the Sponsor’s assigned Space. Sponsor’s activities in the Space may in no way interfere with reasonable demonstrations at other adjacent locations in the Exhibit. Demonstrations in the Space using audio must use headsets to demonstrate audio capabilities.

Event Rules: Sponsor agrees to be bound by Conference guidelines, rules and

regulations as may be provided in writing from time to time by Akamai and agrees that Akamai may terminate the Space (as defined below), without liability or refund, if Sponsor does not follow such rules and regulations, which are incorporated herein by this reference. All exhibit graphics, materials, and other collateral are subject to approval by Akamai. Sponsor will cease any activity by Sponsor that for any reason is deemed objectionable, adversely impacts other sponsors or Akamai, or generally detracts from the character of the event,in each case, as determined by Akamai.

Cancellation of Conference: Akamai may cancel all or any part of the

Conference for any reason. In such event, Akamai will refund to Sponsor any fees already paid, after which Sponsor will have no further recourse against Akamai.

Termination by Sponsor: All payments are considered fully earned and are

nonrefundable, except as expressly provided herein. Termination by Sponsor must be in writing and will be effective upon receipt by Akamai. If Sponsor terminates in accordance with this paragraph for a reason other than Akamai’s material breach of this Sponsorship Agreement within 60 days before the first day of the Conference, Akamai will refund 50% of the Total Sponsorship Fee. If Sponsor terminates in accordance with this paragraph for a reason other than Akamai’s material breach of this Sponsorship Agreement within 30 days before the first day of the Conference, Akamai will refund 25% of the Total Sponsor-ship Fee. No refunds will be made after the date which is 30 days prior to the first day of the Conference.

Termination by Akamai: Akamai may take possession of the Space and

terminate Sponsor’s participation in the Conference if the Sponsor violates any of the terms of this Sponsorship Agreement, without liability or

refund.Limitation of Liability: EXCEPT AS EXPRESSLY SET FORTH HEREIN, UNDER NO CIRCUMSTANCES WILL AKAMAI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR OTHER AUTHORIZED REPRESENTATIVES OR THE CONFERENCE VENUE COLLECTIVELY, THE “CONFERENCE PROVIDERS”) OR SPONSOR, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR OTHER AUTHORIZED REPRESENTATIVES BE LIABLE FOR LOST PROFITS OR OTHER INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES FOR ANY

ACTS OR OMISSIONS WITH RESPECT TO THE CONFERENCE. Akamai will not be liable for any errors in any listing or descriptions or for omitting any Sponsor from the Conference guide or any other materials. Except to the extent prohibited by law, in no event shall Akamai’s total liability hereunder exceed the amounts paid by Sponsor hereunder. Sponsor agrees that this is its sole and exclusive remedy and hereby releases Akamai from all obligations, liability claims or demands in excess of that amount.

Indemnity: Sponsor agrees to defend, indemnify, and hold harmless Akamai and

those lawfully in the venue from and against any claim, loss, liability, or damage suffered due to Sponsor construction or maintenance of an unsafe Exhibit, and/or the negligence or misconduct of Sponsor or its agents.

Insurance: Sponsor shall maintain proper insurance coverage for its property and

liability, and represents and warrants that it has obtained adequate insurance of at least $1 million to cover its potential liability hereunder.

Release: Sponsor acknowledges that the Conference may be reproduced or

recorded and authorizes Akamai and its designees to record, transcribe, modify, or reproduce and distribute in any form and for any purpose any such recording of the Conference. Sponsor hereby releases Akamai and its designees from and waives all claims it or its employees or agents may possess, now or in the future, in connection with such activities, and specifically waives any statutory restriction on waivers or future claims or moral rights.

Own Risk: Sponsor shall have the sole responsibility for any loss of its equipment,

materials, or proprietary information, or any loss including any subrogation claims byits insurers. Persons visiting, viewing, or otherwise participating in Sponsor Space shall be deemed invitees of the Sponsor and not those of any of the Conference Providers.

Warranties Disclaimer: SPONSOR ACKNOWLEDGES THAT ACCESS TO THE SPACE

IS PROVIDED “AS IS” AND AKAMAI MAKES NO REPRESENTATIONS OR WARRAN-TIES, ORAL OR WRITTEN, EXPRESSED OR IMPLIED, IN CONNECTION WITH THE SPACE, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANT ABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Third Party Contractors: Akamai or the Conference venue may require the

Sponsor to use its designated third party contractors for certain services (“Designated Contractors”) for certain Exhibit and Conference related activities upon reasonable notice to Sponsor. Sponsor will be required to use such Designated Contractors for these services. Designated Contractors and third party vendors act solely as independent contractors. Akamai is not responsible for their performance, acts or omissions.

Other Conferences and Marketing: The Sponsor agrees not to leverage

participation in this Conference, except as specifically agreed upon between Akamai and the Sponsor, to conduct any other marketing activities within 5 business days and/or 100 miles that are targeted at a similar audience. Akamai will not unreasonably withhold exceptions.

Conference Materials: Any planning and marketing materials or methodologies

distributed to the Sponsor related to the planning or execution of this Conference are owned exclusively by Akamai.

Laws and Rules: The Sponsor shall comply with all applicable laws, regulations,

and ordinances in connection with its participation in the Conference to the extent provided to Sponsor in by Akamai in writing in advance, including, but not limited to rules of the venue and any relevant labor union, construction of the Exhibit in compliance with the ADA or its local equivalent, and the terms, conditions, and rules issued by Akamai in writing from time to time.

Third Party Proprietary Rights: The Sponsor will not violate the proprietary rights

of third parties in connection with its participation with the Conference.

Miscellaneous: When accepted in writing by Akamai, this Sponsorship Agreement

will constitute the entire agreement between Sponsor and Akamai concerning its subject matter, and may only be modified in a writing signed by both parties. Neither party’s rights in this agreement shall not be waived without consent in writing. Except as expressly set forth herein, neither party may assign this Sponsorship Agreement without prior written consent from Akamai. If any term of this Sponsorship Agreement is declared invalid or unenforceable, the remainder shall continue in full force and effect. This agreement shall be binding upon the permitted successors, and assigns of the Sponsor.

Governing Law: This Contract shall be governed by and construed under the laws

of the Commonwealth of Massachusetts without regard to its conflicts of law rules.

Payment: The Total Sponsorship Fee is due and payable in U.S. funds upon

execution of this Sponsorship Agreement by Sponsor in order to secure Sponsor’s Space at the Conference as a Sponsor. Checks should be made payable to: Akamai Technologies, Inc., 8 Cambridge Center, Cambridge, MA 02142. If Akamai rejects the Sponsor’s completed Sponsorship Agreement for any reason, Akamai will return such payment. Failure to make all scheduled payments as agreed shall constitute a
