RESOLUTION CALLING A BOND ELECTION AND NOTICE OF ELECTION THE STATE OF TEXAS
TARRANT COUNTY CITY OF BENBROOK
WHEREAS, the City Council (the "Council") of the City of Benbrook, Texas (the "City") deems it advisable to call the bond election hereinafter ordered (the "Election"); and
WHEREAS, the bond referendum is held in accordance with the provisions of Chapter 1251, Texas Government Code, and various provisions of the Texas Election Code (the "Code"), including Section 42.002 of the Code, and the City is contracting with Tarrant County, Texas (the "County") for the administration of the Election pursuant to an interlocal agreement with the County (the "Election Contract"); and
WHEREAS, the County, acting through the Tarrant County Elections Administrator (the "Elections Administrator") in accordance with the Election Contract, will provide for the administration of the Election for residents of the City; and
WHEREAS, it is hereby officially found and determined that the meeting at which this Resolution was adopted was open to the public, and public notice of the time, place and purpose of the meeting was given, all as required by Chapter 551, Texas Government Code;
THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF BENBROOK:
Section 1. The statements contained in the preamble of this Resolution are true and correct and adopted as findings of fact and operative provisions hereof.
Section 2. Election Ordered; Polling Places. The Election shall be held in the City between the hours of 7:00 a.m. and 7:00 p.m. on May 1, 2021 ("Election Day"). The Election is to be conducted with, and administered by, Tarrant County, as provided by Chapter 271 of the Texas Election Code (the "Code"), and the Election Contract. Voting for the Election on Election Day and Early Voting shall occur on the dates and during the hours and at the designated polling places as set forth in Exhibit "A" attached hereto, which exhibit is hereby made a part hereof for all intents and purposes. Exhibit "A" shall be modified to include additional or different Election Day polling places required to conform to the Election Contract and the Code.
Section 3. Early Voting. Early voting shall be administered by Tarrant County. Early Voting by personal appearance shall begin on April 19, 2021 and conclude on April 27, 2021, and will be conducted at the Early Voting locations on the dates and at the times specified in Exhibit "A" attached hereto. The early voting polling places shall remain open during such hours for early voting by personal appearance for any registered voter of the City at such voting place. Exhibit "A" shall be modified to include additional or different early voting polling places required to conform to the Election Contract and the Code.
Section 4. Election Officials. The appointment of the Presiding Election Judges, Alternate Judges, Early Voting Clerks, the Presiding Judge of the early ballot board and other election officials for the Election shall be made by the Election Coordinator, as applicable, in accordance with the Election Contract and the Code. The Elections Coordinator may employ other personnel necessary for the proper administration of the Election, including such part-time help as is necessary to prepare for the Election, to ensure the timely delivery of supplies during early voting and on Election Day, and for the efficient tabulation of ballots at the central counting station.
Section 5. Voting by Mail. Applications for voting by mail for all residents of the City shall submitted by personal delivery or shall be mailed to the address below prior to the deadline prescribed by law:

Section 6. Early Voting Ballots. An Early Voting Ballot Board shall be created to process early voting results of the Election, and the Presiding Judge of the Early Voting Ballot Board shall be designated by the Elections Coordinator. The Presiding Judge of the Early Voting Ballot Board shall appoint two or more additional members to constitute the Early Voting
Ballot Board members and, if needed, the Signature Verification Committee members required to efficiently process the early voting ballots.
Section 7. Qualified Voters. All qualified electors of and residing in the City, shall be entitled to vote at the election. Section 8. Proposition. At the Election the following PROPOSITION shall be submitted in accordance with law:

Shall the City Council of the City of Benbrook, Texas, be authorized to issue and sell bonds in the aggregate principal amount of $22,000,000, for the public purpose of constructing, improving and equipping a new municipal building for the police department, senior citizen center, municipal court, and city administration offices, and necessary demolition of existing facilities for such purpose, with said bonds to be issued in one or more series, to mature serially or otherwise not to exceed thirty years from their date, and bear interest at such rate or rates, not to exceed the limits prescribed by law at the time of issuance, and to be sold at such prices or rates, as the City Council in its discretion shall determine; and shall there be levied and pledged, assessed and collected annually ad valorem taxes on all taxable property in said City in an amount sufficient to pay the annual interest on said bonds and provide a sinking fund to pay said bonds at maturity?
Section 9. Ballots. The official ballots for the Election shall be prepared in accordance with the Texas Election Code so as to permit the electors to vote "FOR" or "AGAINST" the aforesaid PROPOSITION with the ballots to contain such provisions, markings and language as required by law, and with such PROPOSITION to be expressed substantially as follows:

THE ISSUANCE OF $22,000,000 BONDS FOR A NEW MUNICIPAL BUILDING FOR THE POLICE DEPARTMENT, SENIOR CITIZEN CENTER, MUNICIPAL COURT, AND CITY ADMINISTRATION OFFICES, AND NECESSARY DEMOLITION OF BUILDINGS FOR SUCH PURPOSE. TAXES SUFFICIENT TO PAY THE PRINCIPAL OF AND INTEREST ON THE BONDS WILL BE IMPOSED.
Section 10. Compliance with Federal Law. In all respects, the Election shall be conducted in accordance with the Code. Pursuant to the federal Help America Vote Act ("HAVA") and the Code, at each polling place there shall be at least one voting system that is equipped for disabled individuals, and each such voting system shall be a system that has been certified by the Texas Secretary of State as compliant with HAVA and the Code. The City hereby finds that the voting system to be used by the Election Coordinator in administering the Election is such a system, and orders that such voting equipment or other equipment certified by the Texas Secretary of State shall be used by the City in its elections.
Section 11. The City Council hereby authorizes the Mayor, Mayor Pro Tem, City Secretary or the City Manager of the City to execute or attest on behalf of the City the Election Contract with the County.
Section 12. The following information is provided in accordance with the provisions of Section 3.009(b), Texas Election Code.
(a) The proposition language that will appear on the ballot is set forth in Section 9 hereof. (b) The purpose for which the bonds are to be authorized is set forth in Section 8 hereof.
(c) The principal amount of the debt obligations to be authorized is $22,000,000 for Proposition A.
(d) If the bonds are approved by the voters, the City Council will be authorized to levy annual ad valorem taxes, on all taxable property in the City, sufficient, within the legal limit prescribed by law, to pay the principal of and interest on the bonds and the cost of any credit agreements executed in connection with the bonds.
(e) Based upon the bond market conditions at the date of adoption of this Resolution, the maximum interest rate for any series of the bonds is estimated to be 5.00%. Such estimate takes into account a number of factors, including the issuance schedule, maturity schedule and the expected bond ratings of the proposed bonds. Such estimated maximum interest rate is provided as a matter of information, but is not a limitation on the interest rate at which the bonds or notes, or any series thereof, may be sold.
(f) If the bonds are approved, they may be issued in one or more series, to mature serially, over a period not to exceed thirty years from the date of issuance of each series of bonds.
(g) The aggregate amount of the outstanding principal of the City’s debt obligations as of the date of this Resolution is $3,990,000.00.
(h) The aggregate amount of the outstanding interest of the City’s debt obligations as of the date of this Resolution is $195,630.00.
(i) The ad valorem debt service tax rate for the City as of the date of this Resolution is $0.0210 per $100 of taxable assessed valuation.
RESOLUCIÓN PARA CONVOCAR A UNA ELECCIÓN DE BONOS Y AVISO DE ELECCIÓN ESTADO DE TEXAS
CONDADO DE TARRANT CIUDAD DE BENBROOK
CONSIDERANDO que el Ayuntamiento (el “Ayuntamiento”) de la Ciudad de Benbrook, Texas (la “Ciudad”) considera aconsejable convocar la elección de bonos que se ordena abajo (la “Elección”); y
CONSIDERANDO que el referéndum de bonos se hace según las disposiciones del Capítulo 1251, Código de Gobierno de Texas y varias disposiciones del Código Electoral de Texas (el “Código”), incluyendo la Sección 42.002 del Código, y que la Ciudad está contratando al Condado de Tarrant, Texas (el “Condado”) para administrar la Elección según un acuerdo interlocal con el Condado (el “Contrato Electoral”); y

POR LO TANTO, EL AYUNTAMIENTO DE LA CIUDAD DE BENBROOK RESUELVE:
Sección 1. Las declaraciones contenidas en el preámbulo de esta Resolución son verdaderas y correctas y se adoptaron como conclusiones de hecho y disposiciones operativas de la misma.
Sección 2. Elección ordenada; Lugares de votación. La Elección se hará en la Ciudad entre las 7:00 a. m. y las 7:00 p. m. del 1 de mayo de 2021 (“Día de la Elección”). El Condado de Tarrant celebrará y administrará la Elección, según lo dispuesto por el Capítulo 271 del Código Electoral de Texas (el “Código”) y el Contrato Electoral. La votación para la Elección el Día de la Elección y la Votación Anticipada se hará en las fechas y durante los horarios y en los lugares de votación designados como se establece en el Anexo “A” adjunto al presente documento, que forma parte del mismo para todos los efectos. Sección 3. Votación anticipada. La votación anticipada se administrará por el Condado de Tarrant. La Votación Anticipada en persona comenzará el 19 de abril de 2021 y concluirá el 27 de abril de 2021 y se hará en los lugares de Votación Anticipada en las fechas y los horarios especificados en el Anexo “A” adjunto. Sección 6. Boletas de votación anticipada. Se creará una Junta de Boletas de Votación Anticipada para procesar los resultados de la votación anticipada y el Coordinador Electoral designará al Juez Presidente de la Junta de Votación Anticipada. El Juez Presidente de la Junta de Boletas de Votación Anticipada nombrará a dos o más miembros adicionales para constituir los miembros de la Junta de Votación Anticipada y, si es necesario, los miembros del Comité de Verificación de Firmas requeridos para procesar eficientemente las boletas de votación anticipada.

Sección 9. Boletas. Las boletas oficiales para la Elección se prepararán según el Código Electoral de Texas para permitir que los electores voten “A FAVOR” o “EN CONTRA” de la PROPUESTA antes mencionada con las boletas para contener las disposiciones, las anotaciones y el lenguaje requeridos por la ley, y con dicha PROPUESTA que se expresará sustancialmente de la siguiente manera:

SE IMPONDRÁN IMPUESTOS SUFICIENTES PARA PAGAR EL CAPITAL Y LOS INTERÉS DE LOS BONOS. Sección 10. Cumplimiento de la Ley Federal. En todos los aspectos, la Elección se hará según el Código. Sección 12. La siguiente información se da según las disposiciones de la Sección 3.009(b) del Código Electoral de Texas.
(a) El lenguaje de la propuesta que aparecerá en la boleta se establece en la Sección 9 del presente documento. (b) El propósito para el que se autorizarán los bonos se establece en la Sección 8 del presente documento. (c) La cantidad de capital de las obligaciones de deuda que se autorizará es de $22,000,000 para la Propuesta A. (d) Si los bonos se aprueban por los votantes, el Ayuntamiento estará autorizado a imponer impuestos ad valorem anuales, sobre toda propiedad imponible en la Ciudad, suficiente, dentro del límite legal prescrito por la ley, para pagar el capital y los intereses de los bonos y el costo de cualquier contrato de crédito celebrado en relación con los bonos.
(e) Según las condiciones del mercado de bonos a la fecha de adopción de esta Resolución, se calcula que la tasa de interés máxima para cualquier serie de bonos es del 5.00 %. Dicho cálculo toma en cuenta diversos factores, incluyendo el calendario de emisión, el calendario de vencimiento y las calificaciones esperadas de los bonos propuestos. Dicha tasa de interés máxima calculada se da como una cuestión de información, pero no es una limitación sobre la tasa de interés a la que se pueden vender los bonos o pagarés, o cualquier serie de los mismos.
(f) Si se aprueban los bonos, se podrán emitir en una o más series, con vencimiento en serie, en un período que no exceda los treinta años a partir de la fecha de emisión de cada serie de bonos.
(g) La cantidad total del capital pendiente de las obligaciones de deuda de la ciudad a la fecha de esta Resolución es de $3,990,000.00.
(h) La cantidad total de los intereses pendientes de las obligaciones de deuda de la Ciudad a la fecha de esta Resolución es de $195,630.00.
(i) La tasa impositiva del servicio de la deuda ad valorem para la ciudad a la fecha de esta Resolución es de $0.0210 por $100 de valoración tasada imponible.

Mục 7. Cử tri Đủ điều kiện. Tất cả các cử tri đủ điều kiện và cư trú tại Thành phố, sẽ có quyền đi bỏ phiếu tại cuộc bầu cử.

Hội đồng Thành phố Benbrook, tiểu bang Texas có được phép phát hành và bán công khố phiếu với tổng số tiền gốc là $22.000.000, phục vụ cho mục đích công là xây dựng, cải thiện và trang bị một tòa nhà thành phố mới cho sở cảnh sát, trung tâm dành cho người cao niên, tòa án thành phố và các văn phòng hành chính thành phố và công tác phá dỡ cần thiết đối với các cơ sở hiện tại để nhằm mục đích như vậy, với các công khố phiêu được phát hành thành một hoặc nhiều đợt, đến hạn thanh toán theo từng kỳ hoặc không quá ba mươi năm kể từ ngày phát hành và được tính lãi suất ở mức như vậy, không được vượt quá giới hạn theo quy định của pháp luật tại thời điểm phát hành và được bán với giá như vậy, do Hội đồng Thành phố toàn quyền quyết định; và có được đánh thuế và cầm cố, định giá và thu thuế giá trị theo đơn giá hàng năm đối với tất cả tài sản chịu thuế trong Thành phố với số tiền đủ để trả lãi hàng năm cho công khố phiếu nói trên và cung cấp một quỹ chìm để trả cho công khố phiếu đó khi đáo hạn không?
Mục 9. Lá phiếu. Các lá phiếu chính thức cho Bầu cử sẽ được chuẩn bị theo Bộ luật Bầu cử Texas để cho phép các cử tri bỏ phiếu "TÁN THÀNH" hoặc "PHẢN ĐỐI" DỰ LUẬT nói trên với các lá phiếu có những điều khoản, ký hiệu và ngôn ngữ theo quy định của pháp luật và với DỰ LUẬT được thể hiện một cách cơ bản như sau:

PHÁT HÀNH CÔNG KHỐ PHIẾU $22.000.000 CHO TÒA NHÀ THÀNH PHỐ MỚI CỦA SỞ CẢNH SÁT, TRUNG TÂM CHO NGƯỜI CAO NIÊN, TÒA ÁN THÀNH PHỐ VÀ CÁC VĂN PHÒNG HÀNH CHÍNH THÀNH PHỐ VÀ CÔNG TÁC PHÁ HỦY CẦN THIẾT ĐỐI VỚI CÁC TÒA NHÀ NHẰM MỤC ĐÍCH NHƯ VẬY. SẼ ĐÁNH THUẾ ĐỦ ĐỂ TRẢ GỐC VÀ LÃI CHO CÔNG KHỐ PHIẾU.
Mục 10. Tuân thủ Luật Liên bang. Trên mọi phương diện, Bầu cử sẽ được tiến hành theo Bộ luật. Căn cứ vào Đạo luật Giúp Người Mỹ Bỏ phiếu của liên bang ("HAVA") và Bộ luật, tại mỗi địa điểm bỏ phiếu sẽ có ít nhất một hệ thống bỏ phiếu được trang bị cho người khuyết tật và mỗi hệ thống bỏ phiếu như vậy sẽ là một hệ thống đã được Thư ký Chính quyền Texas chứng nhận là tuân thủ HAVA và Bộ luật. Theo đây, Thành phố nhận thấy rằng hệ thống bỏ phiếu được Điều phối viên Bầu cử sử dụng trong việc điều hành Bầu cử là một hệ thống như vậy và yêu cầu Thành phố sử dụng thiết bị bỏ phiếu đó hoặc các thiết bị khác được Thư ký Chính quyền Texas chứng nhận trong các cuộc bầu cử của thành phố.
Mục 11. Hội đồng Thành phố theo đây ủy quyền cho Thị trưởng, Thị trưởng Tạm quyền, Thư ký Thành phố hoặc Quản đốc Thành phố của Thành phố thay mặt Thành phố thực hiện hoặc chứng thực Hợp đồng Bầu cử với Hạt.
Mục 12. Thông tin sau đây được cung cấp theo các quy định của Mục 3.009(b), Bộ luật Bầu cử Texas. (a) Ngôn từ dự luật mà sẽ xuất hiện trên lá phiếu được quy định trong Mục 9 của văn bản này. (b) Mục đích cho phép công khố phiếu được nêu trong Mục 8 của văn bản này.
(c) Số tiền gốc nợ phải trả được phép là $22.000.000 cho Dự luật A.
(d) Nếu công khố phiếu được cử tri chấp thuận, Hội đồng Thành phố sẽ có quyền đánh thuế giá trị theo đơn giá hàng hóa hàng năm, đối với tất cả tài sản chịu thuế trong Thành phố, ở mức đủ, trong giới hạn hợp pháp theo quy định của luật, để trả gốc và lãi công khố phiếu và chi phí của bất kỳ thỏa thuận tín dụng nào được thực hiện liên quan đến công khố phiếu.
(e) Căn cứ vào điều kiện thị trường công khố phiếu vào ngày thông qua Nghị quyết này, lãi suất tối đa đối với bất kỳ đợt công khố phiếu nào đều được ước tính là 5,00%. Ước tính như vậy có tính đến một số yếu tố, bao gồm lịch phát hành, lịch đáo hạn và xếp hạng công khố phiếu mong muốn đối với công khố phiếu đề xuất. Mức lãi suất tối đa ước tính như vậy được cung cấp nhằm mục đích thông tin, nhưng không phải là giới hạn lãi suất bán công khố phiếu hoặc trái phiếu hoặc bất kỳ đợt phát hành nào những loại đó.
(f) Nếu công khố phiếu được chấp thuận, chúng có thể được phát hành thành một hoặc nhiều đợt, để đáo hạn nối tiếp, trong thời gian không quá ba mươi năm kể từ ngày phát hành từng đợt công khố phiếu.
(g) Tổng số tiền gốc chưa thanh toán phải trả của Thành phố tính đến ngày thông qua Nghị quyết này là $3.990.000.00.
(h) Tổng số tiền lãi chưa thanh toán phải trả của Thành phố tính đến ngày thông qua Nghị quyết này là $195,630.00. (i) Thuế suất mức chi trả nợ theo đơn giá hàng hóa cho Thành phố tính đến ngày thông qua Nghị quyết này là $0,0210 trên giá trị định giá chịu thuế là $100.

THE ISSUANCE OF $22,000,000 BONDS FOR A NEW MUNICIPAL BUILDING FOR THE POLICE DEPARTMENT, SENIOR CITIZEN CENTER, MUNICIPAL COURT, AND CITY ADMINISTRATION OFFICES, AND NECESSARY DEMOLITION OF BUILDINGS FOR SUCH PURPOSE. TAXES SUFFICIENT TO PAY THE PRINCIPAL OF AND INTEREST ON THE BONDS WILL BE IMPOSED.
The following table sets forth the estimated principal amount of, and interest due to maturity on, the bonds to be issued if Proposition A passes, and all outstanding obligations of the City secured by and payable from ad valorem taxes.

(1) The interest on the proposed bonds was estimated at a rate of 5.00% based on market conditions as of February 4, 2021, and therefore, the interest payable on the proposed bonds may be less than, or more than, the amounts set forth above based on market conditions at the time of sale of the proposed bonds.
Based on the information and assumptions provided in the table above, the estimated maximum annual increase in the amount of taxes that would be imposed on a residence homestead in the City with a taxable appraised value of $100,000 to repay the proposed bonds, if approved, is $0.00. This estimate assumes annual growth of City’s taxable assessed valuation at a rate of 2% per year through tax year 2022 and holds the City’s taxable assessed valuation constant thereafter. The estimated “no tax increase” stated above assumes that the proposed bonds will be issued in an amortization that will produce relatively consistent levels of debt service in each year.

(1) Los intereses sobre los bonos propuestos se calcularon a una tasa del 5.00 % con base en las condiciones del mercado al 4 de febrero de 2021 y, por lo tanto, los intereses pagaderos sobre los bonos propuestos pueden ser menores o mayores que las cantidades establecidas arriba según las condiciones del mercado cuando sea la venta de los bonos propuestos.
