the

YEAR

The lnsurance Commission, hereinafter referred to as lC, requires the services of an

lnternet Service Provider, hereinafter referred

to as

lSP,

for

its

various lnternet service related requirements.

I.

THE FOLLOWING TERMS SHALL GOVERN THE REQUIRED SERVICES:

1.

The ISP shall provide lC with:

i.

Supply

and

installation

of

20Mbps Dedicated lnternet

Service

Connection

via

Fiber Optic Cable

for

One (1) Year leased line at a guaranteed

ratio

of

1:1

with

unlimited lnternet connection

to

the

lnsurance

Commission

with

at

least

99.99% uptime

service availability;

Provide leased lines using fiber optic cables.

A

leased line

is

any telecommunications

path

between

two

points

that

is

available 24 hours a day 7 days a week for use by a designated user (individual or company). lt is not shared in common among multiple users as dial-up lines are. A dedicated line can be a physical path owned by the user;

lnstall last mile cabling outside and within !C premises necessary in establishing connectivity between INTERNET SERVICE PROVIDER's

network

and

the

lC

lnformation Technology

Division

Office network/Data Center at no extra cost to the lC.

2.

Provide configuration, propagation

and

resolution

of

domain name for Web and Mail IP addresses;

3.

Provide 32 usable lP addresses at no additional cost to !C;

4.

Provide telephone-based qualified technical support available on a 24

x7

basis

to

assist

the lC in

troubleshooting issues affecting

the

lnternet connection on the provided lnternet Service;

5.

Send

a

qualified technical representative within 24 hours

to

resolve any problem

at

no additional cost

to

lC, if the problems cannot be resolved through telephone support or assistance;

6.

Provide

24

x

monitoring facility available online

that

would

show historical

and realtime

performance

of the

lnternet service

i.e.

Multi Router Traffic Grapher (MRTG);

lnform

the

lC

at

least Thirty

(30) days

ahead prior

to

any

monthly scheduled maintenance

or

hours ahead prior

unscheduled emergency maintenance on the side of the Provider;

Provide and guarantee redundant routes to the lnternet i.e. multi peering routes or any alternative routes that will provide access to the lnternet in

case

of

problems with INTERNET SERVICE PROVIDER's primary connections

to

ensure 99.5% uptime service availability

in

order

to minimize or eliminate downtime;

Provide IC an account manager/relationship manager who will serve as single point of contact during the supply, installation and commissioning of the project;

Complete the supply, delivery, installation and commissioning of all items within thirty (30) calendar days from receipt of Notice to Award;

Confirm in writing any reported service interruption due

to

INTERNET SERVICE PROVIDER's equipment

or

facilities

or

causes

within

its

control, and adjust

or

repay part

of the

charges

in

accordance with a rebate structure;

Any

refund

shall

be

paid

in

the

form

of

a

rebate against

the

lC's subsequent monthly charges.

All

claims

for

refund should

be

received

while

service provided

to the

lC

is

still

active. INTERNET SERVICE PROVIDER reserves the right

to

determine the duration of any outage,

and such

determination

shall

be

done

in

coordination

with

lC.

Any refunds given by INTERNET SERVICE PROVIDER to the lC shall be final and exclusive, and shall form

the

lC's

sole and

only

remedy against INTERNET SERVICE PROVIDER on such refunds. lC shall be entitled to a refund, up to the minimum amount of the monthly subscription of the lC, which shall be credited to IC's Statement of Account:

2.

The contractor should be a holder of a valid business license from relevant government agencies;

GENERAL CONDITIONS

All entries in the quotation must be typewritten in a company's letterhead, duly signed by the contractor or its duly authorized representative.

PHILGEPS Registration Certificate shall be attached to the quotation upon submission to the Bids and Awards Committee Secretariat.

Valid

certification

from

the

National Telecommunications Commission

(NTC),

as

a

registered domestic corporation duly authorized

to

render telecommunication services.

Price validty shall be for a period of

thirty

(30) days from the submission of quotation.

For verification purposes, the bidder with the lowest bid shall be required to present the original copy of the submitted required documents, specified

in

the

REPLY

SLIP,

including

mayor's permit,

DTI

business name registration and/or tax clerance certificate, as appropriate.

The lC reserves the right to reject any or all Quotations/bids, to annul the procurement process,

to

reject

all

Quotations/Bids

at

any

time

prior to contract award, without thereby incurring

any

liablity

to

the

affected Bidder(s), and

to

accept only the offer that is most advantageous to the Government.

LIMITATION OF LIABILITY

1.

Subject to the lnsurance Commission's obligation

to

pay the price to the Contractor, either party's liabiity

in

contract,

tort or

othenryise (including negligence) arising directly

out

of

or

in

connection

with the

Terms of Reference and every applicable part of it shall be limited in aggregate to the Price.

TERMINATION

1.

The agreement between

the

lnsurance Commission and

the

Contractor shall be effective upon its approval by the former and acceptance by the latter, and shall continue, unless terminated sooner or until the completion date of issues to be delivered;

Either Party may termintate the agreement upon notice in writing

if

the other

is in

breach

of

any

material obligation contained in the Terms of

Reference which is not remedied (if it is capable of being remedied) within thirty (30) days of written notice from the other Party so to do;

3.

Any termination of the agreement (howsoever occasioned) shall not affect any acrued rights or liabilities of either Party nor shall it affect the coming into force

or the

continuance

in

force

of

any provision hereof which is expressly or by implication intended to come into or continue in force on or after such termination.

VI.

MISCELLANEOUS

The Failure of either party

to

enforce its rigths based on the agreement under this Terms

of

Reference

at

any time

for

any period shall not be construed as a waiver of such rights;

any part, term or provision of this Term

of

Reference is held illegal or unenforceable neither the validty nor enforceability of the remainder of the provisions shall be affected;

3.

Neither Party shall be liable for failure

to

perform or delay in performing any obligation under this Terms

of

Reference

if

the

failure

or

delay is caused by any circumstances beyond its reasonable control, including but not limited

to

acts

of

God, war, civil commotion

or

industrial

dispute.

lf such delay or failure continues for at least seven (7) days, the Party not affected

by

such delay

or

failure shall

be

entitled

to

terminate this Agreement by notice in writing to the other;

4.

lt is understood that all the relevant provisions of the Rpublic Act No. 9184 (Government Procurement Reform Act) and

its

lmplementing Rules and Regulations-A (1RR-A)

shall

apply, govern,

and

complement the agreement arrived at under this Terms of Reference.
