On March 14, 2006, Vytra Health Plans formally merged with HIP Health Plan of New York. The enclosed

Notices of Merger, Certificates of Assumption and cover letter explaining this merger will be sent to current Vytra

clients.

As you know, Vytra and HIP have been working side by side for several years now to provide clients with access to high quality health plans. The merger of these two companies will allow HIP to offer employers expanded health plan choices at very competitive prices. Employers will also benefit from expanded network options that provide access to many of the best physicians and hospitals in Nassau and Suffolk Counties, New York City and other locations in the New York metropolitan area.

Current Vytra Plans

Members will continue to receive their benefits under their current Vytra plan until the renewal date. They may also continue to receive care from the participating doctor(s) and health care providers they are currently seeing, use their current Vytra ID card, and contact Customer Service via the telephone number, mailing address and Web site (www.vytra.com) they always use. You can be assured that there will be no disruption in service.

Renewal Business

You will be presented with new HIP plan options prior to your clients’ renewal date. We believe that you will be pleased by the exceptional benefit plans offered to meet your clients’ unique health care needs.

On March 14, 2006, Vytra Health Plans formally merged with HIP Health Plan of New York. The legal notices regarding this merger and HIP’s assumption of Vytra business are enclosed. These notifications will also be sent to your employees affected by this merger.

As you may know, Vytra and HIP have been working side by side for several years now to provide access to quality health care. The merger of these two companies will now allow HIP to offer Long Islanders a full

spectrum of health plan options at very competitive prices. Members will also benefit from an expanded provider network that includes many of the best physicians and hospitals in Nassau and Suffolk Counties, New York City, as well as other locations in the New York metropolitan area.

Here are some important points to keep in mind about the merger:

• Your current health care plan and administration are not affected. Your coverage, benefits, and premiums remain unchanged.

• Members can continue to receive care from the participating doctor(s) and health care providers they are currently seeing, use their current Vytra ID card, and contact Customer Service via the telephone number, mailing address and Web site (www.vytra.com) they always use.

• Prior to your renewal date, you will be presented with new health plan options offered through HIP. We believe you will be pleased by the exceptional benefit plans offered to meet your company’s unique health care needs.

The Vytra and HIP merger is important news for our members. HIP’s 58 years of health plan experience,

combined with Vytra’s unique understanding of the health care needs of Long Islanders, will produce added value for our Long Island members. We hope you share our enthusiasm and will elect to participate in one of HIP’s many benefit plans.

(also known as “Vytra”) has implemented a significant corporate restructuring by merging into its parent company, Health Insurance Plan of Greater New York (also known as “HIP”). The merger has received all regulatory approvals. This change is intended to enable us to better serve our customers. On May 1, 2006, HIP will assume your contract originally issued by Vytra as well as all other Vytra business, and will meet the same standards as Vytra in providing health coverage and other services.

Your rights as a contractholder and the terms and conditions of your contract will not be changed as a result of the merger. YOUR BENEFITS WILL NOT CHANGE AS A RESULT OF THE ASSUMPTION. Furthermore, HIP has notified all Vytra physicians that HIP will be assuming all Vytra health benefit contracts as well as provider agreements. Therefore, you may maintain your relationship with your current physician(s).

Please be advised that Vytra, which currently holds your contract, has ceased doing business. Accordingly, your coverage will continue unchanged only until the annual renewal date. In advance of the renewal date, you will receive information about a HIP product that provides substantially the same benefits as your current coverage as well as any other renewal options that may be available.

Enclosed is a Certificate of Assumption that describes the terms of the assumption of your contract by HIP. The Certificate of Assumption should be attached to your contract. You should continue to pay premiums as indicated by your premium notices. HIP will operate in Vytra’s offices using the existing telephone numbers so you may continue to forward claims, correspondence and inquiries concerning your contract, or contact us for any other reason as provided for in your contract.

Assumption of your contract will become effective as of May 1, 2006, at 12:01a.m. Eastern Time. If you have any questions about the assumption of your contract or about HIP, please feel free to call toll-free at 1-866-409-0999. Written inquiries may be mailed to:

CERTIFICATE OF ASSUMPTION

You are hereby notified that Health Insurance Plan of Greater New York (also known as “HIP”) has, effective as of May 1, 2006, assumed all rights, liabilities, and obligations of Vytra Health Plans Long Island, Inc. (also known as “Vytra”) under your contract with Vytra.

From and after the Effective Date, all references in your contract to “Vytra” are hereby changed to “HIP.” HIP has assumed all rights and duties of Vytra under your contract.

1. HIP, a health services corporation organized under New York Insurance Law Article 43 and holding a certificate of authority to operate a health maintenance organization under Article 44 of the Public Health Law of the State of New York, replaces Vytra as the insurer.

2. HIP has assumed responsibility for all benefits for services you receive on and after the Effective Date. Any claim or claims you have against Vytra will instead be against HIP.

3. No other change has been made to your contract. HIP will operate in Vytra’s offices using the existing telephone numbers so you may continue to forward claims, correspondence and inquiries concerning your contract, or contact us for any other reason as provided for in your contract.

Your rights as a contractholder will not be affected by the change in insurance companies, and the terms and conditions of your contract will not be changed by reason of the assumption. This Certificate of Assumption, as of the Effective Date, forms a part of and should be attached to your insurance contract issued to you by Vytra.
