CALIFORNIA ASSOCIATION MEDICAL STAFF SERVICES SAN DIEGO CHAPTER
BYLAWS
ARTICLE I – NAME
The name of the Chapter shall be the San Diego Chapter, California Association Medical Staff Services and shall be governed by the Bylaws of the California Association Medical Staff Services.
ARTICLE II – MISSION
The mission of the San Diego CAMSS is to provide an opportunity for continuing education and to promote the improvement of professional knowledge and skill by uniting persons who are engaged in the medical staff and/or health care provider activities. This Chapter operates under the auspices of CAMSS.
ARTICLE III – STRUCTURE
The Chapter shall be non-profit, non-union, non-partisan, and non-sectarian and shall have the right to establish and control its activities through elected officers.
ARTICLE IV – MEMBERSHIP Membership in this Chapter shall be categorized as Active or Guest.
Active
Active membership shall be limited to medical staff services professionals or those persons engaged in administrative functions, credentialing and/or medical staff functions in any health care related organization. Active members shall be required to pay dues and shall be eligible to vote and hold office.
Guests
Non-members will be allowed to attend meetings as a guest. Non-members shall not be eligible to vote or hold office. Guests who meet the above requirements for Active membership shall be required to become a member of the chapter after attending a maximum of 2 meetings.
ARTICLE V – DUES
Annual dues shall be assessed in an amount to be determined by the Chapter at large at the December meeting. Such dues shall be due and payable no later than December 31st for the membership year (January 1 – December 31). When a new membership application is made with payment of dues in the last ninety (90) days prior to January 1st, dues shall be considered paid for the ensuing membership year. Failure to pay dues by December 31st will result in the expiration of membership until such a time as the member pays the required dues for the membership year. Dues are non-refundable.
ARTICLE VI – OFFICERS
Qualifications
Officers shall consist of the President, President-Elect, Immediate Past-President, Secretary and the Treasurer. The President-Elect shall automatically succeed to the office of President.
a) A candidate for office shall be an Active Member currently employed in San Diego County.
b) The President-Elect and President shall be active members of CAMSS and hold CPMSM or CPCS
certifications issued by the National Association Medical Staff Services or its equivalent as defined by the Board of Directors of CAMSS. If the individual being considered for President does not hold a CPMSM or CPCS certification, and there are no other candidates who are certified, the chapter shall petition the Board of Directors of CAMSS explaining why an individual with a CPMSM or CPCS certification is not being
considered and the qualifications of the individual being considered. After deliberation, the Board of Directors of CAMSS may waive the requirement. This waiver will only be considered once per candidate.
c) The candidate for President Elect must have either served on the Board for a minimum of two years, or on a committee, including but not limited to Membership, Education, or Joint Conference planning.
d) Officers shall be required to attend 75% of chapter meetings each year unless excused for good cause by the President or designee.
Term of Office
Officers shall be elected for a term of two (2) years from June 1 to May 31. All the officers may hold no more than two (2) consecutive terms of two (2) years each in the same office. Elected candidates assume office on June 1. The Treasurer shall be appointed by the President, subject to the approval of the Board of Directors, for the same term as the appointing President.
Vacancy in Office
A vacancy in the office of the President shall be filled by the President-Elect. Vacancies, with the exception of the office of President-Elect, shall be filled by an Active member appointed by the officers to complete the unfinished term. Vacancy of the President-Elect office shall be filled by mail or virtual ballot vote of the membership.
Recall
If any office shall, in the opinion of the membership, fail to perform the duties of the office satisfactorily, the Active membership may, by two-thirds (2/3) vote, recall the officer. Such office shall be filled in accordance with these Bylaws.
ARTICLE VII – DUTIES OF OFFICERS
President
The President of the San Diego Chapter shall serve as the presiding officer of all general meetings of the Chapter. The President shall have the power to appoint chairpersons of all standing and ad hoc committees. The President shall be the spokesperson for the chapter in its external, professional and public relations. The President may vote in the case of a tie vote. The President shall be responsible for the agendas and shall charge the Treasurer to submit a
appoint a Chairperson of the Membership Committee and Bylaws Committee. The President shall represent the chapter at the annual CAMSS Forum.
President-Elect
The President-Elect shall, in the absence of, or because of incapacity of the President, perform the duties and assume the responsibilities of the President. The President-Elect shall automatically succeed to the office of the President. The President-Elect shall serve as Co-Chair for the San Diego and Orange County Chapter Joint Conference. The President-Elect shall represent the Chapter at the annual CAMSS Forum should the President be unable to attend.
Secretary
The Secretary shall have custody of all documents and property of the Chapter unless otherwise provided by the officers. The Secretary shall be responsible for recording the minutes of all meetings of the officers and the general meetings. The Secretary shall send out notices of all meetings in accordance with these Bylaws. The Secretary shall notify the chairpersons and all members of each committee of their appointment and duties. The Secretary shall have charge of correspondence of the chapter and shall make communications in relation to it as may be directed by the officers.
Treasurer
The Treasurer shall have charge and custody of, and be responsible for, all funds of the chapter, and shall receive and give receipts for all monies due and payable to the Chapter from any source whatsoever and deposit all such monies in the name of the San Diego Chapter in such depository as may be selected by the officers and approved by the Chapter as a whole. The Treasurer will report at each meeting of the Chapter.
Immediate Past-President
The Immediate Past-President shall serve as Chairperson of the Nominating Committee and serve on the Board.
ARTICLE VIII – COMMITTEES
Membership
The President shall appoint a Membership Chairperson to promote the growth of the chapter and respond to membership inquires about the Chapter. The Membership Chairperson and the Treasurer shall be responsible for maintaining a current membership roster.
Bylaws
The President shall appoint a Bylaws Committee Chairperson who shall review the bylaws annually, make
recommendations for revision to the officers, and, if approved, the proposed amendments shall be voted upon by mail or virtual ballot or at a general meeting of the membership when advance notice of the proposed revisions has been provided. The Bylaws Committee Chairperson shall also be responsible for developing, reviewing and revising Chapter policies for approval by the Board of Directors.
Nominating
The Nominating Committee shall be appointed by the President in November and shall consist of the Immediate Past- President, who shall serve as Chairperson, and two (2) additional Active members, preferably from 2 different
facilities.
ARTICLE IX – ELECTIONS
Call for Candidates
Active members will be notified of their right to run for office by December 1st. Nominations for positions are to be received before January 15th.
Slate of Candidates
The slate of nominees shall be distributed to the Active members of the organization February 1st. In the event there is only one candidate, that candidate shall be appointed by acclamation.
Balloting
The ballot of nominees for office shall be distributed by mail or by virtual ballot and voted upon by written ballot in March 1st each year. Balloting will close March 15th . If, for any reason a mail ballot or virtual ballot is not feasible, the ballots may be distributed and the voting conducted at a special meeting to be held prior to the end of the current term May 31st.
Election
Election shall be by a simple majority of ballots returned by Active members. The President will notify each candidate of the outcome of the vote.
ARTICLE X- MEETINGS
Schedule of Meetings
The Chapter shall meet as needed, but at least quarterly, as determined by the President at a place and time to be designated.
Quorum
A quorum shall consist of a simple majority of the Active membership.
ARTICLE XI- CONSULTATION WITH THE STATE CHAPTER
At the discretion of the San Diego Chapter President, requests for direction on specific issues or problems may be addressed to the Board of Directors of CAMSS.
ARTICLE XII – AMENDMENTS
These Bylaws may be amended, altered, or repealed by 50% + 1 returned votes of the Active membership by written ballot or verbal vote at a meeting of the general membership within thirty (30) days after submission to the Active members.
ARTICLE XIII – PARLIAMENTARY AUTHORITY
Parliamentary authority shall be Robert’s Rules of Order, Newly Revised. Technical failure to follow these shall not invalidate actions taken.
ARTICLE XIV -- DISBANDING THE CHAPTER
Upon dissolution of the Chapter, the assets shall be distributed as follows: All liabilities and obligations of the Chapter will be paid, satisfied, and discharged. All remaining assets shall be
divided among the recognized chapters within the State of California to provide educational opportunities and support to medical staff services professionals within those chapters based on the size of the
Association membership in each chapter. Donations may also be made to the State Association.
