New term Supervisory Board members appointed

Getin Holding S.A. (the "Issuer") hereby reports that the Annual General Meeting of the Issuer on 17 April 2013 resolved to appoint the present members of the Issuer's Supervisory Board for a new two-year term of the office starting on 30 April 2013, namely: Messrs Leszek Czarnecki, Remigiusz Baliński, Marek Grzegorzewicz, Andrzej Błażejewski and Longin Kula.

Members of the Supervisory Board, according to their representations submitted to the Issuer, do not conduct any business activity competitive to the Issuer's activity, nor have any interest in a partnership or corporation, nor are members in a body of a partnership, corporation or other entity that conducts business activity competitive to the Issuer's activity, nor are they registered in the Register of Insolvent Debtors.

Information on the appointed Members of the Supervisory Board:

Leszek Czarnecki

Dr. Leszek Czarnecki, a graduate from the Wrocław University of Technology, doctor of economics at Wrocław University of Economics. He made a debut as a businessman in 1986, when he set up Przedsiębiorstwo Hydrotechniki i Inżynierii TAN. He was the creator and main shareholder of Europejski Fundusz Leasingowy S.A. (European Leasing Fund), the first and biggest Polish lease company, which he set up in 1991. In 1998, Dr. Leszek Czarnecki was granted the Wall Street Journal award for the Best CEO in Central Europe as one of the 10 renowned businessmen in the region. The same year he also won the global finals of the Young Business Achiever, the contest held in Beijing.

In April 2004, the Financial Times recognised Leszek Czarnecki as one of the 25 emerging stars of European business to set up the directions for the development of financial markets. Leszek Czarnecki was the only Pole in the FT list. In November 2009, Leszek Czarnecki was included in the group of four individuals recognised by INSEAD – one of the best business universities in Europe – and the French Minister of Finance as Eastern Europe Businessman of the Year. In September 2005 received the prestigious Lesław A. Paga award honouring his achievements and personal contribution to the development of the financial services market in Poland. Leszek Czarnecki was selected as the Player of the Year by the Polish Edition of the Forbes magazine three times in a row – in 2005, 2006, and 2007.

Remigiusz Baliński

Remigiusz Baliński is a graduate from Wrocław Medical University, Wyższa Szkoła Biznesu in Nowy Sącz and National Louis University Chicago (MBA). Since 1996 the President of the Management Board of RB Investcom sp. z o.o., a company based in Wrocław.

 In 1993-1994 – Member of the Supervisory Board of Gliwicki Bank Handlowy.  From 1993 to 1996 advisor of the Management Board President, and in 2001 became Vice Chairman of the Supervisory Board of European Leasing Fund S.A.

 From 1997 to 2001 President of the Management Board of Efi sp. z o.o. (member of EFL S.A. Capital Group).

 In 2001 - 2002 advisor and independent proxy of the company.

Remigiusz Baliński's long-time co-operation with capital market institutions made him a knowledgeable expert on the industry standards, approach to customer service and market share acquisition. He is also an expert on financial business environment, legal background and also Polish capital market system and habits. Experienced in managing multi-member teams of specialists, including their training and motivating. He also holds the following positions:

Marek Grzegorzewicz

Marek Grzegorzewicz, graduate from the Wrocław University of Technology (1984) and Henley Management College – MBA (2001).

 From 1984 to 1991 worked as Sales Manager in Diora S.A.

 From 1992 to 1993 – worked as Lower Silesia Regional Managing Director in Inter Ams Sp. z o.o.

 From 1993 to 1994 appointed for the position of General Director in the Ministry of Industry and Commerce.

 From 1994 to 2001 held the position of Managing Director at Cadbury Poland S.A., and in the period between 1998 and 2001 – Managing Director for Central Europe.

 From January 2003 to June 2003 held the position of Member and from December 2005 to July 2006 of President of the Management Board of Tele Video Media sp. z o.o. From July 2003 to September 2003 worked as Member of the Supervisory Board of Carcade Sp. z o.o.

 From May 2003 to January 2004 appointed for the position of Member of the Supervisory Board of LC CORP S.A.

Mr. Marek Grzegorzewicz is member of supervisory boards of the following companies:

 Idea Bank S.A. in Warsaw;

 Jolanta and Leszek Czarnecki Foundation.

Presently, Marek Grzegorzewicz conducts its own business activity specialising in strategic consulting and M&A transactions. He is also Member of the Supervisory Board of Tarczyński S.A., and holds the position of the Honorary Consul of Great Britain in Wrocław.

Longin Kula

Longin Kula graduated from the Wrocław University of Economics, Department of Finances and Accounting (1958). He has worked as an accountant since 1964 and currently also as a statutory auditor (No. 2040 in the register of statutory auditors). Completed the Postgraduate Study at the Department of Organisation and Management, Wrocław Academy of Economics (1972).

He started his professional carrier as the Financial Manager and Deputy Chief Accountant in Wrocławskie Zakłady Zielarskie HERBAPOL in 1957.

 From 1964 to 1967 was affiliated with Zakłady Elektroniczne ELWRO in Wrocław as the Deputy Chief Accountant.

 In 1967 advanced to the Chief Accountant and held the position till 1970.  From 1970 to 1985 held the position of Deputy Director of Economics, and  from 1970 to 1988 of Deputy Director of Economics and Chief Accountant at

Zakłady Elektroniczne “ELWRO”.

 From 1988 - 1991 he was the head of ELWRO representation in Bratislava.  From 1991 to 1992 he was Chief Economist at Zakłady Elektroniczne

“ELWRO”.

 In the period between 1991 and 1992 held the position of Chief Accountant in Europejski Fundusz Leasingowy in Wrocław.

 From 1994 to 2000 of the Member of the Supervisory Board in European Leasing Fund in Wrocław.

 Since 2000 Longin Kula has been working as a finance and accounting advisor to RB Investcom Sp. z o.o. in Wrocław.

 Since 2009 has been holding the position of Member of Getin Holding S.A. Supervisory Board.

 From 2009 to 2010 he held the position of Member of the Supervisory Board in Towarzystwo Ubezpieczeń na Życie Europa S.A.

Andrzej Błażejewski

Andrzej Błażejewski graduated from the Wrocław University of Economics (1974) and completed the Postgraduate Study at the Department of Organisation and Management. Since 1985 has been holding the licence of a statutory auditor (No. 415/1217 in the register of statutory auditors); member of the National Chamber of Statutory Auditors.

 From 1974 to 1978 was employed in Predom-Polar in Wrocław.  From 1979 to 1982 worked in Pafawag and WPB in Wrocław.

 From 1982 to 1984 held the position of the Chief Accountant in DZBM Wrocław Fabryczna.

 From 1985 to 1988 worked as a Chief Accountant/Chief Economist in Biuro Projektowania i Kosztorysowania-SP in Wrocław.

 From 1988 to 1989 – Economic Director for TAN Sp. z o.o. in Wrocław,

 From 1988 to 1990 – Chief Accountant and Director for TAN Sp. z o.o. in Wrocław.

 From 1990 to 1995 – affiliated with the company Economic Consulting and Audit Agency „Accord'ab” Sp. z o.o. in Wrocław, holding the position of President.

 From 1990 to 1999 – held the position of Chairman of the Supervisory Board „Accord'ab” Sp. z o.o.

 From 2000 to 2002 – affiliated with the company Economic Consulting and Audit Agency „Accord'ab” Sp. z o.o. in Wrocław, holding the position of President.

Andrzej Błażejewski is Vice Chairman of L.C. Corp S.A. Currently Andrzej Błażejewski is a co-owner of Biegli Rewidenci Accord'ab sp. z o. o., a company based in Wrocław, and a co-owner of Fabryka Transformatorów in Żychlin Sp. z o. o.
