HOULIHAN’S “I’M NOT HERE TO MAKE FRIENDS” SWEEPSTAKES OFFICIAL RULES
1. NO PURCHASE NECESSARY TO ENTER OR WIN. A VALID TWITTER OR FACEBOOK ACCOUNT AND INTERNET ACCESS ARE REQUIRED FOR ENTRY.
2. SPONSOR: The sponsor of the Sweepstakes is Houlihan’s Restaurants, Inc. (“Sponsor”), 8700 State Line Road, Suite 100, Leawood KS 66206.
3. PROMOTION PERIOD: The Sweepstakes beings on March 7, 2016 at 12:01 a.m. Central Time (“CT”) and ends on March 14, 2016 at 10:00 p.m. CT (the “Promotion Period”). Official time-keeping device is the Sponsor’s server’s clock.
4. WHO MAY ENTER: The ‘I’m Not Here to Make Friends’ Sweepstakes ("Sweepstakes") is open only to legal residents of the forty-eight (48) contiguous United States and District of Columbia who are at least 21 years of age at time of entry. Void in AK and HI and where prohibited or restricted by law. Sweepstakes subject to all applicable federal and state laws and regulations. Employees of Houlihan’s Restaurants, Inc. (“Sponsor”) and its parents, affiliates, subsidiaries and advertising and promotion agencies, and such employees’ immediate family members (parent, spouse, sibling, child, including foster and step relations and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related, are not eligible to enter or win. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein. Sponsor reserves the right to verify eligibility qualifications of the winners.
5. HOW TO ENTER: To enter, you must: have a registered Twitter account or a registered Facebook account. There are two (2) ways to enter the Sweepstakes.
If entering on Twitter:
During the Promotion Period, log in and follow Houlihan’s on Twitter (www.twitter.com/Houlihans)
Mention @Houlihans and include the #HouDiamond hashtag with a relevant response to the respective Sweepstakes Prompt (“Why should we put a ring on it?”). By completing these actions you automatically will receive one (1) entry into the Sweepstakes (“Entry”).

Entries that are late, incomplete, inaccurate, non-compliant or otherwise in violation of these Rules will be disqualified. While the Entry must be in compliance with the Official Rules, its actual content will not be judged and will not impact your chances of winning. Without limitation, any Entry deemed by Sponsor, in its absolute discretion to be or contain content that is or may be indecent, obscene, offensive, hateful, tortious, defamatory, libelous or that violates or infringes another’s rights, or disparages Sponsor (or its goods/services) or any other person or party affiliated with the Sweepstakes, or that is unlawful, dangerous or harmful in any way will be disqualified. If you participate via your wireless phone, message and data rates may apply. Please consult your wireless-service provider regarding its message and data pricing plans. All applicable Terms and Conditions of Facebook and Twitter apply to your use of such social media channels used to facilitate entry into the Sweepstakes.
6. CONDITIONS OF ENTRY: Once submitted, Entries cannot be deleted, cancelled or modified. Limit one (1) prize per person/household address. Any violation or attempt to violate this restriction may cause Sponsor to disqualify such person from the Sweepstakes. All Entries must be received by March 14, 2016 at 10:00 p.m. Central Time. Proof of sending or submission will not be deemed to be proof of receipt of any Entry or eligibility for the Sweepstakes. Entries will be deemed to have been submitted by the registered account holder of the Twitter or Facebook account that submitted the Entry. Without limitation, Sponsor reserves the right to disqualify any person that submits more than the maximum allowed entries. Entrants using more than one (1) Twitter or Facebook account to enter the Sweepstakes will be disqualified. Sponsor reserves the right in its sole discretion to disqualify any Entry at any time in the event it is determined that the Entry is offensive, inappropriate, not in keeping with Sponsor’s image or if it is determined that the Entrant has not otherwise complied with these Official Rules. If the Entry contains any material or elements that are not owned by the Entrant and/or which are subject to the rights of third parties, the Entrant is responsible for obtaining, prior to Entry of the Entry, any and all releases and consents necessary to permit the use and exhibition of the Entry by Sponsor in the manner set forth in these Official Rules. Sponsor reserves the right to request proof of these permissions in a form acceptable to Sponsor from any participant at any time.

Prizes are not assignable, are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize for one of equal or greater value in its sole discretion. Winners are responsible for all federal, state and local taxes and fees on any prize and/or use. Grand Prize winner is solely responsible for all costs, expenses and responsibilities of the prize once delivered including but not limited to its proper sizing/fitting (or inability with respect thereto), insurance, safe-keeping, cleaning and maintenance. Prize will be delivered only to an address in the contiguous United States. Prize and certificate that includes a photo and description of the diamond for insurance purposes will be delivered via UPS Shipping with signature required upon delivery. UPS will attempt to deliver 3 business days in a row before returning the package, at which point the prize will be forfeited and will be awarded to an alternate potential Grand prize winner. No cash alternative or substitution of prizes will be allowed, except Sponsor reserves the right in its sole discretion to substitute prizes of comparable value if any prizes are unavailable, in whole or in part, for any reason. Products awarded as prizes may not be sold, auctioned, bartered, assigned, exchanged, commercially transferred or donated, or otherwise placed into unauthorized commercial channels of distribution. The difference between the ARV and actual value will not be awarded in cash or otherwise. In no event will Sponsor be responsible for awarding different or more prizes than those stated herein.
9. GENERAL CONDITIONS: Winning constitutes permission (except where prohibited by law) for Sponsor and its designees to use winner’s name, hometown, likeness, prize won, and photo and video (all at Sponsor’s discretion) for future advertising, publicity in any and all media now or hereafter devised throughout the world in perpetuity, without additional compensation, notification or permission. Sponsor, Facebook and Twitter and those involved in the development, production (including prize suppliers), implementation, and distribution of this Sweepstakes and their respective officers, directors, agents, representatives and employees (collectively, "Released Parties") are not responsible for lost, late, misdirected, damaged, stolen, altered, garbled, incorrect, incomplete or delayed Entries; all of which will be void. Released Parties are also not responsible for problems uploading or downloading any Sweepstakes-related information or materials from the web site or for any other technical malfunctions of electronic or other equipment, computer on-line systems, servers, or providers, computer hardware or software failures, phone lines, failure of any Entry to be received by Sponsor on account of technical problems, traffic, congestion on the internet or the web site, or for any other technical problems including telecommunication, miscommunication or failure, and failed, lost, delayed, incomplete, garbled or misdirected Entries or any other communication which may limit an Entrant’s ability to participate in this Sweepstakes. Released Parties are not responsible for any other errors or malfunctions of any kind, whether network, printing, typographical, human or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or malfunctions which may occur in connection with the administration of the Sweepstakes, the processing of Entries, the announcement of the prizes or in any Sweepstakes-related materials. Any suspected mass Entries, Entries generated by script, macro, bot or use of automated devices may, in Sponsor’s sole discretion, be disqualified, and any entrant suspected of using/benefitting from such methods will be disqualified. Sponsor reserves the right to modify, suspend or terminate the Sweepstakes in the event it becomes infected by a computer virus or is otherwise technically impaired, and to cancel or suspend the Sweepstakes in its entirety should tampering, unauthorized intervention, fraud, technical failures or other causes corrupt the administration, security, fairness, integrity or proper play of the Sweepstakes and, if terminated, at Sponsor’s discretion, determine the winners for the applicable prize levels at random from amongst all non-suspect, eligible Entries received up to time of cancellation. In the event of a dispute regarding Entries received from multiple users having the same e-mail account, the authorized subscriber of the e-mail account at the time of Entry will be deemed to be the Entrant and must comply with these Official Rules. Authorized subscriber is the natural person who is assigned the e-mail address by the Internet Service Provider (ISP), on-line service provider, or other organization responsible for assigning e-mail addresses. Sponsor reserves the right at its sole discretion to disqualify any individual (and void his/her Entry and vote) it finds to be tampering with the Entry or voting process or the operation of this Sweepstakes or website, intending to annoy, abuse, threaten or harass any other Entrant, Sponsor or any of its representatives or to otherwise be acting in violation of these Official Rules. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATIONS OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER SUCH REMEDIES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW AND TO DISQUALIFY SUCH ENTRANT FROM THE SWEEPSTAKES.

11. RELEASE OF LIABILITY: All entrants release Sponsor, its parent, affiliates, subsidiaries, officers, directors, agents, employees, prize suppliers, Facebook, Twitter and all others associated with the development and execution of this Sweepstakes from any and all alleged or actual claims, actions, demands, losses, settlement (whether or not litigation is commenced), liabilities and damages with respect to or in any way arising from this Sweepstakes, participation in the Sweepstakes or any prize related activities, and/or acceptance or use/misuse of the prize, including but not limited to liability for personal injury, bodily injury including wrongful death, damage to property, and damage or loss of any other kind. Sponsor is not responsible for prize quality or utility. Sponsor shall not be liable to winner or any other person for failure to execute the Sweepstakes, or supply a prize or any part thereof, by reason of any act of God, any action(s), regulation(s) order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, cyber-attacks, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any similar or dissimilar event beyond its reasonable control. In no event will Sponsor its parent, affiliates, subsidiaries and related companies, their advertising or promotion agencies and/or all their respective officers, directors, employees, independent contractors, representatives and agents, be responsible or liable for any damages or losses of any kind, including indirect, incidental, consequential or punitive damages arising out of your access to, and use of, any participating internet site(s), Promotion Pages, or the downloading from and/or printing material downloaded from said site(s). Without limiting the foregoing, everything on this site is provided "AS IS” without warranty of any kind, either express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions may not allow the limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties.
THIS SWEEPSTAKES IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF KANSAS WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Sweepstakes, participants agree that any and all disputes that cannot be resolved between the parties and causes of action arising out of or connected with this Sweepstakes shall be resolved individually, without resort to any form of class action, exclusively before a court located in Johnson County, Kansas having jurisdiction.
