THIRD QUARTERLY REPORT OF FEES
AND EXPENSES PAID TO ORDINARY COURSE PROFESSIONALS FOR
THE PERIOD BEGINNING OCTOBER 1, 2020 AND ENDING DECEMBER 31, 2020

On May 26, 2020, the above-captioned debtors in possession
(collectively, the “Debtors”) filed the
Motion for Order Authorizing Debtors and
Debtors-in-Possession to Employ Professionals Used in Ordinary Course of Business Effective as of the
Petition Date
(ECF No. 257) (the “Motion”) with the United States Bankruptcy Court for the
Southern District of Texas (the “Bankruptcy Court”). Pursuant to the Motion, the Debtors
sought entry of an order authorizing the Debtors to retain and compensate certain professionals
utilized in the ordinary course of the Debtors’ business (the “Ordinary Course Professionals”).

On June 29, 2020, the Bankruptcy Court entered the
Order Authorizing
Debtors to Employ Professionals Used in Ordinary Course of Business Effective as of the
Petition Date
(ECF No. 356) (the “Order”)
2granting the relief requested in the Motion.

On July 30, 2020, the Debtors filed the
First Quarterly Report of Fees and
Expenses Paid to Ordinary Course Professionals for the Period Beginning April 23, 2020 and
Ending June 30, 2020
(ECF No. 568).

On October 30, 2020, the Debtors filed the
Second Quarterly Report of
Fees and Expenses Paid to Ordinary Course Professionals for the Period Beginning July 1, 2020
and Ending September 30, 2020
(ECF No. 887) (the “Second Quarterly Report”).

In accordance with paragraph 1(x) of the Order, annexed hereto as
Exhibit A is a report (the “Report”) that provides the following information: (i) the name of
each Ordinary Course Professional; (ii) the aggregate amounts paid as compensation for services
rendered and reimbursement of expenses incurred by that Ordinary Course Professional during
the period of October 1, 2020 through December 31, 2020 (the “Quarter”); and (iii) a general
description of the services rendered by each Ordinary Course Professional.

The Debtors indicated in the Second Quarterly Report that several
payments were made to Goodwin Procter LLP (“Goodwin”) which exceeded the OCP Monthly
Cap and OCP Case Cap. Goodwin has returned the amounts over the OCP Case Cap pending
preparation of the appropriate documentation and requests for relief in connection with its
compensation.

During the Quarter, the Debtors made several payments to Herbert Smith
Freehills LLP (“HSF UK”)
3which exceeded the OCP Monthly Cap. The Debtors are working
with HSF UK to review and prepare the appropriate documentation and requests for relief in
connection with its compensation.

For the avoidance of doubt, HSF UK is separate and distinct from Herbert Smith Freehills, an Australian
partnership, the Debtors’ attorneys in these chapter 11 cases, and Herbert Smith Freehills, a Hong Kong
partnership.

8.
During the Quarter, the Debtors made several payments to professionals
prior to their submission of a declaration as required by the Order (each an “OCP Declaration”).
Such professionals have since filed the requisite OCP Declarations (ECF Nos. 1022, 1149) for
retention and have been retained pursuant to the OCP Order.

This Report reflects the amounts paid by the Debtors to Ordinary Course Professionals as defined under the Motion for Order Authorizing Debtors and Debtors-In-Possession to Employ Professionals used in the Ordinary Course of Business, effective as of the Petition Date [Docket No. 257] ("Motion") and authorised by the final order dated June 29, 2020 [Docket No. 356] ("Order").

This Report details (a) the name of the Ordinary Course Professional; (b) the aggregate amounts paid as compensation for services rendered and reimbursement of expenses incurred by that Ordinary Course Professional during the reported Quarter; (c) the aggregate amount of post-petition payments made to the Ordinary Course Professional to date; and (d) a general description of the services rendered by that Ordinary Course 4. Total compensation and reimbursements to the Ordinary Course Professional’s listed in this Report shall not exceed (i) $75,000 for each month on average over any three-month period on a rolling basis starting from the first full month after the Petition Date (the “OCP Monthly Cap”); and (ii) in aggregate $675,000 beginning as of the Petition Date (the “OCP Case Cap”) unless otherwise stated.
5. Due to ordinary course recording and reporting practices of the company there may be compensation and reimbursement payments made in the stated reporting period that due to timing will be reflected in the succeeding quarterly report.

[1]The vendor repaid the excess funds remitted above the OCP Case Cap as disclosed in the previous Quarterly Report of Fees and Expenses in the amount of $165,000 to the Debtors on 22 January 2021.The returned funds have been reduced from the cumulative total.
[2]In accordance with section (1)(viii) of the Order, the Debtors are working with this Ordinary Course Professional to review and prepare the appropriate documentation and requests for relief in connection with its retention.
[3]At the time of filing of the Second Quarterly Report of Fees and Expenses Paid to Ordinary Course Professionals [Docket #887] on October 30, 2020 these Ordinary Course Professionals were not formally retained. Compensation and reimbursement payments were made to these professionals prior to the current reporting period. Such prior payments are included in the cumulative total for completeness.
