CLAIMS HAVE BEEN FILED IN THIS CASE or deemed filed under 11 U.S.C. § 1111(a).
Transferee hereby gives evidence and notice pursuant to Rule 3001(e)(2), Fed. R. Bankr. P., of the transfer, other than for security, of the claim referenced in this evidence and notice. Transferor has transferred and assigned to Transferee all rights, title and interests in any and all Claims and Replacement Liens (as defined in the Agreement) it has or may have against Transferee and/or the Wind Down Estates (as defined in the chapter 11 liquidation plan confirmed by the Court in the above-captioned case), which Claims and Replacement Liens have been transferred, assigned and accepted without merger with any previously-held claims and interests of Transferee and/or the Wind Down Estates in property subject to such Replacement Liens, with such Claims and Replacement Liens expressly to be preserved for the benefit of Transferee and the Wind Down Estates. The Replacement Liens are identified on the Replacement Lien Schedule annexed hereto
as Schedule A-1.
