l Residence owners get valid title - deeds (LalPurja) for the Residence.

l Mandatory rental pool participation to Brand’s Rental Program for initial period of 15 years and Residence Owner have option to renew another 15 years or exit at the end of the initial period.

l Owners receive 40% of the Net Room Revenue from the bookings of their respective apartment pool whereby the remaining 60% is utilized to cover the cost of operations, common area management expenses & operator’s fees.

l To ensure fairness to all Residents, the Rental Program revenue shall be shared and managed on “pool’ basis. For example, all the 1-bedroom apartments shall be considered one ‘Pool A’. Total revenue shares for this ‘Pool A’ shall be equally divided and distributed to each One-bedroom Residence owner, irrespective of your One-bedroom Residence is occupied or not.

l The management shall make quarterly distributions to each Residence owner of its share of the Rental Program revenue.

l Complimentary stay for owners of 21 days per year during the period of the Rental Program. However, the complementary stay is exclusive of utility &

service charges.

l Complimentary Owner Usage Period is 21 days per year. All owner usage is subject to advance bookings to ensure smooth operation of the Residence as a branded hotel. However, a Residence owner may choose to request for extra stay days beyond this limit. In such a situation, the management shall offer special discounted rate from its normal rate for general tourists. 40% of such revenue of extra owner days shall anyways be returned to the Residence owner as its share of the Rental Program revenue.

l The Residences shall be marketing globally by Brand using its robust distribution when it is not occupied by the Residence Owners.

l Residence Owners shall have 24/7 access to all the amenities & facilities at the Branded Hotel, a premier 5-star property managed by Brand.

l Each Residence owner shall receive complimentary Status in Brand’s global loyalty program that offers privileges, including upgrades, and discounts at Brand’s global hotel portfolios.

l Residence owners sign a set of agreements which includes, Sale & Purchase agreement which also embodies owner’s charters, Rental Program and Facilities Management Agreements.

l Agreements entered between the developer and the Residence owner including the terms of Brand’s Rental Program shall be valid for the entire period of the rental program irrespective of change in ownership of individual units. However, Residence owner is entitled to re-sell its Residence at any time and all taxes including such as capital gains shall be borne by the Residence owner.

l The Residence and the common facilities shall be maintained as per Brand’s standards by the developer and

Brand at no cost to the Residence owners. Participation in the Rental Program will also waive off common area maintenance costs payable by the Residence owners for the duration of the participation.

l The management will take up comprehensive insurance policy for all the Residence units and the common facilities in the best interest of the Residence owners.

Insurance premiums for each Residence shall then be booked under each Residence on pro-rata basis.

l From the Owner’s share of the 40% of the net received revenue, insurance premiums and the FF&E reserve (2%

in the first year of operation increasing to 3% from 4th year onwards) for the Residence shall be deducted. FF&E is Furniture, Fixtures and Equipment necessary for the operation of the Residence under the Brand. The FF&E reserve shall ONLY be used for the replacement and repair of the FF&E for the relevant Residence for the benefit of the Residence owner, with due reporting to the Residence owner. Apart from the insurance premiums and FF&E reserve deductions there are no other deductions from the Owner’s share of 40% of the net received revenue. This is explained in further detail in Appendix A.
