Noted not only for his general commercial work but also for his grasp on white-collar criminal and securities matters, New York partner Gandolfo DiBlasi enjoys a “superb” reputation at the firm for his strength in financial services litigation. He successfully
represented client Goldman Sachs in a securities litigation matter and is currently handling another matter in Missouri. Robert Giuffra Jr is also praised for his general commercial work based out of New York. As coordinator of the firm’s securities litigation practice and co-head of the business development group, he maintains a hearty client base including such important names as Exxon, Goldman Sachs and Philips Electronics. He successfully represented UnitedHealth Group in a contract litigation matter as well.
Karen Patton Seymour heads the firm’s criminal defense and investigations group, with experience in securities fraud, money laundering, insider trading and Foreign Corrupt Practices Act violations. Partner
Samuel Seymouris also well-versed in white-collar criminal work, with experience handling government investigations on behalf
of The Bank of New York, Spiegel and Bankers Trust Company. Partners James Carterand Joseph Neuhausare both praised for their expertise in international litigation. Carter coordinates the firm’s international arbitration group and is the former head of the intellectual property team. He boasts more than 35 years of arbitration experience, including work for Cameco and Instinet. Commercial litigation on an international level is Neuhaus’ forte. He recently represented longtime firm client Microsoft in a three-month antitrust jury trial in Iowa, ending in a favorable settlement for his client. Since 1980, partner Yvonne Quinnhas been a firm stalwart. As coordinator of the antitrust practice, she represents and advises clients in a number of industries, including publishing, finance, television and advertising. While maintaining an active litigation practice,
David Tulchin specializes in antitrust, contract, patent, trademark and securities matters, with a client base including American
Express, Goldman Sachs, Merrill Lynch and Microsoft. Noted for his work in general litigation, but also for a specific strength in antitrust, John Warden maintains a strong client list that includes British Airways, Goldman Sachs and Amax. Steven Holley’s practice focuses on antitrust, but also encompasses intellectual property and securities litigation.
Experience
Although the firm boasts smaller numbers than other New York firms, no one disputes the litigation experience the Sullivan & Cromwell team has brought to the table. “Sullivan & Cromwell takes on very complex cases, bigger types of litigation,” one insider says. Besides his work for UnitedHealth, Giuffra also represents
UBSin a securities class action in the Northern District of Alabama, in a derivative action in
Alabama state court and in government investigations arising out of UBS’ role as former lead investment banker for HealthSouth. DiBlasi is praised for his work with Goldman Sachs. He successfully reversed a class certification in a dot-com securities litigation matter for his client in the US Court of Appeals for the Second Circuit.
In a matter for Microsoft, the firm recently represented its client in an antitrust dispute in Iowa. Plaintiffs alleged that Microsoft unlawfully monopolized the markets through anticompetitive conduct in violation of the Iowa Competition Act, prompting them to recover damages in excess of $450 million. The case was brought as a class action on behalf of all Iowa residents who were indirect purchasers of operating systems and business productivity applications and ended in a favorable settlement.
The firm represents BPin the settlement of Department of Justice and Commodity Futures Trading Commission investigations of alleged commodities manipulation. A deferred prosecution agreement with the DOJ was entered, as was a consent order with the CFTC. In its representation of The Bank of Nova Scotia in an action brought by 122 former shareholders of Grupo Financiero Inverlat, the firm is battling allegations of breach of fiduciary duty, fraud, negligent misrepresentation and a slew of other charges against its client. Damages are currently in excess of $100 million.
In continued representation of Barclaysin the Enron securities class action, the firm is involved in one of the largest and most complex securities class actions in history. The district court ruled that the plaintiffs’ claims against Barclays were deficient and the US Court of Appeals for the Fifth Circuit reversed the class certification order. Recently, the US Supreme Court denied the plaintiffs’ petition for review of the Fifth Circuit’s decision.
Other clients of note include Dyson, Philips Electronicsand Solvay. The firm represents the latter in response to the European Commission’s crackdown on alleged price-fixing cartel of producers of hydrogen peroxide and sodium perborate in Europe. Most lawsuits were consolidated as direct purchaser and indirect purchaser class actions, under the Sherman Act and various state laws, in US District Court for the Eastern District of Pennsylvania.

In 2007 and 2008, our firm’s litigators continued to work on a wide range of challenging assignments, spanning our global practice and assisting our clients in the successful resolution of a number of important and precedent-setting matters. S&C has continued to defend successfully Barclays in the Enron securities class action, widely considered to be the largest and most complex securities class action in history. Despite settlements by several other financial institutions involved in the action totalling in excess of $6.6 billion, our firm pursued, on behalf of Barclays, the dismissal of plaintiffs’ claims. Our defense strategy proved highly successful: the US Court of Appeals for the Fifth Circuit reversed the class certification order and the US Supreme Court denied plaintiffs’ petition for review of the Fifth Circuit’s decision.
S&C continues to handle significant securities litigation work on behalf of many of the world’s leading financial institutions and corporations, including representing Goldman Sachs and the 55 underwriter investment banks in In re Initial Public Offering Securities Litigation, one of the most intricate and long-running securities litigation matters in history, UBS in class action and derivative litigation arising out
of UBS’s role as lead investment banker for HealthSouth, BP in derivative and class action litigation arising out of the shutdown of the Prudhoe Bay oilfield in 2006 and CA, Inc in shareholder litigation arising out of the alleged accounting misconduct by prior management.
S&C is representing a number of financial institutions and other clients in matters arising out of the subprime lending crisis. We represent UBS in both international regulatory matters and private litigation relating to UBS’s recently announced losses in securities related to US residential sub-prime mortgages, in a putative securities class action brought by certain purchasers of UBS common stock on worldwide exchanges and in a number of regulatory inquiries and investigations related to UBS’s subprime losses and disclosures. We also represent Moody’s Investors Service, Inc in putative class actions brought by Moody’s stockholders claiming that Moody’s and several of its executives violated federal securities law by failing to disclose that the agency’s subprime ratings were allegedly inflated and officers and directors of JPMorgan Chase named in derivative litigation relating to subprime assets.
Other notable representations
BP in the settlement of US DOJ and CFTC investigations of alleged commodities manipulation, including entering into a deferred prosecution agreement with the DOJ and a consent order with the CFTC.
CA in an important victory in the Delaware Supreme Court, holding that a CA shareholder bylaw that would require companies to reimburse challengers who succeed in getting elected to the board was invalid. The court resolved an important question of Delaware law, holding that bylaws may not mandate how the board should decide specific substantive business decisions.
Diageo in the successful negotiation of an industry-wide settlement agreement, resolving an industry-wide investigation by the Attorney General of the State of New York in spirits and wine pricing, promotion and other sales practices in New York State.
Wachovia Bank and The Clearing House Association, in an important US Supreme Court victory holding that state laws apply to operating subsidiaries of national banks only to the same extent as they apply to parent national banks. This decision imposes important limitations on state regulation of national banks and their operating subsidiaries.
UnitedHealth in obtaining the dismissal of an action on behalf of hedge funds seeking to accelerate $850 million of UnitedHealth’s notes.
Microsoft in a three-month jury trial in Iowa, resulting in a favorable settlement for Microsoft.
Swedish mobile phone provider TeliaSonera, on whose behalf S&C achieved significant arbitration victories in its efforts to obtain a controlling interest in Turkcell, Turkey’s biggest mobile phone service provider.
British Airways and Solvay SA in global criminal antitrust investigations and related litigation.
JPMorgan Chase & Co, its investment bank J.P. Morgan Securities and current and former members of the company’s board of directors, for whom S&C successfully negotiated a settlement of three consolidated securities class actions seeking $7 billion in recovery for no money damages.
Philips, achieving successful pre-trial results in patent litigation in which the district court found Philips’ patents to be infringed; on the morning of the trial scheduled to determine damages, defendants agreed to pay substantial royalties to Philips.

Robert Giuffra is a partner in Sullivan & Cromwell’s litigation group. His practice focuses on complex securities, white-collar criminal, class action, commercial, insurance, banking and tax litigation. He is the coordinator of the firm’s securities litigation practice, the co-head of business
development and a member of the firm’s management committee. Mr Giuffra has represented corporations and individuals at trial and on appeal in federal and state civil and criminal litigation, before arbitration panels and in investigations and proceedings involving the Securities and Exchange Commission, the US Department of Justice, the US Congress, the Internal Revenue Service and the New York State Attorney General. He regularly advises senior executives and boards of directors on significant litigation and regulatory matters.
Mr Giuffra’s corporate clients have included The Bank of New York, Computer Associates, Exxon Corporation, Goldman Sachs, ING Group, Oxford Health Plans, Philips Electronics, Tudor Investment Corporation, UBS, UnitedHealth Group, Van der Moolen and Vornado Realty Trust. His individual clients have included prominent executives, lawyers and government officials.
Mr Giuffra represents clients in government investigations and securities class actions arising from the subprime mortgage crisis, the bankruptcy of Enron, the accounting fraud at HealthSouth Corporation and specialist trading on the New York Stock Exchange.
Since September 21 2007, Mr Giuffra has served as one of 13 members of the New York State Commission on Public Integrity, which interprets, administers and enforces the ethics and lobbying laws governing New York State government. From 1998 to 2007, he served as one of the five Commissioners of the New York State Ethics Commission, which interpreted, administered and enforced the ethics law governing the Executive Branch of New York State government. From 1995 to 1996, Mr Giuffra served as the Chief Counsel of the US Senate Committee on Banking, Housing, and Urban Affairs. He was a primary drafter of the Private Securities Litigation Reform Act of 1995. Mr Giuffra is president-elect of The Federal Bar Council.
Mr Giuffra joined Sullivan & Cromwell LLP in 1989 and became a partner in 1998. He served as a law clerk to Chief Justice William H Rehnquist of the United States Supreme Court (1988 to 1989) and Judge Ralph K Winter, Jr of the United States Court of Appeals for the Second Circuit (1987 to 1988). Steven Holley is a member of S&C’s litigation group and a co-coordinator of the firm’s antitrust group. His practice focuses on antitrust but also includes copyright, patent and securities litigation, as well as complex commercial disputes. Mr Holley has considerable experience advising clients on competition issues, including reviews of prospective mergers and acquisitions and other investigations conducted by the Federal Trade Commission, the Antitrust Division of the US Department of Justice, the Directorate-General for Competition of the European Commission and State Attorneys General. He has handled cases in state and federal courts around the country and has extensive experience with arbitration and other forms of alternative dispute resolution.
Mr Holley’s practice has addressed a wide variety of industries, including oil and gas exploration and production, extraction and refining of primary metals, distilled spirits, automotive components, microprocessors, pharmaceuticals, electricity generation, medical equipment, newspaper publishing and computer software. He has represented Microsoft since 1992 in a series of antitrust enforcement actions in the US and other countries, as well as in private antitrust litigation brought by competitors and consumers of various Microsoft products. He was on the trial team in
United States v Microsoftand argued portions of the most recent appeals to the DC Circuit Court of Appeals. He is now representing Microsoft in a case brought by Novell in connection with harm allegedly inflicted on the WordPerfect and Quattro Pro business productivity applications. In recent years, Mr Holley has represented Goldman Sachs in purported class actions challenging consortium bids in private equity transactions and alleged price fixing by underwriters in initial public offerings, JC Flowers & Co in litigation surrounding the failed bid for Sallie Mae, UnitedHealth Group in its acquisitions of Sierra Health and John Deere Health, Diageo in its acquisition of a 50% interest in Ketel One vodka and Rio Tinto in connection with the unsolicited offer made by BHP Billiton. Mr Holley joined Sullivan & Cromwell LLP’s litigation group in 1984, following a clerkship with the Honorable José A Cabranes, then a judge of the US District Court for the District of Connecticut. Yvonne Quinn is a member of Sullivan & Cromwell’s litigation group and one of two partners in charge of coordinating the firm’s antitrust group. She specializes in antitrust litigation, merger analysis and review and counseling work.
Ms Quinn’s clients include leading commercial banks, equity funds, investment banks, insurance companies, cable television operators, television programming suppliers, newspapers, publishers, sports franchise owners, advertising sales and healthcare companies, pharmaceutical and chemical companies and many others.
Ms Quinn has been a co-chair of the Practising Law Institute’s Annual Antitrust Law Institute in New York since 2001 and has taught the mergers and acquisitions portion of the Institute since 1995. She is a member of the Executive Committee of the Antitrust Section of the New York State Bar Association and a vice chair of the Financial Services Committee of the Antitrust Section of the American Bar Association. From 1989 to 1992, she was the chair of the Antitrust and Trade Regulation Committee of the Association of the Bar of the City of New York.

David Tulchin has an active litigation practice, specializing in antitrust, contract, patent, trademark and securities matters.
Mr Tulchin has handled high-stakes business litigation for a varied roster of clients. His recent clients include American Express Company, CA ,Datascope, Eisai Co, InBev, IntercontinentalExchange, Merrill Lynch & Co., Microsoft, Novo Nordisk, Phoenix Capital, Regions Financial, Sandler-O’Neill + Partners, Tower Research, Vornado Realty Trust and Wachovia Corporation.
Mr Tulchin is well known for serving as Microsoft’s lead national counsel in the corporation’s defence of private antitrust damages actions around the country brought by both consumers and competitors. He has won dismissals with prejudice in 20 major antitrust actions against Microsoft, and victories in all seven appeals he has argued for Microsoft in US Courts of Appeals. Mr Tulchin has also argued and won appeals for Microsoft in the Supreme Courts of five states.
Mr Tulchin has acted as lead trial lawyer in federal and state courts and in AAA, NYSE, ICC and NASD arbitrations. He has tried more than 20 cases, and has a highly successful track record in arbitrations, trials and appeals. This record of success has been widely recognized, as evidenced in part by the fact that Mr Tulchin is a fellow of the American College of Trial Lawyers.

John Warden is a partner in Sullivan & Cromwell’s litigation group. He has an active litigation practice covering the antitrust, banking, contract, corporate and securities areas.
Mr Warden has advised and represented many of the world’s leading business and financial enterprises including Amax, Bank of New York, British Airways, British Petroleum, Eastman Kodak, First Boston, Goldman Sachs, Gulf Oil, Kennecott, TW Services and Union Carbide in board-level litigation. In a recent matter for longtime firm client Microsoft, he assisted in a three-month antitrust jury trial in Iowa, culminating in a favorable settlement. The case was brought as a class action on behalf of all Iowa residents who were indirect
purchasers of operating systems and business productivity applications. Plaintiffs alleged Microsoft unlawfully monopolized the markets through anticompetitive conduct in violation of the Iowa Competition Act, prompting them to recover damages in excess of $450 million.
Head of the firm’s criminal defense and investigations group, Karen Patton Seymour is learned in multiple areas of
