CHAPTER 16| STUDENT COMPANY
STARTING UP
It’s time to start your own company. Because that’s what it’s all about in Student Company. In this programme you start your own company using real money, real products and real customers. And of course a real company name. You do all this in a team, where you invent a product or service which you actually introduce on to the market. But what kind of products do people need? In order to discover this you will carry out a market research. During this research you can count on the assistance of your coaching teacher and a business advisor. These people will be closely involved in your company, especially in the beginning.
DEVELOPMENT
One of the first steps is choosing a product or service. However, more is needed to create a good fundament; for example a company’s mission and vision, good cooperation, the marketing plan and insight in the expected profits and expenses. You include all these matters in a business plan, which you present to your coaching team. The coaching team then evaluates the plan. If they approve it, your coaching teacher will request your shares. By selling these you recruit shareholders and collect startupcapital: money to invest in your business.
SALES
A good product, a thoughtful plan and a clear target group: let the sales begin! An exciting moment, since from now on you will be dealing with real customers. They can get acquainted with the company through your own website or shop and of course your promoting activities. However, a good deal depends on the sales pitch. How do you start such a conversation? And how do you convince someone to buy your product? You can count on your coaching teacher to provide you with useful advice on these matters. You process the sales results in a mid-annual and a annual report. Together you see if the report is in concordance with the expectations or if adjustment are needed. Of course you will keep your shareholders updated!
COMPLETING THE PROGRAMME
Student Company is a programme full of challenges and unique experiences. You are, after all, responsible for the success of your company. No matter how well you will do, it will be a very educational year. At the end of the programme you will close down the company financially at Jong Ondernemen. You will also set up an annual report which the coaching team will evaluate. The financial advisor needs to approve the form for financial closure. PROFITING
Being a successful entrepreneur is not only about achieving a good financial result. Making mistakes and learning from them, cooperating with others under time pressure, thinking market-oriented and financial awareness are just as important. Important for a future as an entrepreneur or as a commercial and entrepreneurial employee. Valuable experiences you will profit from for the rest of your life.

Differentiation
CHAPTER 3You can participate in Student Company on several levels: vocational (mbo), university of applied science (hbo) or university (university). The programme differs slightly on each level. MBO
� The block of shares amounts to a maximum of €2,250.-. � One shareholder may purchase a maximum of 5 shares.
� The coaching teacher must agree and sign for transactions of more than €200.- (incl. VAT).
� Students receive a mandatory minimum wage of €0.15 per hour after the shareholders have approved the business plan.
HBO
� The block of shares may amount to a maximum of €3,000.-. � One shareholder may purchase a maximum of 5 shares.
� The coaching teacher must agree and sign for transactions of more than €250.- (incl. VAT).
� Students receive a mandatory minimum wage of €0.20 per hour after the shareholders have approved the business plan.
UNIVERSITY
� The block of shares may amount to a maximum of €9,000.-. � One shareholder may purchase a maximum of 5 shares.
� The coaching teacher must agree and sign for transactions of more than €500.- (incl. VAT).
Roles and tasks
CHAPTER 4A coaching team supports the student companies and includes a coaching teacher, and a business advisor. This team is essential when it comes to inspiring and assisting the student company, together with the contact teacher and Jong Ondernemen’s coordinator. In this chapter we will briefly explain all the roles and tasks involved.
COORDINATOR JONG ONDERNEMEN
The coordinator works regionally and is an intermediary between Jong Ondernemen, the educational institution and the coaching team. His primary tasks are:
� recruiting the business advisors and making them available for the educational institution.
� linking business advisors to student companies;
� assisting with the organisation of a kick-off meeting for students, teachers and business advisors.
� being the first point of contact for teachers and assisting with questions concerning the student company.
� monitoring and evaluating the progress of the programme, in cooperation with the business advisor.
CONTACT TEACHER
Each educational institution designates one contact teacher to be the first point of contact for the coaching teachers and the Jong Ondernemen coordinator. His tasks include:
� the annual registration of the new student companies in Mijn Jong Ondernemen;
� linking coaching teachers to student companies in Mijn Jong Ondernemen. � forwarding the login codes for Mijn Jong Ondernemen to coaching
teachers and student companies;
� organizing a kick-off meeting, possibly in cooperation with the Jong Ondernemen coordinator;
� organising a meet and greet with the student companies and the
business advisorat the start of the programme. This can be combined with a kick-off meeting.
COACHING TEACHER
A coaching teacher is the point of contact for students and business advisors. His primary tasks are:
� scheduling Student Company;
� teaching students the basic knowledge of entrepreneurship, like marketing, finance, holding meetings and making a business plan;
� monitoring the progress of student companies and offering support in case of stagnation, conflicts and incorrect conduct (see the rules and regulations);
� ensuring that students keep in touch with their business advisors, even if it does not seem necessary at some moments;
� evaluating the business plan together with the business advisor; � after approving the business plan, requesting the block of shares for
student companies in Mijn Jong Ondernemen;
� attending the company meetings: for mbo this is mandatory and for hbo and university only when necessary;
� organising a kick-off and evaluation meeting for the Student Companies and the coaching teams (together with the contact teacher and the Jong Ondernemen coordinator);
� signing for the financial obligations above €200.- (mbo), €250.- (hbo) and €500.- (university);
� taking over the financial closure if the student company is unable to do this; � request the certificate, after students finished the programme.
BUSINESS ADVISOR
The business advisor provides students with advice on marketing (research), the business plan, sales and general management. He is concerned with:
� attending the kick-off and evaluation meeting with the coaching teacher, the student company and the Jong Ondernemen coordinator;
� periodically attending the student company’s meetings;
� evaluating the business plan, together with the coaching teacher; � providing students with advice when needed;
� evaluating the (mid)annual report;
� approving Jong Ondernemens’ form for financial closure.
CONTACT PERSON & FINANCIAL CONTACT PERSON
Every student company appoints a contact person as well as a financial contact person. These roles are taken on by two students within the team.
The contact person’s tasks are:
� registering the students in Mijn Jong Ondernemen;
� making sure that every member of the team signs the registration form and gives it to the coaching teacher;
� uploading the business plan;
� point of contact with Jong Ondernemen when necessary; � signing the team up for Jong Ondernemen events.
The financial contact person’s tasks are:
� requesting a bank account package and entering the account number into Mijn Jong Ondernemen;
� responsible for the financial administration of the student company
� entering the financial information into Mijn Jong Ondernemen at the end of the programme.

5.1 THE TEAM
You are starting with Student Company. You will put together your own team and make arrangements. If you have not yet put your team together, you can log in with the SC-num-ber. When you have entered the participants in step 1, every team member receives their own log-in code.
What’s my role? You must have noticed that you can work well with some fellow students and not so well with others. A team works best when everyone has different qualities and skills. You will take the Belbin test. This test will show you which role you will take on in a team. After this test you can find fellow students with other team roles to work with.

Your team has been put together and everyone knows each other’s strengths. Now it’s time for some real entrepreneurship. In order to become an entrepreneur you will need a pro-duct. Corporate design When you present your company to the outside world, it is important to do this the same way each time. This makes you recognizable. In order to be recognizable you develop a corporate design. In short, a corporate design is everything visible about a company. The most important aspects of your corporate design are your company name, the logo and the slogan.

Meeting You have made some decisions up until now. You make de-cisions together. Later on in Student Company you will have to make more decisions which you discuss with your team members. In order to go about this effectively, you hold meet-ings. You will learn how to hold a meeting effectively.

Administration Soon you will start running your company for real. You will purchase and sell products. You will need to keep track of how much money comes in and goes out. This can be done with an accounting package. You can choose for a Twinfield or Excel accounting package.

Taxes Just like other companies student companies must pay taxes. Jong Ondernemen has made special arrangements with the Dutch tax authorities; Jong Ondernemen takes over the role of the tax authorities during Student Company. This means you will pay Jong Ondernemen your taxes instead of the tax authorities. During Student Company you will have to pay payroll tax, profit tax and VAT.

Company launches In the winter the regional Company launches take place. These are meant for 2 students per student company. At an external location you will give a short pitch on the product, plans and challenges for your student company.
5.5 INVESTORS
As a company you will need a startup capital in order to start your business and purcha-se products. You will collect this yourpurcha-selves by purcha-selling shares. The starting capital for a student company amounts to a maximum of €2,250 (150 shares of €15 each) for mbo, a maximum of €3,000 (150 shares of €20 each) for hbo and a maximum of €9,000 (300 shares of €30 each) for universities.
Investors As an entrepreneur you must ‘sell’ your idea to investors. Investors want to know how you will create value for your customer. Persuading investors starts with a good pitch. In a pitch you talk about what problem you are going to solve or how you will use your talents and why someone should invest in your company, all in roughly one minute.

Investors register You will keep track of the share sales in an investors register. It is important to keep track of and handle the investor’s information very carefully. You will be needing this information to invite an investor to investors meetings, inform an investor on your company’s progress and finally to return the investor’s share capital, including possible dividends.

The sixth phase of Student company is all about purchase and production. You will choose suppliers and purchase your product. You can also produce your product or have your product produced.

Importeren It is possible to import foreign products. Usually there are two reasons to do this: a gap in the Dutch market or it is simply cheaper. You should set up a plan beforehand, so that you know how to go about this.

Online sales A good product sells itself. But then it should be sold somewhere. A web shop may come in handy! CCV Shop helps you develop an online shop. A place where people can find and buy your product. Thanks to Buckaroo your customers are able to pay quickly and safely with iDeal, an online transaction or PayPal.

Shipping products If you choose to ship products to customers, you can best use DHL. Jong Ondernemen has made special arrangements with DHL on shipping products.

Invoicing When your customers decide to buy your product you will need to set up an invoice. On this invoice you state what the customer is buying and what he needs to pay.
It is important that you do not state VAT on your invoice, but that you do include this in your price and administration. Companies that purchase products from student companies (b2b) may not request a VAT return from the tax authorities.

5.9 FINISH
In a short time you have had a taste of the real entrepreneurship. You have been responsi-ble for the success and you know what it takes to run your own company. All in all a useful and hopefully fun experience! Now it is time to close down your student company.

Investors The final investors meeting is all about the annual report. This meeting can only take place when the annual report is finished.
During this meeting you will indicate how your student company executed the business plan. Did everything go according to plan or were there deviations? If so: what and why? Another important matter is the profit per share (dividend), which every investor will receive.

CHAPTER 6Jong Ondernemen organises a couple of events for student companies each year. The contact person and the coaching teacher of each student company will receive information per e-mail containing dates, registration procedures and exact conditions for all events in time. We will also list these on our website and at Mijn Jong Ondernemen.
START-UP EVENT
October 2nd 2015 - Jaarbeurs, Utrecht
Jong Ondernemen organises the Start-up event on October 2nd. This event shall be held at the Jaarbeurs in Utrecht, The Netherlands. Here you will meet successful entrepreneurs, former participants and other student companies. Moreover this day is filled with
educational activities and mostly inspirational activities. Your teacher can sign you up voor the Start-up event. Take note: Only 2 students per student company may participate.

There are regional Company launches in the winter. These are meant for 2 students per company. TRADE FAIRS Spring 2016
The trade fairs are the sales days where you as a student company get the chance to sell your product or service to the shopping audience. The trade fairs usually take place in the early spring in various regions. What makes it even more valuable, is that students meet other student companies and business advisors in an entrepreneurial atmosphere. This is not only a good chance to sell, but there are also prizes to be won.
SEMI-FINALS
May 10th 2016 - ABN AMRO, Amsterdam
Student companies can register online for the Jong Ondernemen competition. A professional jury selects the teams which may participate in the semi-finals. The Semi-finals are on Tuesday May 10th at the main office of ABN AMRO in Amsterdam.
After the pre-selection and the evaluation by the jury Jong Ondernemen announces the semi-finalists. During a one-day challenge the students must show why they are the best student company. At the end of the day the jury announces the finalists.
STUDENT COMPANY OF THE YEAR FINALS
June 6th 2016 - Beatrix Theater, Utrecht
On Monday June 6th 2016 Jong Ondernemen organises the finals for the best ‘Student company of the year’ competition. The finals will take place in the Beatrixtheater in Utrecht. There are finals for mbo (vocational schools) and finals for hbo/universities. The main prize is a ticket to the European finals.

Jong Ondernemen is a member of the European organisation JA Europe. JA Europe organises the competitions ‘Company of the Year’ (mbo) and the ‘European Enterprise Challenge’ (hbo/ university) on a yearly basis.

Company Of the Year Competition End of July - Switzerland
The Dutch mbo ‘Student company of the year’ will battle against more than 30 companies for the European title. The European finals of this year will take place in Switzerland.
