AUTHORIZED SERVICE CENTER AGREEMENT

1.

This agreement is made Bu Sung America Corp. / Everest Refrigeration, Compton, California, and

___________________________________________ for the purpose of the performance of warranty

service.

2.

The Service Center agrees that:

a.

It will provide adequate facilities, equipment and personnel to effectively service the products in

its area.

b.

It will obtain and maintain in a currant status, adequate insurance, all licenses, permits and other

requirement incident to the work as required by federal, state, and local ordinances.

c.

It will use only OEM replacement parts.

d.

It will provide service at the straight time rate of $_______ per hour, computed in quarter hour

increments. It will charge a $_______ trip/truck charge. No trip/truck or related expenses are

available for servicing of equipment sold directly by the Service Center. Bu Sung America Corp.

/ Everest Refrigeration will not be responsible for payment of charges in excess of straight time

labor unless the charges have been authorized in advance by Everest Refrigeration Service

Department. A customer requesting premium or overtime service will be responsible for the

difference between the normal straight time service rate and overtime charges.

Requests for labor rate adjustments may be made once a year. Service centers may submit the

request for change to Everest Refrigeration

.

f.

All labor claims of the Service Center must be received by the Everest Refrigeration for

processing within thirty (30) days from the date of job completion. Any questions about claims

must be raised within six (6) months of the completion of the job.

g.

It will respond to all service calls within twenty-four (24) hours, and to emergency calls within

four (4) hours. It will complete all calls in a reasonable time.

h.

It will have a means of servicing after hours service call requests such as an answering service,

pager, or frequently monitored message machine. It will provide service after hours, on

weekends, and holidays for those customers who are willing to pay for the overtime premium.

3.

Everest Refrigeration agrees that:

a.

It will process all labor claims of the Service Center and, upon approval thereof, will pay the

Service Center for all reasonable and necessary straight time labor charges as listed in the service

procedures labor rate book for the appropriate Everest Refrigeration operating company. The

Service Center will submit parts and material claims to the appropriate Everest Refrigeration

Distributor for payment. The Distributor will be reimbursed by the appropriate Everest

Refrigeration operating company.

b.

It will conduct operating company service seminars in a various areas of the country to update

and enhance service proficiency.

c.

It will review labor and mileage rates annually.

d.

It will provide service diagnostic aid to the Service Company. Normal call center hours are from

8:00AM to 5:00PM pacific time.

4.

Either party may terminate this agreement at any time with or without cause upon a thirty (30) day prior

written notice to the other.

It is understood and agreed that this agreement does not change the status of the Service Center from that

of an independent contractor. Under no circumstances shall the Service Center represent themselves as an

employee or an agent of Everest Refrigeration.

It is understood and agreed that this agreement is non-exclusive, non-assignable, and non-transferable.

The Service Center agrees to immediately notify Everest Refrigeration in writing when any change in

ownership, in part or in whole, or any change in management occurs.

This agreement contains the entire agreement between the parties, and all other understandings or

promises of any kind are superseded hereby. This agreement shall not be varied or amended except by an

instrument in writing signed by authorized offices of Everest Refrigeration and the Service Center.

The table s hows the maximum that the manufac turer will

V ERIFICAT ION OF WARRANT Y

1. S ervic e c ompany mus t verify warranty s tatus of produc t through below methods before a warranty work begins if the warranty work was not direc tly ordered by the manufac turer. Failure to do s o, the manufac turer has a right to refus e to pay the warranty labor c laim.

b. C ontac t the manufac turer (1- 800- 444- 6285) to verify the s tatus .

Note:

The produc t information will not be found in the s ys tem if the c us tomer did not return the warranty c ard to the manufac turer.

WARRANT Y SERV ICE LABOR ALLOWANCE

When s ubmitting a bill for warranty work, the labor hours mus t be within the guidelines lis ted below. E veres t R efrigeration has the right to pay no more than the average c ommerc ial hourly rates within the territory or region of the repair. To diagnos e and repair or replac e more than one item, us e up to the highes t allowable time for the s ingle repair, then add1/2 hour for eac h additional repair.
