WELCOME

As customers of Marshall County State Bank, you will now become customers of Hickory Point Bank.

Our goal is to provide you with greater convenience and access to more products and services. As we

unite, your Marshall County State Bank accounts will become Hickory Point Bank accounts. The

transition will take place automatically during the weekend after the close of business on Friday,

September 19, 2014. Your account(s) will be converted to the Hickory Point Bank account(s) which

most closely match your Marshall County State Bank account(s). If you would prefer a different

account, please let us know so we can meet your specific needs.

This product guide will help you become familiar with Hickory Point Bank accounts and services.

It provides details about your accounts, how to access them and what new services are available.

The enclosed Disclosure Statement is effective as of August 18, 2014, and replaces the disclosure

issued by Marshall County State Bank.

CONVERSION INFORMATION/IMPORTANT DATES

THE TRANSITION TO HICKORY POINT BANK

Where to bank through Thursday, September 18, 2014

• Continue to bank as you do today, using your existing checks, deposit tickets, and loan payment options for both personal and business accounts.

• In addition, you may continue to use your MCSB debit card to access your accounts.

• You may wish to print out statements from MCSB online banking and bill pay history, as transaction history will not transfer over to Hickory Point Bank.

Over the weekend beginning Friday, September 19, 2014

• Your MCSB debit card will be deactivated at 2:00 a.m. on Friday, September 19, 2014.

• Both branches of MCSB in Varna and Peoria Heights will close at 5:00 p.m. on Friday, September 19, 2014 and will remain closed on Saturday, September 20, 2014.

• Final statements for your MCSB accounts will be prepared after the close of business on Friday, September 19, 2014

• The ATM will be taken out of service at 2:00 a.m. on Friday, September 19, 2014.

• Beginning the evening of September 19, 2014 Hickory Point Bank will be transitioning your accounts from MCSB’s computer system to Hickory Point Bank’s computer system.

• Please note that electronic credits (such as Social Security or payroll direct deposit) that are normally available to you on Saturday will be available to you on Monday, September 22, 2014. Future electronic credits will post as scheduled.

Starting Monday, September 22, 2014

• The Peoria Heights branch will reopen as Hickory Point Bank at 8:30 a.m. and the Varna branch will open as Hickory Point Bank at 9:00 a.m.

• The ATM at Peoria Heights will be back in service at 8:30 a.m.

• You can bank with us at any Hickory Point Bank branch, ATM or MoneyPass® ATM

• You can register for Hickory Point Bank’s Online Banking, Bill Pay and Mobile Banking services by going to www.hickorypointbank.com.

USING YOUR HICKORY POINT BANK ACCOUNTS

Account Numbers

• For many of you, your account numbers will remain the same and new signature cards will not be necessary. For a small number of you, your current account number is a duplication of a Hickory Point Bank account number. If your account number is one of the duplicates, we will contact you personally to ease that transition, and provide you with an initial order of 50 checks at no charge. Everyone else may continue using your existing checks from Marshall County State Bank through September 22, 2015, and may order new Hickory Point Bank checks at your convenience.

Checks and deposit tickets

• You may continue using your existing checks from Marshall County State Bank through September 22, 2015, and may order new Hickory Point Bank checks at your convenience after September 22, 2014, by contacting a Hickory Point Bank personal banker, or online at

CONVERSION INFORMATION/IMPORTANT DATES

MCSB Debit Card

• Hickory Point Bank will be issuing new MasterCard© Debit Cards to replace your current MCSB debit card. • Included with your Hickory Point Bank debit card will be easy to follow instructions for activation.

New Hickory Point Bank debit cards will be mailed beginning Wednesday, September 10, 2014. • Personal Identification Numbers (PINs) will be mailed to all new Hickory Point Bank debit

cardhold-ers beginning Friday, September 12, 2014. You may activate your debit card upon receipt. • You may begin using your Hickory Point Bank debit card as of the opening of business on Monday,

September 22, 2014. As a reminder, activation is required before making any transactions. • On Monday, September 22, 2014, your daily cash withdrawal and point-of-sale (POS) limits will

convert to Hickory Point Bank limits. Refer to the enclosed Disclosure Statement and Privacy Policy.

All MCSB Loan and Credit Products

All MCSB Loan and Credit products will be converted to Hickory Point Bank loan and credit products with the current terms, rates and conditions. For those of you with loan account coupon books, feel free to continue using your existing MCSB coupons. Please make sure your payments are made payable to Hickory Point Bank.

Telephone access

• Beginning on September 22, 2014, you can call Hickory Point Bank telephone banking (InfoNow) at 888.424.1976, seven days a week, 24 hours a day. You will be asked to enter your account number and establish a PIN by entering the last four digits of your SSN/EIN. This will give you access to the automated telephone banking service.

• If you need assistance with InfoNow, press 0 and a Client Services Representative will ask you a few questions to verify your identity and assist you with your accounts during normal business hours.

Automated Clearing House (ACH)/electronic transactions

Existing electronic transactions set up for your accounts will continue at this time.

• Effective Monday, September 22, 2014, please provide the Hickory Point Bank Routing Number (RTN) 071124805 for new electronic transfers. For your convenience, we will have a switch kit available online at

www.hickorypointbank.com under the “About Us” tab.

• Please note that electronic credits (such as Social Security or payroll direct deposit) that are normally available to you on Saturday, September 20, 2014, will be available to you on Monday, September 22, 2014. Future electronic credits will post as scheduled.

Wire transfer services

Effective Monday, September 22, 2014, you will need to contact anyone who sends you wire transfers and alert them that they will need to send their wire transfers to Hickory Point Bank & Trust, wire RTN 071124805.

ACCOUNT STATEMENTS

Deposit account statements from MCSB

• Your final MCSB account statement will be prepared at the close of business on Friday, September 19, 2014, and will cover the period since your last regular statement, and service charges will apply accordingly.

Your new deposit account statements from Hickory Point Bank

• Your Hickory Point Bank checking and Money Market account statements will be issued in a new format starting Monday, September 22, 2014.

• Hickory Point Bank savings account statements are mailed quarterly. If you have any electronic transactions, you will receive a statement monthly.

• No monthly service fees will be applied to your new Hickory Point Bank account during the month of September 2014.

• Beginning Monday, September 22, 2014, you can request a combined statement for your checking, savings, and Money Market accounts, by contacting a Hickory Point Bank personal banker.

• You can enroll in Hickory Point Bank eStatements beginning Monday, September 22, 2014. You must be enrolled in Online Banking to request eStatements.

ONLINE BANKING AND BILL PAY

Transitioning your online banking

• Beginning September 15, 2014, online access to your MCSB accounts will be restricted from using Bill Pay, Transfers and Mobile Access Removal and your account balances may display as “View Only”.  You will not be able to process transactions from September 15, 2014 until you enroll in Online Banking with Hickory Point Bank, on or after September 22, 2014.

• History from your MCSB Online Banking service may not transfer over. For tax purposes, you may want to print or save your electronic information and check copies to your computer prior to Friday, September 19, 2014.

• Starting Monday, September 22, 2014, go to www.hickorypointbank.com, click on “New User? Register Here!” in the taupe box in the upper right hand corner, so you can begin banking online with Hickory Point bank Online Banking.  You will be asked to accept our online terms and conditions to begin using the service.

• All of your converted accounts and any Hickory Point Bank accounts you may have will display in your List of Accounts.

• If you have transfers scheduled to process during the weekend of September 19, 2014 they will be processed on Monday, September 22, 2014.

Online Bill Pay

• Your current MCSB Bill Pay information will not be converted. To use Hickory Point Bank Bill Pay service, you will need to enroll online.

• To avoid missed, interrupted, or delayed payments, any scheduled payments made through MCSB Bill Pay must be completed and processed no later than September 12, 2014.

• In preparation for the transfer, you will need the following information prior to Friday, September 19, 2014:

• A list of the payees you currently have set up at MCSB.

• Detailed payee information such as account number and payment address. • A list of any e-bills that you currently receive through MCSB.

• On or after Monday, September 22, 2014, you may enroll in Hickory Point Bank’s Bill Pay. To assist in your enrollment, please make note of the following:

• Login to Online Banking. You must complete your initial login to Hickory Point Bank Online Banking prior to enrollment in Bill Pay.

• Click on the Bill Pay tab and complete the enrollment process.

• Hickory Point Bank’s Bill Pay normally withdraws funds from your account on the date you initiate the bill payment.

Scheduled transfers

• Scheduled transfers between your checking and savings accounts will not continue without interrup-tion at Hickory Point Bank*.

*Note: Transfers dated September 19, 2014 through September 22, 2014 will process Monday, September 22, 2014.

eStatements

• If you would like to print and save any MCSB transaction history (including check images) and/or regulatory disclosures, please do so before Friday, September 19, 2014.

• You can enroll in Hickory Point Bank eStatements beginning Monday, September 22, 2014. You must be en-rolled in Online Banking to request eStatements.

Check images

• Images of any checks paid from your account after Monday, September 22, 2014 can be printed and/or viewed online. You must be enrolled in Online Banking to view/print check images.

SAVINGS ACCOUNTS

Effective Monday, September 22, 2014, your MCSB savings account will become a Hickory Point Bank Regular Savings Account.

• Interest on your MCSB savings account will be applied to your September 30, 2014 Hickory Point Bank Savings account statement.

If you currently have a MCSB Christmas Club account, your account will be paid out on Friday, September 19, 2014 and a check for the entire amount, including interest will be mailed to you on that date.

• Hickory Point Bank offers a Structured Savings plan as an alternative to Christmas Club accounts. If you would like to open a Structured Savings plan, please contact a Hickory Point Bank personal banker.

CERTIFICATES OF DEPOSIT (CDS)

Interest rates

• You will continue to receive the same interest rate on your existing CD until its scheduled maturity. The term and maturity date on your CD will not change.

Changes at renewal

• If you currently hold a CD with a term not supported by Hickory Point Bank, your CD will renew for a term less than the term on your MCSB certificate. For example, if you own a 30 month MCSB CD, your CD will renew for 24 months on the next maturity date.

Notices/statements

• Hickory Point Bank sends maturity notices 10 days prior to maturity for CDs and individual retirement accounts.

• Statements on time deposits are mailed when interest is credited to the account.

Payments, distributions, and deposits

• Interest payments and scheduled IRA distribution payments will take place on the same schedule as your current payments, although for operational reasons, some payment scheduled may be modified.  If your payment schedule is modified, you may receive a partial or adjusted payment on your first payment under the new schedule.  In addition, interest payments made by check may be delayed slightly around the time of conversion.

• CD interest payments and IRA distributions made by check from multiple accounts on the same date will be processed as separate checks or payments for each account.

• IRA owners over age 70 ½ and inherited (beneficiary) IRA owners are responsible for withdrawing the annual Required Minimum Distribution (RMD) each year. Contact your tax advisor for advice specific to your situation. Hickory Point Bank does not automatically provide notifications that distributions will not meet the RMD. You may contact a Hickory Point Bank personal banker start-ing Monday, September 22, 2014 to review your existstart-ing distribution schedules or establish new automatic distribution instructions to ensure you meet the RMD each year.

At maturity

• CDs and IRA CDs will renew for the renewal term stated on the certificate* at the rate in effect on the renewal date.

• Interest will be calculated, compounded and credited according to the certificate terms. • The grace period is ten (10) calendar days from the maturity date.

• Hickory Point Bank early withdrawal penalties will apply as of Monday, September 22, 2014. • See the enclosed Disclosure Statement for terms and conditions governing accounts at renewal.

*Note: If you own an MCSB 30-month Certificate of Deposit, at the next maturity date your certificate will be renewable in 24-month increments. If you own an MCSB 48-month IRA Certificate of Deposit, at the next maturity date your certificate will be renewable in 36-month increments.

FDIC INSURANCE

FDIC deposit insurance coverage

• The FDIC Standard Maximum Deposit Insurance Amount (SMDIA) for deposits is $250,000 per depositor per insured financial institution.

Acquisition impact on FDIC deposit insurance coverage

• At conversion, your accounts will be covered under Hickory Point Bank (“the Bank”) charter. Under FDIC rules, funds held in a bank that acquires another bank’s accounts are separately insured for at least six (6) months after the acquisition (March 19, 2015). CDs may be separately insured for longer than six (6) months after an acquisition. The following FDIC rules apply to funds you have on deposit at MCSB as of September 19, 2014:

CDs (including IRAs)

• If the CD has a maturity date after March 19, 2015, the CD will be separately insured, under the FDIC’s general deposit insurance rules, from other deposits you have at the Bank until its maturity date.

• If the CD matured prior to March 19, 2015, and was renewed for the same term and same dollar amount (either with or without accrued interest): Under the FDIC’s general deposit rules, the CD will be separately insured from other deposits you have at the bank, until the first maturity date after March 19, 2015.

• If the CD matured prior to March 19, 2015, and was not renewed or was renewed for a different term or amount: The separate insurance coverage ends on March 19, 2015. Starting March 19, 2015, these funds are added to your other non-separately insured deposits at the Bank, and insured under the FDIC general deposit insurance rules.

Checking and savings accounts

• The separate insurance period for funds in checking and savings accounts expires on March 19, 2015. These funds will be added to your other non-separately insured deposits at the Bank, and insured under the FDIC general deposit insurance rules.
