2016 Finger Lakes Riesling & Craft Beer Festival

Vendor Application

Thank you for your interest in participating in the Finger Lakes Riesling & Craft Beer Festival (the “Festival”). This Vendor Application (and the attached Terms & Conditions) will govern your participation in the Festival. Please review and complete the requested information below. Application Deadline: July 15, 2016

Festival Dates: Saturday & Sunday, August 6-7, 2016 (rain or shine) Location: New York Wine & Culinary Center and the

Canandaigua City Pier, Canandaigua, NY Hours: Saturday: 10am-5pm; Sunday: 10am-5pm

Participation on both days is required Setup Time: Friday: 2-6pm

Saturday & Sunday: 6-8:30am Teardown: Sunday: 5pm

(No early/Monday teardown—$100 fine will be assessed.) Space Specs: Single Space = 10’ wide x 10’ deep

Double Space = 20’ wide x 10’ deep

Access to electric or potable water must be requested on application form and additional fees may apply

Space Fees: $350 per single space (10’x10’), $550 for double space (20’x10’) *Payment must be received no later than July 25 or the Festival reserves the right to decline your participation.

All payments shall be made by check payable to “Finger Lakes Riesling & Craft Beer Festival” and shall be non-refundable unless Application is rejected and payment returned by the Festival to Vendor.

Vendor acknowledges and agrees that this Application, together with additional Terms & Conditions of the Festival attached hereto (which may be amended, modified or supplemented from time to time by the coordinator of the Festival, The Big Parade LLC), is the entire

agreement for and governs the Vendor’s participation in the Festival and supersedes all previous agreements and understandings the Vendor may have had, whether oral or written, relating to the subject matter hereof. By executing below, the authorized representative of the Vendor

acknowledges and agrees that the Vendor shall be bound by the terms hereof.

Terms & Conditions

Finger Lakes Riesling & Craft Beer Festival (the “Festival”)

Decorating: Vendors are encouraged to personalize their space, provided, however, that Vendors shall not display any materials, decorations, etc., outside of your space or in the aisles.

Electrical Power: If Vendor has special electrical needs, they are required to provide a description of such needs in the space provided. Vendor acknowledges that, although the Festival will make reasonable efforts, the Festival is not required to accommodate all special electrical power requests. Vendors are required to request electrical service if they intend to operate a cash

register. An additional fee may apply for electrical support.

Products: Attached here is a list of all products Vendor intends to sell at the Festival and the price for each such item.

Phone Lines: Phone lines will not be available on site. Vendors that desire to process credit card payments will be required to manually process such

transactions or provide wireless processing equipment at their own cost and expense.

Water: Potable water is available on a limited basis. Please indicate your need for access to water.

Security: Private security will be on site. Overnight security will be provided by the Festival; however, this in no way implies responsibility on the part of the Festival for lost/stolen items. We recommend that all valuable items be removed from the premises each night. Festival workers will be checking proof of age at the entrance to the Wine Garden; however, wine Vendors are responsible for ensuring that no person under the age of 21 be served wine samples or sold wine or other alcoholic products.

Sub-Renting: Sub-renting of spaces is strictly prohibited.

Licenses/Permits: Each Vendor is responsible for obtaining and maintaining all permits and other licenses required to participate in the Festival.

A “Farm Market Status” will be in effect for the Festival, allowing you to sell (in sealed containers), as well as “taste,” wine. Each Vendor shall submit a no-fee “Winery/Farm Winery Retail Permit Application” to the New York State Liquor Authority, Division of Alcoholic Beverage Control, which certifies that you will be providing wines made of at least 75% New York State grapes. We recommend that you do this

well in advance of the event. The Farm Market Status permit allows you to sell wines made of at least 75% New York State grapes.

Any Vendor who will be selling food at the Festival shall provide a copy of their current food permit from the New York State Department of Health on or prior to July 25, 2016.

Each Vendor is required to have a valid New York State Certificate of Authority to Collect Sales and Use Tax on display in your space and on file with the Festival by July 25, 2016. Vendors shall have the certificate prominently displayed at their Festival space.

Insurance: Each Vendor is required to maintain the following level of insurance coverage during the period of the festival: $1,000,000 per occurrence of bodily injury and $500,000 per occurrence of property damage or a $1,000,000 combined single limit. Each Vendor shall provide a copy of the certificate of insurance coverage providing the following

additional insured language: “Finger Lakes Riesling & Craft Beer Festival, its parent, subsidiary and affiliated companies, and their respective shareholders, officers, director, employees, members, agents and assigns, as respects to the 2016 Finger Lakes Riesling & Craft Beer Festival as additional insured.” A copy of the certificate of insurance evidencing proof of coverage throughout the Festival will need to be delivered to the Festival office no later than July 25, 2016.

No Vendor will be allowed on the property unless a copy of the New York State Certificate of Authority, a copy of the current food permit from the New York State Department of Health and a copy of the certificate of insurance in a form acceptable to the Festival are received on or prior to July 25, 2016.

Workers: Each Vendor acknowledges and agrees that they are responsible for providing, at their sole cost and expense, all labor for the setup, maintenance and service of the space throughout the Festival. Vendor shall provide the appropriate staffing to adequately serve Festival guests. Parking: Vendors will need to unload at the Canandaigua City Pier in Canandaigua

during the setup times specified in the Application and then move cars to designated vendor lot. Shuttle transportation between the parking and vending areas will be provided if needed.

Other Guidelines: All raffles, drawings and giveaways must be approved in advance and must comply with all applicable laws, rules and regulations. Vendor acknowledges that these Terms & Conditions may be amended or modified from time to time by the Festival coordinator and the Vendor shall be bound by any such new Terms & Conditions.

Release; Vendor hereby releases and forever discharges the Festival, the City of Indemnity: Canandaigua, the Canandaigua Rotary, all sponsoring organizations, and

their respective directors, officers, employees, agents and volunteers from any responsibility, personal liability, claims, loss or damage (including reasonable attorneys’ fees) arising out of or in conjunction with Vendor’s application for participation in or involvement with the Festival.

Vendor agrees that Vendor shall assume full responsibility for injury to person or property of others, including employees, agents, patrons or other persons, which shall occur by reason of Vendor’s involvement or

participation in the Festival. Vendor acknowledges and agrees that it is their understanding and agreement that the Festival, the City of

Canandaigua, the Canandaigua Rotary, all sponsoring organizations, and their respective directors, officers, employees, agents and volunteers shall incur no liability whatsoever to, or on account of, Vendor, or Vendor’s employees or agents, arising out of Vendor’s participation in or

association with the Festival. The Festival, the City of Canandaigua, the Canandaigua Rotary, all sponsoring organizations and their respective directors, officers, employees, agents and volunteers will not be

responsible for any injury sustained by vendors, workers or guests while within the exhibit space. The Vendor shall indemnify and hold harmless those listed above from and against any and all claims, liabilities or

damages of whatever nature, including, but not limited to, claims of bodily injury, death, personal injury or property damage, by whoever made, as well as the cost of litigation and attorneys’ fees arising from, based on or in any manner related to Vendor’s activities in connection with its involvement in or participation with the Festival.

Logos/ Vendor hereby acknowledges The Big Parade LLC’s ownership of all Trademarks rights, title and interest in all trademarks, trade names, service marks,

copyrights, logos and other intellectual property rights associated with the “Finger Lakes Riesling & Craft Beer Festival” name or any derivative thereof (“IP”). Vendor further acknowledges that it shall acquire no interest in the IP by virtue of this Agreement (together with these Terms & Conditions). Vendor shall not use, publish or display the IP without the express written permission of The Big Parade LLC.
