4. Optional Overdraft Protection

Overdraft Protection protects the PNC Bank checking account designated below from overdrafts by having cash automatically advanced to that checking account from your PNC Bank MasterCard® Card Account. By signing below, you agree to the Overdraft Protection Terms & Conditions provided below.

Overdraft Protection Terms & Conditions

If you enroll for Overdraft Protection, the following terms apply to you and your Account: An Overdraft Protection Advance allows us to transfer funds and prevent overdrafts on the designated checking account. You authorize us to make Overdraft Protection Advances from the Account as provided in this Agreement. Any Overdraft Protection Advance will post as an “Overdraft Protection Advance.” The Account will not operate as an Overdraft Protection Account until you have activated your Card and the Account. We may cancel Overdraft Protection privileges under the Account, even if the Account remains open for other purposes. Overdraft Protection privileges will be automatically cancelled if the Account is closed by either you or us at anytime. Overdraft Protection privileges may be suspended if your Account is in “Default” as defined in your Credit Card Agreement.

You authorize us to share whatever information is necessary to process Overdraft Protection Advances with your bank. An Overdraft Protection Advance will only be made once per day. Overdraft Protection Advances to your checking account from the Account are processed after the close of business (10:00 p.m. ET) Monday through Friday. Overdraft Protection Advances will be made for a minimum amount as detailed in the overdraft protection agreement you receive from your bank; amounts over the minimum amount will be rounded to the next highest whole dollar. For example, you have a balance of $25 in your checking account, and two checks for $35.25 and $205 are presented for payment, an Overdraft Protection Advance of $216 will post to the Account. Notwithstanding the foregoing, we reserve the right to accept or deny any Overdraft Protection Advance request. In addition, enrollment, setup, insufficient funds and other fees may be charged by bank on your checking account.

Account and Agreement terms are not guaranteed for any period of time; we may change the terms of your Cardmember Agreement, including APRs and Fees, in accordance with the Agreement and applicable law. Your experience with other creditors, as reflected in your credit score, or your transactional experience with our affiliates, may also cause a change, including an increase in the margin that is added to the Index, an increase in Fees, a decrease in the Credit Limit, or the closure of the Account.

Upon Account opening, your APR will be dependent upon your credit history.

the Payment Due Date or you close your Account. We apply payments to balances with lower APRs, including introductory APRs, before balances with higher APRs.

2 The Delinquency Rate APR will apply to all balances in the event your Account becomes 30 calendar days past due once or 5 calendar days past due twice in any twelve (12) month period. 3 The Prime Rate used to determine your APR is a variable rate that is adjusted monthly based on the highest Prime Rate published in the last 90 days (currently 4.00%), in the

“Money Rates” column of The Wall Street Journal.

Notice to Ohio Residents: The Ohio laws against discrimination require that all creditors make credit equally available to all credit worthy customers, and that credit reporting agencies maintain separate credit histories on each individual upon request. The Ohio Civil Rights Commission administers compliance with this law.

Rewards Program Rules: We will award one point for each dollar of net purchases charged to the Platinum Business Rewards MasterCard Account during each statement period. There is no limit to the number of points you can earn with a Platinum Business Rewards MasterCard Account. Points will not be awarded to a Cardmember for net purchases during a statement period if the Cardmember’s Account is not open and current on the statement closing date. Points will not be awarded for Balance Transfers or Advances as defined in the Cardmember Agreement. Points will be awarded and redeemed at the company level (Authorizing Officer) unless requested to earn at the individual level after Account booking. Cardmembers can redeem points for round-trip airfare beginning at 25,000 points in addition to gift certificates, name brand merchandise rewards and more. Complete terms and conditions for the Rewards Program will be provided to Platinum Business Rewards MasterCard Cardmembers. Service provided by Maritz Loyalty Marketing.

Balance Transfer Terms and Information: The Authorized Officer may transfer up to 90% of your Credit Limit from other companies including financial institutions. However, you cannot make Balance Transfers from other PNC Bank accounts. PNC Bank, Delaware shall not have any liability for transferring balances which exceed your Credit Limit. (Transferring balances will not automatically close your accounts, please write each creditor directly to do so. If you receive a statement while transfers are being processed, pay the minimum amount to avoid late notices and charges. We cannot assume responsibility for any late payments, finance charges or disputed amount on your other accounts.) Balance Transfers will post to the Account and be separately reflected on monthly Account statements as Balance Transfer, or, depending upon the offer, may post to the Account and be treated as a Purchase, or an Advance transaction. Payment will be applied first to the lowest APR balance on your Account. Refer to your Cardmember Agreement for complete terms and conditions.

Important Terms and Application Agreement: Business Owner authorizes PNC Bank, Delaware (“we,” “us,” “our” or “Issuer”) to obtain a consumer credit report or a business credit report for use in assessing his/her personal creditworthiness in connection with an Application by Company, of which Business Owner is an employee, principal, owner, partner, officer, or guarantor, for a MasterCard Business Card. We need such consumer reports because Business Owner may have direct, contingent, present or future liability to us for the Company’s obligation in connection with the Account. All applicants agree that, as long as the Account is open, we may obtain credit reports about the applicants from time to time. We reserve the right to consider the applicant for a lower line of credit if one was requested. This Application must be signed by a Business Owner with authority to bind the Business to the terms of this Application Agreement. The Business Owner certifies that the execution, delivery and performance of this Application has been authorized by all necessary corporate action by the Business, and will provide evidence of such action upon request. If the Business is approved for a Platinum Business Rewards MasterCard Account, the Business Owner requests and directs us to open a Platinum Business Rewards MasterCard Account (“Account”) and to issue Business cards (“Cards”) to any individual Employees of the Business, including the Business Owner, designated by the Business Owner on this Application or its addendum, or by any process agreed to by us and the Business. The Business Owner and each individual Employee Applicant understands and agrees that the Business, the Business Owner and the individual Employees will be liable for charges to the Account as follows: 1) the Business is jointly and severally liable with each individual Employee as to that individual Employee’s charges; 2) the Business Owner and each individual Employee are individually liable as to their respective individual charges; and 3) the Business Owner is individually liable and jointly liable with the Business for all charges made to the Account. Each applicant understands and agrees that we may increase or decrease the APR or credit limit assigned to the Account and/or to the Cards within the Account, or close the Account at any time based on our credit guidelines, credit report information, Account history or the financial circumstances of the Cardmember. At the time the Account is opened, individual Employees, including the Business Owner, will be issued a MasterCard Business Card and a Cardmember Agreement governing individual use of the Account. Use of the Card or the Account will signify acceptance of the terms of the Cardmember Agreement, which may be amended from time to time. All applicants must be at least 18 years old and agree that Accounts will be used primarily for business purposes and not personal, family, or household purposes. By providing a telephone number for a cellular phone or other wireless device, you are expressly consenting to receiving communications at that number, including, but not limited to, prerecorded or artificial voice message calls, text messages, and calls made by an automatic telephone dialing system from us and our affiliates and agents. This express consent applies to each such telephone number that you provide to us now or in the future and permits such calls regardless of their purpose. These calls and messages may incur access fees from your cellular provider. The Cardmember Agreement contains an Arbitration Provision under which you, we and certain other third parties will have the right to seek to compel arbitration of any dispute that arises under or relates to the Cardmember Agreement or your credit card account. Among other things, the Arbitration Provision includes a waiver of the right (1) to go to court to resolve any dispute; (2) to have a jury resolve any dispute; and (3) to participate in a class action in court or in arbitration. You will have 30 calendar days after the card is issued to you to reject the Arbitration Provision without affecting any other term of your Cardmember Agreement. The Cardmember Agreement also contains a separate Jury Trial Waiver under which you and we agree to waive any right to trial by jury in the event of litigation between us. This is only a summary of some of the features of the Arbitration Provision and the Jury Trial Waiver. You should read the entire Cardmember Agreement carefully. You also agree that in order to open and administer the Account that may be established as a result of this Application, that we and PNC Bank may share certain information about you and your ongoing Account activity. Information from this Application may be shared with our affiliates. Cash access is subject to credit approval.
