NOTICES TO PERFECT STATUTORY LIENS UNDER APPLICABLE LOUISIANA

LAW AND 11 U.S.C. § 546(b) AND (II) GRANTING RELATED RELIEF

Upon the Emergency Motion for Order (I) Authorizing Filing of Notices to Perfect

Statutory Liens Under Applicable Louisiana Law and 11 U.S.C. § 546(b) and (II) Granting Related

Relief (the “Motion”) by Seadrill Limited (“Seadrill Ltd.”) and Seadrill Management Ltd.

(“Seadrill Management,” and collectively, Seadrill Ltd. with other related non-debtor entities

“Seadrill”); and this Court having jurisdiction over this matter pursuant to 28 U.S.C. §1334; and it

appearing that this is a core proceeding pursuant to 28 U.S.C. § 157(b)(2); and it appearing that

the Court may enter a final order consistent with Article III of the United States Constitution; and

it appearing that venue of this proceeding and the Motion in this district is proper pursuant to 28

U.S.C. §§ 1408 and 1409; and it appearing that the notice of the Motion was appropriate under the

circumstances and no other notice need be provided; and this Court having reviewed the Motion;

and this Court having determined that the legal and factual bases set forth in the Motion establish

just cause for the relief granted herein; and upon all of the proceedings had before this Court; and

after due deliberation and sufficient cause appearing therefor, it is HEREBY ORDERED THAT:

1.

Seadrill’s provision of notice to the Debtors of liens against the Debtors’ property

interests, if provided in good faith, and filing of financing statements under the Louisiana Oil Well

Lien Act, La. R.S. § 9:4861, et seq. (“LOWLA”) against such Debtor property interests, if filed in

good faith, will not violate the automatic stay.

2.

Seadrill will provide the notices and file the financing statements contemplated by

Paragraph 1 of this Order by March 1, 2021.

3.

Promptly, but in no event later than three (3) business days, after the notices are

provided and financing statements are filed, Seadrill shall file on the docket in the above-captioned

chapter 11 cases copies of such notices and financing statements.

4.

Nothing in this Order shall be interpreted as a determination or approval of the

amount, validity, priority or perfection of any of Seadrill’s claims or liens, and all parties’ rights

are expressly preserved, including with respect to the amount, validity, priority or perfection of

any such claims or liens.
