Payment Terms

1 Payment Terms

1.1 In addition to the Dragon Law Terms of Service (Terms of Service) that govern your use of the Site, Applications, Content and Service, these supplemental terms of service (Payment Terms) constitute a legal agreement between you and Dragon Law, governing your access to and use of our Services as a paying customer, including but not limited to access to our subscription services described below, including Starter Quarterly, Starter Annual, Professional Quarterly, and Professional Annual (collectively Subscription Plans), use of our document builder and e-signing application (Document Builder); the Dragon DoubleCheck service, purchase of an Independent Lawyer Review or other Independent Legal Services and any and all other chargeable services that we may offer from time to time (together Paid Services). If you sign up for a Subscription Plan or purchase any Paid Services from Dragon Law, you accept these Payment Terms.

1.2 Terms defined in the Terms of Service shall have the same meaning when used in this agreement, unless defined below.

2 Changes of terms

We may amend the Payment Terms from time to time in our sole discretion without notice or liability to you. It is your responsibility to review these Payment Terms periodically. By continuing to use the Services following such amendments to the Payment Terms, you agree to be bound by such amendments. If you do not agree to the Payment Terms, now or at any time, please do not use the Site, Applications, Subscription Plans or any of the Paid Services.

3 Minimum requirements

To obtain or subscribe for Paid Services on or through Dragon Law, you must provide certain registration information (more particularly set out in the Terms of Service) and obtain a Dragon Law account. You acknowledge that you are responsible for maintaining the security of, and restricting access to, your account and password, and you agree to accept responsibility for all purchases and other activities that occur under your account. Dragon Law sells its services only to those users who can legally make purchases with a credit card or other form of payment accepted by Dragon Law.

4 Subscription Terms

4.1 Payment; renewal

(a) By subscribing to a Subscription Plan, you authorise Dragon Law to charge the applicable recurring subscription fees to your designated billing payment method.

(b) When you initially subscribe to a Subscription Plan, you will be charged immediately for the initial term of the subscription at the then-current fee for the applicable subscription tier. Unless you notify us of your decision to terminate your Subscription Plan, your subscription will automatically renew at the end of each subscription term at the then-current fee.

(c) You will be charged in advance for the renewal term of the Subscription Plan on your applicable billing date (Charge Date). Each charge on the applicable

Charge Date applies to the subscription period immediately following the Charge Date (e.g., the calendar year immediately following the Charge Date). (d) You may update any of your billing information (including a change to your

desired billing payment method) through your account settings on the Site. 4.2 Free account

If you do not subscribe to a Subscription Plan, you will be able to access the Site and use some of its features, however, you will not be able to, among other things, use all the features of our Document Builder, invite people to e-sign documents or export any documents.

4.3 Billing Authorisations for free trials

From time to time we may offer free trial accounts for our Subscription Plans. You may be required to provide an applicable billing payment method to register for a free trial offer to a Subscription Plan. In that event, you agree that Dragon Law may obtain a pre-authorisation for the fee amount that you will be charged if you complete the free trial and continue the Subscription Plan. It is possible that some financial institutions may perceive these requested amounts as actual pending charges. These are not actual charges, and Dragon Law will not be responsible for any results, such as an overdraft fee, that may occur to your account as a result of such authorisations.

4.4 In-subscription purchases (a) Dragon DoubleCheck

If you subscribe to a Subscription Plan that only entitles you to a certain number of Dragon DoubleChecks in any given subscription period, you have the option to purchase an additional Dragon DoubleCheck each time you create a document using the Document Builder. This option will not be available if you are on a free trial. The cost of each Dragon DoubleCheck will be clearly displayed on the relevant step of the Document Builder before purchase and will be billed immediately on your confirmation using your prescribed payment method. Extra Dragon DoubleChecks cannot be cancelled after purchase and will not be refunded if your subscription ends for any reason.

(b) Independent Lawyer Review

Subscribers to any Subscription Plan may request to purchase an Independent Lawyer Review each time you create a document using the Document Builder. This option will not be available if you are on a free trial. The cost of an Independent Lawyer Review will be clearly displayed on the relevant step of the Document Builder before purchase and will be billed immediately on your confirmation using your prescribed payment method. (c) Independent Legal Services

Free users and subscribers to any Subscription Plan may request to purchase Independent Legal Services at any time. The cost of any such Paid Service will be clearly displayed on the Site before purchase and will be billed immediately on your confirmation using your prescribed payment method. (d) Other Paid Services

Subscribers to any Subscription Plan may purchase other Paid Services (for example, a trademark application or Hong Kong company incorporation) at any time during their subscription. This option will not be available if you are on a free account. The cost of any such Paid Service will be clearly displayed on the Site before purchase and will be billed immediately on your confirmation using your prescribed payment method.

4.5 Cancellation of a Subscription Plan

(a) To cancel a Subscription Plan, please follow the process set forth in your account settings on the Site. Once you have cancelled your subscription, Dragon Law will suspend the auto-renew from your applicable payment method until and unless you re-subscribe. All of the fees paid and charges made prior to termination are non-refundable. Termination of your subscription shall not relieve you of any obligations to pay accrued charges. Your Subscription Plan will terminate on the date that is one calendar year following your last Charge Date.

(b) You agree that Dragon Law, in its sole discretion, with or without prior notice, may freeze or terminate your Subscription Plan for any reason, including, without limitation, if Dragon Law believes that you have violated these Payment Terms or the Terms of Service. Dragon Law may also in its sole discretion, and at any time, modify or discontinue providing any Subscription Plan, or any part thereof, with or without notice. Additionally, you agree that Dragon Law shall not be liable to you or any third-party for any interference with, or termination of, your access to the Subscription Plan.

(c) If you re-subscribe during the tenure of an existing subscription period your account will be reactivated with the benefits associated with that Subscription Plan.

(d) If you cancel an annual Subscription Plan with us in writing prior to the end of that subscription period then we will refund a proportion of your subscription fee. Where a refund is sought the proportion of the subscription fee refunded will be as indicated in the schedule below:

(a) We may increase the price payable for any Subscription Plan, effective the first day of a renewal term by giving you notice of the new cost at least thirty (30) days before the beginning of the renewal term. If you do not cancel your subscription, you shall be deemed to have accepted the new cost for that renewal term and any subsequent renewal terms (unless the fees are increased in the same manner for a subsequent renewal term).

(b) Reductions in fees become effective on the next renewal term without any pro-rata for the period covered under the then preceding subscription period.

6 Independent Lawyer Review

6.1 As a subscriber to any of our Subscription Plans, you may, during the Document Builder process, elect to pay for an Independent Lawyer Review of your work to be carried out by a practising Hong Kong qualified solicitor (subject to satisfactory know your client, ant-money laundering and conflict checks and acceptance of such review request by the relevant law firm or sole practitioner). Solicitors performing legal services for you under this agreement are not agents or employees of Dragon Law. Any solicitor providing legal services to you shall maintain a solicitor-client relationship and is solely responsible for all the legal services provided, whether or not the solicitor uses our Site or Applications before, during or after delivering services to you.

6.2 Payment for an Independent Lawyer Review is made through our Site and includes two elements:

(a) a software administration fee paid to Dragon Law by you for use of our DragonLink software; and

(b) a fixed fee paid to the law firm or sole practitioner performing the Independent Legal Review.

Dragon Law does not receive or agree to receive any commission on any business introduced by Dragon Law to any practising solicitor or barrister in Hong Kong.

7 Independent Legal Services

7.1 As a non-paying user on a free account or as a subscriber to any of our Subscription Plans, you may elect to pay for the services of an independent practising Hong Kong qualified solicitor (subject to satisfactory know your client, ant-money laundering and conflict checks and acceptance of such review request by the relevant law firm or sole practitioner). Solicitors performing legal services for you under this agreement are not agents or employees of Dragon Law. Any solicitor providing legal services to you shall maintain a solicitor-client relationship and is solely responsible for all the legal services provided, whether or not the solicitor uses our Site or Applications before, during or after delivering services to you.

7.2 Payment for any independent legal services is made through our Site and includes two elements:

(a) a software administration fee paid to Dragon Law by you for use of our DragonLink software; and

(b) a fixed fee paid to the law firm or sole practitioner performing the independent legal services.

Dragon Law does not receive or agree to receive any commission on any business introduced by Dragon Law to any practising solicitor or barrister in Hong Kong.

8 Dragon DoubleCheck

As a subscriber to either the Professional Quarterly, or Professional Annual, Subscription Plan you automatically benefit from a number of reviews of your work for completeness and consistency after you create your document through the Document Builder (the number of reviews is plan dependent and you may also purchase this service on a per-review basis as a subscriber to any Subscription Plan). A Dragon Law Business Support Executive personally reviews the answers you provide for:

(a) completeness of required information. We will contact you by phone, email or videochat (whichever method you prefer) regarding any missing information; (b) spelling and punctuation. We do not rely solely on software spell checkers; (c) correct capitalisation and lowercasing where required (including consistency

of defined terms where they have been introduced to a document);

(d) proper pagination and blank space elimination (including assembling appendices where your content has been uploaded and is incorporated by reference);

(e) complete words. We spell out abbreviations or symbols in English where appropriate; and

(f) full names. We verify that full names and complete business names are given and that all names appear consistently throughout the document.

9 Accessing Our Services

9.1 We make every effort to ensure that our Services are always available but we cannot guarantee that Services will not be uninterrupted. We will not be liable to you if for any reason our Services are unavailable at any time or for any period. 9.2 You are responsible for making all arrangements necessary for you to have access

to our Services. You are also responsible for ensuring that all persons who access our Services through your internet connection are aware of these Payment Terms and other applicable terms and conditions, and that they comply with them.

10 Not Insurance

A Subscription Plan is not a contract of insurance or indemnification insurance plan. Dragon Law is not an insurance company. The Subscription Plans provide Dragon Law’s customers with access to free and discounted legal services from partner law firms and barristers’ chambers. Dragon Law does not reimburse or indemnify any subscriber or pay any firm or chambers for professional fees or expenses.

11 Dispute Resolution

Dragon Law and you agree to arbitrate all disputes and claims pursuant to the Terms of Service.
