Nghi Son Refinery Project

The largest international project financing in Vietnam since the country opened its doors to foreign investment: the USD5bn financing of the Nghi Son Refinery Project (total project costs in excess of USD9bn). Awarded Asia Pacific Petrochemical Deal of the Year, Project Finance International Awards 2014.

Vinashin

The first Asian company to restructure through a UK scheme of arrangement – advising creditors in the restructuring of Vinashin including in relation to the issue of notes in exchange for USD600m debt. Awarded Restructuring Deal of the Year, IFLR Asia Awards 2014.

The first M&A transaction involving an Indonesian insurance company to go before Indonesia’s Financial Services Authority – advising The Dai-ichi Life Insurance Company on its USD337m acquisition of a stake in PT Panin Life of Indonesia, and its entry into a strategic joint venture with Panin Life.

Republic of Indonesia

The first sovereign sukuk programme established by the Republic of Indonesia – advising the arrangers and dealers on the establishment of a USD3bn Islamic trust certificate issuance programme through Perusahaan Penerbit SBSN Indonesia III.

Emperador Inc.

Advising on its GBP430m

acquisition of premium Scotch maker Whyte & Mackay from United Spirits.

Jinchuan Group

Advising one of the largest Chinese State-owned mining enterprises, Jinchuan Group, on a number of acquisitions in the Philippines including transactions involving nickel and copper mines and other non-ferrous metals.

LT Group

The largest equity offering by a Philippines corporate issuer on record – advising LT Group on its USD920m equity offering. Awarded Best Philippines Deal, FinanceAsia Awards 2013.

IHH Healthcare

Malaysia’s largest IPO for a number of years valued at SGD2.49bn – advising the underwriters on IHH Healthcare Berhad’s Rule 144A/Regulation S IPO and dual listing on Bursa Malaysia and Singapore Stock Exchange.

Khazanah Nasional

exchangeable sukuk

Advised Khazanah Nasional Berhad on its exchangeable sukuk issuance – a landmark transaction in the Islamic finance market, being the first ever SGD-denominated exchangeable sukuk. Awarded Most Innovative Islamic Deal, Euromoney Islamic Finance Awards 2014, and Islamic Deal of the Year, IFR Asia Awards 2013.

Advising on the sale, by way of competitive auction process, of its entire indirect shareholding in its Cambodian operating subsidiary enterprise, Sotelco Ltd., to its local Cambodian partner.

Brunei LNG

Advising Brunei LNG on the drafting and negotiation of contracts providing natural gas to Brunei LNG plant as well as on the long term off-take LNG sale and purchase agreements. Total value of LNG sales is in excess of USD60bn.

Telenor

Setting the standard for future auctions of public assets/licences in Myanmar – advising Telenor on its successful bid for one of the two recently awarded telecommunications licences as well as on all matters relating to network deployment.

Banking regulation

We are members of a financial services task force (alongside others) engaged to review Myanmar’s banking regulations.

Pro bono

On the pro bono side we have rolled out a number of educational programmes for government and regulatory agencies, members of the local legal profession and law students to help build Myanmar’s legal know-how.
