CIBC Home and Auto Insurance Program $25,000 in Cash Prizes Giveaway (the “Contest”)

BY PARTICIPATING IN THIS CONTEST, EACH ENTRANT AGREES TO BE BOUND BY THESE OFFICIAL CONTEST RULES (the “Rules”)

THE CONTEST:

The Contest commences at 12:00:01 a.m. Eastern Time (“ET”) on Wednesday, September 3, 2014 and ends at 11:59:59 p.m. ET Friday, December 12, 2014 (the

“Contest Period”). The Contest Period consists of the following fifteen (15) weekly periods (each, a “Weekly Period”):

CONTEST ADMINISTATOR: The Marco Corporation, 470 Hardy Road, Brantford, Ontario, N3V 6T1 (the “Contest Administrator”)

SPONSOR: CIBC Insurance Agency Inc. (“CIBC Insurance” or “Sponsor”).

THE PRIZES:

There is one (1) grand prize (the “Grand Prize”). The Grand Prize consists of $10,000 CAD.

There are (15) weekly prizes (each, a “Weekly Prize”) available to be won at the beginning of the Contest Period. Each Weekly Prize consists of $1,000 CAD. The number of Weekly Prizes available to be won will decrease throughout the Contest Period as they are claimed in accordance with these Rules.

Collectively, the Grand Prize and the Weekly Prizes may be referred to as the “Prizes”.

The Prizes must be accepted as awarded. A Prize cannot be substituted or transferred to a third party. However, the Sponsor may (at its sole and absolute discretion) substitute any Prize for another prize which is of equal or greater value. Any additional costs not described in these Rules as part of a Prize are the applicable winner's sole responsibility.

Maximum one (1) Weekly Prize and one (1) Grand Prize per person. For greater certainty, a Weekly Prize winner will still be eligible for a chance to win the Grand Prize (see below for details), but will not be eligible for a chance to win another Weekly Prize.

ELIGIBILITY:

To be eligible to win, you must be a legal resident of Canada who has reached the age of majority in your province or territory of residence at the time of entry. Employees, representatives and agents/mandataries (and anyone domiciled with any such individual) of the Sponsor, Canadian Imperial Bank of Commerce (“CIBC”), the Contest Administrator, their respective affiliates, subsidiaries, related companies and advertising and promotional agencies, as well as employees, representatives and agents/mandataries (and anyone domiciled with any such individual) of Desjardins General Insurance Group Inc. (“DGIG”) and its subsidiaries (collectively, the

“Contest Parties”) are not eligible to enter the Contest. Whether or not any particular person complies with any and/or all of the eligibility requirements will be determined by the Sponsor in its sole and absolute discretion.

TO ENTER:

No Purchase Necessary. There are three (3) methods to enter the Contest during the Contest Period, as follows:

1. Telephone: To enter via telephone, an eligible entrant must: (i) call, toll-free, 1-855-964-2082 (or any of the other valid CIBC Home and Auto Insurance Program telephone numbers listed in CIBC Home and Auto Insurance Program advertising materials) and: (a) obtain a free home or auto insurance quote (a

“Quote”) from the CIBC Home and Auto Insurance Program by providing the information requested by the DGIG Insurance representative to complete the Quote; or (b) submit his/her current home and/or auto insurance policy renewal date(s) (each, a “Renewal Date”) and provide the information requested by the DGIG Insurance representative to complete the renewal form; and (ii)

provide his/her first name, last name, address, city, province, postal code, date of birth, email address and telephone number for the purposes of administering the Contest in accordance with these Rules. If an eligible entrant completes the required steps outlined in this subsection during a Weekly Period (as determined by the Sponsor at its sole and absolute discretion the basis of its official records), he/she will be automatically be provided with one (1) entry (an

“Entry”) into: (i) the Draw for a Weekly Prize (defined below) that corresponds to such Weekly Period; and (ii) the Grand Prize Draw (defined below); subject to compliance with these Rules (as determined by the Sponsor at its sole and absolute discretion).

2. Online: To enter online, an eligible entrant must visit

www.cibcinsurance.com/fallcontest (the “Website”) and: (a) obtain a Quote by following the on-screen instructions to complete and submit the electronic Quote request form (the “Quote Request Form”) (which will require the eligible entrant to fill out all mandatory fields, such as e-mail address, first name, last name, address, city, province, postal code and telephone number, as well as all the other required information); or (b) provide his/her Renewal Date(s) by following the on-screen instructions to complete and submit an electronic Renewal Date form (the “Renewal Date Form”) (which will require the eligible entrant to fill out all mandatory fields, such as e-mail address, first name, last name, address, city, province, postal code, date of birth and telephone number, as well as all other required information). Once a Quote Request Form or Renewal Date Form has been fully completed, submitted and received by the Sponsor during a Weekly Period (as determined by the

Sponsor at its sole and absolute discretion on the basis of its official records), the applicable eligible entrant will automatically be provided with one (1) Entry into: (i) the Draw for a Weekly Prize that corresponds to such Weekly Period; and (ii) the Grand Prize Draw; subject to compliance with these Rules (as determined by the Sponsor at its sole and absolute discretion).

3. Existing Clients: If an eligible entrant is an existing CIBC Insurance client with respect to its home insurance program or auto insurance program such eligible entrant’s policy is in good standing during the Contest Period (as determined by the Sponsor at its sole discretion on the basis of its official records), such eligible entrant will automatically be provided with one (1) Entry into the Grand Prize Draw.

IMPORTANT NOTE: If you qualify to receive an Entry in accordance with any of the three (3) methods of entry listed above, you agree to being automatically entered into the Contest and allowing the use of your information for the purposes of

administering this Contest. If you do not wish to participate in the Contest pursuant to the terms of this section, please send an email to

CIBCcontests@TheMarcoCorporation.com informing the Contest Administrator that you do not wish to be entered into the Contest.

Limit of one (1) Entry per person, regardless of method of entry. If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any person has attempted to: (i) obtain more than one (1) Entry or obtain an Entry (regardless of the method of entry) other than as permitted in accordance with these Rules; and/or (ii) use multiple names, identities, email addresses and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or to disrupt this Contest; then he/she may be disqualified from the Contest in the sole and absolute discretion of the Sponsor.

The Released Parties (defined below) are not responsible for late, lost, misdirected, delayed, incomplete or incompatible Entry-related information or Entries (all of which are void).

All Entries (regardless of the method of entry) are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual’s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of any information submitted (or purportedly submitted) for the purposes of this Contest; and/or (iii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with these Rules. Failure to provide such proof to the complete satisfaction of the Sponsor in a timely manner may result in disqualification in the sole and absolute discretion of the Sponsor. The sole determinant of the time for the purposes of a valid Entry in this Contest will be the Sponsor’s Official Clock(s).

THE DRAWS:

Grand Prize Draw:

On or about January 9, 2015 (the “Grand Prize Draw Date”) at 2:00 p.m. ET, in Brantford, ON, the Contest Administrator will perform a random draw (the “Grand Prize Draw”) from all eligible Entries allocated to the Grand Prize Draw (see “TO ENTER” section above for details) to select the one (1) potential Grand Prize winner.

The odds of winning the Grand Prize depend on the number of eligible Entries allocated to the Grand Prize draw during the Contest Period.

Draws for Weekly Prizes:

On each draw date listed in the table below (each, a “Monthly Draw Date”) (collectively, the Grand Prize Draw Date and Monthly Draw Dates may be referred to as the “Draw Dates”) the Contest Administrator will perform a random draw (or a series of separate random draws, as applicable – see the table below for details) (each, a “Draw for a Weekly Prize”) (collectively, the Grand Prize Draw and the Draws for a Weekly Prize may be referred to as the “Draws”) in Brantford, Ontario at 2:00 p.m. ET. In the course of each Draw for a Weekly Prize, the Contest Administrator will select one (1) potential Weekly Prize winner from all eligible Entries allocated to the applicable Weekly Period (see “TO ENTER” section above for details). The odds of winning a Weekly Prize depend on the number of eligible Entries allocated to the applicable Weekly Period. The number of Weekly Prizes will decrease as they are claimed over the course of the Contest Period. Without limiting the generality of the foregoing and for greater certainty, by way of example, on October 10, 2014, the Contest Administrator will perform a total of four (4) separate Draws for a Weekly Prize, as follows: (i) one (1) Draw for a Weekly Prize to select one (1) potential Weekly Prize winner from all eligible Entries allocated to Weekly Period 2;

ii) one (1) Draw for a Weekly Prize to select one (1) potential Weekly Prize winner from all eligible Entries allocated to Weekly Period 3; iii) one (1) Draw for a Weekly Prize to select one (1) potential Weekly Prize winner from all eligible Entries allocated to Weekly Period 4; and (iv) one (1) Draw for a Weekly Prize to select one (1) potential Weekly Prize winner from all eligible Entries allocated to Weekly Period 5.

NOTIFICATION OF SELECTED ENTRANTS:

The Contest Administrator will make a minimum of five (5) attempts to contact each selected entrant by telephone within five (5) business days of the applicable Draw Date.

If a selected entrant cannot be contacted within such time, or if there is a return of any notification as undeliverable; then he/she may, in the sole and absolute discretion of the Sponsor or Contest Administrator, be disqualified (and, if disqualified, will forfeit all rights to the applicable Prize) and the Sponsor reserves the right, in its sole and

absolute discretion and time permitting, to randomly select an alternate eligible entrant from among the remaining applicable eligible Entries (in which case the foregoing provisions of this section shall apply to such newly selected entrant).

CONFIRMATION OF WINNERS:

BEFORE BEING DECLARED A CONFIRMED PRIZE WINNER, each selected entrant will be required to: (a) correctly answer a mathematical skill-testing question without mechanical or other aid; and (b) sign and return within five (5) business days of receipt, the Sponsor’s declaration and release form, which (among other things): (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the applicable Prize (as awarded); (iii) releases the Contest Parties and each of their respective officers, directors, agents, representatives, successors and assigns (collectively, the “Released

Parties”) from any and all liability in connection with this Contest, his/her participation therein and/or the awarding and use/misuse of the applicable Prize or any portion thereof; and (iv) agrees to the Sponsor’s use his/her name, city/province/territory of residence and/or photograph in advertising or other publicity in connection with the Contest, including print, broadcast or the internet, such as publication on CIBC Home and Auto Insurance Program websites, or any other website(s), of his/her name and the fact that he/she is a Prize winner or that he/she is a CIBC customer (if applicable), without any payment or other compensation.

If a selected entrant: (a) fails to correctly answer the skill-testing question; (b) fails to return the properly executed Contest documents within the specified time; (c) cannot accept (or is unwilling to accept) the applicable Prize (as awarded) for any reason;

and/or (d) is determined to be in violation of these Rules (all as determined by the Sponsor in its sole and absolute discretion); then he/she may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to the applicable Prize) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to randomly select an alternate eligible entrant from among the remaining applicable eligible Entries (in which case the foregoing provisions of this section shall apply to such newly selected entrant).

A selected entrant will not be confirmed as a winner until his/her compliance with these Rules has been verified (as determined by the Sponsor at its sole and absolute discretion). Once a selected entrant has been confirmed as a winner, the Contest Administrator will contact such winner with details on how to claim his/her Prize. If a confirmed winner has a CIBC chequing or savings account, he/she will be required to provide the Sponsor with the following information so that his/her Prize may be directly deposited into such account: (i) his/her CIBC home branch address; and (ii) his/her CIBC chequing or savings account number. If a confirmed winner does not have a CIBC chequing or savings account, a cheque for the applicable Prize will be issued in his/her name.

PRIZE CLAIM DEADLINE:

Prizes must be claimed by February 9, 2015. Any Prize not claimed by this date will not be awarded.

GENERAL:

The Sponsor reserves the right, subject only to the approval of the Régie des alcools, des courses et des jeux in Quebec (the “Régie”), to, without notice to any other party, cancel the Contest and award none, some or all of the Prizes for any reason, including, but not limited to, if the Sponsor determines in its sole discretion that an event or cause, including, but not limited to, the loss or destruction of Entries, a virus, bug, or computer, electronic or system malfunction, human error, the unavailability of any method of entry, or other cause beyond the Sponsor’s control, has impaired the integrity, security, administration or fair play of the Contest. The Sponsor also reserves the right, subject only to the approval of the Régie, to, without notice, suspend the Contest and/or amend these Rules, at any time if the Sponsor, acting in its sole and absolute discretion, determines that it must suspend the Contest and/or amend these Rules in order to address an impairment or to preserve the integrity of the Contest. If the Contest terminates for any reason before the end of the Contest Period, the Contest Administrator may (at the Sponsor’s sole and absolute discretion) hold a random draw(s) from all applicable eligible Entries received up until the termination date of the Contest to award the Prizes.

Any attempt by any person to undermine the legitimate operation of this Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. The Sponsor's failure to enforce any term of the Contest rules shall not constitute a waiver of that provision. All Entries become the property of the Sponsor and none will be returned.

By entering the Contest, each entrant accepts and agrees to be bound by these Rules and all decisions of the Sponsor, which shall be final and legally binding on entrants in all matters relating to the Contest. The Sponsor may disqualify any person who violates these Rules (as determined by the Sponsor at its sole and absolute discretion).

If, as a result of an error relating to the entry process, drawing or any other aspect of the Contest, there are more selected entrants than contemplated by these Rules, there will be a random draw from amongst such eligible selected entrants to award the correct number of Prizes as set out in these Rules.

In the event of any discrepancy or inconsistency between the terms and conditions of these English Rules and disclosures or other statements contained in any Contest- related materials, including, but not limited to: any form, the Website, the French version of these Rules, and/or point of sale, television, print or online advertising;

the terms and conditions of these English Rules shall prevail, govern and control to the fullest extent permitted by law.

This Contest is subject to all applicable federal, provincial and municipal laws and regulations. All matters in relation to the Contest and the awarding of Prizes, including without limitation the eligibility of entrants, the declaration of a winner and any entrant’s compliance with the Rules, will be determined in the sole discretion of the Sponsor whose decisions in all such matters is final.

LIMITATION OF LIABILITY:

The Released Parties assume no responsibility or liability for technical, website, computer, software, hardware or server malfunctions or errors, including, but not limited to, those that may affect the transmission, processing or validation of Entries or any other Contest-related information; or for human or technical errors related to the administration of the Contest; or for lost, late, deleted, altered, destroyed, unintelligible/illegible, falsified, damaged, misdirected or incomplete Entries or any other Contest-related information, notifications, declaration and release forms, responses, replies or erroneous winner or potential winner announcements. The Released Parties will not be responsible for any damage which occurs to an entrant’s or a third party’s software or hardware from participating in the Contest. Contest entrants forever release and discharge the Released Parties from any and all actions, causes of action, claims, costs and payments for damages, loss, injury, or death, however occurring as a result of participating in the Contest or accepting, using or misusing a Prize (if applicable) in the Contest. By entering the Contest, each entrant agrees to fully indemnify the Released Parties from any and all claims by third parties relating to the entrant’s participation in the Contest or his/her acceptance, use or misuse of a Prize (if applicable).

PRIVACY:

Any personal information collected in the course of this Contest will be used by the Sponsor and the Contest Administrator for the administration of the Contest as

outlined in the Rules (unless the entrant otherwise agrees) and in accordance with the Sponsor’s privacy policy, or as permitted or required by law. By entering the Contest, you consent and agree to this collection, use and disclosure of personal information. Please visit our privacy policy at http://www.cibc.com/ca/legal/privacy- policy.html.

FOR RESIDENTS OF QUEBEC:

Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement.

LIST OF WINNERS:

The names of the winners may be obtained by mail by writing to “CIBC Home and Auto Insurance Program $25,000 in Cash Prizes Giveaway” PO Box 4099, Paris, Ontario N3L 3W9 within 120 days after the end of the Contest Period. Such written request must be accompanied by a self-addressed, stamped envelope with sufficient postage.
