“Secret Code” CONTEST RULES AND REGULATIONS

ARTICLE 1 – ORGANISING COMPANY

The company PUIG FRANCE, a simplified joint stock company with a capital of €10,000,000, registered with the Trade and Companies Registry of Paris under number 682 030 507, whose head office is at 65-67

avenue des Champs Elysées – 75008 Paris (hereinafter the “Organising Company”), is organising from

Tuesday 23 February 2016 (14.00) to Thursday 31 December 2020 (23.59) inclusive, a free contest based on an instant win entitled “Secret Code” (hereinafter “the Contest”) as described in these rules and regulations.

ARTICLE 2 – ACCEPTANCE OF RULES AND REGULATIONS

Participation in the Contest implies the acceptance without reservation by the Contestant of the current rules and regulations as well as the basic principle of the Contest. Anyone violating one or more of the Articles of these rules and regulations shall be deprived of the opportunity to participate in the Contest and also of any potential prizes.

The organizing company reserves the right to disqualify and sue any person that would pass on the organizing company’s website any content, whatsoever which would be contrary to morality or impair the rights of third parties or present promotional characteristics.

ARTICLE 3 – CONDITIONS OF ENTRY

Participation in this contest is open to any individual residing in Algeria, Argentina, Australia, Bahrain, Belgium, Bolivia, Canada, Chile, China, Colombia, Costa Rica, Croatia, Denmark, Finland, France, Germany, Greece, Hungary, Hong Kong, India, Italy, Israel, Japan, Jordan, Kuwait, Lebanon, Mexico, Morocco, Netherlands, Oman, Panama, Peru, Portugal, Qatar, Romania, Russia, Saudi Arabia, Singapore, Spain, Switzerland, Tunisia, Turkey, Ukraine, United Arab Emirates, United Kingdom, United States and Venezuela who have reached the legal age of majority in their state of residence and in any event over the age of 18 who:

- Internet access

- A valid email address

- A secret code for participating in the Contest (see Article 4 of the rules and regulations)

Employees of the Organising Company of the Contest or companies of the PUIG group or anyone having direct or indirect participation in the design, production or management of the Contest as well as any members of their immediate family are excluded from participating in the Contest.

The contestants specified above, who are eligible for prizes from the Contest, will hereinafter be referred to as the “Contestants”. A Contestant is any person presenting the same surname, the same first name, the same email address and the same postal address.

The Organising Company can ask all minors participating in the Contest to provide written permission from their parents or those holding parental authority, or if there is no such person, their legal guardian, communicated on the first request of the Organising Company. Contestants authorise all verifications regarding their identity, their address or their age.

Any Contestant trying to intervene in the Contest's IT system in any way will be excluded from the Contest. Participation in this Contest implies the acceptance, without reservation or restriction, of these rules and regulations in their entirety and the rules of conduct in force on the Internet, as well as the laws, rules and regulations applicable to free contests and sweepstakes. Non-compliance with these conditions by the Contestants will result in cancellation of their participation and possible liability.

Any registration which is incomplete or contains incorrect information will be considered null and void. The status of winner is subject to the validity of the contestant’s participation. Any false declaration of identity

and/or address or incomplete information will invalidate the winner's participation and result in his/her elimination.

The Organising Company reserves the right to conduct the necessary checks for the purpose of this Article. Any false declaration of identity or age will result in automatic elimination from the Contest.

Only one single entry per person per session (same name, same address, same email address and same telephone number) is permitted for the duration of the Contest. It is expressly forbidden for the same person to enter under different identities and/or different email addresses.

Similarly, it is for participants residing in a country other than the French Republic to ensure that, before participating in the game, this regulation and the participation in the game isn’t contrary, in whole or part to any law public order in force in their country of residence, such as participation in sweepstakes. Any resident of a country other than the French Republic participating in the game recognizes checking compliance with this regulation all rules and formalities that are specific to their country of residence. Assuming that this regulation is contrary to any regulation of the participant's country of residence, the participation of the latter will be cancelled and the organiser shall not incur liability on that basis.

ARTICLE 4 – PRINCIPLE AND PROCEDURES OF THE CONTEST

Entry into the Contest is open from Tuesday 23 February 2016 (14.00) to Thursday 31 December 2020 (23.59) in the sessions defined in Article 3 of these rules and regulations.

The Contest is accessible online 24 hours a day at the following address: www.ninaricci.com/secretcode

(hereinafter the “Site”). All entries must be made online, excluding any other means; in particular, postal entries are excluded.

Participation in the Contest is open to any person who respects the following procedure:

- Have the secret code they found on the packaging of the Nina eau de toilette 50 ml from the brand

Nina Ricci

- Go to the website www.ninaricci.com/secretcode

- Click on “Register a Nina secret code”

- Two possible options:

o If the Contestant already has a Nina Ricci account: type the email address and the corresponding password

o If the Contestant does not yet have a Nina Ricci account, they must sign up by filling in the requested fields (surname, first name, date of birth, email address, password, password confirmation, Nina Ricci interests) and tick “I accept the confidentiality policy described in the Terms and Conditions” then confirm the registration by clicking on the link sent by email to the email address that was given

- Type the secret code

- Tick the box “I accept the rules and regulations and the conditions for participation in the operation “Nina’s Secret Garden”

- Confirm

While they are logged in, Contestants can download three screensavers free of charge with no consequence on their participation in the Contest.

No inaccurate or incomplete entries may be taken into account and will likely lead to cancellation. In particular, entries with inaccurate, false or incomplete contact details, entries that do not comply with the terms of these rules and regulations or entries sent after the closure of the submission period of the Contest mentioned in these Articles may not be taken into consideration.

ARTICLE 5 – RESULTS 5.1 Prize draw

Each 500 registration of a product, the participant wins the prize (see article 6). The game, in the form of instant winner, allows a participant to win the grant if he is the 500th person to register - or more: the game is based on a tiered system: 500th person 1000th person 1500th person, etc. The awarding of prizes is predetermined: at each interval of 500 registrations staffing is assigned.

5.2 General conditions

Winners will receive the prizes mentioned in Article 6. Winners will be contacted by the Organising Company by any means available. Losers will not be notified.

Winners must prove their identity (photocopy of an identity document: ID card, passport or driving licence) and their postal address by email or post. All winners must prove to the Organising Company that they are of legal age; winners who are minors must provide the Organising Company with written permission signed by their parents or those holding parental authority, or if there is no such person, their legal guardian, authorising their participation in the Contest and the prize won and undertaking to accompany the minor to claim the prize, or failing that, designating a person of legal age who may accompany the winner to claim the prize.

If it is found that one of the winners does not fulfil the conditions of eligibility to enter the Contest, the prize will be allocated to the first eligible alternate (the same checks are conducted).

Winners must confirm acceptance of their prize within 21 business days following announcement of their win by the Organising Company. If no response is received by the deadline set above, in the event of false information preventing allocation of the prize or if written permission from parents for child winners is not received, where applicable, the winners will lose their claim to the prize and the prize will be allocated to the first eligible alternate. If there is no response from the alternate within 14 days from the announcement of their win, the prize will be lost and will not be reallocated.

Just one prize will be allocated per winner (same name, same email address, same IP address) per session. The winners authorise the Organising Society to proceed with all verifications concerning their identity and their residence.

Prizes will be sent to winners by post to the address they gave when they confirmed their participation within 1 month at the latest after confirmation of their win.

ARTICLE 6 – PRIZES 6.1 Prizes

Each 500 registration of a product, a participant will win the following prize:

§ 1 pack of Nina Ricci goodies with a commercial value of €25 including VAT consisting of:

o 1 sticker

o 1 photo

o 1 GB USB stick

o 1 4mlminiature Nina L’Eau

6.2 General conditions

The Organising Company cannot be held liable in case of loss and/or damage of the prizes sent by post and/or in case of malfunctioning of the postal service and/or in case of customs duties which will be borne by the winner.

If the postal address or email address provided by the winner is mistaken or if the prize cannot be distributed, the prize in question will become property of the Organising Company and the prize will not be offered again. Pictures of the prizes or any other product on the Site are for illustration purposes only and are not contractual.

The lots will be accepted as announced in this Regulation. They may not be exchanged or refunded nor be a financial consideration or financial equivalent of the price. No changes for any reason can be requested from the Organising Company.

The Organising Company reserves the right to substitute the prizes with one or more prizes of equal worth and with similar characteristics, without any claim to be made in this regard.

Prizes cannot be exchanged and there is no cash alternative or prize at an equivalent financial value of the prize. It is specified that the Organising Company will provide no benefits or guarantees, the only gains being the awarding of the prizes set forth above. The Organising Company accepts no responsibility for the use of the prize by the winner.

ARTICLE 7 – REIMBURSEMENT OF CONNECTION COSTS

Upon request, all Contestants can obtain reimbursement for the costs corresponding to the time spent playing the Contest based on a connection of four (4) minutes, or €0.76. It is specified that those users with a free or flat rate connection from their Internet service provider (such as connection by cable, ADSL or leased line) will not be able to receive any reimbursement, as their subscription to the service provider in this case is contracted for the use of the Internet in general and the Contestant does not face any additional costs or expenses to enter the Contest website.

If necessary, request for reimbursement must be addressed by post to the Organising Company along with the bank details, proof of an Internet subscription and letter indicating the date and time of the connection, no later than 15 days after the closing date of the Contest, authenticated by the postmark. The cost of the postage required for this request will be reimbursed upon written request on the basis of the 2nd class mail rate in force. One reimbursement request per registered Contestant is permitted and must be sent in an envelope (same name, same postal address). Incomplete requests will not be considered.

ARTICLE 8 – FILING THE RULES AND REGULATIONS

The present rules and regulations have been filed at the headquarters of the Organizing Company and are

accessible on the Website all along the contest length.

A copy of these rules and regulations is sent free of charge to anyone requesting them by post to the address of the Organising Company: PUIG France – Digital: “Concours Nina / Code Secret” - 65/67 avenue des Champs Elysées – 75008 Paris.

The postal stamp for sending these rules and regulations will be reimbursed at a flat rate based on the 2nd class mail rate in force upon written request accompanied by bank or post office identity details attached to the request for the rules and regulations. One request for a copy of these rules and regulations and the reimbursement of fees incurred to obtain this copy is permitted per Contestant. Request for reimbursement must also be sent by post to the address of the organising company: “Jeu Nina Code Secret” – 65/67 avenue des Champs Elysées – 75008 Paris.

Any modification of these rules and regulations is subject to an amendment that would be available on the website and provided along with the rules and regulations to any person specifically requesting these. All participants are deemed to agree expressly and unreservedly to the present terms and conditions and any amendments to it, after they are posted on the Site based on the fact of its participation to the game.

ARTICLE 9 – LIABILITY

Participation in the Contest involves the knowledge and acceptance of the characteristics and limitations of the Internet including technical performance, consultation response times, querying or transferring information, interruptions, connection problems, the lack of protection of certain data against possible misuse and risk of contamination by viruses circulating on the network. The Organising Company shall not be held liable for malfunctions which may affect the Internet network or for any problem linked to configuration or a certain browser.

The Organising Company does not guarantee that the website and/or the Contest will function without interruption, that they are free from IT errors or that any faults identified will be corrected.

The Organising Company will not be held liable for any technical malfunctions in the Contest, if Contestants fail to connect to the website or the Contest, if the data on the registration of an Contestant fails to reach the Company for some reason (for example, an Internet connection problem in the user's home for any reason) or if it arrives illegible or impossible to process (e.g. if the Contestant has a hardware or software environment that is unsuitable for registration), or in the event of email delivery problems. Contestants will not be entitled to any compensation in these instances.

In the same way, the Organising Company shall not be held liable for any material or immaterial damage caused to Contestants, their computer equipment and the data stored on them, or any direct or indirect consequences arising from them, including their personal, professional or commercial activity.

The Organising Company forbids all Contestants from modifying the Contest arrangements in any way whatsoever in view of changing the outcome of the parts or modifying the results. In this respect, the Organising Company reserves the right to enforce equal opportunity for all Contestants, including by legal

means or any other method it deems fit. Any entrant who attempts to disrupt the flow of the game either by

human intervention or by a PLC, will be immediately disqualified and his participation cancelled.

Similarly, any attempt to use the Contest outside of the non-modified interface established on the site will be considered attempted fraud. In addition, the decompilation of the Contest, the use of personal script or any other method aiming to circumvent the intended use of the Contest will also be considered to be attempted fraud and will result in the Contestant's elimination from the Contest without recourse.

The Organising Company reserves the right to cancel, postpone, interrupt or extend the Contest or modify all or part of these rules and regulations for whatever reason without incurring any liability.

ARTICLE 10 – PERSONAL DATA

It should be noted that to participate in the Contest, Contestants must provide certain personal information about themselves (title, name, address, email, telephone number). The Contestants acknowledge having being informed of their rights as per the Data Protection Act no. 78-17 of 6 January 1978 (amended) in their registration form.

This information is recorded and stored in a computer file and is necessary for entry to be considered and for determining the winners. This information is for the Organising Company for the sole purpose of contact and allocation of prizes.

By applying this law, Contestants have the right to access, rectify and delete the data concerning them. To exercise this right, candidates should send a letter to the following address: PUIG France – Digital - 65/67 avenue des Champs Elysées – 75008 Paris.

The winners authorise the Organising Society to proceed with all verifications concerning their identity and their residence. Any false information or proof of multiple entries will lead to the Contestant's elimination.

ARTICLE 11 – ORGANISERS’ DECISIONS

The Organising Company reserves all rights to modify these rules and regulations at any time and to make all decisions that could be deemed useful for the application and interpretation of these rules and regulations. The Organising Company is able to inform the Contestants using the method of their choice. The Organising Company also reserves the right to modify, extend, shorten, suspend or cancel the Contest without notice due to any event beyond its control, including an event of force majeure or unforeseeable circumstances. The Organising Company reserves the right to invalidate and/or cancel all or part of the Contest if it appears that fraud or malfunction of any kind whatsoever has occurred, including by computer when participating in the Contest. In this case, it reserves the right to not allocate the prize(s) to fraudsters,

co-fraudsters or accomplices and/or to bring proceedings before the competent courts against the parties who have committed fraud. Fraud will result in the immediate disqualification of the fraudster participant. The Organising Company shall not be held liable as regards the above and Contestants will not be entitled to any compensation or damages of any nature whatsoever.

ARTICLE 12 – APPLICABLE LAW

These rules and regulations are subject to French law, excluding its rules of conflict of laws.

To be considered, any disputes relating to the Contest must be made in writing to the following address: PUIG FRANCE, 65-67 avenue des Champs Elysées – 75008 Paris, and at the very latest thirty (30) days after the deadline for participation in the Contest as indicated in these rules and regulations.

In the event of persistent disagreement regarding this application or the interpretation of these rules and regulations, and in the absence of mutual agreement, all disputes will be subject to the competent courts of Paris.
