Thank you for taking the time to get acquainted with SmithReed. In

this brochure you’ll find an overview of our services and you’ll meet

a team of experienced professionals with entrepreneurial roots and

accomplished careers.

Our clients generally fall into three categories, families with

accumulated wealth, families who are building wealth, and those who

experience “sudden wealth” through a life event. We take the time to discover the needs of each

family before recommending solutions and can include your attorney or CPA in the planning process.

When families accumulate wealth in excess of their current needs, multigenerational asset

management, defensive investing, and charitable planning may be appropriate. The SmithReed

Family Office can provide the advice and management you need today, and consistent leadership for

your heirs in the future.

High earning professionals and successful business owners can generate income above their current

lifestyle. SmithReed Asset Management can provide advice on a variety of traditional investments

including private equity and real estate. We provide investment strategies, portfolio management,

estate planning, and advice on both career changes and exit strategies.

For those who find themselves “suddenly wealthy”, maintaining wealth can be a challenge. A legal

settlement, divorce, or inheritance can create the need for investment counseling, tax strategies, and

estate planning. Maintaining wealth can be more challenging than obtaining wealth.

SmithReed Asset Management is a Tennessee Registered Investment Advisor providing personalized financial planning,

fee based investment management, tax strategies, estate planning, and alternative IRA strategies. Our clients include

individual investors, business owners, professionals, corporate executives, retirees, and retirement plan administrators.

Jeff Rummells, David Waycaster, and Karen House provide all advisory services.

Financial Planning and Consulting

SmithReed Asset Management provides planning and consulting services which may include

the following:

• Retirement, education, estate, and tax planning, legacy and philanthropic planning, and

business continuation.

• Collaborating with other advisors on decisions that affect the overall wealth

management plan, including estate planning attorneys, insurance agents, and tax

advisors. SmithReed does not provide legal or tax advice.

• Consulting on any and all financial decisions, as needed, such as a decision to buy or

sell a business, invest in a project, or purchase a vacation home.

Prior to the planning process the client will receive an estimated plan fee. The client will

pay half the fee upon signing the investment advisory agreement and the balance upon

delivery of the completed plan. Financial plans are completed, reviewed by a CPA, and

delivered within 30 days. The client may cancel at any time prior to delivery and receive a full refund.

Planning and consulting services are offered on a negotiable fixed fee between $500 and $2,500, depending on complexity and

unique client needs. Planning and consulting services are also available for $200 per hour.

SmithReed provides strategic consulting services such as the review and evaluation of alternative investments for self-directed IRA

accounts and the evaluation of 401K plans.

Asset Management

SmithReed Asset Management provides discretionary asset management services after consultation with the client and may include the

following:

• Understanding the foundational details of a client’s total financial situation and identifying both short and long-term goals.

• Identifying risk and loss tolerance as a guide for designing an investment portfolio with the appropriate asset allocation strategy.

• Designing and modeling an acceptable portfolio which meets short and long term goals.

• Implementing an investment strategy utilizing a variety of investable asset classes including “institutional” mutual fund shares,

indexed exchange traded funds (“ETFs”), separately managed accounts (“SMAs”), individual securities, and alternative

investments when appropriate. ETFs follow a specific benchmark index as closely as possible allowing the investor to get

exposure to a large number of securities in a single transaction. An SMA is an account

managed by an outside asset management firm along with an administrator, while

alternative investments include hedge or fund of funds, natural resources, real estate and

private equity, which may be more illiquid in nature.

• Monitor, review, and adjust the investment portfolio as goals and objectives change.

Fees may include a percentage of assets under management, hourly charges, or fixed fees.

When fees are charged as a percentage of assets the following schedule applies:

Mickey J. Smith is chief executive officer of SmithReed, which includes the SmithReed Family Office, SmithReed Partners, and SmithReed Asset Management. Mickey has over 30 years experience in financial management, real estate development, and business consulting.

From 1985 to 1998 Mickey served as financial advisor and limited partner for Edward Jones. He managed branch offices in both Martin and Union City, Tennessee, and ranked in the top 5% of advisors firm wide. He hired, trained, and staffed over a dozen branch offices in four states. In 1998, with assets of over $180 million under supervision, he established Reed & Company Investments which later became SmithReed, an independently owned investment firm.

In 2008 Mickey retired as an investment advisor representative in order to manage the business and investment assets for a small number of clients. He also established SmithReed Partners, a real estate holding company for medical office and senior housing investments. In 2012 SmithReed Asset Management was established as a Tennessee Registered Investment Advisor to provide investment management and financial planning to a growing list of clients.

Mickey has held Series 7, 63, 31, & 24 securities licenses and was registered in 14 states. He holds a Bachelor of Science Degree in Business Administration from Southeast Missouri State University and is a licensed Tennessee building contractor.

Mickey and his wife Pam have been married 28 years and have 3 children, Lindsay, Russ, and Laura Reed. He is an avid cyclist and enjoys spending time on his boat at Kentucky Lake.

Pamela Smith is director of the SmithReed Family Office and managing partner of SmithReed Partners, a real estate holding company that owns and manages medical office and senior housing properties. Pam has over 27 years of experience in accounting, finance, and real estate management.

As director of the SmithReed Family Office, Pam is focused on the tax and accounting needs of successful individuals and families, and serves as trustee on several generational family trusts. She has developed a

reputation for managing complex client relationships and serves as an effective intermediary between clients and their legal, tax, and investment advisors.

Pam has extensive experience in real estate management, leasing, and finance. As managing member of

SmithReed Partners, she provides management, marketing, and financial reporting duties to the partnership. Pam graduated with honors with a Bachelor of Science Degree in Business Administration from Southeast Missouri State University in 1985.

Pam and her husband Mickey reside in Union City and have been married 28 years. They have 3 children, Lindsay, Russ, and Laura Reed. Pam served on the Board of the Union City Schools Foundation and enjoys playing USTA league tennis. She represents the fourth generation of her family to farm in Southeast Missouri.

Jeff Rummells is managing partner of SmithReed Asset Management. He has over 29 years experience as a financial advisor, serving in both management and business development capacities. Jeff is managing member of Devonshire Apartments, LLC, developers and owners of Red Mile Village, a $25 million commercial real estate project at the University of Kentucky.

As financial advisor and managing partner, Jeff is responsible for portfolio management, review of outside money managers, and the financial planning process. He holds a Series 65 securities license and is an investment advisor representative registered with the state of Tennessee. He has held Series 7 and 63 securities licenses, been certified as an Accredited Asset Management Specialist, and completed the coursework required for Certified Financial Planners. For over 25 years Jeff served as a financial advisor for Edward Jones. He was a member of the Edward Jones Advisory Board, served on the firm’s compliance panel, and was a limited partner. He was a member of the “Circle of Success,” recognizing advisors who produce in excess of $1 million in annual revenue. His office ranked in the top 25 of 12,000 offices nationwide, and was number 1 in the state of Tennessee with over $200 million in assets under management. He attended Embry-Riddle University and was awarded a degree in aviation from the Army Aviation Center in 1986. As a combat helicopter pilot he earned his senior aviator wings, served 20 years in the Army National Guard, and retired as a chief warrant officer in 1996.

Jeff and his wife Jennie have been married 27 years and have two daughters, Brittney and Logan. They reside in Dyersburg and enjoy spending time on their farm near Hornbeak, Tennessee.

David M. Waycaster, CPA, is chief compliance officer of SmithReed Asset Management. He serves as program management advisor for FedEx Corporation and maintains a private tax practice. David has over 30 years experience in corporate, partnership, and individual taxation.

As financial advisor and chief compliance officer, David ensures firm compliance with state securities regulations. He is responsible for maintaining effective compliance policies and procedures as required by the securities division of the State of Tennessee Department of Commerce and Insurance. David holds a Series 66 securities license with the state of Tennessee and previously held Series 7 and 63 securities licenses.

David earned his Bachelor of Science Degree in Accounting from the University of Tennessee in 1982. He received a Masters of Business Administration with an emphasis in accounting from Murray State University in 1992, and has completed doctoral course work at the University of Arkansas. David has taught classes in accounting and finance at Murray State University, Bethel College, and the University of Arkansas.

David and his wife Kathy have been married 31 years, and have 2 grown sons and 2 grandchildren. They reside in Memphis and enjoy church and family activities with their grandchildren.

Karen House is operations manager at SmithReed Asset Management and has over 26 years experience in finance and accounting. She also serves as an investment advisor representative and holds a Series 65 securities license with the state of Tennessee.

Karen served as senior office administrator and regional service advocate at Edward Jones for over 9 years. As regional service advocate, she acted as liaison between branch office administrators in her region and firm management. She was part of the first team to conduct office efficiency reviews in her region and was a limited partner in the firm. As operations manager, Karen maintains high standards of customer service and administrative support. During the asset transfer process, she insures timely communication between custodians and accurate accounting of transferred securities. As financial advisor she monitors asset allocation and portfolio rebalancing for client accounts.

Karen is a life-long resident of Dyersburg where she attended Dyersburg State Community College majoring in accounting and finance. She enjoys traveling and spending time with her family.

The SmithReed Family Office was established by Mickey and Pam

Smith to provide business and family management solutions to a

third generation of clients. We serve families who own corporations,

farms, small businesses, commercial real estate, and investment

portfolios. By remaining private we can provide unique family

and business solutions while exploring alternative investment

opportunities such as real estate and private equity.

To meet the growing demand for investment advice and financial

planning, we established SmithReed Asset Management, a Tennessee

Registered Investment Advisor (RIA). An RIA is governed by the

fiduciary standard, requiring a level of trust and care equal to that of

the attorney, CPA, or trustee relationship.

John R. Reed lost his college savings as a result of the banking collapse during

the Great Depression and took a job as a salesman for McKnight-Keaton, a

wholesale grocery company in Sikeston, Missouri. Mr. Reed would ride the

ferry boats across the Mississippi and Ohio rivers in order to call on merchants

in Kentucky, Tennessee, and Missouri. He was promoted to Manager and met

his wife, Dorothy Dudley, whom he married in 1935. Their daughter Marilyn

was born in 1942.

In the early 1950’s Mr. Reed joined the Woodward Hardware Company as General Manager at a salary of $10,000

per year. In 1958 Woodward attracted the attention of larger companies and Mr. Reed advised the owners that

conditions were right for the company to be sold. He traveled to Louisville, Kentucky and negotiated the sale of

the company to Stratton & Terstegge. Stratton & Terstegge later became known as S&T Industries and grew into

one of the largest manufacturing and wholesaling companies in the nation.

With the sale of Woodward complete, Mr. Reed answered an ad in the St. Louis Globe Democrat and was hired as

a stockbroker for Edward D. Jones & Co in 1960. At the time of his hiring, Ted Jones, son of Edward D. Jones, had

embarked on a novel plan to open investment offices

in small towns across the country. At the time Mr.

Reed joined Edward D. Jones & Co., the firm had only

nine offices.

In 1968 John & Dorothy Reed moved to Union City

to establish the first Edward Jones office in the state

of Tennessee. His office consistently ranked number

one in the firm with over $80 million in assets under

management. He became a partner in 1974, hired

and trained numerous investment representatives

including Mickey Smith, who took over the office in

1987. Mr. Reed continued to research investments

and enjoyed trading stocks until his death in 1997.
