In consideration of the opportunity to participate and attend the TFC Academy soccer development program (the "Academy"), I, ________________________________, for myself and my heirs, personal representatives, estate, insurers and assigns, HEREBY:

1. acknowledge that I have received and been given an opportunity to review the FIFA Code of Conduct (the “Code”) attached hereto as Appendix „A‟;

2. agree to conduct myself in accordance with the Code, and to ensure that members of my family are familiar with, and conduct themselves in accordance with the Code while in attendance at Academy events, including, without limitation, Academy tryouts, practice sessions, matches, tournaments and social functions. I acknowledge and agree that in the event I, or a member of my family, behaves in a manner inconsistent with the Code, as determined by Toronto FC in its sole discretion, that my participation in the Academy may be terminated without further notice and without liability of any kind accruing to the Releasees (as defined below);

3. represent and warrant to the Releasees that I am in good health and physical condition;

4. acknowledge and understand that participation in and attendance at the Academy involves certain risks and dangers of accidents, serious personal and bodily injury, including death, and property loss or damage either specifically as a result of participation in the various workouts, exercises and scrimmages at the Academy or generally in connection with my attendance thereat and transportation therefrom. I understand, have considered and evaluated the nature, scope, and extent of the risks involved, and I voluntarily and freely choose to assume these risks;

5. fully and forever release and discharge Toronto FC, the Academy Major League Soccer and its Member Teams, Maple Leaf Sports & Entertainment Ltd., and their respective parent companies, affiliates, divisions, subsidiaries, shareholders, directors, officers, employees, agents, representatives, insurers, assigns and successors, together with all Academy administrators, directors, agents, representatives, volunteers, staff, coaches, and training and medical personnel (collectively, the “Releasees”) from any and all losses, damages, injuries, howsoever occurring, whether by negligence or otherwise, (including death) claims, demands, lawsuits, expenses (including legal fees and disbursements), and any other liability of any kind, of or to me or any other person, directly or indirectly arising out of or in connection with my participation in and attendance at the Academy;

6. agree not to initiate any lawsuit, court action or other legal proceeding against the Releasees, nor join or assist in the prosecution of any claim for money damages which anyone may have, on account of loss, damage, or injury sustained by me or others, howsoever occurring, whether by negligence or otherwise, in connection with my participation in and attendance at the Academy, and I waive any right I may have to do so. This means that I cannot sue to hold the Releasees responsible for any loss, damage, or injury that I may experience related to the Academy;

7. waive my insurers‟ right to make a claim against the Releasees based on insurance payments made to me or on my behalf for any reason. This means my insurers have no right of subrogation;

8. agree to hold harmless, indemnify and reimburse the Releasees from and for any sums, costs, or expenses (including legal fees and disbursements) incurred by any of the Releasees or paid by them to any person (including me or my insurers) in connection with any accident, loss, damage, injuries, howsoever occurring, whether by negligence or otherwise (including death), claims, demands, lawsuits, expenses and any other liability of any kind, sustained by me or others in connection with my participation in the Academy, including, without limitation, transportation related to the Academy. This means that I will reimburse the Releasees if anyone makes a claim against them based on damages or injuries I suffer;

9. understand that the Releasees do not provide any insurance, either life, medical or liability, for any illness, accident, injury, loss, or damage that may arise in connection with my participation in and attendance at the Academy. If I want insurance of any kind, I must obtain my own. I will pay my own medical emergency expenses and all subsequent medical expenses in the event of any illness, accident, or injury in connection with the Academy;

10. acknowledge that if any portion of this Acknowledgement, Release and Waiver is held to be invalid or unenforceable, all other provisions shall nevertheless continue to be valid and enforceable. This Acknowledgement, Release and Waiver supersedes any oral or written statements made by or to me in connection with the Academy. I understand that I cannot terminate, cancel or revoke this Acknowledgement, Release and Waiver for any reason;

11. give and grant perpetually to the Releasees and their respective affiliates, licensees, employees and agents, exclusively, the irrevocable right (including, without limitation, all now and hereafter existing common law, statutory and moral rights throughout the world and regardless of whether or not such rights are now known) in and to my participation, my performance and the materials created in connection with all photographs or video footage of me produced or caused to be produced by the Releasees in connection with my participation in and attendance at the Academy (collectively, the “Photographs”) and in and to the results and proceeds of such services, including, without limitation, the perpetual and unlimited right to reproduce (by electrical transcription, tape or other recording process whether now known or hereafter developed) any and all of the Photographs or other material produced, and the complete and unencumbered right throughout the world, to exhibit, record, reproduce, broadcast, transmit, publish, sell, distribute, perform and use for any purpose, in any manner, by any means and in any medium, whether now known or hereafter developed, all or any part or parts of the matter and things referred to in this paragraph. I acknowledge that I shall not have or claim to have any right, title or interest in or to the Photographs or other material produced hereunder;

12. give and grant perpetually to the Releasees and their respective affiliates, licensees, employees and agents, exclusively, the irrevocable right to the use of my name, address (city/province/school), biographical information (including soccer history and statistics/standings), photograph or other likeness, without compensation in any publicity or promotional purposes carried out by the Releasees and their authorized agents;

13. acknowledge and agree that completion of this Registration, Acknowledgement, Release and Waiver does not guarantee my right to participate in the Academy and that I may be required to complete additional documentation as directed by the Academy and/or one or more of the Releasees from time to time in order to maintain my eligibility to participate in the Academy;

14. agree to abide by restrictions put in place from time to time by the Academy with respect to my participation with other soccer teams and/or organizations and/or one or more of the Releasees; and

15. agree that this document is governed by the laws of the Province of Ontario and operates to the benefit of the Releasees as well as their administrators, successors and assigns, and is binding on me and my heirs, administrators, successors, assigns, insurers and estate.

(1) Agree to all of the terms of this Registration, Acknowledgement, Release and Waiver and consent to Participant‟s participation in the Academy and providing the information requested in this Registration, Acknowledgement, Release and Waiver and the uses of said information by the Releasees as contemplated therein;

(2) Agree to cause the Participant to comply with the terms of this Registration,Acknowledgement, Release and Waiver;

(3) Agree not to take any actions that would assist or cause the Participant to invalidate, renounce, negate, revoke, or disclaim any part of this Registration,Acknowledgement, Release and Waiver;

(4) For valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the undersigned parent/guardian, on his/her behalf, and on behalf of the child, hereby irrevocably and unconditionally releases and waives all claims of any nature now or hereafter existing whether known or unknown against the Releasees resulting in whole or in part from the participation of the Participant in the Academy; and

(5) I hereby certify that the Participant is in good physical health and can participate in the Academy. In the event that I cannot be reached in a medical emergency, I hereby authorize and permit the Releasees and event personnel to administer first aid to the Participant, and to authorize such other medical treatment and transportation as may be recommended by physicians, paramedics, and other medical personnel, in the event of any illness, accident or injury to the Participant.

Appendix ‘A’ - FIFA's Code of conduct

FIFA's Code of Conduct for football encapsulates all the sporting, moral and ethical principles for which FIFA has always stood and for which it will continue to fight in the future, regardless of the influences and pressures that may be brought to bear. The ten golden rules not only serve as a credo for FIFA as the world football body, but they also reinforce the sense of fraternity and cooperation among the members of the worldwide football family.

1. Play to Win

Winning is the object of playing any game. Never set out to lose. If you do not play to win, you are cheating your opponents, deceiving those who are watching, and also fooling yourself. Never give up against stronger opponents but never relent against weaker ones. It is an insult to any opponent to play at less than full strength. Play to win, until the final whistle.

2. Play Fair

Winning is without value if victory has been achieved unfairly or dishonestly. Cheating is easy, but brings no pleasure. Playing fair requires courage and character. It is also more satisfying. Fair Play always has its reward, even when the game is lost. Playing fair earns you respect, while cheats are detested. Remember: It's only a game. And games are pointless unless played fairly.

3. Observe the Laws of the Game

All games need rules to guide them. Without rules, there would be chaos. The rules of football are simple and easy to learn. Make an effort to learn them, so you understand the game better. This makes you a better player. It is just as important to understand the spirit of the rules. They are designed to make the game fun to play and fun to watch. By sticking to the rules, you will enjoy the game more.

4. Respect Opponents, Teammates, Referees, Officials and Spectators

Fair Play means respect. Without opponents there can be no game. They have the same rights as you have, including the right to be respected. Your teammates are your colleagues. You form a team in which all members are equal. Referees are there to maintain discipline and Fair Play. Always accept their decisions without arguing, and help them to help you enjoy the game more. Officials are also part of the game and must be respected accordingly. Spectators give the game atmosphere. They want to see the game played fairly, but must also behave fairly themselves.

5. Accept Defeat with Dignity

Nobody wins all the time. You win some, you lose some. Learn to lose graciously. Don't seek excuses for defeat. Genuine reasons will always be self-evident. Congratulate the winners with good grace. Don't blame the referee or anyone else. Determine to do better next time. Good losers earn more respect than bad winners.

6. Promote the Interests of Football

Football is the world's greatest game. But it always needs your help to keep it as Number One. Think of football's interests before your own. Think how your actions may affect the image of the game. Talk about the positive things in the game. Encourage other people to watch it or play it fairly. Help others to have as much fun from football as you do. Be an ambassador for the game.

7. Reject Corruption, Drugs, Racism, Violence and other Dangers to our Sport Football's huge popularity sometimes makes it vulnerable to negative outside interests.

Watch out for attempts to tempt you into cheating or using drugs. Drugs have no place in football or any other sport or in our society. Say No to Drugs. Help Kick Racism out of Football. Treat all players and everyone else equally, regardless of their skin colour or origin. Show that football does not want violence, even from your own fans. Football is Sport, and Sport is Peace.

8. Help Others to Resist Corrupting Pressures

You may hear that teammates or other people you know are being tempted to cheat in some way. They need your help. Don't hesitate to stand by them. Give them the strength to resist. Remind them of their commitment to their teammates and to the game itself. Form a block of solidarity, like a solid defence on the field of play.

9. Denounce Those who Attempt to Discredit our Sport

Don't be ashamed to show up anybody who you are sure is trying to make others cheat. It's better to expose them and have them removed before they can do any damage. It often takes more courage to denounce what is wrong, than to go along with a

dishonest plan. Your honesty will be admired but your complicity will not. Don't just say No. Denounce the culprits who are trying to spoil our sport before they can persuade somebody else to say Yes

10. Honour Those who Defend Football's Good Reputation

The good name of football has survived because the vast majority of people who love the game are honest and fair. Sometimes somebody does something exceptional that deserves our special recognition. They should be honoured and their fine example made public. This encourages others to act in the same way. Help promote football's image by publicising its good deeds.
