The offer

IBM Business Partner Solution Providers and Resellers will earn an additional sales-out bonus on sales of eligible IBM PureFlex and Flex System products after investing in an eligible

demonstration product purchased under the standard Demonstration terms and meeting the IBM PureFlex Sales and Technical Certification requirements.

To be eligible for this program the Reseller /Solution Provider must:

• Order an eligible demonstration system no later than close of business on December 21, 2012 under the terms of the IBM Demonstration, Development and Evaluation .Details may be down loaded here:

• Achieve one IBM PureFlex System Sales and one IBM PureFlex System Technical Certification no later than December 31, 2012

• Must be aware that this program is not combinable with the “IBM PureFlex System Sales Enablement Program” with PLETs: ZU12-0529 or ZV12-0465 or ZW12-0422.

Provided the Business Partner is compliant with the above conditions, each PureFlex

configuration of eligible products reported as sold out before March 31, 2013 will earn a rebate of $2,000 or $1,000 up to a maximum of $50,000 or $30,000 respectively.

Eligible orders for both PureFlex and FlexSystem count towards the the rebate program regardless of the type of demo system ordered. However, the maximum total rebate payable is

determined by the type of demo system ordered. i.e. partners ordering a PureFlex demo system can earn up to $50K rebate for any combination of eligible PureFlex and FlexSystem BTO orders reported as sold out by March 31, 2013. Partner ordering a Flex BTO Demo system can earn up to $30K rebate for any any combination of eligible PureFlex and FlexSystem BTO orders reported as sold out by March 31, 2013

In addition, if the IBM PureFlex System demonstration equipment is ordered before close of business on December 21, 2012 an additional rebate of $6.000 will be paid to offset the costs of STG Lab Services for PureFlex and FlexSystem installations. The Business Partner must provide proof (i.e. STG Lab Services Statement of work) if requested by IBM.

Eligible products

Eligible products for demonstration and qualifying for sales rebate are all products listed in the IBM PureFlex System Product Exhibit which the Business Partner is authorized to sell.

With IBM FlexSystem HVEC products it is mandatory to sell-out at least a - FlexSystem Chassis

- FSM Manager Software - One Intel compute node Including:

• Products purchased under demonstration or development terms

• Order backlog (eligible orders placed with IBM but not yet shipped on the day of announcement of this offer)

• Products purchased for internal use But excluding:

• Model Upgrades and ‘after market’ (MES) orders for features

• All used equipment

• Software subscription product

This program can be combined with any other discounts, or rebates on the eligible products, but it can not be combined with the “IBM PureFlex System Sales Enablement Program” with PLETs: ZU12-0529 or ZV12-0465 or ZW12-0422.

Start and/or end dates

This program is valid for products sold between October 1, 2012 and March 31, 2013. The Business Partner must order an eligible demonstration product no later than December 21, 2012 to be eligible for this offer.

Where is it available?

This promotion is valid for all IBM PureFlex System Solution Providers/Resellers who have signed the Business Partner in Austria, Belgium, Cyprus, Denmark, Finland, France, Germany, Greece, Iceland, Ireland, Israel, Italy, Liechtenstein, Luxemburg, Malta, Monaco, Netherlands, Norway, Portugal, Spain, San Marino, Sweden, Switzerland, United Kingdom and Vatican State

Please note that the Lab Services are mandatory for PureFlex System Configuration as stated in PLET ZG12-0086 and standard Value Seller terms apply. The Lab Services products must be ordered via regular ITS/PBS ordering Systems.

Additional information/condition

The following Standard Terms and Conditions apply:

For the eligible Demonstration System, the terms and conditions of the IBM Systems and Storage Demonstration, Development and Evaluation Program apply. The demonstration product must be retained by the Business Partners during a period of 12 months that they are making eligible sales out to end user customers.

Distributors must provide accurate reporting (as prescribed in the WWBPSM Operations Guide) via the Sales Out Reporting Tool (WWBPSM) for IBM to be able to calculate the payment. If Distributors do not provide the sales out information the sale will not be included in the calculation.

Claiming the rebate

Business Partner T2 Reseller must nominate an IBM Business Partner Distributor as his payment agent by completing the form in “Appendix A: Nomination of Distributor payment agent”, confirm the promotion code which is ZW12-0427 and send it to his nominated Distributor for the claim process.

To qualify for the rebate offered, Business Partners T2 Resellers’ nominated Distributor must submit a claim via the standard e-Claim process tool by midnight on May 15, 2013

Additional Information required to be sent with the claim:

• A copy of complete Appendix A: Nomination of Distributor as Payment Agent IBM PureFlex System Sales Enablement Program – Europe IOT – PLET ZW12-0463

• Invoice number of the demonstration system.

• For PureFlex CHW configurations, the STG Lab Service Statement of work needs to be provided together with the claim.

The rebate will be processed by means of a credit note to the Distributor. Any VAT will be calculated on the net amount credited. The Distributor should ensure he settle any VAT liability with the competent tax authority.

IBM reserves the right to modify or withdraw this promotion at any time. Void where prohibited or restricted
