TERMS AND CONDITIONS

1. PRESENTATION

STMicroelectronics SA, with registered offices at 29, Boulevard Romain Rolland, 92120 MONTROUGE, FRANCE (hereinafter “ST” or “Contest Owner”) is

organizing this Contest (hereinafter the “Contest”) with the objective to

promote development of innovative applications using ST devices (hereinafter “ST Devices”) in the field of Internet of Things.

2. CANDIDATES

Participation in this Contest is open to any capable individual (aged 18 and over as of the date of entry, with an available email address) or organization

(company, association, etc.) resident in EMEA (Europe, Middle East and Africa) (hereinafter the “Candidate” or “Participant”), excluding ST personnel and all people who are directly or indirectly involved in the conception, carrying out, or management of the Contest.

3. CONTEST CHALLENGE

Candidates are challenged to develop an application based on at least one STM32 microcontroller and at least one other ST component, preferably a M24xR series Dynamic NFC Tag; motion, environment, and/or acoustic sensor; camera; RF Solution including, but not exclusively, Bluetooth Low Energy, Wi-Fi, and sub Giga Hertz solution; power line communication system; or any other device produced by ST and/or its affiliates (hereinafter “ST Product”). To participate participants have to

6. Upload the video of his project (accepted formats: mp3, qt, mpeg, ogv, mov, wmv, maximum size: 10.000 KO)

7. Upload the PDF document describing his project (accepted formats: PDF only, maximum size: 10.000 KO

8. Complete the compulsory fields of the identification form : first name, last name, email, entity

 Candidates may submit more than one project; each project must have a unique designation/name.

 All submissions and parts of submissions must be carefully marked with the project name. The Project name shall be indicated in all project documentation and correspondence. When uploading a Project file, the filename must begin with the Project name.

 Incomplete submissions, submissions that do not conform to these

Terms and Conditions, and those received after midnight on August 31st

2014 will be ignored.

 Projects should be submitted in digital format and must be written and described in English.

 ST does not assume any responsibility for lost, late, or misdirected submissions. Each Participant is responsible for their submission.

 Projects that include messages of a political or religious nature, elements that directly or indirectly promote hatred, discrimination, violence, racism or pornography, or that are contrary to the laws in force or to public order and morality, will be automatically eliminated from the Contest.

 Projects must be based exclusively on commercially available Products.

4. Selection of Winner

The submission phase of the Contest will close at midnight CET on August 31st,

2014.

Following the submission phase, a jury composed of ST representatives will select ten projects based on the criteria described below.

The names of the selected projects will be communicated on www.st.com/stm32contest and

https://www.facebook.com/STMicroelectronics.NV by September 19th, 2014.

The selection will be made based on the following criteria:  Level of innovation

 ST product content (number of ST components)  Feasibility of the solution

 Functionality  Technical merit  Usefulness

The winners of the contest will be selected through a vote organized online within the so called “Embedded Community” as defined in a specific

communication that will be posted on the Contest websites by October 30th,

2014.

Voters that complete those 4 steps will be allowed to vote for one to 3 different projects for the total length of the contest.

All internet users complying with the previous steps can vote, including users living out of France.

All participants have the right to vote for their own project.

“likes” will not be counted as votes. Only votes made through the platform in the condition described previously will be counted.

The 3 videos gathering the most important amount of “like” will be elected winners and will receive the prizes.

Votes must be made by physical persons, in case of fraudulent votes made by robot (software) or that does not comply with the previous conditions, ST reserves the right to deletes those votes.

5. Modification of the Terms and Conditions, Cancellation Right

ST’s decisions on all matters relating to the Contest will be final and binding on all Candidates and the winning Participants. ST reserves the right, at its

absolute discretion, to vary, delete, or add to any of these Terms and Conditions. These Terms and Conditions prevail over any provisions or

representations contained in any promotional materials relating to the Contest. ST reserves the right to cancel, terminate, modify, or suspend this Contest at its own discretion if it becomes technically corrupted or if for any reason the Internet portion of the program is not capable of running as planned, including infections by computer viruses, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the ST that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest promotion.

All the projects must be in compliance with these Terms and Conditions at all times. ST may, at any time, and based on its own appreciation, exclude any project or any Candidate.

7. INTELLECTUAL PROPERTY RIGHTS

7.1. The Candidates fully guarantee to ST that they possess all the rights to the projects submitted within the framework of this contest and that these

projects do not violate any existing copyright or any other intellectual property rights belonging to third parties, and that the Candidates have acquired all the necessary authorizations to allow them to use the elements belonging to third

parties, as well as all other necessary authorizations. At the request of ST, the Candidates will promptly provide copies of these written authorizations. 7.2. The Candidates agree not to further publish, or use in any way, and for whatever reason, their projects without the prior written consent of ST, until after the winners have been announced or the Contest has been terminated. 7.3. The Candidate fully represents and warrants to ST that (i) the Project is its own work, (ii) all collaborators in the work approved its submission to this Contest, and (iii) the work is not already commercialized.

7.4. The design of any products or applications in the project based on ST

Products remains the intellectual property of the Candidate that contributed it. 7.5. All Candidates who submit a Project in the Design Contest agree to grant to ST non-exclusive, assignable, full-publication rights on the Project if their

project is selected as the winning entry. Software and schematics submitted with any application remain the property of the Participant; winning

Participants agree to provide ST a non-exclusive, assignable, right to copy, reproduce, display, publish, and disseminate descriptions, block diagrams, and other schematic representations of the project in any media, without any territorial limitation, as part of any winning-project presentation. The

publication rights described herein refer only to the actual materials submitted as the Project and not the entire Application. All winning Projects will be posted (electronic/Internet media) at the discretion of ST. All Participants entering Projects in the Contest assign to the Contest Owner the right to publish (in print or electronic/Internet media) the submitted or extracted abstract (including the block diagram, photograph, schematic).

8. COSTS

Each Participant shall bear all incurred costs (software, internet access, and submission, etc.) in connection with the development of their project submission, including the cost of component acquisition.

Internet connection costs, necessary to participate to the contest (0.22€ including VAT) will be returned by simple written request at

Any demand which does not include the following information will not be taken in count:

 Name of the contest

 First name, last name and email of the participant  Date and time of connection

 A international bank account number (IBAN)

Only one refund demand will be accepted per month and per participant. 9. SUBMISSION REQUIREMENTS DETAILS

After the Participant receives a registration number, the following items should be submitted for a Project to be deemed acceptable:

 Complete Documentation

Complete documentation must include: a detailed text description of the Project and its operation (no page limit), including full bill of materials

highlighting all ST Products used in the Project (commercial part number and function); at least one block diagram; a complete schematic(s); any additional photographs, diagrams, screen shots, tables, flowcharts, etc.

The complete documentation must include an abstract. The abstract is a

publishable synopsis of the Application, including a block diagram of the design, a project photograph, and a description of the operation of the Project.

Preferred file format is pdf. For avoidance of doubt and to protect the IP of the Participant, no hardware is required and no source code is necessary.

Maximum size of the document is 10.000 KO

 Video

Maximum duration of the video should be around 3 minutes, format accepted are: mp3, qt, mpeg, ogv, mov, wmv. Maximum size is 10.000 KO. While the graphics files may be embedded in the project documentation, the video must also be provided as individual file. Completing the documentation of the project, Video is mandatory and should describe and demo the project in English.

 Personal identification

There should be no personal identification or corporate affiliation markings on ANY of the submitted materials. The Participant's name, address, or corporate

affiliation should appear ONLY ON THE REGISTRATION FORM. Only the Project name used for registration should be used as an ID for the Project materials. Participants who leave their names in headers, footers, table of contents pages, schematics, etc. may be disqualified.

 Copies of Project documentation

To avoid additional shipping and organizational difficulties, all copies of Project documentation become the property of the ST and will not be returned. 10. PRIZES

The prizes will be awarded to the winners. ST is solely responsible for the issuance of all prizes. The prizes will be handed out to the winners during the Contest closing event at Electronica Show in Munich in November 2014. The Winners will be informed in a timely manner of the logistics of this event. The Winners must personally take delivery of the prizes in Munich.

representative, authorized to receive the prizes in their place and they must inform the Contest Owner. There will be no substitution for prizes other than as offered. The Contest Owner will arrange travel and one night hotel room for each winner.

11. LIABILITY

This Contest is in no way sponsored, endorsed or administered by, or associated with, Facebook. Participants understand that they are providing information to Sponsor and not to Facebook. The information you provide will only be used as stated in the Contest Rules. Facebook is completely released of all liability by each participant for this Contest.

By entering, Participants agree, to the extent permitted by applicable laws, to release and hold harmless the Contest Owner and each of their respective parent companies, affiliates, subsidiaries, officers, directors, representatives,

agents, and employees, from any and all liability whatsoever for any injuries, losses, or damages of any kind arising from or in connection with, either directly or indirectly (i) the awarding, acceptance, receipt, possession, use, and/or misuse of any prize awarded herein, or (ii) the participation in the Contest or any prize related activities, including but not limited to traveling to or from any prize related activity.

The Participant agrees to indemnify and hold harmless ST and its Affiliates, officers, directors, representatives from any and all liabilities arising out of or in connection with this Design Contest to the full extent, independently if directly or indirectly responsible.

12. Lodging and consultation of the terms and conditions

Participation to the contest includes the complete acceptation of the present terms and conditions.

The present terms and conditions can be send for free by postal mail to anyone by a simple written demand mentioning its complete identity (first name, last name, postal address) and sent before 10/30/2014 at midnight ( postmark will attest the date) to :

Postage related to the claim will be reimbursed within the limits of national rates (base 20 grams), by written request accompanying the claim request. One copy request settlement will be refunded per household (same name and mailing address).

13. Data protection

Accordance with the law n ° 78-17 of 6 January 1978, participants have a right to access and rectify information concerning their data to the organizer within the contest. Participants may exercise this right and / or oppose that said data

be transferred to third parties, by written request to the organizer at the address referred to in Article 1 of this Regulation.

14. MISCELLANEOUS

Winners will be notified by e-mail, and/or telephone by the end of October. The Contest Administrator’s decision is final. If a winner fails to respond within 10 days of notification, an alternate winner will be selected. Prizes are not transferable.

Project submissions made on the Internet will be deemed made by the authorized account holder of the e-mail address submitted at the time of submission. In the event of a dispute, potential winners may be required to provide proof that the potential winner is the authorized account holder of the e-mail address associated with the potentially winning Project.

By accepting a prize, Participants consent to the use of their name, photograph and/or likeness, address (only hometown), voice, and statements made by or attributed to them, in any and all media now known or hereafter developed (including, without limitation, print, broadcast, and Internet), for all legitimate business purposes including advertising and promotional activities without additional compensation, unless prohibited by law.

If, at any time, any provision of these terms is or becomes illegal, in any respect under any law of any jurisdiction, the legality of the remaining provisions will not be affected or impaired.

15. APPLICABLE LAW AND PLACE OF JURISDICTION

Those terms and conditions are subject to the French law to the extent that the law does not deprive them of their protection is granted by public

legislation of their country, for example, laws protecting the rights of

consumers. Participants are therefore subject to French regulations applicable to contests.
