Users

You must nominate at least one person to be a Company Administrator who will be responsible for: • Setting and maintaining the company details and the company’s daily transaction limit;
• Setting and maintaining Authorisation limits for those Users who will have Authorised User access; and • Adding and/or removing other Users and assigning and maintaining their User access rights.

Authorise Users – Digital Certificate Application
Users nominated as having Authorise User access below will be issued with a Digital Certificate to allow them to authorise transactions processed through Business Banking Online.
If you have selected “two to sign” on any account(s) and different levels of Authorise User in Section 6, please make sure that there are adequate Authorise Users including of the appropriate level to authorise transactions at all times. Identification Requirements

You may give any User below the authorisation to sign any future Business Banking Online application forms on behalf of the Primary Company.
4. Users’ acknowledgment
Individuals nominated as Authorise User and who sign below, acknowledge and agree that:
• they have read and will be bound by the Digital Certificate Subscriber Agreement in section 7 below,
• they have read the Terms and Conditions of use of Business Banking Online, with which the Digital Certificate will be used,
• they will not use Business Banking Online other than in accordance with the Terms and Conditions of use of Business Banking Online,
• this form supersedes any previous application for a digital certificate that they may have lodged,
• they authorise Bank of Melbourne to collect, maintain, use and disclose their personal information in the manner set out in the Privacy Statement in section 8 below.
5. Level of Users to Authorise payments
If you have selected two Users required to Authorise payments in section 2 of this application, you may also choose to elect levels of User for authorising a transaction. Two level “A” Users or one level “A” User and one level “B” User can authorise a transaction.

/ /7. Digital Certificate Subscriber Agreement
By completing your details in Section 6 – User Details of this application(s) and being nominated as having Authorise User access, you are taken to have applied for a Digital Certificate for use with Business Banking Online and you are taken to offer to enter into an agreement with us on these terms and conditions. We are taken to have accepted that offer when we issue you with a Digital Certificate.
Authority. You confirm that there is nothing that prohibits you from applying for and using the digital certificate (this includes, where relevant, being authorised to apply for and use it).
User Obligations. You must:
• not permit any other person to use your passphrase or digital certificate;
• not disclose your passphrase to any other person (including ensuring, that when you are using your digital certificate, your passphrase is not observed);
• take reasonable steps to ensure that your digital certificate cannot be used by any other person; • on your first use of the digital certificate, change your passphrase from the passphrase we issue to you; • not make a record of your passphrase unless the record is kept securely and separately from any place where
the digital certificate is stored. For example, you must not keep a record of your passphrase on the disk or computer on which your digital certificate is stored;
• not use the digital certificate other than to access and use those Business Banking Online services which you have been otherwise authorised to access and then only in accordance with that authorisation;
• delete, in accordance with our instructions, the digital certificate from any medium in which it is stored if the certificate is no longer to be used to access or use Business Banking Online;
• not export the digital certificate to another computer other than for personally accessing or using Business Banking Online from that other computer in accordance with these terms and conditions;
• contact us immediately if your passphrase becomes known to anyone else, the security of the digital certificate is compromised, the computer used to access Business Banking Online is lost, stolen or fraudulently accessed, or if you become aware of any unauthorised transaction or error on an account to which access or use is enabled by the digital certificate; and
• contact us immediately if your authorisation to use any of the services to which the digital certificate enables access or use, is revoked or suspended.
Issuing New Digital Certificates. If you lose your digital certificate or require a new passphrase, we will need to issue a new certificate. We may charge a fee for doing so.
Revocation of Certificate. We may suspend or revoke your digital certificate at any time without prior notice. If your digital certificate is revoked, you will need to apply for a new digital certificate.
Storage. We recommend that you store your digital certificate only on the medium which we deliver to you. You should not store it on a computer hard drive or make any other copy of it.
Information Verification. You agree to us taking such steps as we deem necessary to verify any of the information in your application for the digital certificate, whether or not the digital certificate has been issued.
Variations. We may vary these terms and conditions at any time. If we do, we will use reasonable efforts to notify you of the change which may include writing to you, emailing you, advertising in the media or posting the variation on our website for viewing when you access Business Banking Online.

Declaration • Your right to privacy is important to Bank of Melbourne. This statement explains your privacy rights and Bank of Melbourne’s rights and obligations in relation to your personal information. • If you do not complete this form in full, Bank of Melbourne may not be able to process this application.
• You may request access at any time to personal information held by Bank of Melbourne about you and ask Bank of Melbourne to correct it if you believe it is incorrect or out of date. Bank of Melbourne does not charge a fee for an access request but may charge you the reasonable costs of processing your request.
• Bank of Melbourne uses your personal information to issue and facilitate the use of BBO.
• Bank of Melbourne may disclose your personal information if it is necessary to do so in the following circumstances: - To any member of the Westpac Group*;
- To the account holder, the account holder’s employees and agents, and any person certifying your authority to make this application;
- To Bank of Melbourne’s external service providers that provide services for the purposes of its business, on a confidential basis, including facilitating the use of the digital certificate (e.g. to Baltimore Certificates Australia Pty Ltd which assists with the issuing and use of your digital certificate);
- To regulators and authorities if the law requires or permits Bank of Melbourne to do so (for example, for law enforcement);
- To its advisers and any party considering acquiring an interest in its business; or - To other organisations if you request Bank of Melbourne to do so or if you consent.
*Westpac Group means Westpac Banking Corporation ABN 33 007 457 141 AFSL 233714 ACL 233714 and its related bodies corporate.
9. Credit Direct Entry (DE) user application

Only complete this section if you require to process credit Direct Entry (DE) file payments.
A credit Direct Entry (DE) file enables the payment of multiple creditors, employees, or other third parties by transferring funds to multiple bank accounts in Australia using a single file.
A single Direct Entry Credit User ID can be applied to multiple accounts belonging to the Primary Company. The same Credit User ID cannot be applied to accounts held by a separate company.
To: Bank of Melbourne (“User FI”) and to each Participating Member and Appointer (as those expressions are defined in the Regulations of the Bulk Electronic Clearing System (CS2)) which from time to time participate in the Bulk Electronic Clearing System (CS2) (“BECS”).

HEREBY APPLIES to become a Credit User in BECS from time to time operated by the Participating Members (which include the User FI).
The Credit User HEREBY ACKNOWLEDGES that the User FI is at liberty to accept or decline this Application. If the Application is accepted by the User FI and any financial institution thereafter accepts and acts on instructions given by the Credit User in connection with BECS by the use of that financial institution’s BSB Number, the Credit User AGREES that in consideration thereof, subject to any warranties implied by statute into a contract for the supply of services between the User FI and the Credit User which cannot be excluded, restricted or modified by a term of the contract, it shall become bound to each such financial institution in the following manner:
1. The Credit User shall comply with all the obligations of a Credit User of BECS as advised by the User FI and any amendment, modification or replacement thereof from time to time issued by the User FI or by any other Participating Member or Appointer which may hereafter become the User FI in respect of the Credit User. 2. The Credit User shall obtain from every customer of a financial institution whose account the Credit User wishes
to instruct that financial institution to credit through BECS, the correct title and account number of that customer’s account, and shall correctly include such particulars in the acceptable media containing the Credit User’s instructions.
3. The Credit User hereby agrees to indemnify and keep indemnified each Participating Member and Appointer, which from time to time participates in BECS, from and against all losses, outgoings, demands, damages, actions, suits and proceedings whatsoever, arising directly or indirectly out of or in connection with any failure by the Credit User, or a Bureau acting for the Credit User, to observe any obligations of a Credit User in respect of BECS. 4. If the Credit User with the prior written approval of the User FI engages a Bureau to prepare and/or lodge
acceptable media by which the Credit User’s Instructions are given to a financial institution, the Credit User’s obligations will not be in any way affected by its engagement of a Bureau of the User FI’s approval thereto. 5. The performance of the Credit User’s obligation in respect of BECS may be enforced by any Participating Member
or Appointer, which from time to time participates in BECS or by the User FI on behalf of any of them.
6. The termination by Participating Member or Appointer of the direct credit arrangements between the Credit User and that financial institution will not affect the Credit User’s obligations in respect of BECS to each Participating Member or Appointer which from time to time participates in BECS.
7. All implied conditions and warranties (statutory or otherwise) except for warranties or conditions implied by law upon the User FI which are not capable of being excluded from the agreement between the Credit User and the User FI in respect of BECS and save as aforesaid there are no understandings, agreements, representations, conditions or warranties expressed or implied given by the User FI, not specified herein, which relate to BECS or the services to be provided by the User FI, or any Participating Member or Appointer pursuant to BECS.

• offer to enter into an agreement with Bank of Melbourne on the Terms and Conditions set out in this application; and in the Business Banking Online and Payment Services Product Disclosure Statement (PDS) which includes the Terms and Conditions (in those Terms and Conditions a reference to the “Business Banking Online Application” is a reference to this application, the terms “Primary Company”, “Company Administrator”, “You” and “User” when used in this application have the same meaning as in those Terms and Conditions); • acknowledge that before signing this application you have read this application and the Business Banking Online
PDS and agree to be bound by them;
• apply for a digital certificate and acknowledge, agree and declare that you have read and agree to be bound by the Digital Certificate Subscriber Agreement;
• declare that all information supplied by you is correct and not misleading;
• acknowledge that you have read and understood the Privacy Statement in the Business Banking Online Terms and Conditions and consent to the collection, use and disclosure of personal information in accordance with the Privacy Statement. Where you have provided information about another individual, you declare that the individual has been made aware of that fact and the contents of the Privacy Statement;
• acknowledge that you have read our Fees and Charges brochure which forms part of the Business Banking Online PDS;
• acknowledge that this form supersedes any previous application lodged for Business Banking Online;
• acknowledge that any authorised signing representatives appointed under this application apply only to Business Banking Online. The Authority to Operate you have previously given us in respect of any accounts still applies to all other operations except Business Banking Online.
You acknowledge that we will be taken to have accepted this offer when we notify the Company Administrator that we have done so.
