OBJECTION TO CERTAIN PROOFS OF CLAIM (SATISFIED CLAIMS)

Upon the objection (the “Objection”)

of Legacy Reserves Inc. and its affiliated

reorganized debtors and debtors in possession in the above-captioned chapter 11 cases seeking

entry of an Order sustaining the Reorganized Debtors’ Objection, as more fully set forth in the

Objection; and this Court having jurisdiction over this matter pursuant to 28 U.S.C. § 1334; and

this matter being a core proceeding within the meaning of 28 U.S.C. § 157(b)(2)(B); and the Court

being able to issue a final order consistent with Article III of the United States Constitution; and

venue of this proceeding and the Objection in this district being proper pursuant to 28 U.S.C.

§§ 1408 and 1409; and appropriate notice of and opportunity for a hearing on the Objection having

been given; and the relief requested in the Objection being in the best interests of the Reorganized

Debtors’ estates, their creditors, and other parties in interest; and the Court having determined that

the legal and factual bases set forth in the Objection establish just cause for the relief granted

herein; and after due deliberation and sufficient cause appearing therefor, it is HEREBY

ORDERED THAT:

Debtor’s mailing address is 303 W. Wall St., Suite 1800, Midland, TX 79701. The chapter 11 cases of certain affiliates of the Reorganized Debtor were closed effective as of March 31, 2020. See Case No. 19-33395 (MI), ECF No. 1414.

1. Any response to the Objection not otherwise withdrawn, resolved, or adjourned is

hereby overruled on its merits.

2. Each Satisfied Claim as identified on

Schedule 1

attached hereto is hereby

disallowed in its entirety.

3. KCC is authorized and directed to update the claims register maintained in these

chapter 11 cases to reflect the relief granted in this Order.

4. Nothing in this Order: (i) is intended or shall be deemed to constitute an assumption

of any agreement pursuant to section 365 of the Bankruptcy Code or an admission as to the validity

of any claim against the Reorganized Debtors or their estates; (ii) shall impair, prejudice, waive,

or otherwise affect the rights of the Reorganized Debtors or their estates to contest the validity,

priority, or amount of any claim against the Reorganized Debtors or their estates; (iii) shall impair,

prejudice, waive, or otherwise affect the rights of the Reorganized Debtors or their estates with

respect to any and all claims or causes of action against any third party; or (iv) shall be construed

as a promise to pay a claim or continue any applicable program postpetition, which decision shall

be in the discretion of the Reorganized Debtors.

5. Notice of the Objection as provided therein shall be deemed good and sufficient

notice of such Objections under the circumstances and the requirements of Bankruptcy Rule 3007

and the Local Rules are satisfied by such notice.

6. The Reorganized Debtors are authorized to take all such actions as are necessary or

appropriate to implement the terms of this Order.
