1. Introduction

1.1 Document Purpose

The purpose of this document is to provide participants with information on how to use the Reference Data - Business Relations module within the TCS BaNCS system via the front-end interface. It describes the functionality available to participants within the Reference Data - Business Relations module, and provides details of the mandatory and optional fields,

relationships between participants and the system, and the meanings and implications of those relationships.

This document is intended for use Clearing & Settlement Participants.

2. Overview

The Reference Data - Business Relations Module of the system deals with the various tasks involved in creating and maintaining the details of any entity that has a relationship with the system. The system uses the concept of a “Business Partner” (BP) to describe such an entity. Business Partners are assigned a 9 character ID which is used throughout the system to

identify them. Business Partners are also assigned one or more Roles. Their roles together with their BP ID determine what that entity can and can’t do in the system. An Alternate ID is used to assign a short code to a Business Partner, this code reflecting common usage.

Different Business Partners set up within the Business Relations module include:

The majority of Business Partners are created internally by NZX. This document primarily deals with the setting up, querying and modifying of CSNs and Owned CSNs.

3. CSNs

3.1 Overview

Common Shareholder Numbers (CSNs) provide a single customer number to a single shareholder entity (holder) across multiple registries.

3.2 Create CSN

CSNs are set up as follows:

1) Select Reference Data from the Main Menu bar 2) Select Business Relations from the Menu Bar 3) Select CSN from the Menu Bar

4) Select the Create -> CSN option from the Menu Bar to bring up the Create CSN Screen 5) Complete details as required and click Create See below for Field Descriptions

Field Name Description

CSN Role

Indicates the type of CSN. The values are: - Client CSN

- Owned CSN - Nominee CSN

Authorisation Code (FIN)

Enter a four number code, or leave blank for a system generated code. NB If a system generated code, this will be displayed in the “Creation successful” system message

Not created for an owned CSN Account

Designation

Field to capture the optional Account Designation of the CSN. Mandatory when creating an Owned and Nominee CSN

Remarks Free text if required for additional Holder Details or information

Holder Name (E) The Long name of the CSN. Field value can be a maximum of 120 characters

Holder Category

The category of the first holder in the CSN. Values are: - Individual

- Corporate

ID Type 1

Captures the first ID Type of the first holder in the CSN. Relevant types are presented to the user based on the category of the name. Possible values are: - Birthdate

- Tax number - Passport number - Driver License number - Bank Account number

- Company Registration number - FATCA code

Mandatory while creating a Client and Nominee CSN. Issue Country 1 Country of issue of the ID used for ID Type 1

ID No. 1 Unique identification number of the documented selected in ID type

ID Type 2 Second set of identifications details, as above

Issue Country 2 Second set of identifications details, as above

ID No. 2 Second set of identifications details, as above

Additional Holder Details 1 (Full Section)

If there is a second holder for this CSN the details are entered in this block, following the same rules as the primary holder

Additional Holder Details 2 (Full Section)

If there is a third holder for this CSN the details are entered in this block, following the same rules as the primary holder.

If no similarity is found between other existing CSNs and the details entered, the system will generate a message advising that the creation has been successful and advising of the CSN number and the Auth Code (FIN). Users should record these numbers for future reference. Note that the CSN will be immediately ACTIVE.

If a similarity is found, the system will generate a pop-up message saying “Click on view

similarities button to see list of similar details”. Click on the View Similarities button and the system will respond with a screen listing these similarities:

This screen will show all existing CSNs that match or are similar to the details being entered. By scrolling right the user can view all the fields (subsequent holders and identification details), and make a decision on whether to proceed with the CSN creation or not.

If the creation is not required the user can click the Quit button and the creation will not proceed, otherwise the user can click on the Return to Force Allocate button. This will return to the original Create CSN screen, and now clicking on Create will force the creation of the CSN.

When CSN’s have been created, the investor details will be sent to the registry when the first Long-form Client Outward Transfer occurs (See User Guide 9 – Depository).

3.3 Additional ID

Should an additional ID be required for a holder of a CSN, enter the details in the Remarks field.

3.4 CSN Link

Prior to the invention of the “Common Shareholder Number” (CSN), each registry allocated a Shareholder Number to shareholders with a holding in a stock held on their registry. The CSN is a number that is common to the shareholder across all registries. The Create CSN Link function is used to link a newly created or existing CSN to one or more existing shareholder numbers at the registries. To create the link, at least one security from each registry where the shareholder has a holding needs to be submitted. If the shareholder has holdings in multiple stocks at a registry, only one link needs to be performed as the registry will update all of the holdings at the same time.

To create the CSN Link:

1) Select Reference Data from the Main Menu bar 2) Select Business Relations from the Menu Bar

3) Select CSN from the Menu Bar

4) Select the Create -> CSN Link option from the Menu Bar to bring up the Create CSN Link Screen

5) Complete details as required, where orange fields are mandatory, and click Create to complete the link

3.5 Modify CSN

Participants are able to modify, delete or add a holder to an existing CSN as follows: 1) Select Reference Data from the Main Menu bar

2) Select Business Relations from the Menu Bar 3) Select CSN from the Menu Bar

4) Select the Query -> CSN option from the Menu Bar to bring up the Query CSN Screen 5) Enter the CSN and click Search – the CSN appears.

6) Right click on the CSN to view the CSN details.

4. Owned CSNs

Owned CSNs are created and activated the same way as Client CSNs, via the Create CSN screen. Instead of selecting “Client-CSN”, users should select “Owned CSN” and complete the details as required.

Following the completion of all required fields click on Create button on top right of screen to complete the creation of the Owned CSN. The system will generate a message advising that the creation has been successful and advising of the Owned CSN beginning with “2”. No Auth Code will be provided. Users should record this number for future reference.

A/c Designation is a free text field which is mandatory for the creation of Owned CSNs – this free text is visible at the Registry and is designed to contain important information such as the underlying client name.

5. Authorisation Codes

Users are able to change authorisation codes for client CSNs, as long as they know the current authorisation code. Participant users are not able to query the authorisation codes.

Authorisation codes are changed as follows:

1) Select Reference Data from the Main Menu bar 2) Select Business Relations from the Menu Bar 3) Select CSN from the Menu Bar

4) Select the Modify -> Authorisation Code option from the Menu Bar to bring up the Modify Authorisation Code Screen

5) Complete details as required, where orange fields are mandatory, and click Save

6. Queries

6.1 CSN

Users can query all CSNs and their own Owned CSNs by using the Query CSN screen. 1) Select Reference Data from the Main Menu bar

2) Select Business Relations from the Menu Bar 3) Select CSN from the Menu Bar

4) Select the Query -> CSN option from the Menu Bar to bring up the Query CSN screen 5) Enter the CSN and click Search – the CSN appears.

6) Right click on the CSN to view the CSN details.
