Criteria for Promotion from Partner to Senior Partner

Summary

This announcement outlines the requirements for promotion to Senior Partner and supersedes the rules published in the Field News dated March 31, 2014.

General Eligibility for Promotion from Partner to Senior Partner

Partners are eligible to be promoted to Senior Partner if they have: (1) at least three years management experience in the financial services industry, (2) been with New York Life for at least one year, and (3) met the requirements specified in this Field News. Promotions occur in March and September of every year. A Partner must meet the following requirements to be eligible for promotion:

• Verification of compliance with Company guidelines on: Equal Employment Opportunity Commission issues (such as diversity and harassment); Compliance and Supervision issues; and the General Office Leadership Development (GOLD) system

• Successful completion of Partners Fundamental, Intermediate & Advanced Career Schools and the Partners Promotion Program

• Completion of the Management & Leadership Development Partner Development curriculum to include both CBTs and GIDs for the courses listed below. Partners hired after July 1, 2012, must complete all modules. Partners hired prior to July 1, 2012, must complete the Intermediate and Advanced Career courses.

All Partners who are promoted must sign the Senior Partner employment agreement.

Criteria for September 2016 Promotions

In addition to the general eligibility requirements listed above, a Partner must meet the following criteria to be eligible for promotion to Senior Partner in September 2016:

• At least 5 Quality Agent appointments in the prior 12 months (July 1, 2015 through June 30, 2016), of whom a minimum of 3 must have been appointed between Jan. 1 and June 30, 2016

• Combined class proactive retention rate of 30% or more as of Dec. 31, 2015. • 7* Council Agents in the Council year ending June 30, 2016, with at least 4* in the New Organization • A G.P.A. of 2.0 or higher as of June 30, 2016

Criteria for March 2017 Promotions

In addition to the general eligibility requirements listed above, a Partner must meet the following criteria to be eligible for promotion to Senior Partner in March 2017:

• Combined class proactive retention rate of 30% or more as of Dec. 31, 2016. Combined class retention compares the total number of full-time Agents contracted in the 1st Prior, 2nd Prior and 3rd Prior classes to those who are still active at the end of the year and meet the minimum FYC targets for their class. • Series 7 and 24 registrations by Feb. 28, 2017

• 6* Council Agents in the Council year ending June 30, 2016, with at least 4* in the New Organization • 7* Agents prorata for Council as of Dec. 31, 2016, with at least 4* in the New Organization

• A G.P.A of 2.0 or higher as of Dec. 31, 2016

Criteria for September 2017 Promotions

Only two Quality Council Agents who qualify with the discounted requirement (50 Life Cases and $32,000 FYC) will count towards meeting the Council Agent criteria. When determining the number of prorata Quality Council Agents, only Agents who are prorata for the full ($46,000) Quality Council requirement will count.

Important update to share class availability for mutual fund

purchases in employer-sponsored retirement plans

Summary

Effective Jan. 4, 2016, new employer-sponsored retirement plans will be limited to purchasing load-waived Class A shares if eligible. Plans that are not eligible for load-waived Class A shares will be limited to purchasing Class R shares (or other retirement share class equivalent) with a 12b-1 fee at or near 50bps. Existing Plans will be reminded about the different share class options that are available and provided with information about how to request a change in share class for existing plan investments and new plan contributions.

Background:

For the past several years, the issue of retirement plan participants receiving all appropriate mutual fund sales charge waivers and the appropriate share class has been one of increased focus for securities regulators,

particularly FINRA. The Company continues to take steps to ensure that plan participants do not incur unnecessary expenses.

As part of our ongoing efforts, we have enhanced procedures to ensure compliance by the Company and agents with the FINRA requirement that retirement plans purchase an appropriate mutual fund share class. The Company is committed to ensuring that eligible retirement plans receive applicable mutual fund sales charge waivers and the appropriate share class.

Finally, we also want to let you know about related modifications to our forms and processes that will become effective in Jan. 2016:

Effective for new Plans on Jan. 4, 2016:

• Employer-sponsored retirement plan applications and services agreements will capture the information necessary to determine plans' eligibility for sales charge waivers and particular share classes.

• All Applications will require plans to identify the approximate number of plan participants. This is because certain fund families offer load-waived Class A shares to plans with a minimum number of participants. • Plans eligible for load-waived Class A shares may only purchase that share class.

• Plans that are not eligible for load-waived Class A shares will be permitted to purchase a retirement share class (typically, Class R shares with a 50 bps 12b-1 fee) that NYLIFE Securities designates.

• Agents will enjoy access to over 800 retirement class funds on the AdviserOne Platform and over 450 retirement class funds held direct at the fund family. We will circulate the list of available funds and share classes shortly.

• In order to keep the retirement class shares competitively priced, NYLIFE Securities will waive transaction fees on eligible retirement class fund trades placed through Streetscape.

• We will be sending letters to existing plans making them aware of alternate share classes that are available to purchase.

• As you are aware we must only recommend appropriate and suitable share classes when selling mutual funds to employer-sponsored retirement plans.

Communications to existing Plans:

• During the first part of January, you should communicate with the plan trustees about the various share class options that are available to their plans. You should remind them that they may be eligible for an R share class or load waived A share that may be more cost effective than the share class that the plan is currently offering to participants. You should also remind plan trustees that they may request a change in the share class offered under the plan should they decide that it would be desirable.

• During the week of Jan. 25, 2016, we will begin to communicate to plan sponsors regarding the different share classes that are available to Plans and provide them with information about how to change share classes for both new contributions to their plan as well as for existing plan investments. In our

communications we will indicate that if we do not hear from them, we will assume that they are satisfied with the share class the plan currently offers. We will provide you a copy of the communication in a subsequent Field News prior to mailing to plan sponsors.

Share Class Rules for Employer-Sponsored Retirement Plans

As detailed below, effective Jan. 4, 2016, we will modify our supervisory procedures with regard to retirement plan share class determinations.

• Registered Representatives must use the updated employer-sponsored retirement plan applications and service agreements (samples will be distributed shortly).

• In offering mutual funds to retirement plans, Registered Representatives must select from the list of available funds and share classes that will be distributed shortly. The NYLIFE Securities Brokerage Services Team will periodically update the list of available funds and share classes.

• All new employer-sponsored retirement plan mutual fund accounts, whether purchased directly or through the AdviserOne brokerage platform, and whether in a multiple participant or single participant plan, will be reviewed by the NYLIFE Suitability Team to ensure that the appropriate share class has been selected.

The only share classes available to new retirement plans that qualify for a load waiver on A shares will be the load waived A shares. All other new retirement plans will only have a shares class with 12b-1 fees available at or near 50bps.

Plan share class eligibility will be determined at the time of application. Subsequent changes to asset levels and/or participant levels will not automatically affect the share class available to the Plan. Following the establishment of the plan account, NYLIFE Securities will typically monitor asset levels to determine whether a particular Plan becomes eligible for a different share class pursuant to prospectus provisions; however NYLIFE Securities will not monitor participant levels. Should a Plan Trustee inform a Registered Representative that the Plan is eligible for a different share class based on changes to asset or participant levels, the Registered Representative should promptly contact NYLIFE Securities to discuss alternatives.

For purposes of these rules, employer-sponsored retirement plan accounts generally include: • Section 401(k), profit sharing, money purchase pension and defined benefit plans; • Section 401(a) and 457 plans;

• Certain Section 403(b)(7) plans (generally those covered by Title 1 of ERISA).

Responsibilities When Selling Mutual Funds

FINRA Rules require that Registered Representatives have a reasonable basis to believe that a recommended securities transaction or investment strategy is suitable for the client. In the mutual fund context, you as the

Registered Representative have the obligation to review the fund prospectus and statement of additional

information ("SAI") carefully. You should be familiar with all of the features of the mutual fund, and disclose to the client all material facts, including all fees and charges, the availability of breakpoints, letters of intent, rights of accumulation and other discounts for which the Plan may be eligible. You should work with the Plan to select the appropriate mutual funds based on consideration of several factors, including:

• The amount that the Plan intends to invest initially; • Anticipated future investments;

• The mutual fund investment options the Plan wishes to offer to Plan participants; and • The anticipated fees and expenses associated with the mutual funds under consideration.

Rule for Transferring Retirement Plans

For plans that are transferring from another Broker/Dealer, we will accept the existing share classes, but will not allow additional contributions to any share class that has 12b-1 fees higher than 50 bps. Registered

Representatives will be solely responsible for moving any assets in existing higher expense share classes to available lower-expense share classes.

Effective Jan. 1, 2016 New York Life will no longer offer new California Partnership or New York Partnership long-term care insurance policies. We will continue to offer New York Life’s non-partnership product, LTC Select Premier, in both states. This change does not affect in-force California Partnership and New York Partnership policies.

Why We Made This Decision

Sales of the Partnership products in both California and New York have been extremely limited, primarily due to the plan designs mandated by state regulation. Because of this, we have decided to focus our business on a consistent product offering, and no longer offer new California Partnership and New York Partnership policies.

Positioning Non-Partnership Policies with Clients

Clients and prospects in California and New York can continue to take advantage of our non-partnership long-term care insurance which offers more options and greater flexibility. Here are a few key features available through our non-partnership LTC Select Premier product that the partnership product did not offer:

CA and NY Partnership applications must have a signature date of Dec. 31, 2015 and be received in our office by Jan. 8, 2016 to be processed. Any CA or NY Partnership applications received at our office after Jan. 8 or with a signature date after Dec. 31 will be returned unprocessed.

In preparation for the discontinuation of the Partnership policies in NY and CA, Partnership application kits and forms will be available for ordering from POD until midnight of Dec. 14, 2015 and available on Forms Library until midnight Dec. 31, 2015. In addition, illustrations for these Partnership policies will be removed from NYLIS as of Dec. 31, 2015.

California Assembly Bill No. 1515

Summary

This Field News provides information on California Assembly Bill No. 1515, which requires that ads, price quotations and business cards include the word "insurance" in a type size that is at least as large as the smallest telephone number or a 12-point type, whichever is larger.

Background

California law currently imposes various requirements to ensure that clients understand that they are dealing with an insurance agent. Included among those requirements was the need to display the Agent’s individual California insurance license number on insurance quotes, advertisements and business cards.

Current Amendment

The recent amendment requires that the word "insurance," appear "as large as the listed phone number or a 12-point type size, whichever is larger." The rule's new requirement is effective July 1, 2016. The rule states: every

licensee shall prominently affix, type, or cause to be printed on business cards, written price quotations for insurance products, and print advertisements, distributed in this state for insurance products, the word "Insurance" in type size that is at least as large as the smallest telephone number or 12-point type, whichever is larger.

Action Required

As a result of the current amendment, all agents domiciled or licensed in California must ensure that ads, price quotations and business cards are updated and reprinted to comply with the 12-point type size requirement for the insurance license number. Agents must also ensure that the font size of the telephone number is not larger than this information. This change must be made by July 1, 2016. Please plan accordingly to comply by the effective date.

The font size of the CA insurance license number will also be increased on letterhead ordered through the New York Life Stationery Program. This will ensure that agents, who provide price quotations via a letter, comply with the CA rule. The NYL Stationary Program will have all letterhead and business card templates updated by end of the first quarter 2016. Agents should order their business cards and letterhead using the Corporate Graphics' online stationery ordering site http://nylagents.cgconverge.com. Questions pertaining to the Agents’ stationery program should be directed to Corporate Graphics customer service department at 800-841-9845 or

cgscs.cgintl.com.

All DBA business cards and letterhead that require revision in order to comply with the CA amendment must be submitted to the DBA Unit for review and approval prior to use. DBA resubmission instructions can be located on
