Conference Reception:

Be recognized as the sole sponsor of the conference celebration. This special reception

takes place on the evening of the first day of the main conference. Sponsorship covers food and beverages. Your

company name will be in lights on the walls of the general session ballroom. Your logo is included on all signage

for this special event, as well as conference collateral and sponsor recognition signage throughout the

conference.

Conference Hospitality:

Keep attendees’ hunger satisfied by sponsoring the day’s breakfast, lunch and

refreshment breaks. Sponsorship includes recognition signage, promotional piece with your logo (1-color logo

Standard Exhibitor Package*

One 8’ x 10’ standard booth with flameproof sides and back drapes, aluminum supports, a draped table and two

Cancellation or Withdrawal. If Sponsor desires to cancel this Agreement, notification of such cancellation must be made in

writing by the Sponsor and confirmed by IAPP. If such written notice is received by the IAPP on or before 2 February

2017, 50% of the total fee shall be due IAPP. After 2 February 2017, Sponsor shall pay liquidated damages in an amount

equal to 100% of the exhibit space rental, sponsorships and advertising fees (collectively, the “Fees”) for which the

Sponsor has contracted as set forth on the above Sponsorship Order Form. Except as otherwise expressly set forth

herein, all Fees are due and payable in advance upon execution of the Sponsorship Order Form and are non-refundable.

IAPP SPONSORSHIP TERMS AND CONDITIONS

1. The show or event set forth and listed on the Sponsorship Order Form to

which these Sponsorship Terms and Conditions are attached (hereinafter called the “Show” or “Event”) is owned and operated by the International Association of Privacy Professionals, Inc. (herein called the “IAPP”). The Show is currently scheduled to be held at the Venue set forth on the Sponsorship Order Form (“Venue”). By executing the Sponsorship Order Form Sponsor hereby agrees to be bound by the following terms and conditions. The Sponsorship Order Form and the following terms and conditions are collectively referred to herein as the “Agreement”.

2. Rule and Regulations. The IAPP reserves the right to promulgate from time

to time rules and regulations regarding the Show (“Rules”) and Sponsor will faithfully observe and comply with the Rules as IAPP hereafter at any time or from time to time may make and may communicate in writing to Sponsor, which in the reasonable judgment of IAPP shall be necessary for the reputation, safety, care or appearance of the Show or Venue, or the operation of the Show, provided, however, that in the case of any conflict between the provisions of this Agreement and any such Rules, the provisions of this Agreement shall control.

3. Sponsor Exhibit Space Allocation. If a sponsorship also includes exhibit

booth space (as indicated on the Sponsorship Order Form), Sponsor must declare at the time of execution of the Sponsorship Order Form if the Sponsor does not intend to use the allocated exhibit booth space. If the Sponsor declares it will not be using the exhibit booth space, a credit equal to 50% of the standard Exhibitor Fee will be credited to the Sponsor. This credit may be applied solely towards additional sponsorship or marketing products at the Show. Unused credits will not be refunded and are not exchangeable for cash. If at the time of execution of the Sponsorship Order Form the Sponsor declares it will be using the exhibit booth space and subsequently cancels the use of the exhibit booth space, no credit or refund will be issued. If the Sponsor declares it will not be using the exhibit booth space and subsequently decides it desires such exhibit booth space, the Sponsor may, subject to availability, purchase Exhibit space (using available credits, if any) for 50% of the then current standard Exhibitor Fee.

4. Eligible Exhibits. Exhibits will be limited to those companies or other entities

offering materials, products, or services of specific interest to Show registrants. IAPP reserves the right to determine the eligibility of any product for display. Promotions and offerings at the Show are limited to products and services offered by the Sponsor who signs the Agreement. Sponsors cannot represent other companies or third party products and services without the express written consent of the IAPP. IAPP reserves the right to reject, eject or prohibit any exhibit in whole or in part in the IAPP’s reasonable discretion. Any exhibitor who is a “no show” will forfeit the entire fee paid.

5. Limitation of Liability/Indemnity. The Sponsor agrees to defend, indemnify

and hold harmless the IAPP, the owners and managers of the Venue and their respective officers, directors, agents and employees, from and against all claims, losses, suits, damages, judgments, expenses, costs and charges of every kind (including reasonable attorneys’ fees) resulting from the presence of Sponsor’s exhibit at the Show or the acts, omissions or negligence of Sponsor or its agents, contractors or employees including, without limitation, any damages or injury caused to the Venue. Neither the IAPP, its officers, representatives or employees (including any of its affiliates) will be responsible for any injury, loss or damage that may occur to the Sponsor or the Sponsor’s employees or property from any cause whatsoever arising out of this Agreement or the Show. It is agreed that the undersigned shall assume the risk of any such injury, loss or damage (except to the extent caused by the gross negligence or willful misconduct of the IAPP). The undersigned hereby releases the IAPP, the owners and managers of the Venue and their respective officers, directors, agents and employees from any and all claims for any such loss, damage or injury resulting from or related to the Show. The IAPP shall not be responsible for loss or damage to displays or goods belonging to Sponsors, whether resulting from fire, storms, acts of God, air conditioning or heating failure, theft, pilferage, mysterious disappearance, bomb threats or other causes. All such items are brought to the Show and displayed at Sponsor’s own risk, and should be safeguarded at all times. IAPP will provide the services of a reputable protective agency during the period of installation, show, and dismantling, and Sponsor agrees that the provision of such services constitutes adequate discharge of all obligations of the IAPP to supervise and protect Sponsor’s property within the Show. Sponsors may furnish additional guards at their own cost and expense, only with prior approval by IAPP. The Sponsor agrees that IAPP shall not be responsible in the event of any errors or

omission in the listings in the Show’s Official Directory and in any promotional

material.

6. Damages. The IAPP shall not be liable to Sponsor for any special, indirect,

incidental, consequential, punitive, exemplary or other similar damages, including, without limitation, loss revenue or profits, in any way arising out of or related to this Agreement or the Show, even if it has been advised of the possibility of such damages. The IAPP’s total liability to Sponsor for any and all claims and damages arising out of this Agreement or the Show shall not exceed the Sponsorship Fees owed or paid by Sponsor to the IAPP hereunder.

7. Default in Occupancy. If exhibit booth space is not occupied by the time set

for completion of installation of displays, such space may be possessed by IAPP

for such purposes as it may see fit.

8. Sub-leasing. Sponsor shall not sublet its exhibit booth space, or any part

thereof, nor display anything not specified in the Agreement.

9. Damage to Property. Sponsor is liable for any damage caused to building

floors, walls or columns, or to standard booth equipment, or to other sponsors’ property. Sponsor may not apply paint, lacquer, adhesives, or other coating to building columns and floors or to standard booth equipment.

10. Union Labor. If required by the IAPP in advance, Sponsor shall employ only union labor, as made available by the Show’s official contractor in the installation and dismantling of its exhibit, and in its operation, when required by union agreements.

11. Special Services. Electricity, gas, water, and other utilities, as well as other special services needed by individual Sponsors, are provided only when the Sponsor orders and agrees to pay for them from the persons authorized to supply such services in conformity with Venue, insurance and other requirements.

12. Booth Representatives. Booth representatives shall be restricted to

Sponsor’s employees and their authorized representatives. Booth

representatives shall wear badge identification furnished by IAPP at all times. IAPP may limit the number of Booth representatives at any time. All booths must be staffed by the Sponsor during all open show hours.

13. Electrical Safety. All wiring on displays or display fixtures must conform to the applicable standards established by various government agencies and standard fire inspection ordinances. All display wiring must exhibit the seal and/or such other seals of official approving agencies as may be required at the site of the Exhibition.

14. Safety and Fire Laws. All applicable fire and safety laws and regulations must be strictly observed by the Sponsor. Cloth decorations must be flameproof. Wiring must comply with local Fire Department and Underwriters’ Rules. Crowding will be restricted; aisles and fire exits must not be blocked by exhibits. No decorations of paper, pine boughs, leafy decorations or tree branches are allowed. Acetate and most rayon drapes are not flameproof and may be prohibited. No storage behind exhibits is provided or permitted. Smoking is prohibited in the exhibits and any meeting room or other area of the Exhibition.

15. Sound Level. Mechanical or electrical devices that

produce sound must be operated so as not to prove disturbing to other Sponsors. IAPP reserves the right to determine the acceptable sound level in all instances. 16. Personnel and Attire. IAPP reserves the right to determine whether the character and/or attire of booth personnel is acceptable and in keeping with the best interests of Sponsors and the Show. Sponsor staff members that demonstrate partial nudity, indecency, or conduct inappropriate for a mixed audience will not be allowed. Sponsor may not display marketing collateral containing illegal subject matter, racially or ethnically discourteous content, or depict nudity or sexual conduct of any kind. No material or merchandise containing illegal subject matter, racially or ethically discourteous content or depict nudity or sexual conduct of any kind (e.g., promotional condoms), may be sold, given, or distributed in any way. Offensive materials are determined at the sole discretion of the IAPP. Non-compliance may result in removal of offensive material or expulsion from the Show with no refund of fees.

17. Obstruction of Aisles or Booths. Any demonstration or activity that results in obstruction of aisles or prevents ready access to nearby sponsors’ booths shall

be suspended for any periods specified by IAPP.


18. Termination of Show. IAPP reserves the right to cancel the Show for any reason in its sole and absolute discretion. IAPP’s sole liability in the event that the Show is cancelled shall be to refund to the Sponsor the amount of any Sponsorship Fees previously paid by the Sponsor to the IAPP hereunder. 19. Receipt of Goods and Exhibits. All arriving goods and exhibits will be received at receiving areas designated by IAPP. All incoming goods and exhibits must be plainly marked and all charges prepaid.

20. Care and Removal of Exhibits. IAPP will maintain the cleanliness of all aisles. Sponsor must, at its own expense, keep exhibits clean and in good order. All exhibits must remain fully intact until the Show has officially ended. Disturbing or tearing down an exhibit prior to the official closing hour of the Show can result in a refusal by IAPP to accept or process exhibit space applications for subsequent exhibitions. Exhibits must be removed from the Venue by the time specified in the Rules. In the event any Sponsor fails to remove its exhibit in the allotted time, IAPP reserves the right, at the Sponsor’s expense, to ship the exhibit through a carrier of IAPP’s choosing or to place the same in a storage warehouse subject to the Sponsor’s disposition or make such other disposition of this property as it may deem desirable without any liability to the IAPP.

21. Insurance. Sponsor is advised to see that its regular company insurance includes extraterritorial coverage, and that he has his own theft, public liability, and property damage insurance.

22. Losses. IAPP shall bear no responsibility for damage to Sponsor’s

property, or lost shipments either coming in or going out, nor for moving costs. Damage to inadequately packed property is Sponsor’s own responsibility. If exhibit fails to arrive, Sponsor is nevertheless responsible for exhibit space cost. Sponsor is advised to insure against these risks.

23. Amendment to Rules. Any matters not specifically covered by the preceding rules shall be subject solely to the decision of IAPP. The IAPP shall have full power in the matter of interpretation amendment and enforcement of all said rules and regulations, and that any such amendments when made and brought to the notice of the said Sponsor shall be and become part hereof as though duly incorporated herein and subject to each and every one of the terms and conditions herein set forth.

24. Advertising. All publicity releases and other advertising referencing the IAPP or the Show shall be subject to the IAPP’s prior written approval. Any promotional materials, signs and banners to be used in connection with the Show are subject to the IAPP’s approval. Any use by Sponsor of any logo, name, trademark, service mark, trade name or other commercial or product designation of the IAPP (“IAPP Marks”) is subject to the IAPP’s prior written approval. Any use by Sponsor of any IAPP Marks must adhere to the IAPP’s standards, restrictions and guidelines. The Sponsor is responsible for providing the IAPP with all camera-ready art, ad copy and company logos for use in connection with the Sponsor’s sponsorship.

25. Contract Acceptance. Deposit of Sponsor’s check does not constitute

contract acceptance. This Agreement shall not be binding until accepted by the IAPP.

26. Conference Passes. Speaker passes are reserved only for guest speakers outside of the sponsor’s organization. Speakers who are employed by, associated with, or representatives of the sponsoring organization do not receive additional conference or speaking passes and must use the company’s allotted conference passes included in their sponsor package or purchase additional conference passes. No credit or refunds for unused sponsor or exhibitor passes. 27. Deadlines. Sponsor acknowledges and agrees that in order to either receive the benefit of or to participate in certain sponsorship benefits described herein, Sponsor shall be required to meet certain deadlines and obligations set forth by the IAPP. In the event that Sponsor fails to meet all of its applicable obligations on or before the deadline date set forth by the IAPP, then Sponsor shall forfeit the right to receive the benefit of or to participate in such benefit and no reduction in Sponsorship fees will be made.

28. Force Majeure. The IAPP shall not be liable or responsible for any failure by the IAPP to comply with the terms of this Agreement due to causes beyond its reasonable control, including, but not limited to fire, storm, flood, accident, acts of war, insurrection, terrorism, labor disputes, acts of God, failure of communication systems or networks and acts of third parties.

29. General. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns. The rights and obligations of the Sponsor under this Agreement may not be transferred, assigned, sublet or otherwise disposed of without the prior written consent of the IAPP. The parties hereto may, by mutual agreement, amend any provision of this Agreement, and any party hereto may grant consent or waive any right to which it is entitled hereunder or any condition to its obligations hereunder, provided that each such amendment, consent or waiver shall be in writing. No waiver by either party hereto at any time of any breach by the other party hereto of, or compliance with, any condition or provision of this Agreement to be performed by such other party shall be deemed a waiver of similar or dissimilar provisions or conditions at the same or any prior or subsequent time. This Agreement shall be governed by and construed in accordance with the laws of the United States of America and the laws of the State of New Hampshire without reference to the choice of law principles thereof. The undersigned hereby submits to the exclusive jurisdiction of the state and federal courts of the State of New Hampshire for all proceedings arising out of or relating to this Agreement and waives any objection to the propriety or convenience of venue in such courts. This Agreement shall not create, nor shall it be represented by either party to create a partnership, joint

venture, employer-employee, master-servant, principal-agent, or other

relationship whatsoever between the parties hereto. Neither party hereto shall have, nor represent to have, authority or power to obligate or bind the other party hereto by contract, agreement, warranty, representation or otherwise in any manner whatsoever, without the other party’s prior written consent. If any provision of this Agreement or the application thereof to any party or circumstances shall be declared void, illegal or unenforceable, the remainder of this Agreement shall be valid and enforceable to the extent permitted by applicable law. In such event the parties shall use their best efforts to replace the invalid or unenforceable provision by a provision that, to the extent permitted by applicable law, achieves the purposes intended under the invalid or unenforceable provision.

Cancellation or Withdrawal. If Exhibitor desires to cancel this Agreement, notification of such cancellation must be made

in writing by the Exhibitor and confirmed by IAPP. If such written notice is received by the IAPP on or before 2 February

2017, 50% of the total fee shall be due IAPP. After 2 February 2017, Exhibitor shall pay liquidated damages in an amount

equal to 100% of the exhibit space rental and other fees (collectively, the “Fees”) for which the Exhibitor has contracted as

set forth on the above Exhibitor Order Form. Except as otherwise expressly set forth herein, all Fees are due and payable

in advance upon execution of the Exhibitor Order Form and are non-refundable.

IAPP EXHIBITOR TERMS AND CONDITIONS

1. The show or event set forth and listed on the Exhibitor Order Form to which

these Exhibitor Terms and Conditions are attached (hereinafter called the “Show” or “Event”) is owned and operated by the International Association of Privacy Professionals, Inc. (herein called the “IAPP”). The Show is currently scheduled to be held at the Venue set forth on the Exhibitor Order Form (“Venue”). By executing the Exhibitor Order Form Exhibitor hereby agrees to be bound by the following terms and conditions. The Exhibitor Order Form and the following terms and conditions are collectively referred to herein as the “Agreement”.

2. Rule and Regulations. The IAPP reserves the right to promulgate from time

to time rules and regulations regarding the Show (“Rules”) and Exhibitor will faithfully observe and comply with the Rules as IAPP hereafter at any time or from time to time may make and may communicate in writing to Exhibitor, which in the reasonable judgment of IAPP shall be necessary for the reputation, safety, care or appearance of the Show or Venue, or the operation of the Show, provided, however, that in the case of any conflict between the provisions of this Agreement and any such Rules, the provisions of this Agreement shall control.

3. Eligible Exhibits. Exhibits will be limited to those companies or other entities

offering materials, products, or services of specific interest to Show registrants. IAPP reserves the right to determine the eligibility of any product for display. Promotions and offerings at the Show are limited to products and services offered by the Exhibitor who signs the Agreement. Exhibitors cannot represent other companies or third party products and services without the express written consent of the IAPP. IAPP reserves the right to reject, eject or prohibit any exhibit in whole or in part in the IAPP’s reasonable discretion. Any exhibitor who is a “no show” will forfeit the entire fee paid.

4. Limitation of Liability/Indemnity. The Exhibitor agrees to defend, indemnify

and hold harmless the IAPP, the owners and managers of the Venue and their respective officers, directors, agents and employees, from and against all claims, losses, suits, damages, judgments, expenses, costs and charges of every kind (including reasonable attorneys’ fees) resulting from the presence of Exhibitor’s exhibit at the Show or the acts, omissions or negligence of Exhibitor or its agents, contractors or employees including, without limitation, any damages or injury caused to the Venue. Neither the IAPP, its officers, representatives or employees (including any of its affiliates) will be responsible for any injury, loss or damage that may occur to the Exhibitor or the Exhibitor’s employees or property from any cause whatsoever arising out of this Agreement or the Show. It is agreed that the undersigned shall assume the risk of any such injury, loss or damage (except to the extent caused by the gross negligence or willful misconduct of the IAPP). The undersigned hereby releases the IAPP, the owners and managers of the Venue and their respective officers, directors, agents and employees from any and all claims for any such loss, damage or injury resulting from or related to the Show. The IAPP shall not be responsible for loss or damage to displays or goods belonging to Exhibitors, whether resulting from fire, storms, acts of God, air conditioning or heating failure, theft, pilferage, mysterious disappearance, bomb threats or other causes. All such items are brought to the Show and displayed at Exhibitor’s own risk, and should be safeguarded at all times. IAPP will provide the services of a reputable protective agency during the period of installation, show, and dismantling, and Exhibitor agrees that the provision of such services constitutes adequate discharge of all obligations of the IAPP to supervise and protect Exhibitor’s property within the Show. Exhibitors may furnish additional guards at their own cost and expense, only with prior approval by IAPP. The Exhibitor agrees that IAPP shall not be responsible in the event of any errors or omission in the listings in the Show’s Official Directory and in any promotional material.

5. Damages. The IAPP shall not be liable to Exhibitor for any special,

indirect, incidental, consequential, punitive, exemplary, or other similar damages, including, without limitation, loss revenue or profits, in any way arising out of or related to this Agreement or the Show, even if it has been advised of the possibility of such damages. The IAPP’s total liability to Exhibitor for any and all claims and damages arising out of this Agreement or the Show shall not exceed the Exhibitor Fees owed or paid by Exhibitor to the IAPP hereunder.

6. Default in Occupancy. If exhibit booth space is not occupied by the time set

for completion of installation of displays, such space may be possessed by IAPP for such purposes as it may see fit.

7. Sub-leasing. Exhibitor shall not sublet its exhibit booth space, or any part

thereof, nor display anything not specified in the Agreement.

8. Damage to Property. Exhibitor is liable for any damage caused to building

floors, walls or columns, or to standard booth equipment, or to other sponsors’ property. Exhibitor may not apply paint, lacquer, adhesives, or other coating to building columns and floors or to standard booth equipment.

9. Union Labor. If required by the IAPP in advance, Exhibitor shall employ

only union labor, as made available by the Show’s official contractor in the installation and dismantling of its exhibit, and in its operation, when required by union agreements.

10. Special Services. Electricity, gas, water, and other utilities, as well as other special services needed by individual Exhibitors, are provided only when the

Exhibitor orders and agrees to pay for them from the persons authorized to supply such services in conformity with Venue, insurance and other requirements.

11. Booth Representatives. Booth representatives shall be restricted to

Exhibitor’s employees and their authorized representatives. Booth

representatives shall wear badge identification furnished by IAPP at all times. IAPP may limit the number of Booth representatives at any time. All booths must be staffed by the Exhibitor during all open show hours.

12. Electrical Safety. All wiring on displays or display fixtures must conform to the applicable standards established by various government agencies and standard fire inspection ordinances. All display wiring must exhibit the seal and/or such other seals of official approving agencies as may be required at the site of the Exhibition.

13. Safety and Fire Laws. All applicable fire and safety laws and regulations must be strictly observed by the Exhibitor. Cloth decorations must be flameproof. Wiring must comply with local Fire Department and Underwriters’ Rules. Crowding will be restricted; aisles and fire exits must not be blocked by exhibits. No decorations of paper, pine boughs, leafy decorations or tree branches are allowed. Acetate and most rayon drapes are not flameproof and may be prohibited. No storage behind exhibits is provided or permitted. Smoking is prohibited in the exhibits and any meeting room or other area of the Exhibition. 14. Sound Level. Mechanical or electrical devices that produce sound must be operated so as not to prove disturbing to other Exhibitors. IAPP reserves the right to determine the acceptable sound level in all instances.

15. Personnel and Attire. IAPP reserves the right to determine whether the character and/or attire of booth personnel is acceptable and in keeping with the best interests of Exhibitors and the Show. Exhibitor staff members that demonstrate partial nudity, indecency, or conduct inappropriate for a mixed audience will not be allowed. Exhibitor may not display marketing collateral containing illegal subject matter, racially or ethnically discourteous content, or depict nudity or sexual conduct of any kind. No material or merchandise containing illegal subject matter, racially or ethically discourteous content or depict nudity or sexual conduct of any kind (e.g., promotional condoms), may be sold, given, or distributed in any way. Offensive materials are determined at the sole discretion of the IAPP. Non-compliance may result in removal of offensive material or expulsion from the Show with no refund of fees.

16. Obstruction of Aisles or Booths. Any demonstration or activity that results in obstruction of aisles or prevents ready access to nearby sponsors’ booths shall

be suspended for any periods specified by IAPP.


17. Termination of Show. IAPP reserves the right to cancel the Show for any reason in its sole and absolute discretion. IAPP’s sole liability in the event that the Show is cancelled shall be to refund to the Exhibitor the amount of any Exhibitor Fees previously paid by the Exhibitor to the IAPP hereunder. 18. Receipt of Goods and Exhibits. All arriving goods and exhibits will be received at receiving areas designated by IAPP. All incoming goods and exhibits must be plainly marked and all charges prepaid.

19. Care and Removal of Exhibits. IAPP will maintain the cleanliness of all aisles. Exhibitor must, at its own expense, keep exhibits clean and in good order. All exhibits must remain fully intact until the Show has officially ended. Disturbing or tearing down an exhibit prior to the official closing hour of the Show can result in a refusal by IAPP to accept or process exhibit space applications for subsequent exhibitions. Exhibits must be removed from the Venue by the time specified in the Rules. In the event any Exhibitor fails to remove its exhibit in the allotted time, IAPP reserves the right, at the Exhibitor’s expense, to ship the exhibit through a carrier of IAPP’s choosing or to place the same in a storage warehouse subject to the Exhibitor’s disposition or make such other disposition of this property as it may deem desirable without any liability to the IAPP.

20. Insurance. Exhibitor is advised to see that its regular company insurance includes extraterritorial coverage, and that he has his own theft, public liability, and property damage insurance.

21. Losses. IAPP shall bear no responsibility for damage to Exhibitor’s

property, or lost shipments either coming in or going out, nor for moving costs. Damage to inadequately packed property is Exhibitor’s own responsibility. If exhibit fails to arrive, Exhibitor is nevertheless responsible for exhibit space cost. Exhibitor is advised to insure against these risks.

22. Amendment to Rules. Any matters not specifically covered by the preceding rules shall be subject solely to the decision of IAPP. The IAPP shall have full power in the matter of interpretation amendment and enforcement of all said rules and regulations, and that any such amendments when made and brought to the notice of the said Exhibitor shall be and become part hereof as though duly incorporated herein and subject to each and every one of the terms and conditions herein set forth.

23. Advertising. All publicity releases and other advertising referencing the IAPP or the Show shall be subject to the IAPP’s prior written approval. Any promotional materials, signs and banners to be used in connection with the Show are subject to the IAPP’s approval. Any use by Exhibitor of any logo, name, trademark, service mark, trade name or other commercial or product designation of the IAPP (“IAPP Marks”) is subject to the IAPP’s prior written approval. Any use by Exhibitor of any IAPP Marks must adhere to the IAPP’s standards, restrictions and guidelines. The Exhibitor is responsible for providing the IAPP with all camera-ready art, ad copy and company logos for use in connection with the Exhibitor’s sponsorship.

24. Contract Acceptance. Deposit of Exhibitor’s check does not constitute contract acceptance. This Agreement shall not be binding until accepted by the IAPP.

25. Conference and Exhibit Hall Passes. No credits or refunds for unused sponsor or exhibitor passes.

26. Force Majeure. The IAPP shall not be liable or responsible for any failure by the IAPP to comply with the terms of this Agreement due to causes beyond its reasonable control, including, but not limited to fire, storm, flood, accident, acts of war, insurrection, terrorism, labor disputes, acts of God, failure of communication systems or networks and acts of third parties.

27. Deadlines. Exhibitor acknowledges and agrees that in order to either receive the benefit of or to participate in certain exhibitor benefits described herein, Exhibitor shall be required to meet certain deadlines and obligations set forth by the IAPP. In the event that Exhibitor fails to meet all of its applicable obligations on or before the deadline date set forth by the IAPP, then Exhibitor shall forfeit the right to receive the benefit of or to participate in such benefit and no reduction in Exhibitor fees will be made.

28. General. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns. The rights and obligations of the Exhibitor under this Agreement may not be transferred, assigned, sublet or otherwise disposed of without the prior written consent of the IAPP. The parties hereto may, by mutual agreement, amend any provision of this Agreement, and any party hereto may grant consent or waive any right to which it is entitled hereunder or any condition to its obligations hereunder, provided that each such amendment, consent or waiver shall be in writing. No waiver by either party hereto at any time of any breach by the other party hereto of, or compliance with, any condition or provision of this Agreement to be performed by such other party shall be deemed a waiver of similar or dissimilar provisions or conditions at the same or any prior or subsequent time. This Agreement shall be governed by and construed in accordance with the laws of the United States of America and the laws of the State of New Hampshire without reference to the choice of law principles thereof. The undersigned hereby submits to the exclusive jurisdiction of the state and federal courts of the State of New Hampshire for all proceedings arising out of or relating to this Agreement and waives any objection to the propriety or convenience of venue in such courts. This Agreement shall not create, nor shall it be represented by either party to create a partnership, joint

venture, employer-employee, master-servant, principal-agent, or other

relationship whatsoever between the parties hereto. Neither party hereto shall have, nor represent to have, authority or power to obligate or bind the other party hereto by contract, agreement, warranty, representation or otherwise in any manner whatsoever, without the other party’s prior written consent. If any provision of this Agreement or the application thereof to any party or circumstances shall be declared void, illegal or unenforceable, the remainder of this Agreement shall be valid and enforceable to the extent permitted by applicable law. In such event the parties shall use their best efforts to replace the invalid or unenforceable provision by a provision that, to the extent permitted by applicable law, achieves the purposes intended under the invalid or unenforceable provision.
