ORLANDO MAGIC SIXTH MAN T-SHIRT DESIGN CONTEST OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR PARTICIPATE IN THE CONTEST CONTEST BEGINS AT 12:00 PM ON OCTOBER 9, 2015 AND ENDS AT 12:00 PM ON

OCTOBER 23, 2015

1. HOW TO ENTER: There is one (1) way to enter the contest: 1) Complete official entry form available at www.orlandomagic.com/sixthman, upload your web-friendly design (.jpg, .jpeg, .png, or .pdf formats only), and click on “submit” (an “Entry”).

All Entries must meet the following criteria to be eligible for the contest: (A) Entry must be the original work of the contestant; (b) Entries must comply with these Official Rules, (C) Entries must be 5MB or less, (D) Entries must not contain content that is likely to be considered offensive by Sponsor or could adversely affect the name, reputation or goodwill of the Sponsor or the National Basketball Association and its member teams; and (E) Entries may not infringe on or violate the rights of any third party, including but not limited to, copyrights, trademarks, patents, trade secrets, logos, contract and licensing rights, rights of publicity or privacy, moral rights, or any other intellectual property rights. Further, graphics must be designed to be printed on a white T-shirt, and include the Orlando Magic’s primary or secondary logo and the phrase “PURE MAGIC.” For reference, the Official Orlando Magic colors (along with white) and the official color of STUFF the Magic Mascot are:

religion, nationality, disability, sexual orientation, age or any other basis protected by federal, state, or local law, ordinance, or regulation; (viii) images or depictions of any current or former NBA players, or (ix) stock images, photos, or clip art. Any Entry that does not comply with the foregoing, in the sole discretion of the Sponsor, will be disqualified and eliminated from consideration. Entrants agree to the use of the Entry, along with entrant’s name, photograph, video, likeness, true statement, biographical information, voice, and city of residence in any and all advertising, promotions, and other publicity conducted by the Indemnified Parties (as defined in Section 7) in perpetuity in any medium without additional authorization, compensation or remuneration to the extent permitted by law and will sign an Assignment of Intellectual Property Rights Agreement. All entries must be received by 9:00 AM on October 19, 2015 to be eligible to participate in the contest.

No mechanically reproduced entries or, illegible, incomplete, forged or altered entries will be accepted. Sponsor is not responsible for late, lost, stolen, damaged, garbled, delayed, postage due, misaddressed, or misdirected entries or mail, technical, hardware or software malfunctions, telephone failures of any kind, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or utilized in this contest. Further, Sponsor is not responsible for electronic communications which are

undeliverable as a result of any form of active or passive filtering of any kind, insufficient space in entrant's e-mail account to receive e-mail messages, or limitations on the number of text messages entrant may send. Limit of one (1) Entry per person. Anyone who submits multiple entries will be disqualified. All entries become the exclusive property of Sponsor and will not be returned.

2. PRIZES: One (1) Grand Prize: Winning Entry will be printed on T-shirts to be given out to at least the first 5,000 but no more than 20,000 fans at the Orlando Magic home opener on Wednesday, October 28, 2015 along with two (2) third-row courtside tickets to the Orlando Magic game on Wednesday October 28, 2015 with an approximate retail value of seven hundred and forty dollars ($740.00). Four (4) First Prizes: two (2) tickets to the Orlando Magic game on Friday, October 30, 2015 with an approximate retail value of two hundred and ten dollars ($210.00) per pair of tickets. All offered prizes will be awarded (assuming a sufficient number of entries).

3. ELIGIBILITY: The contest is open to individual natural persons who are legal residents of Florida, 18 years of age or older as of the beginning of the contest, who reside within 75 miles of Orlando, FL, except for employees and their immediate families (spouse, parents, siblings, and children) and members of the same household of the Orlando Magic, Ltd., Orlando Events Center Enterprises, LLC, Amway Center, RDV Sports, Inc., the National Basketball Association (“NBA”) and its Member Teams, NBA Properties, Inc. and each of their respective parent organizations, subsidiaries, affiliates, directors, officers, owners, advertising and promotion agencies, and agents. Limit one (1) entry per person; anyone who submits multiple entries is subject to disqualification.

judging criteria. Entries will be judged on a 1-10 scale on each of the following criteria: creativity/design quality, originality, adherence to the Orlando Magic’s brand, and scalability. Finalists will be determined by one or more representatives of Orlando Magic, Ltd., whose decisions are final on all matters relating to this contest. Finalists will be notified upon conclusion of the judging. In the event of a tie, the finalist will be selected based on the date of submission with the finalist being the one whose Entry was submitted earlier in the entry period.

The five (5) finalists’ designs will be placed on orlandomagic.com starting on October 21, 2015 at 12:00 PM where fans will be able to vote for the design that they would like to see on a T-shirt to be distributed at the first regular season Orlando Magic home game. Voting will remain open until 12:00 PM on October 23, 2015. The Grand Prize winner will be the finalist who receives the most votes during the voting period. The Grand Prize winner will be notified upon the conclusion of the voting period. In the event of a tie, the grand prize winner will be the one who had the higher aggregate score during the judging period. If a tie remains, then the winner will be the contestant whose entry was submitted earlier in the entry period. The four (4) finalists who are not selected as the Grand Prize winner will be awarded First Prizes.

The prizes are not redeemable for cash and may not be transferred or substituted. No more than the advertised prizes will be awarded. Any difference between the stated value and actual value will not be awarded.

5. VERIFICATION OF FINALISTS AND DELIVERY OF PRIZES: Finalists may be required to sign an Affidavit of Eligibility and Liability Release and, where permitted, a Publicity Release. Finalists will also be required to sign an Assignment of Intellectual Property Rights Agreement. A prize may be awarded to a runner up of the contest if: required documents are not returned within twenty-four (24) hours after sending to finalists; finalists fail to meet the eligibility requirements set forth in Section 3; the prize notification letters or prizes are returned as undeliverable; two attempts to contact finalists by phone are unsuccessful; or a finalists declines a prize.

6. DISPUTE RESOLUTION

(a) Informal Dispute Resolution. Prior to filing any arbitration proceeding pursuant to paragraph 6(b) hereof, the party intending to file such a proceeding shall notify the other party in writing of the existence and the nature of the dispute. The parties each agree that within ten (10) business days of the other party's receipt of such notice, a representative of each party shall meet for a minimum of one (1) eight (8) hour day, or such shorter period of time if the dispute is more quickly resolved, in Orlando, Florida in order to attempt to amicably resolve the dispute. If such informal dispute resolution attempts prove to be unsuccessful, the notifying party may initiate the dispute resolution procedures available as set forth herein. Each party shall bear its own costs associated with the meeting and in no event shall either party be liable to the other for any costs or expenses incurred as a result of such meeting.

American Arbitration Association. Such arbitration proceedings shall be resolved by a single arbitrator selected by mutual agreement of the parties. If the parties are unable to agree on the appointment of the arbitrator to resolve the dispute within thirty (30) days from the date when the request for arbitration initially has been communicated to the other party, such appointment shall be made by the American Arbitration Association. The arbitrator shall have the right to award or include in the award any relief deemed proper under the circumstances, including attorneys’ fees and costs incurred by the prevailing party. The award and decision of the arbitrators shall be conclusive and binding upon all parties hereto and judgment upon the award may be entered in any court of competent jurisdiction. The parties waive any right to contest the validity or enforceability of such award.

(c) Injunctive Relief. The parties acknowledge that violation of these Official Rules would cause irreparable harm that would not be adequately compensable by monetary damages. In addition to other relief, it is agreed that preliminary and permanent injunctive relief will be available to prevent any actual or threatened violation of such provisions.

8. WINNERS LIST: To obtain the list of finalists and winner, send a self-addressed, stamped envelope to: Orlando Magic Sixth Man T-Shirt Design Contest, 8701 Maitland Summit Boulevard, Orlando, FL 32810. Requests must be received by December 30, 2015. The list will be sent after selection of winners.
