STIPULATION AND AGREED ORDER EXTENDING THE DEADLINE
TO RESPOND TO CBL & ASSOCIATES MANAGEMENT, INC.’S MOTION
FOR PAYMENT OF ADMINISTRATIVE EXPENSE CLAIM
The above-captioned reorganized debtors and debtors in possession (collectively, the
“Reorganized Debtors”) and CBL & Associates Management, Inc. (“CBL” and, together with the
Reorganized Debtors, the “Parties”) hereby enter into this stipulation and agreed order (this
“Stipulation and Agreed Order”) as follows:
WHEREAS, on July 29, 2020 (the “Petition Date”), the debtors and debtors in possession
filed voluntary petitions for relief under chapter 11 of the United States Bankruptcy Code in the
United States Bankruptcy Court for the Southern District of Texas (the “Bankruptcy Court”);
WHEREAS, on October 29, 2020, the Second Amended Joint Chapter 11 Plan of
Reorganization of California Pizza Kitchen, Inc. and its Debtor Affiliates [Docket No. 588] (as
modified, amended, or supplemented from time to time, the “Plan”) was confirmed pursuant to the
Findings of Fact, Conclusions of Law, and Order Confirming the Seconded Amended Joint

Chapter 11 Plan of Reorganization of California Pizza Kitchen, Inc. and Its Debtor Affiliates
[Docket No. 600] (the “Confirmation Order”);
2WHEREAS, the Effective Date of the Plan occurred on November 23, 2020, and the
Administrative Claims Bar Date was January 7, 2021;
WHEREAS, on January 7, 2021, CBL filed its Motion of CBL & Associates Management,
Inc. for Allowance and Payment of Administrative Expense Claims Pursuant to 11 U.S.C. §§
503(a), 503(b)(1)(A), 507(a) and 365(d)(3) [Docket No. 681] (the “Motion”), which asserted an
administrative expense claim in the amount of $4,173.05;
WHEREAS, objections, if any, to the Motion are due within 21 days of the filing thereof,
which date is January 28, 2021 (the “Objection Deadline”);
WHEREAS, the Reorganized Debtors are still in the process of reviewing their books and
records with regard to asserted administrative claims, including the Motion; and
WHEREAS, in order to maximize efficiency and avoid unnecessary cost and expense, the
Parties have agreed to extend the Objection Deadline, subject to and in accordance with the terms
hereof;
NOW, THEREFORE,
in consideration of the foregoing recitals, which are incorporated
into this Stipulation and Agreed Order, the Parties hereby stipulate and agree as follows:
1.
The Objection Deadline is hereby extended through and including February 15,
2021, subject to further extension by agreement of the Parties.
2.
The hearing, if any, scheduled with regard to the Motion shall be continued until a
mutually agreeable date.
