The Tennessee Business Summit invites you to join us at The Grand Event Center and Knoxville Expo

Center in Knoxville, TN. This is a one day exclusive event with up to 1,200 owners, officers and select

upper management from the middle market.

This is the premier meeting dedicated to owners and officers regardless of product, service, industry

or sector. The 2013 Summit Committee has organized an outstanding program to serve the needs of

every executive and provide quality networking opportunity attendees expect.

The Tennessee Business Summit is an educational and economic development event which provides

executive level educational value and officer to officer networking in a sales neutral environment. This

allows each attendee to experience and benefit from over 20 advanced classroom sessions and up to

1,300 expected attendees and 500 cutting edge exhibits in a relaxed atmosphere.

Because this is a one day event which does not require major travel plans, expense, or leaving a

company unattended, attendee seating, booths and sponsorships usually sell out very quickly. We

encourage you to submit your online registration and reserve your company’s space or seat as soon

as possible. Face-to-face contact with current and potential customers has always proven to be the

best marketing opportunity for companies and the Tennessee Business Summit exceeds those

expectations by creating a sales neutral space which is relaxed, entertaining, and educational. You

EXHIBIT ASSIGNMENT PROCESS

The Tennessee Business Summit offers fair and equitable allotment of its exhibit spaces. Exhibits are assigned based on a first come first serve basis. A limited number of exhibit spaces are reserved for sponsors; however, exhibits outside of those reserved spaces will not be reserved for any party.

Tennessee Business Summit attendee passes, exhibit space(s), additional exhibit staff and/or most sponsorship packages will only be available online at http://www.tennesseebusinesssummit.com; using most major credit cards. Taxes and online processing services fees may apply.

SPONSOR / EXHIBITOR BOOTHS

Each sponsorship package includes exhibit space in premier location. All exhibit space pricing is based on location value and square footage. Each exhibit space includes Pipe & Drape, eight foot dressed table, two chairs and garbage can. A limited number of exhibit spaces are reserved for sponsors on a first come first serve basis for as long as supplies last. (Provided Pipe and Drape must

be used for conformity.)

NON-CANCELLATION POLICY

In order to meet the high standards and expectations associated with a major business summit, we must meet certain prescribed financial obligations; for this reason all sales are final and no cancelations will be honored regardless of transaction type, date or reason. This includes, but not limited to, (a) sponsor fee, (b) exhibitor fees or (c) attendee fees, etc.

DISTRIBUTION OF PRODUCTS OR SERVICES

No monies may exchange hands during the event for the sale of products or services; however sales orders for purchases at a later date are permissible. You are solely responsible for liability associated with products or services sold in association with your exhibit space. No product or service may be displayed which violates any federal or state laws. No products may be distributed or displayed which are considered obscene, offensive, dangerous or not in good taste and in keeping with good moral standards. Distribution of food or beverages will not be permitted. No exceptions will be made.

NAME BADGE PICK-UP

Color coded name badges will be issued for keynotes, sponsors, exhibitors, attendees and additional exhibitor staff. Exhibitor badges will be issued November 5, 2013 (day prior to event) at the Knoxville Expo Center. Conference attendees and sponsors’ badges will be issued on day of event, November 6, 2013.

Each sponsor and exhibitor price includes one booth staff badge. There will be a$50 fee charged for each additional person (see Attendee Schedule page). No person will be admitted to the Exhibition Hall without a badge.

INSTALLATION OF EXHIBITS

November 5, 2013 • 8:30 AM-4:30 PM

All exhibitors MUST enter the registration area for badge pickup prior to being allowed to bring any exhibition items into the venue. NO BADGE, NO ADMITTANCE, NO EXCEPTION ON INSTALLATION OR DAY OF EVENT. All exhibits include a table and cover, two chairs,

garbage can and pipe and drape per 100 sq. ft. section. Booth utilities and additional furnishings require additional payments (see Electrical Order Form on event website). This form is to be received by the Knoxville Expo Center no less than 7 days in advance of the event. All payments for electrical items are made separate of exhibit payments and are collected separately by the venue management company.

DISMANTLING OF EXHIBITS

Exhibits are to be dismantled after 6:30 PM and not before on November 6, 2013. Smaller items may be picked up the following morning no later than 11:00 AM on November 7, 2013. Dismantling of exhibits prior to 6:30 PM will not be allowed due to the noise restrictions required by our production and sound company. Any early dismantling will require prior consideration and a $500 additional charge for special accommodations.

STAFFING OF EXHIBITS

Exhibits must be staffed and operational during all exhibit hours. Attendees will be provided breaks throughout the event providing maximum opportunity for attendees to view exhibits. Exhibitors may leave their booths during the morning seminars and keynote addresses. This will provide additional opportunities to network with other exhibitors and to view the morning events on large screen TVs (pending availability). Special accommodations need to be addressed through Tennessee Business Summit/ LeveragePlus Marketing at (800) 654-4468 ext. 100 no less than 10 days of the event. Each company’s exhibit must be staffed by one or more owners, officers or managers with binding authority, without exception.

BOOTH OPERATIONS

Exhibitors should not operate in a way that violates the rights of another exhibitor. Exhibitors may not obstruct the view or interfere with the traffic of other exhibitors. General promotion, demonstration and distribution of literature/ samples must take place inside your assigned booth. Exhibit areas should be kept clean and in good order. No part of any exhibit, or related signs, shall be posted, nailed, or otherwise attached to columns, walls, floors, or other parts of the building or its furniture, in any way to deface them. The exhibitor is liable for damage from failure to observe these rules. No firearms or alcohol will be allowed on the premises.

SELLING OF PRODUCTS OR SERVICES

Exhibitors may only display their products or services. Exhibitors may not accept cash, checks or credit cards for products or services onsite, however, orders may be taken. Exhibitors electing to take orders must do so in a manner consistent with the professional nature of the exhibit.

GIVEAWAYS, CONTESTS, AND RAFFLE

DRAWINGS

Exhibiting companies are permitted to distribute giveaways so long as these items are not obscene, offensive, dangerous or not in good taste and in keeping with good moral standards. Giveaways should be associated with products or services of the exhibiting company. Exhibitors are responsible for the proper collection of taxes associated with contests, drawings and raffles.

SOUND RESTRICTIONS

No equipment or voice-reproducing machines can be operated in such a manner as to cause a disturbance to other exhibitors. Earphones should be provided, or such devices should be enclosed in a special soundproof booth. TNBS reserves the right to determine when sound is interfering with another exhibit and must be discontinued.

PHOTOGRAPHY AND VIDEOTAPING

The taking of photographs, other than by the official photographer is expressly prohibited without the express written consent of the Tennessee Business Summit management company,

THIRD-PARTY REPRESENTATIVES

Any third-party agency representing an exhibitor must submit their client’s name, contact information, address, telephone & fax numbers, signature documenting authorization to represent and title to LeveragePlus Organization, 848 Livingston Road, Suite 101, Crossville, TN 38555 or to info@TNBusinessSummit.com no more than 7 business days of registration.

EXHIBITOR SERVICE MANUAL

An Exhibitor Service Manual containing the necessary forms for ordering equipment, exhibitor badges, and services for booths will be available online starting on or before August 15, 2013.

USE OF EXHIBITOR-APPOINTED CONTRACTORS

If you plan to use a service contractor other than those provided through event management, shall notify LeveragePlus Marketing in writing by September 1, 2013. Otherwise, the exhibitor-appointed contractor will not be permitted to set up your booth. Please refer to the Exhibitor Service Manual for the use of exhibitor-appointed contractor forms and regulations. Exhibitor-appointed contractors are required to furnish TNBS with an insurance certificate in the amount of $1,000,000 liability to include property damage no later than September 1, 2013. The certificate must indicate full coverage for the installation and dismantle dates.

HANDICAPPED AREAS

The Grande Event Center and Knoxville Expo Center is in compliance with accessibility as defined by the Americans with Disabilities Act (ADA). Exhibitors are reminded to construct their booths in full compliance with the ADA.

USE OF THE TNBS NAME, INSIGNIA, LOGO OR

ACRONYM

The Tennessee Business Summit name, insignia, logo and acronym are proprietary marks and may not be used in signs, advertising, or promotions in any media or product literature either inside or outside of the exhibit area, before, during or after the meeting, unless prior written approval has been received from TNBS.

LIABILITY AND SECURITY

Exhibitors must make provisions for safeguarding their display and property at all times. General guard service will be provided by TNBS for the exhibition period, but TNBS, the guard service, and The Grande Event Center and Knoxville Expo Center will not be responsible for the loss of any material by any cause. The exhibitor is responsible for all liability, losses, claims, and demands relating to any injury, death, or damage to property (including the parking area), however occurring, arising from the acts of the exhibitor, his or her employees, agents, licensees, or contractors. The exhibitor agrees to indemnify and hold harmless TNBS and The Grande Event Center and Knoxville Expo Center from and against any and all liability, losses, claims, and demands that may arise from or be asserted in connection with the foregoing undertaking and responsibilities of the exhibitor.

CANCELLATION OF EVENT

Should any unforeseen and unpredictable occurrence, natural act of God or event take place which should cause the Tennessee Business Summit to be postponed for any reason, all monies collected shall be automatically applied to the replacement event to be rescheduled no later than 90 days from the original date of the event. If the Tennessee Business Summit cannot be rescheduled, then all collected monies less expenses already paid will be fully refunded on a fair equitable basis.

TERMS AND CONDITIONS

As a condition for exhibiting, each exhibitor shall agree to observe all stated policies in this prospectus and Exhibitor Service Manual. The Tennessee Business Summit’s management reserves the right to refuse exhibit space to any applicant at its sole discretion.

PERSONAL APPEARANCE OR EXPECTATTION OF QUALITY

The Tennessee Business Summit does not guarantee and makes no warranties or representation to the in‐person or electronic appearance of any invitees, attendees, sponsors, keynote speakers or other person(s). The event management company, its planners, the steering committee, its governing bodies, attendees, sponsors, guests, exhibitors, or facility management assume no responsibility for the quality of this educational and economic development event. While this is an exclusive event for owners, officers and upper management with binding authority of middle market companies, no person shall be excluded based on discriminating factors as defined under our Nondiscrimination Statement.

PERSONAL IMAGES

In regard to photographs, videos and written or electronic copies hereforth aka personal images taken at Tennessee Business Summit events, all appropriate and necessary permissions and consents by attendees, sponsors, exhibitors and guests are implied and sufficiently obtained by willing registration and/or attendance at the event, including any copyright licenses and protection provided by law. By attending the event, attendees or their representatives, agree to not make claims against Tennessee Business Summit, its attendees, management, committees, or any others as a result of the publication of their personal images in any website(s) or in affiliated publications. Due to publication of said personal images, in no event shall Tennessee Business Summit or photographer or recorder or production team be liable for any indirect, incidental, consequential, special, or exemplary damages or lost profits, even if Tennessee Business Summit or photographer or recorder or production team has been advised of the possibility of such damages.

NO EXPECTATION OF EVENT QULAITY OR ENTERTAINMENT VALUE

While the event management makes every effort to satisfy all attendees by your payment and attendance, you understand and agree that neither the Tennessee Business Summit nor its management make any written or verbal warranties or representations as to the quality of the event or the number of attendees, sponsors or exhibitors. You fully understand no employee or associate or affiliate of the Tennessee Business Summit or its management has the authority to make any representations to these matters

RIGHT TO REFUSE ADMISSION

The Tennessee Business Summit reserves the right to eject or to refuse admission to any persons whose behavior is or becomes unruly or obnoxious, or who use vulgar language or who participate in conduct that is a nuisance or is illegal. The summit may refuse admission to those who do not possess proof of active sponsorship or payment of an exhibit or guest ticket/voucher. TNBS is an exclusive invitation event for the middle market. Invitees must meet minimum standards of no less than 25 employees or $10M in annual revenues. Subsidiaries, franchisees, dealerships, net branch operations or similar business structures may

qualify so long as the parent company meets our definition of middle market (as stated above). All of the above subordinate companies must be pre-approved by the Tennessee Business Summit management, which will be reviewed on a case by case basis.

RELEASE FROM LIABILITY

On the date the Tennessee Business Summit’s management receive your payment through online or any other payment method you acknowledge your intentions to be legally bound hereby and acknowledge and agree to hereby release from liability and to indemnify and hold harmless the Tennessee Business Summit, and any of its employees or agents representing or related to the Tennessee Business Summit to be held on or about November 6, 2013, as regards to conference/expo event. This release is for any and all liability for personal injuries (including death) and property losses or damage occasioned by or in connection with any activity or accommodations for this event. The undersigned further agrees to abide by all the rules and regulations promulgated by the Tennessee Business Summit, its management and The Grande Center and Knoxville Expo Center, aka, facility management.

NONDISCRIMINATION STATEMENT

The Tennessee Business Summit, its event management, LeveragePlus Marketing and its affiliates and associates, prohibits discrimination in employment, educational programs, and activities on the basis of race, national origin, color, creed, religion, sex, age, disability, veteran status, sexual orientation, gender identity, or associational preference. The Tennessee Business Summit management makes no warranties or representations whether expressed or implied which do not appear in writing. Should any part of this agreement not be enforceable by law that part does not make null or void any other parts of this agreement.

CHANGES TO EVENT RULES

Any changes to this agreement, rules or pricing controlling the actions or governance of the Tennessee Business Summit will be posted online at

http://www.TNBusinessSummit.com/ and are subject to change without warning or notice. You agree that any such changes will replace and override any previous agreement.
