DYNAMIC CURRENCY CONVERSION

If you offer and provide dynamic currency conversion or any other currency conversion services to Visa cardholders, you must:

• Notify CardSolve prior to offering dynamic currency conversion to Visa cardholders

• Inform Visa cardholders that dynamic currency conversion is optional • Not impose any additional requirements on the cardholder to have the

transaction processed in the local currency

• Not use any language or procedures that cause the cardholder to choose dynamic currency conversion by default

• Not misrepresent, either explicitly or implicitly, that its dynamic currency conversion service is a Visa service

• Comply with all of the Sales Draft requirements required by CardSolve from time to time

• Comply with any other requirements regarding dynamic currency con- version that CardSolve may notify you of from time to time

Please read the Merchant Services’ Program Guide in its entirety. It describes the terms under which we will provide merchant processing services to you. From time to time you may have questions regarding the contents of your agreement with us. The following information summarizes portions of your Merchant Agreement in order to assist you in answering some of the questions we are most commonly asked. The following also points out important provisions in the Merchant Agreement that should be brought to your attention.

1. Your discount rates are assessed on transactions that qualify for certain reduced interchange rates imposed by MasterCard and Visa. Any transac- tions that fail to qualify for these reduced rates may be charged an additional fee (refer to the General Terms, Section 5).

2. We may debit your current account from time to time for amounts owed to us under the Merchant Agreement.

3. There are many reasons why a Chargeback may occur. When they occur we will debit your settlement funds or Current Account. For a more detailed discussion regarding Chargebacks, see Exhibit B, Section 10.

4. If you dispute any charge or funding, you must notify us within 45 days of the date of the statement where the charge or funding appears or should have appeared.

5. The Merchant Agreement limits our liability to you.For a detailed des- cription of the limitation of liability, refer to the General Terms, Section 7.

6. We have assumed certain risksby agreeing to provide you with Card processing. Accordingly, we may take certain actions to mitigate our risk, in- cluding termination of the Merchant Agreement, and/or hold monies otherwise payable to you (see General Terms, Section 10, Term; Events of Default and Section 11, Reserve Account; Security Interest), under certain circumstances.

7. By executing this Merchant Agreement with usyou are authorizing us to obtain financial and credit information regarding your business and the signer and guarantors of the Merchant Agreement throughout the term of the Merchant Agreement.

8. The Merchant Agreement contains a provisionthat in the event you terminate the Merchant Agreement early, you will be responsible for the

payment of an early termination fee as set forth in the General Terms, Section 18.2 under “Additional Important Information.”

9. If you have selected in your MPA to lease equipment from Processor,

it is important that you review Exhibit A, Equipment Lease Agreement. By signing this Confirmation Page below, you are acknowledging that you have read the Equipment Lease Agreement and agree to the terms and conditions. The execution of this Confirmation Page below by you will serve as the signature page to the Equipment Lease Agreement. The Equipment Lease Agreement also contains an authorization (the “Authorization”) for First Data Global Leasing to make pre-authorized debits to your Current Account. We draw to your attention that in the Authorization you waive your right to receive any notice from First Data Global Leasing or any other person of the amount to be debited and the dates on which such debits are to be processed.

10. This Merchant Agreement provides an authorization (the “PAD Authorization”) for us to make pre-authorized debits to your Current Account which is contained in Section 18 and, if applicable in Exhibit Apursuant to the Equipment Lease Agreement. Specifically we draw to your attention that, in the PAD Authorization you waive the right to receive any notice from Cardsolve or any other person of the amount to be debited and the dates on which such debits are to be processed. By executing below, you confirm you have reviewed and understand this part of the PAD Authorization.

11. For Clients in the Province of Quebec,by executing this Confirmation Page, you acknowledge that all of the terms of the Merchant Agreement have been reviewed by you and brought to your attention, including, the hypothecs contained in Section 11.4 and in Section 15.7.
