A. Supplier Migration:
5. Notify Oracle within two (2) business days in advance of requests to change scheduled meetings or expected completion dates of work plan assigned tasks
6. Develop any necessary end-user documentation, including, but not limited to, documenting specific business practices, data examples and organization/end-user specific policies and procedures.
7. Be responsible for planning, executing, and managing all aspects of the End-to-End and Final Reviews, including preparing and executing test cases and plans and reviewing test results.
8. Agree to plan and uptake ERP Cloud releases within agreed upon timeframe.
9. Maintain responsibility for any changes necessary in Your existing systems due to the implementation of Oracle ERP Cloud Project Billing and Contracts application.
10. Ensure Your Oracle Cloud environments are provisioned and accessible prior to the commencement of Services.
11. Ensure that Your team members are dedicated to completing their obligations related to these Services and their assigned tasks under the project work plan.
12. Be responsible for managing third party delivery schedules to meet project timeline.
13. You agree to make reasonable efforts to limit Oracle’s access to personal data to the minimum necessary to accomplish the intended purposes. You acknowledge that You are solely responsible for providing any required notices and obtaining any required consents for the processing or transfers of personal data. You acknowledge that Oracle may provide the services from Oracle’s global locations.
14. Prior to the commencement of Services, You designate and identify a business resource that will be responsible for coordinating Your participation in this project and provide on-going support for Your implementation of Oracle ERP Cloud Project Billing and Contracts. Responsibilities include but are not limited to:
A. Assist with configuration of business processes;
B. Provide user feedback during configuration / prototyping and validation phases;
C. Available as needed during the project as needed to answer questions, provide business decisions and other items as required; and
D. Provide on-going support to internal users after implementation of Services.
Project Assumptions
1. A person day is defined as one (1) resource working up to eight (8) hours on any business day (working day) excluding weekends and local holidays (as mutually agreed upon).
2. The majority of Services will be provided remotely via conference calls and web conferences;
3. These Services will be provided over a twelve (12) week time period.
4. Lead time for commencing the services is four (4) weeks from Your Cloud instance provision and instance accessibility by Oracle teams.
5. Oracle Consulting Core Implementation Pack for ERP Cloud Financials is a pre-requisite for implementing this Pack – the implementation of both packs will be simultaneous and coordinated. Oracle Consulting Add-On Implementation Pack for ERP Cloud Project Costing and Controls is also a prerequisite for this implementation pack.
6. All required employee records will be created from Your Cloud HCM implementation or loaded manually into Your Cloud environment using the standard Cloud Application Development Framework desktop integrator template (“ADFdi”).
7. The Services shall be delivered using Oracle’s Cloud Implementation Methodology.
8. Oracle Cloud Services will be used for application deployment and infrastructure management, the cost of which has been provided in a separate estimate and/or proposal.
9. Available Cloud configurable localizations within the licensed bundle can be included in scope, if deemed required for Your business process.
10. All project documentation, presentations and project communication will be in English or another agreed upon language.
11. The Reviews, described within the Description of Services section 5 above, will be based upon a pre configured set of documented and functional validation cases that will be agreed with Oracle, together with their pass/fail criteria.
12. The Services are designed to go-Live in the production services environment at one time.
13. Oracle has the sole discretion to determine the staffing assignments for its services.
14. Anything not expressly specified in the Description of Services is out of scope, such as intercompany ,or Inter project billing contracts.
15. Any timelines or expected completion dates discussed with You are estimated dates and are intended for planning purposes only. As such Oracle does not guarantee that any such timelines or expected completion dates will be met and failure to meet such timelines shall not constitute a breach of contract or abrogate Your obligation to pay for Services performed.
16. Capitalized terms not defined in the agreement or this order shall refer to named functionality and activities within the applicable Cloud Services, as described in more detail within the Oracle Program documentation.
Completion of Services
Upon completion of the Services, Oracle will provide You with written notice (e.g., a completion certificate). If You fail to provide written notice to Oracle that the Services do not conform to the description as set forth in the above Description of Services, within five (5) business days after the date of Oracle’s written notice of completion (the “review period”), then the Services shall be deemed completed at the end of the review period.
Unused services
The Services must be used within twelve (12) months from Your order’s signature date, unless otherwise stated in Your order (“Professional Services Period”). Any Services not used within the Professional Services Period will be automatically forfeited by You, with no further action required of either party, and You will not be entitled to a refund, or any credit toward additional or other services, for any unused portion of the fees paid for any unused Services. You may not use the fees for any services other than the Services stated herein.
Expenses
In addition to the fees set forth in Your order, You agree to reimburse Oracle for travel and out of pocket expenses related to providing any on-site services. All expenses invoiced monthly hereunder are due and payable in accordance with the payment terms of Your order.
Project Management
You and Oracle each agree to designate a project manager who shall be responsible for coordinating its activities under this document. You and Oracle each shall direct all inquiries concerning the Services to the other party's project manager. Oracle’s project manager shall have the sole right to exercise direct control and supervision over the work assignments of Oracle resources.

Description of Services
Oracle will provide You with the following Oracle Consulting Add-On Implementation Pack services (“Services”) to implement the following Oracle Enterprise Resource Planning (“ERP”) Cloud Project Costing and Control modules in the Cloud Services Environment:
1. Modules:
A. Project Costing;
B. Project Control; and
C. Oracle Transactional Business Intelligence (“OTBI”) for Projects.
2. Conduct a two (2) hour introductory kick off meeting, either remote or onsite, with Your project manager to review the Services and estimated timeline;
3. Conduct a Familiarization Workshop for up to four (4) hours with Your project manager and up to twenty (20) members of Your project team; during the workshop Oracle will demonstrate to You the Oracle ERP Cloud Project Costing and Control processes and provide You with the instructions about the information to be delivered to Oracle for the compilation of the configuration book;
4. Conduct a Data Conversion Mapping and Load Template Workshop for up to eight (8) hours with Your project manager and up to ten (10) members of Your project team;
5. Based on input gathered from You during workshops and documented in configuration workbooks, configure Your Oracle ERP Cloud Project Costing and Control stage environment, as follows:
A. For the Project Costing module:
1) Set up of up to two (2) business units for one (1) country;
2) Configure one (1) single language and one (1) single currency to be deployed for all application users;
3) Configure one (1) Project Unit within the business unit where the Oracle ERP Cloud Financials is implemented;
4) Configure up to two (2) project types;
5) Configure up to five (5) Project templates for the purpose of creating projects that share common features, attributes and options;
6) Configure up to two (2) Project calendars and their relative periods;
7) Configure expenditure categories, expenditure types, service types, work types, and status types;
8) Configure up to ten (10) Project roles and required Project resources, 9) Configure up to five (5) Rate schedules, and required costing rules;
10) Configure up to five (5) Project resource breakdown structures;
11) Configure cost transaction accounting rules;
12) Configure transaction sources, documents, profile options and descriptive flex fields related to the Oracle Project Costing Cloud module;
13) Configure payables, expenses and purchasing integrations.
B. For the Project Control module:
1) Configure up to five (5) period profiles to control periods displayed on budgets / forecasts;
2) Configure up to five (5) spread curves to quantify cost amounts across a range of accounting or project accounting periods;
3) Configure up to three (3) financial plan types used to define default information and planning options / generation options when creating budgets / forecasts;
4) Configure budgeting and forecasting options;
5) Configure up to three (3) project plan types used to define default information when creating a project plan and capturing progress; and
6) Configure planning options.
6. Provide up to three (3) Review Sessions, for up to five (5) person/days each, at the following stages:
1) At the completion of the initial application configuration (Initial Configuration Review Session);
2) At the completion of the application configuration for Your review (End-to-End Review Session); and
3) At the completion of Your review of the application configuration prior to the move to production (Final Review Session).
7. Prepare the stage environment using revised configuration options resulting from Initial Configuration Review Session and support End-to-End Review Session;
8. Prepare the stage environment using revised configuration options resulting from End-to-End Review Session and support Final Review Session;
9. Deploy Your Oracle ERP Cloud Projects configuration into Your production environment; and 10. Provide up to five (5) person days of remote post production assistance within two (2) weeks
from the date Your Oracle ERP Cloud production environment goes live or within three (3) weeks from the date the configuration is moved to production, whichever comes first.
Your Obligations and Project Assumptions
In addition to the obligations and assumptions stated in Your order, You acknowledge that Oracle’s ability to perform the Services depends upon Your fulfillment of the following obligations and the following project assumptions:
Your Obligations
1. Obtain Cloud Services under separate contract prior to the commencement of Services and maintain such Cloud Services for the duration of the Services.
2. You will provide the necessary inputs in the Oracle specified format in order to finalize the configuration of the application and the security requirements. Oracle will provide You with configuration book compiled based on Your inputs during the first workshop.
3. Modify Your processes as necessary to comply with the standard functionality in the Oracle ERP Projects Cloud Application.
4. Notify Oracle promptly but in any circumstance no later than within two (2) business days about any inaccuracies or incomplete information in project documents provided to You.

Oracle will provide You with the following Oracle Consulting Add-On Implementation Pack services (“Services”) to implement the following Oracle Enterprise Resource Planning (“ERP”) Cloud Project Performance Reporting module in the Cloud Services Environment:

4) Configure analytic reporting options;
5) Configure up to ten (10) key performance indicators (“KPI”), at the implementation and project unit level of the Project Performance Reporting module;
6) Configure up to five (5) KPI categories for the project unit to use based on organizational requirements;
7) Create up to five (5) custom project performance tracking measures;
8) Configure summarization and reporting options for the project units; and 9) Configure up to five (5) project dashboards.
5. Provide up to three (3) Review Sessions, for up to five (5) person/days each, at the following stages:
