Minutes of the Ninety-Sixth Annual Meeting of the

Workers’ Compensation Insurance Rating Bureau of California Held Thursday, March 22, 2012

In accordance with Article XI, Paragraphs (1) and (2) of the Workers’ Compensation Insurance Rating Bureau of California (WCIRB) Constitution, all members had been duly notified of the WCIRB’s Ninety-Sixth Annual Meeting, which was held on March 22, 2012 in the offices of the WCIRB, located at 525 Market Street, in San Francisco, California.

Antitrust Notice

As members of the Workers’ Compensation Insurance Rating Bureau of California, you are bound, when involved in meetings or other activities of the WCIRB California, to limit your actions (and discussions other than social ones) to matters relating to the business of the WCIRB California. Matters that do not relate directly to WCIRB California business should be avoided. Members should particularly avoid discussions or conduct that could be construed as intended to affect competition (or access to markets). Thus, as members, you should not discuss or pursue the business interests of individual insurers or others, including, in particular, the plans of individual members involving, or the possibility or desirability of (a) raising, lowering or stabilizing prices (premiums or commissions), (b) doing business or refusing to do business with particular, or classes of, insurers, reinsurers, agents, brokers or insureds, or in particular locales, or (c) potential actions that would affect the availability of products or service either generally or in specific markets or locales.

In accordance with Article XI, Paragraphs (1) and (2) of the Worker’s Compensation Insurance Rating Bureau of California (WCIRB) Constitution, all members had been duly notified of the WCIRB’s Ninety-Sixth Annual Meeting, which was held on March 22, 2012 in the office of the WCIRB, located at 525 Market Street in San Francisco, California.

Upon being advised that a quorum of Regular Members was present, the meeting was called to order at 9:00 AM, with Mr. William J. Mudge, President, presiding.

In his opening remarks, Mr. Mudge noted that the WCIRB is nearing its 100th anniversary and provided the members with a summary of recent achievements and current activities that will leverage technology, transparency and teamwork to modernize its operations and ensure that it is ready and relevant in the next era. Specific mention was made of the recently launched coverage website, the medical

transactional data collection system to be launched this coming summer, and the ongoing project to replace the mainframe computer systems and transform its internal operations to become more efficient and enable development and delivery of new products and services. Also noted was the WCIRB’s efforts toward more transparency by making more information available to the public and though the use of Internet social media as an additional vehicle for pushing communications. Finally, Mr. Mudge advised the members of new efforts toward renewing and strengthening partner relationships with key state government agencies.

Consideration of the Annual Report

The 2011 Annual Report was made available to all members on the WCIRB website at

www.wcirbonline.org. Hard copies of the Annual Report were distributed at the meeting. Following the presentation, the president called for a motion to accept the Report. A motion was so made and duly seconded. As there were no questions or discussion, the motion was passed unanimously by those present and voting.

Amendments to WCIRB Constitution

The members were advised that the California Department of Insurance (CDI) Examination Report dated August 10, 2011 made several recommendations regarding WCIRB committee meeting participation. Specifically, the CDI recommended that the WCIRB provide the members of the Governing Committee access to all WCIRB committee, subcommittee, special committee and task force meetings, and that the WCIRB permit members of the Actuarial Committee to attend meetings of the Claims Subcommittee and members of the Classification and Rating Committee to attend meetings of the Manual Subcommittee. The members were advised that the Governing Committee is in unanimous agreement with the CDI’s recommendations, and that in order to facilitate these changes, proposes that Article X be amended to delete Section 8. Following the presentation, a motion was made, and duly seconded to adopt the amendment as presented. There being no questions or discussion, the motion was passed unanimously by those present and voting.

Election of Members to the Governing Committee

The Membership had been advised in advance of the meeting that the terms of ACE Property and Casualty Insurance Company, Employers Compensation Insurance Company and Travelers Indemnity Company had expired, and that their successors needed to be elected for terms running from the present annual meeting to the date of the annual meeting in 2015. The president called for nominations.

The spokesperson for the Nominating Committee reported that, as a result of its meeting held on February 24, 2012, ACE Property and Casualty Insurance Company, National Union Fire Insurance Company of Pittsburgh, PA and Zenith Insurance Company had been nominated for terms running from the present annual meeting to the date of the annual meeting in 2015. As there were no further

nominations, a motion was made, duly seconded and unanimously passed by those present and voting to close the nominations. A motion then was made, duly seconded and unanimously passed by those present and voting instructing the secretary to cast a unanimous ballot for the foregoing nominees. The following WCIRB members will serve on the Governing Committee for 2012:

Election of Members to the Classification and Rating Committee

The Membership had been advised in advance of the meeting that the terms of CompWest Insurance Company and Travelers Indemnity Company had expired and that their successors needed to be elected for terms running from the present annual meeting to the date of the annual meeting in 2015. The

president called for nominations.

The spokesperson for the Nominating Committee reported that as a result of its meeting held on February 24, 2012, SeaBright Insurance Company and Travelers Indemnity Company had been

nominated for terms running from the present annual meeting to the date of the annual meeting in 2015. As there were no further nominations, a motion was made, duly seconded, and unanimously passed by those present and voting to close the nominations. A motion then was made, duly seconded and

unanimously passed by those present and voting instructing the secretary to cast a unanimous ballot for the foregoing nominees.
