How much does it cost to buy and sell my shares immediately?

Commission is charged on the sale of these shares. The commission is 0.5% of the value of the sale with a minimum fee of £10.00, and will be deducted from the proceeds of your sale. The sales facility is subject to achieving a minimum sale price of £3.21.

How will I receive my sale proceeds?

Equiniti will arrange to send your sale proceeds by BACS to the same bank account into which you receive your Tesco pay.

Why will my shares not be sold if the share price falls below £3.21?

This limit has been put in place to protect our colleagues if the share price falls as this is the price that some will need to achieve to recover their money after selling fees. If the Tesco share price is below £3.21 your sale request will not be processed and your savings and bonus will be repaid to you.

Can I still purchase Tesco shares if the share price is below the option price of £3.11?

Yes, we have introduced a share purchase facility. Under this choice colleagues can choose to use all of their savings and bonus to purchase shares at the market share price on the relevant allotment day. If the Tesco share price on that day has recovered and is above the option price of £3.11, the share purchase facility will not be actioned and colleagues will instead have their savings and bonus used to buy shares at the option price of £3.11. The final date for giving an instruction to use the share purchase facility is 6pm on 7 March 2014.

What are the costs for the share purchase facility?

Tesco has negotiated preferential dealing rates with Equiniti as follows:

• Dealing charge of 1%, minimum £15.

• Additional Stamp Duty Reserve Tax charge of 0.5%. The charges, including stamp duty, will automatically be deducted by Equiniti when the shares are bought. Any money left over from the share purchase that is not sufficient to purchase one share, including costs, will be retained by Equiniti to cover the additional administration costs for providing this service.

How do I sell my shares in the future if I have chosen to buy Tesco shares to keep?

You will be sent a share certificate which you should keep in a safe place as you will need it when you sell your shares.

You may sell your shares (for a fee) whenever you like by using a share dealing service available through most banks or building societies. You can also sell shares via the internet or by contacting a stockbroker directly. Tesco have negotiated a special low cost sales facility with Equiniti Financial Services Limited and details of this facility will be sent with your share certificate.

Can I re-invest in an ISA?

You can transfer your shares to an Equiniti Shareview Dealing ISA (Individual Savings Account) at the same time you give an instruction to buy shares at the option price of £3.11. There is no charge for transferring shares into the ISA, however there will be ongoing administration charges and commission on trades. Any gain made if you sell your shares from an ISA is not taxable. For more information about the Rates and Charges, please contact the Shareview Dealing ISA team on 0845 300 0430 or go to

What happens if I have missed any payments?

For every payment missed, the scheme end date of your scheme will be delayed and you will continue to have deductions taken from your pay until you have completed your savings scheme. Your Statement on page 4 will show your scheme end date. If your end date is after 1 August 2014, you will not be able to select sell immediately service and the ISA transfer facility as you will not have completed your savings scheme before the exercise and sell immediately service and the ISA transfer facility finishes.

What tax will I pay?

• You will not pay Income Tax or National Insurance on your bonus or if you choose to buy Tesco shares (keep, sell or ISA).

• Your savings are taken from your pay after Income Tax and National Insurance have been deducted, so you are not taxed on the money you save.

• You may have to pay Capital Gains Tax when you sell your shares if your total gains for the tax year exceeds the capital gains exemption (£10,900 for 2013/14 tax year). If you want to know more about this, you should contact an independent financial adviser.

What happens if I do nothing?

Your option to buy shares at £3.11 will lapse six months after your scheme end date. Your savings and five year bonus will be held for another two years to qualify for a second cash bonus of 5.7 months contribution. At the end of the two year period you will then be sent a payment for the amount of your savings and bonus and you will not be able to exercise your option. Your total savings will be paid by BACS to the same bank account into which you receive your Tesco pay.

Remember that, the Equiniti share purchase facility is only available until 6pm on 7 March. The exercise and sale service and the Equiniti ISA facility are only available until 6pm on 1 August 2014. If the share price recovers you will still have the option to buy shares at the option price of £3.86 up until your last exercise date shown on your Statement on page 4.

What if I choose to exercise my option to buy shares and the share price falls below the option price?

If the Tesco PLC share price is below the option price, your option will not be exercised and your savings and bonus will be repaid to you by BACS to the same bank account into which you receive your Tesco pay.

What happens if I have my savings and bonus repaid and then the share price rises above the option price?

If the share price rises above the option price before your last exercise date, you will still have the opportunity to return some or all of your savings to buy shares at the option price. Your last exercise date is shown on your Statement on page 4.

How do I return my savings to buy shares at the option price?

You will need to write to Equiniti confirming you would like to exercise your option and include a cheque made payable to Lloyds Bank plc re Tesco SAYE. Please send your letter and cheque to Equiniti, Aspect House, Spencer Road, Lancing, West Sussex, BN99 6DA, United Kingdom.

What happens if I choose to buy shares at the option price and the Tesco share price is below £3.11?

If at the time of processing your exercise request the Tesco share price is below the option price of £3.11, your request will not be processed and your savings will be repaid to you, together with your bonus.

Can I set a price limit if I choose to buy shares at the market price?

You cannot set the price at which the shares are purchased. However, if the Tesco share price on the day your instruction is processed is above the option price of £3.11, your request will not be processed and your savings and bonus will be used to buy shares at the option price of £3.11.

Choice C

– Buy Tesco shares at the option price

and hold them in an ISA

You can buy shares at the option price of £3.11 per share and transfer them into an Equiniti Shareview Dealing ISA subject to the ISA allowance.

What is the ISA allowance?

For the tax year 2013/2014 the limit is £11,520 (minus any contributions made to a cash ISA). For 2014/15 the limit is £11,880. For more information on the Equiniti Shareview Dealing ISA please refer to page 5 within this booklet.

You cannot set the price at which the shares are purchased. However, if the Tesco share price on the day your instruction is processed is above the option price of £3.11, your request will not be processed and your savings and bonus will be used to buy shares at the option price of £3.11.

You can buy shares at the option price of £3.11 per share and transfer them into an Equiniti Shareview Dealing ISA subject to the ISA allowance.

What is the ISA allowance?

For the tax year 2013/2014 the limit is £11,520 (minus any contributions made to a cash ISA). For 2014/15 the limit is £11,880. For more information on the Equiniti Shareview Dealing ISA please refer to page 5 within this booklet.

How much does it cost to buy and sell my shares immediately?

Commission is charged on the sale of these shares. The commission is 0.5% of the value of the sale with a minimum fee of £10.00, and will be deducted from the proceeds of your sale. The sales facility is subject to achieving a minimum sale price of £3.21.

How will I receive my sale proceeds?

Equiniti will arrange to send your sale proceeds by BACS to the same bank account into which you receive your Tesco pay.

Why will my shares not be sold if the share price falls below £3.21?

This limit has been put in place to protect our colleagues if the share price falls as this is the price that some will need to achieve to recover their money after selling fees. If the Tesco share price is below £3.21 your sale request will not be processed and your savings and bonus will be repaid to you.

Can I still purchase Tesco shares if the share price is below the option price of £3.11?

Yes, we have introduced a share purchase facility. Under this choice colleagues can choose to use all of their savings and bonus to purchase shares at the market share price on the relevant allotment day. If the Tesco share price on that day has recovered and is above the option price of £3.11, the share purchase facility will not be actioned and colleagues will instead have their savings and bonus used to buy shares at the option price of £3.11. The final date for giving an instruction to use the share purchase facility is 6pm on 7 March 2014.

What are the costs for the share purchase facility?

Tesco has negotiated preferential dealing rates with Equiniti as follows:

• Dealing charge of 1%, minimum £15.

• Additional Stamp Duty Reserve Tax charge of 0.5%. The charges, including stamp duty, will automatically be deducted by Equiniti when the shares are bought. Any money left over from the share purchase that is not sufficient to purchase one share, including costs, will be retained by Equiniti to cover the additional administration costs for providing this service.

How do I sell my shares in the future if I have chosen to buy Tesco shares to keep?

You will be sent a share certificate which you should keep in a safe place as you will need it when you sell your shares.

You may sell your shares (for a fee) whenever you like by using a share dealing service available through most banks or building societies. You can also sell shares via the internet or by contacting a stockbroker directly. Tesco have negotiated a special low cost sales facility with Equiniti Financial Services Limited and details of this facility will be sent with your share certificate.

Can I re-invest in an ISA?

You can transfer your shares to an Equiniti Shareview Dealing ISA (Individual Savings Account) at the same time you give an instruction to buy shares at the option price of £3.11. There is no charge for transferring shares into the ISA, however there will be ongoing administration charges and commission on trades. Any gain made if you sell your shares from an ISA is not taxable. For more information about the Rates and Charges, please contact the Shareview Dealing ISA team on 0845 300 0430 or go to

What happens if I have missed any payments?

For every payment missed, the scheme end date of your scheme will be delayed and you will continue to have deductions taken from your pay until you have completed your savings scheme. Your Statement on page 4 will show your scheme end date. If your end date is after 1 August 2014, you will not be able to select sell immediately service and the ISA transfer facility as you will not have completed your savings scheme before the exercise and sell immediately service and the ISA transfer facility finishes.

What tax will I pay?

• You will not pay Income Tax or National Insurance on your bonus or if you choose to buy Tesco shares (keep, sell or ISA).

• Your savings are taken from your pay after Income Tax and National Insurance have been deducted, so you are not taxed on the money you save.

• You may have to pay Capital Gains Tax when you sell your shares if your total gains for the tax year exceeds the capital gains exemption (£10,900 for 2013/14 tax year). If you want to know more about this, you should contact an independent financial adviser.

What happens if I do nothing?

Your option to buy shares at £3.11 will lapse six months after your scheme end date. Your savings and five year bonus will be held for another two years to qualify for a second cash bonus of 5.7 months contribution. At the end of the two year period you will then be sent a payment for the amount of your savings and bonus and you will not be able to exercise your option. Your total savings will be paid by BACS to the same bank account into which you receive your Tesco pay.

Remember that, the Equiniti share purchase facility is only available until 6pm on 7 March. The exercise and sale service and the Equiniti ISA facility are only available until 6pm on 1 August 2014. If the share price recovers you will still have the option to buy shares at the option price of £3.86 up until your last exercise date shown on your Statement on page 4.

What if I choose to exercise my option to buy shares and the share price falls below the option price?

If the Tesco PLC share price is below the option price, your option will not be exercised and your savings and bonus will be repaid to you by BACS to the same bank account into which you receive your Tesco pay.

What happens if I have my savings and bonus repaid and then the share price rises above the option price?

If the share price rises above the option price before your last exercise date, you will still have the opportunity to return some or all of your savings to buy shares at the option price. Your last exercise date is shown on your Statement on page 4.

How do I return my savings to buy shares at the option price?

You will need to write to Equiniti confirming you would like to exercise your option and include a cheque made payable to Lloyds Bank plc re Tesco SAYE. Please send your letter and cheque to Equiniti, Aspect House, Spencer Road, Lancing, West Sussex, BN99 6DA, United Kingdom.
