GENERAL

Completed quotation form packages shall be submitted in sealed envelope marked "Project 0300-73530, 2014 - 2016 Pavement Marking". Envelopes are provided with this quotation package.

Quotes will be received at the office of: Alex Piggott, C.E.T, CRS-I

Works Superintendent City of Woodstock 944 James Street PO Box 1539 WOODSTOCK, Ontario N4S 0A7

Not later than 2:00 p.m. local time, Thursday, April 24, 2014. The lowest or any bid not necessarily accepted.

The scope of this contract is for the supply of all labour and materials necessary to provide centre line and lane pavement marking services at various locations within the City of Woodstock.

QUOTATION DEPOSIT

None Required.

TENDERER TO INVESTIGATE

The contractor shall, at no expense to the owner make all investigations

necessary in order to completely satisfy themselves with the site conditions. A list and map of the locations is provided as Appendix A.

RIGHT TO ACCEPT OR REJECT QUOTATIONS

Quotes may be invalidated if the forms are not properly and fully completed in ink in a clear and legible manner. Quotes must be on the form(s) provided. No substitutions or conditions will be considered. The Owner will be the sole judge of such matters. The lowest quote is not necessary accepted.

Contractors may at any time up the official closing date and time withdraw the quote and resubmit a new quote in the event an addendum has been issued after submission of the quote. The latest quote submitted will supersede and

invalidate all quotes previously submitted by that contractor for this project. Any quote received pass the official closing date and time will be rejected and

returned unopened to the contractor.

UNACCEPTABLE QUOTES

Each item in the Quotation Form shall be a reasonable price for such item. Under no circumstances will an unbalanced quote be considered. Unacceptable quotes include quotations which are incomplete, illegible or obscure or that contains additions that are not called for, erasures, alterations, errors or

irregularities of any kind. The contract administrator may ask the contractor in writing to provide clarification for any price submitted to ensure no confusion of the requirements expected by the contractor. The Owner will be the sole judge of such matters, and should any tender be considered to be unbalanced or unacceptable, then it will be rejected by the Owner.

ABILITY AND EXPERIENCE OF CONTRACTOR

The Owner reserves the right to reject the quote of any bidder who does not furnish satisfactory evidence of sufficient capital, plant, financial ability, experience and skill to successfully execute and complete the work in the specified time.

As part of this package, Standard Forms for listing experience at performing similar work and Contractor's Senior Staff have been included. Contractors shall include the completed forms with their submission of tender.

The contract administrator reserves the right to investigate similar projects completed by the contractor in determining the experience, skills and abilities of the contractor. The lowest quote is not necessary accepted. The Owner will be the sole judge of this matter and reserves the right to do so.

PRICES SUBMITTED

The unit prices submitted for each item shall be inclusive of furnishing all materials, equipment, labour and transportation, to perform and complete the work and shall be exclusive of HST.

PAYMENTS

Payment shall be in the form of an invoice submitted by the contractor at the unit price quoted. Payment shall be considered full compensation for all labour and materials supplied and delivered as part of this contract.

The contractor is not entitled to interest for late payments.

INQUIRIES DURING QUOTING

The Bidder is advised that inquiries regarding the interpretation of this quote shall be in writing and directed to the following:

Should a contractor find any omissions or discrepancies in any of the Quotation Documents or should the contractor be in doubt as the meaning of any part of such documents, the contractor shall notify the contract administrator. If the contract administrator considers that a correction, explanation or interpretation is necessary or desirable, an Addendum will be issued to all parties who have taken a quotation document.

Under no circumstances will an oral explanation or interpretation modify any of the requirements or provisions of the quotation documents.

10 DEFINITION OF OWNER

Wherever the word "Corporation", "Township", "Municipality" “Town” or "Owner" appears in this contract it shall be interpreted as meaning the "Corporation of the City of Woodstock”.

In the OPSS General Conditions of Contract Form wherever the words "Ministry of Transportation" appear they shall be taken to mean the “Corporation of the City of Woodstock”.

In the form wherever the words "Engineer", "Inspector" or "Contract

Administrator" appear they shall be taken to mean the Works Superintendent of the City of Woodstock or his designate.

11 OCCUPATIONAL HEALTH AND SAFETY ACT (R.S.O. 1990)

The Contractor must ensure compliance with the Occupational Health and Safety Act and indemnify The Corporation of the City of Woodstock, for any failure to do so.

In order to avoid any misunderstanding as to the nature of the work to be performed herein, the contractor unequivocally acknowledges that it is the constructor within the meaning of the

Occupational Health and Safety Act, and the Contractor undertakes to carry out the duties and responsibilities of a constructor with respect to the work.

The Occupational Health and Safety Act provides, in addition to other matters, that, "A constructor shall ensure, on a project undertaken by the constructor that:

a) The measures and procedures prescribed by this Act and the Regulations are carried out on the project,

b) Every employer and every worker performing work on the project complies with this Act and the Regulations, and

c) The health and safety of workers on the project is protected."

12 LIABILITY INSURANCE, INDEMNIFICATION AND HOLD

HARMLESS

The Contractor shall take out and keep in force until the date of acceptance of the entire work the following policies of insurance issued by an Insurer

acceptable to the Owner in accordance with GC 6.03.

The contractor shall provide to the contract administrator, proof of said insurance prior to the commencement of work. The City of Woodstock shall be listed as an additional insured and held harmless with respect to any actions or operations of the contractor. The contractor is not required to obtain and carry Aircraft and Watercraft Liability Insurance or Boiler Insurance with respect to this contract.

12.1 Liability

Comprehensive General Liability policy providing coverage for bodily injury and property damage including personal injury liability, contractual liability, Non-Owned Automobile Liability, Owner's and Contractors Protective Coverage, Products-completed operations and Contingent Employers Liability. The policy of liability insurance shall be to carry limits of not less than five million dollars ($5,000,000.00) inclusive, per occurrence exclusive of interest and cost. The Policy identified above shall apply as primary insurance and not excess to any other insurance available to the Owner

12.2 Automotive

An Automobile Policy (O.P.F. 1) covering all vehicles owned in whole or in part and licensed in the name of the Contractor including all vehicles leased on a long term basis for which the Contractor is required to provide bodily injury and

property damage insurance.

Such policy of automobile insurance to carry limited of not less than $2,000,000.00 inclusive.

13 SCHEDULE OF WORK

The work is to be performed during night time hours from Monday to Friday, between 7:00 p.m. and 7:00 a.m. Once the contractor has commenced

operations, the work shall be continuous, uninterrupted to the completion of the work. The work shall be completed by July 21st of each year

14 LIST OF SUB-CONTRACTORS

The contractor agrees to submit a list of any sub-contractors who will be carrying out any part of this contract. This list shall show the names of the proposed sub-contractors and for what work each sub-contractor will be responsible. The owner has the right to reject any of the contractors so named. In this event, the contractor shall arrange to have the work done by such other sub-contractor as may be approved by the owner.

Should the contractor cease operations, under no circumstances shall the sub-contractors be allowed to continue the work unless an authorized representative of the contractor is present on the site at all times. The contractor shall notify the Owner in writing of the names and positions of the person or persons so

representing the contractor.

As part of this quotation package Standard Forms for listing any Sub-Contractors have been included. Contractors shall include the completed forms with their submission.

15 ONTARIO PROVINCIAL STANDARDS GENERAL

CONDITIONS OF CONTRACT

Unless otherwise noted, the general terms and conditions of the Ontario Provincial Standards General Conditions of Contract (OPS-GC) shall prevail. This document is not reproduced for this contract. The contractor will be

responsible for obtaining a current copy and becoming familiar with the requirements of this document.

16 EXECUTE CONTRACT

Quotes shall be open for acceptance by the Owner for a period of 30 days after the closing date. After this time the quote may only be accepted with the consent of the successful bidder.

Failure by the successful bidder to meet the above requirements will entitle the owner to cancel the award of the contract. The owner may then award the contract to one of the other bidders or take such other action as he chooses.

17 QUANTITIES

Quantities are estimated based on previous year’s material usage. Payment will be based on the actual material applied to the roads. The City makes no

guarantee on the estimation of the quantities. Contractors will be required to base their pricing based on their own estimation of the quantity of work required. The contract administrator reserves the right to increase or decrease the quantity required or suspend or omit any item or portion of the work at any time.

18 GOVERNMENTAL REQUIREMENTS

The Contractor shall obey all Federal, Provincial, and Municipal Laws, Acts, Ordinances, Orders in Council and By-laws, which could in any way pertain to the work outlined in the Contract or to the Employees of the Contractor.

19 NOTICE TO CONTRACTORS- RE: EMPLOYMENT

The Contractor and any subcontractor of the contractor will, respective of this contract,

i. Employ only residents of Canada and those persons legally able to work in Canada

ii. In employing persons, refrain from discriminating against any person by reason of his race, religion, political affiliations or gender.

20 MATERIAL AND METHOD SPECIFICATIONS

OPSS 710 latest revision shall prevail. The appendix is not involved by the Owner.

The contractor is not required to provide a paint sample, however shall provide material testing from the supplier to ensure conformance if requested by the contract administrator. Supplies shall be on the List of Designated Sources for Material.

Organic solvent based traffic paint and water borne traffic paint is acceptable. The contractor can choose based on conditions.

The Ontario Provincial Standard General Conditions of Contract have not been reproduced as part of these contract documents, but may be obtained at the MTO stationary stores, Purchasing and supply office, Right of Way and Services division, east building Downsview. It will be the Contractors responsibility to obtain current copies of Ontario Provincial Standards General Conditions of Contract.
